The Durham news-paper certainly gave a nice story on him this morning.

Evidently, the Kiwanis Club here has heard of the goodtalk you made to the Rotary Club in Durham recently. EdSwindell, our Chairman of the Kiwanis Program Committee anda good friend of mine, asked that I contact you about talkingto the Kiwanis Club at the'Washington Duke Hotel at 1:00 p.m.Thursday, April 1. If your schedule will permit this, I amsure you will enjoy meeting and talking to these men. I haveworked with them in the Kiwanis for a long time, and they are,as you know, one of the best clubs in the state.

Sane time ago. through an exchange of "correspondence between theSurgeon General of the Public Health Service and officials of your insti-tution. a general agreement was reached which has governed the payment oftuition and fees of persons attending your institution at Public HealthService expense. In order to eliminate certain fiscal and proceduraldifficulties that we and a number of institutions with whom we have hadsimilar agreements have encountered. we wish to make a new contract withyour institution.

A copy of our new ”Basic Training Contract” is enclosed. Thiscontract establishes the conditions under which we should like to haveour future trainees attend your institution. This contract becomesoperative only when. and to the extent that. it is supplemented by indivi-dual orders. A copy of our standard "Order Pursuant to Basic TrainingContract" is also attached. Such an Order. with Items 1 through 3 properlyexecuted. would be your evidence of Public Health Service's intention tofinance the training of the individual named.

Of necessity there will be a short transition period during which wewill have two contracts in effect with you. since we would like any of ourtrainees now assigned to your institution to complete their present semestersunder the old General Agreement. New trainees will be entered under the termsof the new ”Basic Trairing Contract" if agreeable with you.

we shall appreciate it if you will review this contract and the pro-cedure which it establishes and. if it meets your approval. execute itproperly and return it to me. It will then be possible for us to issuethe required Orders to any of our trainees who may seek and obtain admissionto your institution in the future.

1. SERVICES TO BE FURNISHED. (a) The Contractor shall enrolland provide instruction during the period specified for student(s), whoshall be officers or employees of the Biblic Health Service who are ac-ceptable to and approved by Contractor, in the courses and for the re-spective periods of time determined as hereinafter provided. ‘ '(b) Requests by the Government for instruction shall be made bydelivery to the Contractor of an Order to this contract.(c) Such Order shall cover one (1) student each, shall be presentedin quintuplicate to the Contractor by such student at the time ofmatric-ulation, shall be completed by the Contractor to show the curriculum ofthe student and the cost thereof and shall be forwarded in quadruplicateto the Office whose name appears on the Order.(d) All students accepted by the Contractor shall be registered inthe same manner as other students and shall be subject to the same ac-ademic regulations. and shall have the same privileges, including useof all facilities and equipment normally furnished by the Contractor toall students.(e) In the event it is desired to amend an Order issued hereunderfor any reason, an amended Order will be initiated by the Governmentand forwarded to the Contractor for completion and signature. whoshall then process the same in the same manner as an original. Suchamended Order shall bear the same number as the original Order inaddition to the appropriate amendment number.(f) Necessary textbooks required for use by individual students willbe procured by said students at their own expense.II. CONSIDERATION, PAYMENT AND INVOICES. (a) The Govern-ment will pay to the Contractor as compensation, the cost of the courseof instruction of each student as set forth in the Order covering his en-rollment, which cost will in no event be a greater amount than chargedfor other students pursuing the same or similar curriculum; providedthat, if the Contractor regularly charges higher rates of tuition for stu-dents who are not residents of the state in which the Contractor is lo-cated. the Contractor may charge the Government not in excess of thelowest rates applicable to such nonresident students.(b) The Government will pay the compensation, stated in paragraph(a) above in advance. as follows:

(I) For the first" semester in which the student is enrolled, uponthe receipt of the approved copy of the Order as provided in para-graph (c) of Article 1 hereof, the Contractor will submit to the au-thorizing official whose name appears on the Order a bill coveringeach Order separately, in duplicate. All bills shall have the follow-ing certificates placed thereon and shall be signed by such repre-sentative or representatives of the Contractor as shall be author-ized by the Government:"I certify that the above bill is correct and just; that paymenttherefor has not been received. "(2) As to subsequent semesters, the Contractor will submit billsas provided in (1) above after the student has been enrolled for thesemester.(3) Advance payments to be made under the terms hereof areauthorized by the following:Public Health Service Act, approved July I, 1944, 58 Stat. 682,(42 U.S.C. 201 et. seq. ), as amended.(4) Payment on any such voucher will be deemed to be in com—plete discharge of the Government's obligation under this contractrelative to the student(s) named thereon, to the extent of the tuitionor other related fees and charges as the case may be, for the se-mester or period of instruction covered by such voucher.

(c) It is understood and agreed that Bureau, Division and InstituteChiefs of the Public Health Service may sign individual Orders to thisGeneral Training Contract.Ill. TERMINATION. (a) The performance of work under this con-tract may be terminated by the Government in accordance with this par-agraph in whole, or from time to time in part, whenever, (i) the Con-tracting Officer shall determine that any such termination is for thebest interests of the Government, or (ii) the student voluntarily, or atthe request of the Contractor, withdraws from any course or courses.Whenever termination is effected pursuant to (i) above,Contracting Of-ficer shall deliver to the Contractor a notice of termination specifyingthe extent to which performance of work under this contract shall beterminated and the effective date of such termination. Whenever termi-nation ls effected under (ii) above, the student, after receiving approvalof the Officer whose name appears on the original Order, shall notify theContractor of the effective date of his withdrawal and upon receipt bythe Contractor of any such notice, it shall discontinue all the work andactivity specified by such notice at the time set forth therein.(b) In the event of termination in whole or in part, the Contractorshall be paid (i) all fees then due and owing and theretofore unpaid, and(ii) all accrued fees, in accordance with the established policieéof theContractor if termination is effected during any period of instruction.(c) In the event of discontinuance or interruption of a student's ma-fliculatiog for any cause whatsoever the Contractor agrees to makeproper refund of any unearned tuition and related fees for services con-templated but not rendered.

IV. TERMINATION IN THE EVENT OF REVISED PRICES. Theconsideration as set forth in eachOrder issued hereunder is based onthe Contractor's standard fees on the date of such Order. The Con-tractor shall have the right to change any or all fees for any succeedingsemester after the first semester or period of instruction upon writtennotices to the Government thirty (30) days prior to the commencem-Itof such semester, but in no event to a greater amount than that chargedfor other students pursuing the same or similar course of instruction.In the event of such notice, the Government shall have the option to ac-cept or refuse the revised fee basis. If the Government elects to refusethe revised fee basis, if may proceed to terminate the contract underthe terms of Article III hereof.V. STUDENT SUPERVISION. The Contracting Officer may varythe curriculum as selected by the student but shall not require nor makeany change in any course as offered by the Contractor without the Con-tractor's consent. 'VI. REPORTS. (a) The Contractor shall submit to the TrainingBranch, Public Health Service, at the end of each term or semester andat such other times as may be directed a written report containing theprogress and grades of each student and such other information as maybe required: Provided that, any report required by the Government notregularly furnished other students pursuing the same or similar curricoulum will be paid for by the Government at a rate agreed upon in ad'vance either in an original Order or an amended Order.(b) Any student who, in the opinion of the Government, fails tomaintain a satisfactory standing in the course in which he has enrolledor whom the Contracting Officer. for any reason whatsoever, desiresto remove from such course may, at the option of the Contracting Offi-cer be withdrawn at any time. In such event or in the event that theContractor ejects any student for breach of its regulation, the mattershall be treated as a partial termination and the tuition for such studentshall be computed in accordance with Article III hereof.VII. DISPUTES. Except as otherwise provided in this contract,any disputes concerning a question of fact arising under this contractwhich is not disposed o by agreement shall be dec ded by the Contract-ing Officer, who shall reduce his decision to writing and mail or other-wise furnish a copy thereof to the Contractor. Within 80 days from thedate of receipt of such copy, the Contractor may appeal by mailing orotherwise furnishing to the Contracting Officer a written appeal ad-dressed to the Surgeon General and the decision of the Surgeon Generalor his duly authorized representative for the hearing of such appealsshall be final and conclusive; provided, that if no such appeal is takenthe decision of the Contracting Officer shall be final and conclusive. Inconnection with any appeal proceeding under this clause, the Contractorshall be afforded an opportunity to be heard and to offer evidence insupport of its appeal. Pending final decision of a dispute hereunder, theContractor shall proceed diligently with the performance of the contractand in accordance with the Contracting Officer's decision.VIII. COVENANT AGAINST CONTINGENT FEES. The Contractorwarrants that no person or selling agency has been employed or re-tained to solicit or secure this contract upon an agreement or under-standing for a commission, percentage, brokerage, or contingent fee,excepting bona fide employees or bona fide established commercial orselling agencies maintained by the Contractor for the purpose of secur-ing business. For breach or violation of this warranty the Governmentshall have the right to annul this contract without liability or in its dis-cretion to deduct from the contract price or consideration the fullamount of smut. commission, percentage, brokerage, or contingent fee.lX. OFFICIALS NOT TO BENEFIT. No member of or delegate toCongress, or resident commissioner, shall be admitted to any share orpart of this contract, or to any benefit that may arise therefrom; butthis provision shall not be construed to extend to this contract if madewith a corporation for its general benefit.X. NONDISCRIMINATION IN EMPLOYMENT. In connection withthe performance of this contract, the Contractor agrees not to discrim-inate against any employee or applicant for employment because ofrace.creed, color, or national origin; and further agrees to insert the fore-going provision in all subcontracts hereunder except subcontracts forstandard commercial supplies or for raw material.XI. CONVICT LABOR. In connection with the performance of thiscontract, the Contractor agrees not to employ any person undergoing ’sentence or imprisonment at hard labor.XII. DEFINITIONS. (a) The term "Contracting Officer" meansthe person executing this contract on behalf of the Government, and anyother officer or civilian employee who is a properly designated Con-tracting Officer; and the term includes, except as otherwise provided inthis contract, the authorized representative of a Contracting Officeracting within the limits of his authority.(b) In addition the following terms and definitions shall govern 'forthe purposes of this contract:

- A Series of lectures and/or instructions and/orlaboratory periods relating to one particular fieldof science or learning."Course"

"Curriculum" - The courses as selected by one student for hiscourse of instruction.
