1. Introduction1.1. Invitation

WellFort Community Health Services (WellFort) and Rexdale Community Health Center (RCHC) are inviting individual Managed Service Providers (MSP) to submit a proposal for provision of ongoing support and management services to WellFort and RCHC

1.2. WellFort Community Health Services (WellFort)WellFort is a Community Health Centre mandated to provide primary health care, oral health care, Diabetes, HIV & Hepatitis C Education, as well as Health Promotion and Program services residents of Brampton and Malton. WellFort offers these services through several clinics including: the Bramalea Community Health Centre, the Diabetes Education Program, the Four Corners Health Centre, Health n’ Smiles, and Bloom Clinic.

RCHC is an incorporated not for profit community based organization which provides primary health care and health promotion services to the residents of North Etobicoke. We offer these services across three sites

1.3. Purpose:WellFort:The purpose of the Request for Proposal is to ask individual IT vendors to separately price the support services for WellFort, a Community Health Organization with a staff size of approximately 100 people, across two physically distant sites. The qualified IT vendor will provide the necessary technical services that will enable WellFort to:

Manage the existing backend physical and virtual server environment consisting of (but not limited to):

o Dell PowerEdge Series (R720 and R510) physical Data Core Software Defined Storage Area Network

o Dell EqualLogic Physical Storage Area Networko Office 365 email, MS Office (Multiple Versions)o Assist intranet, organization websiteo Veeam Backup and Replication solutiono Various PCs, printers, and related systems

Manage the front end equipment (Desktops, Laptops, Tablets and smartphones) Operate a help desk to manage all end users request and problems Enhance its quality of service for the entire organization; optimize system design and

utilization Proactively plan, budget, and manage the dynamic changes in a busy environment Software

system updates

Assist to support and maintain EMR system

RCHC:

The purpose of the Request for Proposal is to ask individual IT vendors to separately price the support services for a RCHC, Community Health Centre with a staff size of approximately 100 people, across three physical locations (Main Site, 8 Taber Rd.; HUB Satellite, 21 Panorama Court, and Islington Satellite, 2265 Islington Ave.). The qualified IT vendor will provide the necessary technical services that will enable to manage and maintain RCHC IT infrastructure:

Back-end Equipmento Eight (8) Dell PowerEdge Series (R610, R710 and R517) physical servers with different

roles within 3 sites o Data & Voice Core pheripelas (firewalls, switches, routers & Backup batteries)o Dell PowerVault Storage Area Network “SAN”o VMware and HyperV Virtual Server environment o Veeam & Veritas Backup and Replication solution (Microsoft Azure – StorSimple

appliance)o Various PCs, printers, and related systemso Support Internet Services Providers “ISP” and cloud base WIFI systemo Manage and maintain IPVPNo LAN printers

Manage the front end equipment (Desktops, Laptops, Tablets and smartphones) Operate a help desk to manage all end users request and problems Operate a help desk to manage Microsoft Office 2016 desk and Cloud base applications /

Microsoft Office 365 Assist to support digital phone system (Avaya and Bell Total connect) Assist to support Web site and intranet Enhance its quality of service maintaining all WAN – LAN’s equipment with updates, virus

definitions patches, firmware and fixes on timely fashion to minimize high-risk situations and report back to IT staff.

Assist to support Electronic Medical Software (NOD, legacy data Purkinje) Proactively plan, budget, and manage the dynamic changes in a busy environment Provide all require services to optimized connectivity, functionality, security and

confidentiality all the times.

1.4. Scope of Services and DeliverablesWellFort & RCHC expects MSP’s to define, in detail, the approach to be used to deliver the below scope of services, provide a service level agreement including a detailed service request submission, monitoring, escalation and communication plan, propose pricing for the same and an approach to help both organizations review their IT requirements on a semi-annual basis in order to meet the ever-evolving requirements of IT landscape.

WellFort CHS

The services outlined below will be delivered to WellFort clinics across all physical sites.

1. ESX – vendor should have experience managing a Windows Remote Desktop environment2. Veeam Backup and Replication –vendor should have experience managing Veeam Backup and

Solution design including hardware/software procurement, licensing22. Move, Add, Change (MAC) – changes to the location or configuration of existing equipment,

introduction of new equipment.23. Warranty, break fixes and installation – Planned and on-call services, including emergency

response to network issues.24. Reporting and communication – ensuring reporting on all purchases, assets, current activities

and issues, project status reports as required by WellFort.25. IT Policy review, development, and enforcement.26. Implementation planning and guidance27. Configuration – Full assembly of hardware and software, including testing and burn-in28. PC deployment – delivery and setup of machines on site29. Asset inventory management of hardware units – process for end-of-life notification,

replacement, and asset decommissioning/disposal.30. Software licensing control – Oversight of renewal of software applications and maintenance of

appropriate documentation.31. Warehousing – Maintain an inventory of standard stock units on behalf of WellFort32. Periodical onsite and/or remote training for employees regarding IT & safety33. NOT INCLUDED – The contract to be awarded does not obligate WellFort to purchase

computer equipment, hardware devices, cabling, licenses, and software eta al from the successful MSP proponent. All projects outside of the above should be discussed with WellFort prior to providing a separate quote.

RCHC

The services outlined below will be delivered to all RCHC staff at all clinics across all physical sites.

Configuration – Full assembly of hardware and software, including testing and burn-in as need it59. PC deployment – delivery and setup of machines on site standards as need it60. Assis in the inventory management of hardware units – process for end-of-life notification,

replacement, and asset decommissioning/disposal.61. Assist in the Software licensing control – Oversight of renewal of software applications and

1.5. Desired Skills and ExperienceMSP Proponents are requested to outline their relevant experience and skills. At the minimum, it is preferred that vendors have experience with similar-sized not-for-profit organizations. The MSP proponent should also at a minimum maintain the following certifications:

1.6. Reporting and CommunicationThe winning MSP proponent will work closely with the WellFort and RCHC executive teams and are requested to outline their service delivery, communication, and reporting processes including:

Service issue entry – how will WellFort and RCHC submit issues to be resolved, type of priorities, request types and expected timelines for resolution

Service issue escalation – outline the process and timelines by which the MSP will monitor issues for resolution and, if necessary, escalate issues.

Service team – outline what resources will be assigned to the WellFort and RCHC accounts. Sales team – outline the process by which WellFort and RCHC will request pricing on

hardware, software, licensing, renewals, projects, and any other sales-related items. Service reporting – outline the process by which WellFort and RCHC will receive updates on

existing service issues, projects and how often Service approvals – outline the process by which WellFort and RCHC will approve any Service

from MSP, in particular when the service require any type of investment or purchase Service credit – outline the process by which WellFort and RCHC will be able to claim credit

from the MPS provider based on service not provided (fully or not in the identified timelines) Account management – outline the resources available for managing the ongoing

relationship between WellFort and RCHC and the winning MSP proponent.

1.7. Timeline The contract is expected to begin approximately two weeks after close of the RFP

The contract will be for a one (1) year term with a renewal clause built-in and flexibility for WellFort and RCHC to terminate the contract at any time during the initial and subsequent terms, provided the vendor is given notice of 30 days

Vendors are prohibited from contacting any staff to obtain information pertaining to this RFP, RFP Process, or to demonstrate or justify the Vendor’s services or relay other benefits of doing business with WellFort and RCHC. It is inappropriate for the Vendor to initiate contact with any member of the RFP Evaluation Committee or any other staff unless specifically requested to do so by the Client Representative. Please note that it is inappropriate for the Vendor to engage in any entertaining of any staff member connected with this RFP. Any Vendor who fails to comply with this requirement will be disqualified from the quoting process.

2.2. RFP ScheduleThe following is a summary of the key dates in the RFP process.

The RFP schedule is tentative and may be changed by WellFort and RCHC at their sole discretion.

2.3. When and Where to Submit a ProposalProposals may be submitted by email to the Client Representative. All submissions submitted by the proponent via email to the Client Representative are deemed received once the email has entered the email inbox of the Client Representative. Submissions are to be directed only to the Client Representative. The Client Representative shall not be responsible for any email delivery issues or technical problems with regard to the submissions.

Late proposals will not be accepted and will be returned unopened. It is the proponent’s responsibility to ensure that proposals are submitted on or before the RFP closing date.

2.4. Mandatory Submission RequirementsThe MSP proponent must deliver the following:

a) One (1) proposal sent by electronic format using any MS Word version or Adobe Acrobat. The following items are to be included in the quote:

i. A detailed approach to be used to deliver the services listed in section 2.1. Including a description of the vendor’s help desk support, steps for resolving problem escalation

ii. The IT vendor’s service level agreementiii. Proposed pricing. Please provide pricing in the template provided in section 5.2.1.iv. Proposed method to review WellFort & RCHC’s IT requirements (section 2.1) on an

annual basis to ensure that WellFort & RCHC’s needs are still being met.v. Proposed feedback process after completion of each year to determine WellFort &

RCHC’s satisfaction regarding services provided. To propose flexibility in early contract termination should service support levels fall below expected standards.

vi. A sample copy of the Vendor’s Service Agreement template.vii. A list of the vendor’s certifications and partnerships (section 2.2)

viii. Proposed Communication, Escalation and reporting guidelines (section 2.3)ix. Statement/evidence that vendor staff is PHI/TPA certified. x. Conflict of Interest Form: Complete and attach the Conflict of Interest Form

included in Schedule A.xi. List of client’s that can serve as references, minimum (3)

Optional: WellFort and RCHC welcome additional documentation that speaks to the experience and skills of vendors, including references.

2.5. Withdrawal or Amendment of QuoteA Vendor may withdraw or amend its Proposal any time prior to the RFP Closing Date by written notice to the Client Representative at the address noted in section 3.1. WellFort and RCHC will return a Proposal that has been withdrawn.

2.6. Quote IrrevocableSubject to the Proponent’s right to withdraw a Proposal prior to the RFP Closing Date, Proposals will be irrevocable by the Proponent and will remain in effect and open for acceptance by WellFort and RCHC until two (2) months from the RFP Closing Date.

2.7. AddendaThe issuance of addenda will be the only method recognized for revisions to the RFP document. Both organizations will make their best effort to issue addenda within a reasonable period of time.

2.8. Clarification and Verification of ProposalWellFort and RCHC reserve the right to seek clarification and supplementary information from Proponent after the bid submission deadline. The response received by WellFort and RCHC from a Proponent shall, if accepted by WellFort and RCHC and will form an integral part of that Proponent’s submission.

WellFort and RCHC reserves the right to verify any Proponent statement or claim by whatever means both organizations deem appropriate and may reject any Proponent statement or claim, if in the judgment of WellFort and/or RCHC, the statement or claim appears unwarranted or not credible.

2.9. Proponent InquiriesAll inquiries regarding this RFP should be directed in writing to the Client Representative. The deadline for inquiries is provided in Section 3.2. WellFort and RCHC will issue a summary of questions and answers to all prospective Proponents. Proponents that submit inquiries will not be identified in communication with other prospective Proponents.

2.10. Conflict of InterestEach Proposal must include confirmation that the Proponent does not and will not have any conflict of interest (actual or potential) in submitting its Proposal, or if selected, with its contractual obligations under the Contract. Where applicable, the Proponent must disclose in its Proposal, information pertaining to any situation, which may be a conflict of interest in submitting a Proposal or, if selected, with the contractual obligations of the Proponent under the Contract. Each Proponent will sign and return an original copy of the Conflict of Interest Form attached in Schedule A.

The Proposal of any Proponent may be disqualified where that Proponent fails to provide confirmation of the foregoing or makes misrepresentations regarding any of the above. Further, WellFort and/or RCHC , in addition to any other remedies they may have in law or in equity, shall have the right to rescind any contract awarded to a Proponent if both organization, in their sole discretion, determine that the Proponent made a misrepresentation regarding any of the above.

2.11. Type and Term of Contract for ServicesThe selected Proponent will be required to enter into a separate Services Agreement with WellFort and RCHC for the period mentioned in Section 2.4. WellFort and/or RCHC may extend the term of the Agreement. Subject to Section 4.1 of the RFP and the Proponent’s Proposal will become part of the Services Agreement for the selected Proponent.

2.12. No Guarantee of Volume of Work or of Exclusivity of ServicesWellFort and RCHC make no guarantee of the value or volume of work that will be available to the selected Proponent.

3. RFP Terms & Conditions3.1. Reservation of Rights of WellFort and RCHC

In addition to any other express rights or any other rights, which may be implied in the circumstances, without liability, cost or penalty to WellFort and RCHC, WellFort and RCHC may at any time prior to or after the RFP Closing Date:

a) Waive formalities and accept Proposals that substantially comply with the requirements of this RFP;

b) Waive irregularities in any Proponent’s Proposal;c) Check references other than those provided for a Proponent;d) Disqualify a Proponent whose Proposal contains misrepresentations or any other inaccurate

or misleading information;e) Disqualify a Proponent or the Proposal of a Proponent who has engaged in conduct

prohibited by this RFP;f) Accept or reject a Proposal if only one Proposal is submitted;g) Select any Proposal other than the Proponent whose Proposal reflects the lowest pricing;h) Cancel this RFP process at any stage;i) Cancel this RFP and issue a new RFP for the same or similar services;j) Discuss with any Proponent different or additional terms to those contemplated in this RFP

or in any Proponent’s Proposal;k) Accept a Proponent’s Proposal as is, or negotiate with any Proponent any new requirements

or terms, or changes that may be deemed necessary by WellFort and RCHC; andl) Reject any or all Proposals in the absolute discretion of WellFort and RCHC

Any amendment or supplement to this RFP will be communicated to interested parties in the same manner in which this RFP was issued.

Any reference to RFP in this document will mean this RFP and all addenda, amendments or supplements, if any.

3.2. CostsThe Proponent will bear all costs associated with or incurred in the preparation and presentation of its Proposal. Neither the failure of the Proponent to understand the RFP, nor WellFort and RCHC’s rejection of any or all Proposals will render WellFort and/or RCHC and their respective affiliates liable for any costs, penalties or damages. The Proponent will not hold WellFort and/or RCHC and their respective affiliates liable for any error or omission in any part of this RFP. WellFort and/or RCHC do not guarantee or warrant that such information is accurate, comprehensive or exhaustive.

3.3. ConfidentialityAll information distributed in connection with this RFP is confidential, and is to be used for the sole purpose of completing submissions and are to be used for no other purpose unless prior written consent has been provided by WellFort and RCHC. All material and information distributed will remain the property of WellFort and RCHC to be used at their discretion.

All candidates electing to submit a Proposal will dispose of any and all confidential information in a responsible manner.

3.4. Governing LawThe RFP, the Proponent’s Proposal and every document that will be required to be executed by the parties pursuant to the RFP will be governed by the laws of Ontario and the laws of Canada applicable therein, without reference to their respective conflict of laws principles.

4. Evaluation of Proposals4.1. RFP Evaluation Process

The evaluation of the Proposals will be conducted in three (3) stages. A Proposal must meet the mandatory requirements to proceed to the next stage.

a. Stage 1 consists of validating that all Proposal requirements are included and complete according to section 3.4 – Mandatory Requirements

b. Stage 2 consists of evaluating the components of the Proposal in relation to the scope/requirements.

c. Stage 3 consists of interview (if necessary) for those Proponents who have successfully completed stages 1 to 2 above AND have been invited for an interview.

4.2. Selection of a ProponentSelected Proponent(s) may be invited to present their solution. Up to a maximum of three (3) eligible Proponent’s may be invited to present.

4.2.1. Pricing InformationIMPORTANT: All pricing information will be in Canadian funds. Please note: the submission with the lowest price does not automatically translate into nor does it guarantee that the submission will result in a winning Proposal. Please also note pricing will be submitted separately for WellFort and RCHC.

It is expected that WellFort and RCHC will require the Proponent’s IT support services on an on-going basis. For support of this kind, we envision WellFort and RCHC to pay a set monthly fee for the provision of all services related to the ongoing management of the Network, Servers and end user equipment. Projects that do not fall within the scope noted above will be quoted to WellFort -RCHC separately and may be accepted or rejected by WellFort and RCHC. WellFort and RCHC

reserve the right to request quotes from other IT vendors for projects and services outside of the scope of this agreement.

4.3. Contract AwardWellFort and RCHC will make the award to the successful Proponent that can provide the relevant solution for WellFort and RCHC. The selected Proponent’s entire Proposal will be evaluated on the basis of the response to all information requested in this RFP. The successful Proponent will be invited to enter into a Services Agreement with WellFort and RCHC for a period of one (1) year. Notice of selection to the Proponent will be in writing.

4.4. Failure to Enter into AgreementIf the Services Agreement fails to be executed within a period of thirty (30) days of notice of selection, WellFort and /or RCHC may, in its sole and absolute discretion and without incurring any liability, rescind the selection of that Proponent.

4.5. Notification to Other VendorsOnce an Agreement is executed by the successful Proponent and WellFort and RCHC, the other Proponents will be notified by WellFort and RCHC of the RFP close.
