TerritoryRestrictions

For deployments of Software on maritime vessels, the country where the vessel’s home port is located isrecognizedastheterritoryforwhichtheSoftwaremustbelicencedinaLicenseAgreement.Globaldeploymentrights are therefore not required for maritime vessels deploying Software and operating under normalconditions.

ForallSoftwaredescribedinsection6(DesktopandEndUserComputing)andsection7(HorizonBundles),theterritorialrestrictionsintheapplicableLicenseAgreementdonotapplytoanycomponentoftheSoftwarethatisinstalledona“MobileDevice”.Inthissectiona“MobileDevice”meansPClaptops,Maclaptopsandmobiledevices, including but not limited to mobile phones, smartphones, tablet computer and similar mobilecomputingdevices,personaldigitalassistants,enterprisedigitalassistants,ruggedizeddevices,andanysimilarorsimilarlyfunctioningmobileelectronicdevices,whetherownedbyYouorbyYourauthorizedindividualusers.

Definitions

“Powered-On VirtualMachine”means a VirtualMachine in an active power state and executing computinginstructions.

“Processor” means a single, physical chip that houses a central processing unit that can execute computerprograms.

In the event You purchase additional Subscription Licenses during aSubscription Period, the additional Subscription Licenses shall be coterminous with the then currentSubscriptionPeriodandthefeesfortheadditionalSubscriptionLicensesshallbeproratedaccordingly.

EvaluationLicensePeriod.NotwithstandingtheperiodidentifiedintheLicenseAgreement,ifYouarelicensingtheSoftwareforevaluationpurposes,YouruseoftheSoftwareisonlypermittedforaperiodof30days.

APNCertificate. You shall not use the Softwarewithout obtaining Your ownApple PushNotification services(APNs) Certificate from Apple Inc., if You use the Software to manage Devices running on Apple operatingsystems.

Hosted Services. If specified in Your Order, VMwarewill provide Hosted Services to You for the number ofDevicesandfortheHostedServicesperiodspecified intheOrder, inaccordancewiththeHostingPolicy. YouagreetothetermsoftheHostingPolicy.WithrespecttoanyHostedServicespurchasedinYourOrder,theterm“Software”willapplytotheHostedServices inthefollowingsectionsoftheLicenseAgreement:2.1(ScopeofLicense), 2.2 (Third Party Use), 2.6 (Open Source Software), 3 (Restrictions; Ownership), 7.2 (Disclaimer ofWarranties), 8 (Intellectual Property Indemnification), 9 (Limitation of Liability), 10 (Termination), 11(ConfidentialInformation),and12(General).

Compliance. You are responsible for ensuring that Your Users comply with Your obligations under thisAgreement.YouwilldulyobserveallofYourobligationsunderany relevantdataprotection lawor regulationthatmayapplytotherelationshipcontemplatedunderthisAgreement,including,specifically,anyobligationforYourtoprovidenotice,obtainconsentsorfileregistrationswithapplicabledataprotectionauthorities.YouwillconfiguretheSoftwareand/orHostedServiceinaccordancewithallapplicablelawsandregulations.Further,asrequiredbyapplicablelaworregulation,YouwillnotifyYourUsersthatanyCustomerContentprovidedaspartoftheSoftwareand/orHostedServiceswillbemadeavailabletoathirdparty(i.e.VMware)aspartofVMwareprovidingtheSoftwareand/orHostedServices.

Relationship&UsageData. Youagree thatVMwaremaycollectandprocessRelationshipandUsageData tomanage Your account, send You service-related notifications, bill You for purchased services, enforcecompliancewiththisAgreement,facilitatetheprovisioningofupdates,improveoftheSoftwareand/orHostedService,betterunderstandYourbusinessneedsandcomplywithourcontractualobligationsandapplicablelaw.

Relationship and Usage Data may be transferred to other companies in the VMware worldwide group ofcompanies from time to time. To the extent that this information constitutes personal information, VMwareshall be the controller of such personal information. To the extent at it acts as a controller, each party shallcomplyatalltimeswithitsobligationsunderthelocallegislationapplicableintheTerritoryfortheprotectionofindividualswithregardtotheprocessingofpersonaldata. In thissection,“controller”shallhavethemeaninggiventoitintheEUDirective95/46/EC.

Data Transfer. You agree that Customer Content, RelationshipData andUsageData collected or received byVMware in connection with the download, installation, configuration, maintenance, support and use of theSoftwareorHostedServicemaybetransferred,storedandprocessedintheUnitedStatesoranyothercountryinwhichVMwareoritsaffiliates,subsidiariesorserviceprovidersmaintainfacilities.Bydownloading,installing,using the Software and/or Hosted Service or receiving customer support assistance, You consent to theworldwideprocessingofYourtechnicalandPersonalData.

Subprocessing.YouauthorizeVMwaretosubcontractprocessingofCustomerContentunderthisAgreementtoa third party provided that: (i) VMware will ensure any subcontractor VMware appoints will protect theCustomer Content to a standard which is substantially equivalent to the standard that is set forth in thisAgreement;and(ii)VMwarewillberesponsiblefortheacts,errorsandomissionsofanysubcontractorVMwareappointstoprocesstheCustomerContent.

IndemnityforCustomerData.Youwilldefend,indemnifyandholdharmlessVMwareagainstanyclaims,losses,finesordamagesarisingfromorrelatingto:(a)CustomerContent;(b)anyinfringementormisappropriationofanyintellectualpropertyrightsbyYou,Yourcustomers,Usersandsuppliers;(c)violationoflawbyYouorUsers,including but not limited to any law or regulation relating to the privacy and/or security of Your Users andDevices;or(d)YouruseoftheHostedServices(includinganyactivitiesunderYouraccountandanyusebyYouremployees,personnelorUsers)inviolationoftheAgreement.VMwarewill(a)provideYouwithnoticeoftheclaimwithinareasonableperiodoftimeafterlearningoftheclaim;and(b)reasonablycooperateinresponsetoYourrequestsforassistance.YoumaynotsettleorcompromiseanyindemnifiedclaimwithoutVMware’spriorwrittenconsent.

Territory.YoumayuseandaccesstheSoftwarefromDeviceslocatedthroughouttheworld,butYoumayonlydeploy the console component of the Software within the territory for which You have paid the applicablelicensefees.

VMwareSoftware.Totheextent thatanAirWatchManagementSuite includesVMwaresoftwareorservices,those components are governed by the terms identified for the software or service and available athttp://www.vmware.com/download/eula/,includingtheapplicablelicensenotesfortheon-premisesoftwareassetforthinthisProductGuide.

VMware IdentityManagerAdvanced. Notwithstanding anything to the contrary in the license notes above,whetheryoulicensedtheAirWatchSoftwareonaperDevicebasisoraperNamedUserbasis,eachlicensefortheVMwareIdentityManagerAdvancedSoftwaremaybeusedbyonlyonesingleNamedUser.AnyuseoftheVMwareIdentityManagerAdvancedSoftwarebyaNamedUseronaDevicewillconstituteuseofaDeviceforthe purposes of the AirWatch Software licensemetric.
