gasdistributionbusinesses,electricgenerationcompanies,powermarketersandover120industryservice

providers.WEIoffersamemberdriven,openlearningenvironmenttodevelopeffectiveleadersandensure

welltrainedemployees.EachyearWEIsponsorseducationalandnetworkingprogramswhichbenefitover

AntitrustGuidelinesThepurposeofantitruststatutesistopreserveafreeandcompetitiveeconomy. Asaresult,lawsgenerallyprohibitanyagreementorcombination

amongcompetitorswhichunreasonablyrestraintrade.

MembershipintheWesternEnergyInstitutedoesnotconstituteanantitrustviolation.Competitorsmaylegitimatelymeetanddiscussmatters

concerningtheirindustry,providedtheydosowithoutaspecificandcontinuingpurpose,understandingoragreementtopursueactionstendingto

unreasonablyrestrictcommerce. Activitiesordinarilyconsideredappropriatefordiscussioninclude:

Reportsongeneralandindustryeconomictrends; Researchanddemonstrationsoftechnologyrelatingtothesolutionofindustryproblems; Demonstrationsofcostcontrolmethodsbywhichmembercompaniescanbecomemoreefficientandprofitable;

Reportsoneffectivemarketingormanufacturingtechniques; Reportsonnewandimprovedproducts; Discussionsofenergysupplyandutilization;and Reportsongovernmentaldevelopmentsandtheirimpactontheindustry.

Meetings,however,affordobviousopportunitiesforantitrusttransgressions.Bydefinition,membersofanytradeassociationengageinconcerted

activitiesrelatedtomutualcommercialconcerns. Lawfulassociationactivitiesmayconstituteforbiddenconductiftheseinanywayresultinexplicit

tacit

agreements

which

fix,

raise,

lower,

or

stabilize

prices,

limit

production,

allocate

markets,

establish

discriminatory

standards,

or

otherwise

unreasonablyrestrainfreetrade.

TheWesternEnergyInstitute'spolicyistoconductactivitiesinstrictcompliancewithallapplicableantitrustlawsandtoavoidanyappearanceof

impropriety. Thisrequirestheeffortsandcooperationofexecutives,membershipandcounsel. Thefollowingguidelinesareintendedtopreventthe

initiationofinappropriatediscussionsoractions:

1. Donotengageindiscussionsoractivitieswhichmaytendto:a. Fixorotherwiserestrictthepriceschargedorpaidforgoodsorservices;

b. Allocatemarkets,salesterritoriesorcustomersbetweenmembers;

c. Initiateorencourageboycottsofspecificproductsorservices,orrefusalstodealwithdesignatedcustomersorsuppliers;

d. Limitproductionlevelsofmembersandotherwiserestricttheavailabilityofproductsorservices;

e. Purposelyhinderordisparagethecompetitiveeffortsofnonmembers;

f. Coerceorencouragememberstorefrainfromcompeting;

g.

Limit,

impede

or

exclude

anyone

of

the

manufacture,

production

or

sale

of

goods

or

services;

h. Promulgateorencourageunfairormisleadingpracticesinvolvingadvertising,merchandisingofproductsorservices;or

i. Conditionortiethepurchaseofoneproductorservicetothepurchaseofanotherproductorservice.

2. Donotdiscriminateagainstcompetitorswhen:a. Developingstandardsorspecificationsforproductsorservices;

b. Settingethicalstandards;or

c. Dealingwithcustomercreditinformation.

3. Donotexchangedataconcerningprices,productionlevelsandcosts,orcustomercredit,however,theexchangeofpastdata(asdistinguishedffuturedata)doesnotinitselfconstituteaviolationofantitrustlawsifthepastdatareflectscompositeoraveragefigureswithoutidentifyingacomp

orifthepastdataisfrompublicsources.

4. Donotparticipateinthedisseminationofsuggestedpricelistsofmembers.5. Donotparticipateininformal"rumpsessions"outsidetheformalsessionswhichdisregardtheseguidelines.Theaboveguidelinesarenotintendedandshouldnotbeunderstoodasacomprehensivesummaryofallantitrustproblemareas. Theseguidelines

intendedtofamiliarizememberswiththebroadcontoursofantitrustprohibitionssothattheantitrustcompliancepoliciesareachieved.
