    Dear Sir,

    Sub: Renewal of Work Order for supply of Casual Labour for Arasmeta Captive Power Company Ltd, Chattisgarh.

    With reference to the above we have pleasure in intimating you that we are renewing your work order for the year2011-2012 with the revised price for the supply of casual labours for our site MIs. Arasmeta Captice PowerCompany Pvt. Ltd., District - Janjgir Champa State:Chattisgarh (Near Lafarge Cement Plant) as per the followingterms and conditions:

    Terms and conditions:

    1. You have to supply manpower according to our requirement from time to time as per the instructions ofour Plant Manager.

    2. We will be paying the following charges for the manpower supplied by you and deployed in our unit:

    Designation of casuals Quoted price (in Rupees) ,Supervisor + Welder 289.00 Per dayUnskilled Labour 268.00 Per day

    The above rates are fixed for a period of 1 year and no escalation will be provided during the period. The monthlyrates are calculated considering weekly offlany National Holiday/Sunday.

    The above rates are pro-month basis, which is inclusive of all statutory requirements like PF, ESI, Group PersonalAccident Policy, Workmen Compensation Policy, etc.

    3. The contractor payment will be paid on monthly basis, which includes 12% of margin, and this will remain

    statutory requirements at the time of every month billing

    5. Over time shall not be paid. Shift people can avail their weekly offs on any working day subject to theapproval of Plant Manager.

    6. During holidays/festivals the contractor should ensure the deployment of manpower according to thePlant requirements as per the Plant Manager instructions then and now. This will not be construed asover time.

    7. The contractor should ensure the deployment of manpower throughout the shift, throughout the yearinclusive of all holidays. In case any of the workers not reporting for duty, the contractor is liable toarrange alternate manpower.

    8. We shall only pay service tax @ 10.3 % extra (prevailing) as applicable.

    9. All personnel deployed in our unit should be subject to our approval. In case of anyone of them is foundunsuitable, we shall be at the liberty to replace them with immediate notice.

    10. In case of need OEG will hire extra manpower from the contractor to meet the plant requirements as perthe above rates with a reasonable notice period.

    11. The casual labours / manpower appointed by you will be under direct control and supervision. Theyshould ensure compliance of instructions and rules that may be given by our authorized officer time totime.

    12. All personnel should wear Personnel Protective Equipment (PPE) like helmet, shoes and masks suppliedby you and report clean and neatly, adhering strictly to the safety rules. Any of the contract labourfound violating the safety norms shall be removed from the site and wages for that day shall not be paid.

    13. The validity of this work order is from 1st July 2011 to so " June 2012 and shall be renewed for a furtherperiod of one year based on satisfactory performance.

    14. In the case the performance of your personnel is found unsatisfactory, we reserve the right to cancel thiswork order with immediate effect.

    15. 100% payment will be made to you in 15 day's time against your bills duly attested by our Plant Manager.In case any manpower not deputed/absenteeism from duty during any billing period, the related amountwill be deducted accordingly .

    16. TDS will be deducted as applicable.

    17. You will be wholly responsible for the manpower supplied by you and also on their duty / behaviouralaspects. We should not be held responsible for any liability arising due to your workers lapses orwhatsoever.

    18. You will be wholly responsible for the safety of your manpower supplied by you.

    19. Helper comes under Unskilled, Drivers (pay loaders) comes under skilled, CHP and AHP operator comesunder semiskilled category.

    Please sign and return the copy of this work order duly attested by you as a token of acceptance.
