Notice is hereby given that the Twenty Fifth Annual General Meeting of the Members of Alchemist Corporation Limited (Formerlyknown as Haryana Fibres Limited) will be held on Saturday, the 29th day of September, 2018 at 10.30 am. at Block — E/2, CommunityHall, Moolar Band Extension, By Pass Road, Badarpur, New Delhi—110044 to transact the following business:
ORDINARY BUSINESS:
1. To receive, consider and adopt the Audited Financial Statements including Consolidated Financial Statements of the company
for the financial year ended on 31st March, 2018 together with the Reports of Board of Directors’, Statutory Auditors’ and
Secretarial Auditors’ thereon.
To appoint Director in place of Mrs. Meena Rastogi (DIN: 01572002) who retires by rotation and being eligible offers herself
for reappointment.
To ratify the appointment of Statutory Auditor of the Company, and, if thought fit, to pass, with or without modification(s), the
following resolution as an “ORDINARY RESOLUTION”:
“RESOLVED THAT pursuant to the provisions of section 139 and all other applicable provisions, if any, of the CompaniesAct, 2013 and the Rules made there under, as amended from time to time, the members of the company be and herebyratifies the appointment of M/s Pawan K. Agrawal & Co., Chartered Accountants, Noida, (Firm Registration No. 003112C), as
Statutory Auditor of the company to hold office of the auditors for the Financial Year 2018-2019 on such remuneration as may
be mutually determined between the said Auditors and the Board of Directors of the company.”

4. AMENDMENT(S) IN OBJECT CLAUSE OF MEMORANDUM OF ASSOCIATION OF THE COMPANY
To consider and, if thought fit, to pass, the following resolution as a Special Resolution:
“RESOLVED THAT pursuant to the provisions of Section 13 and all other applicable provisions, if any, of the CompaniesAct, 2013 (including any statutory modifications or re—enactment thereof, for the time being in force), and rules framed there
under subject to necessary approval(s) if any, from the competent authorities, Objects of the Memorandum of Association of
the Company be added with the following new clauses 3 (A) (9) ,3 (A) (10) and the Memorandum of Association is amended
as per Companies Act, 2013.
To carry on the activities of Consultancy Services such as business consultancy and research and development services
in relation to acquisition of new business or new business possibilities for existing companies/organizations and road map
of their growth path, consultancy in regards to new avenue of investments and other options, venture capital , carry on
survey , project report and business models for companies/ organizations based in India or outside India, providing detailed
management reports and develop human capital by better manpower planning other related ancillary services in connection
therewith.”
To Provide and outsourcing IT Services like system analysis and design, programming, software testing, website maintenance
and development, software quality assurance, outsourcing of IT and telecommunication services, IT consultancy and IT
process development services to the international or domestic markets and also fulfill recruitment needs in these areas.”
FURTHER RESOLVED THAT any director of the company be and is/are hereby authorized to file requisite E—Forms with
the appropriate authority with in such time period as may be prescribed and to do all other acts, deeds and things as may be
necessary to give effect to this resolution.”

Explanatory Statement pursuant to Section 102 (1) of the Companies Act, 2013 with respect to Special Business set out in
the Notice is annexed herewith.
A member entitled to attend and vote at the Annual General Meeting is entitled to appoint proxy to attend and vote
on a poll instead of himself/herself and the proxy need not be a member of the company.
Proxies in order to be effective, must be lodged at the registered office of the company, not less than 48 hours before the
commencement of the meeting.
Pursuant to Section 105 of the Companies Act, 2013 read with Rule 19 of the Companies (Management and Administration)Rules, 2014 a person can act as proxy on behalf of members not exceeding fifty and holding in the aggregate not more than
ten percent of the total share capital of the company carrying voting rights. A member holding more than ten percent of the
total share capital of the company carrying voting rights may appoint a single person as proxy and such person shall not act
as a proxy for any other member.
Corporate members intending to send their authorized representatives to attend the meeting are requested to send a certified
copy of the Board Resolution to the Company, authorizing their representative to attend and vote on their behalf at the
meeting.

EXPLANATORY STATEMENT PURSUANT TO SECTION 102 OF THE COMPANIES ACT, 2013

As per the provisions of Section 13 of the Companies Act, 2013 and its rules thereunder, require the Company to seek the approvalof the Members by way of Special Resolution to alter the objects clause of the Memorandum of Association of the Company. To
increase the area of activities of the company, the main objects clauses have been added by including the new activities related to the
Business Consultancy, Research and Development and IT Services outsourcing in International and Domestic Market. The proposedmemorandum of association of the Company is available on the Company’s website. The shareholders can also obtain a copy of
the same from the Secretarial Department at the Registered Office of the Company. Alteration in object clause required approval of
shareholders by passing Special resolution. It may be noted that alteration in nature of additions in the current clauses and the scope
of existing clauses remain as before. None of the Directors, Key Managerial Personnel and their relatives are in any way concerned
or interested in the said resolution, except to the extent of their equity holdings of the Company. The Board of Directors accordinglyrecommend the Special Resolution set out at item No. 4 of the accompanying Notice for the approval of the Members.

The income of the company for the period under review was Rs. 38.43 Lakhs as against Rs. 3.07 Lakhs in the last year, resulting into
a profit of Rs. 0.09 Lakhs as against a loss of Rs. (62.01) Lakhs in the previous year mainly on account of Administrative Expenses,
Salary Costs and Depreciation.
CAPITAL STRUCTURE
During the current year, the Company has not received any additional Capital. Total paid up Paid up Share Capital of the Company as
on 31$t March, 2018 is Rs. 49,143,330.

Company to hold office from the conclusion of this AGM till the conclusion of the Annual General Meeting for the Financial Year 2019—
2020, subject to the ratification at every AGM at such remuneration as may be mutually determined between the said Auditors and the
Board of Directors of the company.”The Company has obtained necessary certificate under Section 141 of the Companies Act, 2013

The Company has a Risk Management process which provides an integrated approach for managing the risk in various aspects of

There were no loans, Guarantee or Investments made by the Company under Section 186 of the Companies Act, 2013 during the year
under review and hence the said provisions is not applicable.
