s BY-LAWS OF THE AFFORDABLE HOUSING ASSOCIATION OF INDIANA, INC.
ARTICLE I - MEMBERSHIP
Section 1.1 – Membership CertificatesAs provided by law, each member of the Affordable Housing Association of Indiana, Inc. (“Corporation”) shall be entitled to a certificate signed by the President and attested by the Secretary certifying the membership held by the member and such other information as may be required by law. The form of such certificate shall be prescribed by the Board of Directors. Such certificates shall not be transferable.
Section 1.2 – Classes of MembersThis Corporation has two classes of members “voting members” and “non-voting” members. Classes of members are designated as follows:a. Active Members – An active member is a person, corporation, partnership or other organization which owns and manages affordable housing projects, or which is a public housing authority or a full-time employee of either of the above, who is accepted for membership by the Corporation.b. Associate Members – An associate member is a person, corporation, partnership or other organization who is a consultant, engineer, architect, attorney, contractor, supplier or any other person interested in the affordable housing program, who is accepted for membership by the Corporation. Associate members are not eligible for service in the offices designated in Article IV of these By-Laws.
A Member in Good Standing, whether an Active Member or an Associate Member, is an individual or corporation which has paid all required dues specified in Section 1.5 under this Article I.
Section 1.3 – Duration of Membership; ResignationMembership in the Corporation may be terminated by voluntary withdrawal as herein provided, or as otherwise provided in these By-Laws. All rights and privileges of a member in the Corporation shall cease on the termination of membership. Any member may voluntarily withdraw from membership by giving written notice of such intention to the President of the Corporation. Such notices shall then be presented to the Board of Directors at the next succeeding meeting of the Board of Directors. Withdrawal of a member shall be effective upon fulfillment of all obligations of such member to the date of such meeting. Furthermore, if a member fails to fulfill obligations monetarily or otherwise within 90 days of membership billing, said member will be given written notification of suspended membership status. Member will be suspended for 30 days thereafter written notification. If member fails to bring current all obligations within the 30 day suspension period, said member’s benefit status will be terminated. Written notice will be given to member of terminated status. A terminated member may request re-admission in writing. The executive board will vote on said member’s re-admission by a unanimous vote.
Section 1.4 – Suspension and Termination of MembershipAny membership may be suspended or terminated for cause. Sufficient cause for suspension or termination of membership shall include violations of these By-Laws, nonpayment of membership assessments, noncompliance with the duly accepted “Code of Professional Ethics”, violation of any lawful rule or practice adopted by the Corporation, or any other conduct prejudicial to the interests of the Corporation. Proceedings for suspension or expulsion of a member may be instituted by a petition to the Board of Directors in writing signed by any ten (10) members, or by the Board of Directors on its own motion. The affirmative vote of three-fourths (3/4ths) of the Board of Directors shall be required in order for a member to be suspended or expelled. A statement of the charges on which such action is based shall be mailed by registered mail to the last recorded address of the member at least fifteen (15) days before final action is taken thereon. This statement shall be accompanied by a notice of the time and place of the meeting of the Board of Directors at which the charges shall be considered and
the member shall have the opportunity to appear in person or by its representative and present any defense to such charges before action is taken thereon.
Section 1.5 – Membership AssessmentsThe amount of any membership assessments applicable to membership in the Corporation or to any class of such membership, and the time and manner of payment thereof, shall be determined by the Board of Directors. Such membership assessments shall be in amounts, and at intervals, deemed necessary for the efficient operation of the Corporation and for the financial soundness and ability to meet the known and reasonably foreseeable financial obligations of the Corporation. Membership assessments will not be used toward lobbying purposes. Membership assessments will be allocated toward education and training purposes.
ARTICLE II - MEETINGS OF MEMBERS
Section 2.1 – Annual MeetingsAn annual meeting of the members of the Corporation shall be held in the Fall each year, or at such other time as may be designated by the Board of Directors.
Section 2.2 – Special MeetingsSpecial meetings of the members may be called by the President, by a majority of the Board of Directors, or by a written petition signed by at least one-tenth (1/10) of the voting members, and presented to this Board of Directors.
Section 2.3 – Notice of MeetingsWritten notice stating the place, day and hour of any meeting of members and, in the purpose for which any such meeting is called, shall be delivered, mailed or emailed by the Secretary of the Corporation to each voting member of record, at such addresses as appears upon the records of the Corporation, at least ten (10) days before the date of such meeting.
Section 2.4 – Waiver of NoticeNotice of any meeting may be waived by any voting member in writing filed with the Secretary of the Corporation. Attendance at any meeting in person or by proxy shall constitute a waiver of notice of such meeting.
Section 2.5 – Voting RightsEach Member in Good Standing of the Corporation shall be entitled to one vote, exercisable in person or by proxy, as to each matter submitted for voting by the membership at each meeting of the membership.
Section 2.6 – Voting by Proxy A member entitled to vote at any meeting of members may vote either in person or by proxy executed in writing by the member or a duly authorized attorney-in-fact of such member. (For purposes of this section, a proxy granted by FAX by a member shall be deemed “executed in writing by the member.”) No proxy shall be voted at any meeting of members unless the same shall have been filed with the Secretary at the commencement of the meeting.
Section 2.7 – QuorumAt any meeting of members, one-tenth (1/10th) of the Members in Good Standing, represented at the meeting in person or by proxy, shall constitute a quorum. A majority vote of such quorum shall be necessary for the transaction of any business by the meeting, unless a greater number is required by law, the Articles of Incorporation or these By-Laws.
Section 2.8 – Voting ListThe Secretary of the Corporation shall at all times keep at the principal office of the Corporation a complete and accurate list of all members entitled to notice of a meeting and entitled to vote. Such list may be inspected by any member for any proper purpose at any reasonable time.

ARTICLE III - BOARD OF DIRECTORSSection 3.1 – Duties and QualificationThe business and affairs of the Corporation shall be managed by the Board of Directors. Each elected voting director shall be an Active Member or Associate Member of the Corporation. Each director shall attend at least four (4) regular meetings of the Board of Directors each year.
Section 3.2 – Number and ElectionThe Board of Directors shall consist of thirteen (13) voting directors of the Corporation, and no more than one (1) of whom may be an Associate Member. The Corporation’s certified public accountant and attorney shall be non-voting directors of the Corporation, and not be among the thirteen (13) voting directors. Directors shall be elected at the annual meeting of members, and shall serve terms of three (3) years, such terms to be stag-gered so that the terms of no more than four (4) directors shall end in any one year. Each director shall hold office until his or her successor shall be elected and qualified. No person shall be elected as a director unless that person is a Member in Good Standing. The term of each director shall begin on January 1 following his or her election and end on December 31 of the third year of his or her term. Additionally, the Board of Directors may, from time-to-time, in its sole discretion, by majority vote, add one or more Members in Good Standing for specific one-year terms as non-voting directors if the Board of Directors determines that such member(s) would bring needed expertise or experience to activities or deliberations of the Board of Directors.
Section 3.3 – VacanciesAny vacancy among the directors caused by death, resignation, removal or otherwise may be filled by a majority vote of the directors. A director chosen to fill a vacancy shall hold office until the expiration of the term of the director causing the vacancy and until his or her successor shall be elected or qualified.
Section 3.4 – RemovalAny director may be removed, with or without cause, by the Board of Directors whenever a majority of such Board of Directors shall vote in favor of such removal.
Section 3.5 – Other meetingsThe Board of Directors shall hold no fewer than six (6) regular meetings each year, scheduled at the convenience of the Board of Directors. No notice shall be necessary for any regular meeting. Special meetings of the Board of Directors may be held upon the call of the President or of three-fourths (3/4) of the members of the Board of Directors and upon twenty-four (24) hours notice given to each director either personally or by mail, e-mail, FAX or telephone, specifying the time, place and general purposes of the meeting. Notice of a special meeting may be waived in writing or by FAX. Attendance at any special meeting shall constitute waiver of notice of such meeting.
Section 3.6 – Quorum At any meeting of the Board of Directors, a quorum shall mean no less than a simple majority of the current Board of Directors. Business transacted shall be valid providing it is affirmatively passed upon by a majority of those present.
Section 3.7 – Action by ConsentAny action required or permitted to be taken at any meeting of the Board of Directors may be taken without a meeting if, prior to such action, a written consent to such action is signed by all members of the Board of Directors and such consent is filed with the minutes of proceedings of the Board of Directors.
Section 3.8 – NominationsA nomination committee, comprised of three members, shall be selected by the Board of Directors to propose a slate of nominees to be pre-sented to the membership of the Corporation for election to the Board of Directors and to the offices of President, Vice-President, Secretary and Treasurer.
Section 3.9 – Voting by Mail or Electronic MailAction taken by a mail ballot or electronic mail of the members of the Board of Directors, in which at least a majority of Directors indicate themselves in agreement, shall constitute a valid action of the Board of Directors if reported at the next regular meeting of the Board of Directors.
ARTICLE IV - OFFICERS
Section 4.1 – OfficersThe Officers of the Corporation shall be the President, Vice-President, Secretary and Treasurer.
Section 4.2 – QualificationEach Officer shall be an Active Member in Good Standing of the Corporation, and shall be elected by a majority of a quorum of the members at the Annual Meeting. In the event any Officer shall resign, terminate membership, die or be suspended or terminated as a member, the Board of Directors shall, at the next meeting of the Board of Directors, appoint a replacement to serve the remainder of such Officer’s term.
Section 4.3 – Executive CommitteeThere shall be an Executive Committee of the Corporation, which shall consist of the President, Vice-President, Secretary and Treasurer or elected Officers. During intervals between meetings of the Board of Directors, the Executive Committee shall exercise all of the authority of the Board of Directors in the management of the Corporation, subject to ratification by the Board of Directors. The Secretary shall prepare and file minutes of the directors’ and members’ meetings and shall authenticate the records of the Corporation. The President shall serve as chairman of the Executive Committee. The President’s term will be a two-year term.
Section 4.4 – Other CommitteesThe President or the Board of Directors may from time to time create and appoint standing and special committees to undertake studies, make recommendations and carry on functions for the purpose of efficiently accomplishing the purposes of the Corporation.
ARTICLE V - MISCELLANEOUS
Section 5.1 – Amendments to By-LawsSubject to law and the Articles of Incorporation, the power to make, alter, amend or repeal all or any part of these By-Laws is vested in the Board of Directors. The President must provide notice of any meeting of directors at which an amendment is to be approved and said notice must: 1) provide the date, time and place of the meeting, at least two (2) days prior to the meeting; 2) state the purpose is to consider a proposed amendment to the bylaws; and 3) contain a copy or summary of the amendment or state the general nature of the amendment. The affirmative vote of a majority of the entire Board of Directors shall be necessary to effect any such changes in these By-Laws.
Section 5.2 – Directors and Office Insurance IndemnificationThe Corporation shall purchase and maintain, for the benefit, defense and indemnification of its Officers and Directors, insurance sufficient in coverage and amount to protect its Officers and Directors from loss, cost or expense arising from any claim, suit or other action arising out of or in relation to any act or omission of such Officer or Director in the course and scope of such Officer and Director duties. The Corporation shall further indemnify such Officer or Director for such loss, cost or expense in the event the Corporation shall fail to purchase and maintain such insurance.
Section 5.3 – Vendor ListsThe Corporation may, from time-to-time, publish a list of vendors who desire to do business with Corporation members. Such a list may be provided as a service, but shall not be considered inclusive or exclusive of any and all companies in this field, nor as a form of recommendation.
