ARTICLE 1. GUARANTEED MAXIMUM PRICE (GMP) 1.1 Guaranteed Maximum Price (GMP): Construction Manager guarantees that it shall not

exceed a Guaranteed Maximum Price (GMP) of Three Million, Two Hundred Thirty-Seven

Thousand, Nine Hundred Fifty-Four Dollars ($3,237,954.00) for the identified Sub-Project. 1.2 Basis of the GMP:

1.2.1 Construction Documents: The Scope of Work for the GMP shall be as defined in the Contract

Construction Documents.

1.2.2 List of Construction Documents identified in Article 7 of this Guaranteed Maximum Price

Amendment.

1.2.3 Exceptions, Clarifications and Exclusions: The Scope of Work defined in the Construction

Contract Documents and/or Design Criteria package shall be modified and/or clarified as identified

in Article 8 of this Guaranteed Maximum Price Amendment.

ARTICLE 2. PROJECT TIME 2.1 Substantial Completion Date: Substantial Completion of the Work shall be achieved in

accordance with the CPM schedule attached hereto.

2.2 Final Completion Date: Final completion of the Work shall be achieved in accordance with

the CPM schedule attached hereto.

2.3 Project Schedule: Attached to this Amendment will be a schedule identifying the above

noted completion times and intermediate milestone dates estimated for the Project. The

proposed schedule shall be integrated into the Construction Manager’s Schedule upon

approval of this Guaranteed Maximum Price Amendment.

ARTICLE 3. CONSTRUCTION MANAGER FEE 3.1 Construction Manager Fee: The Construction Manager Fee for the Project shall be a Lump

Sum of One Hundred Forty-Seven Thousand, Four Hundred Forty-Four ($147,444.00).

Note: All allowances will be on a Not-To-Exceed basis. All unused funds will be returned

to the School District at the time of construction close-out. Fee will be paid only on cost

of work for these items.

ARTICLE 4. REIMBURSABLE GENERAL CONDITIONS COSTS 4.1 General Conditions: General Conditions costs for the Project shall not exceed Three

Hundred Twenty-Nine Thousand, Seven Hundred Fifty-Seven Dollars ($329,757.00).

General Conditions costs shall be reimbursed at Construction Manager’s actual cost.

General Conditions costs shall be in compliance with the General Conditions to the

Agreement for Construction Management Services (Exhibit A) and are identified in the

attached document prepared by the Construction Manager.

Note: Labor rates are subject to project audit and will be paid at Construction Manager’s

current rate verification.

ARTICLE 5. LIQUIDATED DAMAGES 5.1 Substantial Completion: Construction Manager shall pay Owner One Thousand Dollars

($1,000.00) as liquidated damages for each day that Substantial Completion extends

beyond the Substantial Completion Date.

5.2 Final Completion: Construction Manager shall pay Owner Five Hundred Dollars ($500.00)

as liquidated damages for each day that Final Completion extends beyond the Final

Completion Date.

ARTICLE 6. PROJECT REPRESENTATIVES 6.1 Owner’s Representative: Owner designates the individual listed below as its Owner’s

Project Manager to provide direct interface with Construction Manager with respect to

Owner’s responsibilities.

Section 1b

Scope of Work

The Facility Renewal Project at Challenger 7 Elementary School primarily consists of Electrical & Mechanical

renewals throughout the campus. Guaranteed Maximum Price (GMP) encompasses electrical and mechanical

improvements and extensive BAS control improvements. A large portion of electrical work has been captured

to support the mechanical activities. The mechanical scope of work includes major modifications to the

Central Energy Plant including new chiller, cooling tower chilled water and condenser pumps. The existing

building air conditioning units are replaced with new water-cooled AHU’s and VAV boxes, tied into the existing

ductwork. Additional work includes new exhaust fans, new piping and valves, new motorized dampers and

miscellaneous HVAC equipment shall be replaced as required per plans and specifications.

The Education Technology scope consists of new charging cart receptacles in every classroom. The new circuits

will be fed from existing panels in the mechanical rooms.

Exceptions & Exclusions and Clarifications

Assumptions & Clarifications:

1. Impacted existing finish surfaces shall be repaired in a manner to match existing conditions as closely as

possible.

2. The cost of staff identified in the General Conditions shall not all be stationed on site, but working

exclusively on the project, shall be reimbursed by the SBBC as shown in the attached General

Conditions exhibit.

3. Overtime hourly rates shall only apply to hourly field staff personnel working on the project above and

beyond forty (40) hours per week or more than 10 hours per day and shall be consistent with the

audited overtime hourly rate.

4. Modifications to Existing Catwalks need additional review and may require additional engineering and

design. The values carried are to be considered an allowance.

5. The roof penetration at the Boiler in Bldg 8 is assumed to include a roof curb. When the stack is

removed, the curb will be capped with a sheet-metal plate and made weather-tight.

6. Floor Coating at Building 8 shall be similar to Tred-Plex Epoxy and shall be roller applied.

7. Makeup Water for the Cooling Towers is assumed to use the exiting piping and extend as required for

the new equipment.

8. Existing Water Treatment system shall be reconnected to the new condenser water piping and tested.

No repairs or replacement of components for this system are included.

9. Temporary Cooling and Dehumidification shall consist of portable units, moved from space to space as

required. The value carried is to be considered an allowance.

10. AHU’s on the existing Mezzanine will be set on Structural Steel Rails in lieu of concrete housekeeping

pads.

11. Electrical renovations do not include any modifications to the existing voice/data or security/access

control systems.

Exceptions & Exclusions:

1. ACM Abatement, if required.

2. Repair or replacement of any existing conditions not shown on the contract documents or identified

specifically within the scope of this contract.

3. Cleaning of existing Ductwork is excluded.

4. Painting of Mechanical Rooms is excluded.

5. New Thermo-Ply Sheathing & Insulation repairs at Mezzanine walls is excluded.
