Terms and Conditions

1. SCOPE1.1 Thefollowingtermsandconditionsapplytoourentirecontract(the“Contract”)between

yStats.comGmbH&Co.KG(hereinafteralsoreferredtoas“we”or“us”)withourcustomersregarding(i)researchservices,(ii)thepurchaseofreports,and(iii)anyothercontractsbetweenusandourcustomersexecutedbyreferencetothesetermsandconditions(anyreportsandotherservicesandproductswhichwemaymakeavailabletothecustomerunderaContracthereinafterthe“Products”).

1.2 Anytermsandconditionsofourcustomersareherebyexpresslyrejected.Agreementscon -trarytothesetermsandconditionsrequireourwrittenconrmation.Incaseofdeviations

betweenthesetermsandconditionsandthecontentsoftheOrderForms,thecontentsoftheOrderFormshallprevail.

2. OFFERS, ORDERS

2.1 Withrespecttoresearchservices,weusuallysubmitanoffertothecustomerintheformofa“ResearchOrderForm”accompaniedwithaproposalstatingthenatureoftheissuetoberesearched,theservicestoberendered,thetimerequiredforthestudyandthefeedue.

2.2 With respect to the purchase of reports, we usually submit an offer to the customer in theformofa“ReportOrderForm”accompaniedwithproductbrochurestatingthecontentsofthereportandthefeedue.Inthisrespect,ourcustomersmaychosebetweentwotypesofProducts,namely(i)ourProduct“MarketReports”and(ii)ourProduct“FullAccessGlobal

E-CommerceReports”.2.3 IfacustomerordersourProduct“MarketReports”,thecustomergetsaccesstotheordered

reportasidentiedintheReportOrderFormandthecustomermayusethatreportinaccor -dancewithSection4.3belowandtheotherprovisionsoftheContract.

2.4 IfacustomerordersourProduct“FullAccessGlobalE-CommerceReports”,thecustomergetsaccesstoanystandardreports(fortheavoidanceofdoubtexcludingreportspublishedinconnectionwithanyresearchservices)focussedonthe“Internet&E-Commerce”industryasgenerallypublishedbyusduringthetwelve(12)monthspriortotheexecutionoftheContractandduringthesubscriptiontermasidentiedinthe“ReportOrderForm”asofthedateoftheexecutionoftheContract(i.e.one,twoorthreeyears),andthecustomermayusethosereportsasa“GlobalSiteLicense”inaccordancewithSection4.3belowandthe

otherprovisionsoftheContract.2.5 Unlessexpresslyagreedotherwiseinwriting,thecontentsofouroffersmaynotbemade

availableinwholeorinparttoanythirdpartyoutsidetheorganizationofthecustomerwithout our prior written consent.

2.6 Ouroffersarenotbindingandsubjecttochangewithoutnoticeuntilacceptancebythecustomer.Ourorderswillbecomelegallybindinguponacceptancebythecustomer.Avalidacceptancerequirestheexecutionofour“ResearchOrderForm”orour“ReportOrderForm”respectively(eachsuchdocumenthereinafterthe“OrderForm”)byadulyauthorizedrepre -

sentativeofthecustomerandthesubmissionoftheOrderFormtousviafacsimileoremailwithpdf-attachment.Wewillprovidethecustomerwiththeaccessdatarequiredtoaccess

theorderedProduct(s)withtwo(2)daysasoftheexecutionoftheContract.3. TERMS OF PAYMENT

3.1 ThecontractuallynegotiatedpricesaretobederivedexclusivelyfromtheOrderFormand/orthedocumentsreferencedtherein.

3.2 Allpricesarenetandwithouttransportationcosts,ifapplicable.ValueAddedTax,ifapplica -ble,atthestatutoryrateshallbeaddedtoallfeespayablehereunder.

3.3 WemaydemandanadditionalfeeforservicesthatgobeyondthescopeasagreedundertheOrderFormincasesuchadditionalProductsarerequestedbythecustomer.

3.4 WewillsendourinvoicetothecustomeruponexecutionoftheContract,unlessagreedotherwiseintheOrderForm.IntheeventthatthecustomerordersourProduct“FullAccessGlobalE-CommerceReports”,wewillsendourinvoicefortherstcontractyearuponexe -

cutionoftheContractandtheinvoice(s)foranysubsequentcontractyear(s),ifany,uponcommencement of any subsequent contract year.

3.5 Allpaymentsshallbedueandpayablewithinthirty(30)daysfollowingthedateofourinvoicewithoutanydeductions.Thecustomerwillbeindefaultonedayaftertheexpirydatewithoutanyfurtherwarningnoticebeingrequired.

3.6 Allcustomers‘rightsofretentionorset-offareherebyexcludedtotheextentthattheyare

notbasedonthesamecontractualrelationship.Retentionsorset-offsareallowedonlyifthecustomer‘sclaimisnondisputedorhasbecomeunappeasable.3.7 Intheeventofacustomer‘sdefaultinpaymentorotherapparentcreditunworthiness,all

remainingclaimsagainstthatcustomershallbecomeimmediatelydueandpayableinfull.

Weshallthenbeentitledtorescindpaymenttermspreviouslyagreeduponandtodemandpaymentinadvanceorotherappropriatesecuritywithrespecttopendingdeliveries.Acustomershallbedeemedunworthyofcreditinparticularwhenhelesapetitioninban-kruptcyorcompositionproceedings.

4. INTELLECTUAL PROPERTY RIGHTS AND INDEMNITIES

4.1 AllcopyrightsandotherintellectualpropertyrightsinconnectionwithourProductsremainwithus.Alldatacarriersremainourproperty.Thecustomermaynotmodify,publish,trans -mit,transferorsell,reproduce,createderivativeworksfrom,distribute,perform,display,orinanywayexploitanyoftheProductsmadeavailablebyus,inwholeorinpart,exceptasexpresslypermittedundertheContract.

4.2 UpondeliveryoftheProductstothecustomerandpaymentoftheagreedfee,thecustomer

obtainsanon-exclusive,non-transferable,perpetual,worldwiderighttousetheProductsprovidedtothecustomerforitsinternalpurposesoranyadditionalpurposessetoutintheOrderForm.ArighttoresellourProductsrequiresourpriorwrittenapproval.

4.3 Intheeventthatthepartiesagreeona“SingleUserLicense”undertheOrderForm,this

meansthatonlyoneindividuallynameduserofanorganizationshallbeentitledtoaccessthereport.Intheeventthatthepartiesagreeona“SiteLicense”undertheOrderForm,thismeansthatalluserswithinagivengeographicallocation(asspeciedintheOrderForm)ofanorganizationshallbeentitledtoaccessthereport.Intheeventthatthepartiesagreeona“GlobalSiteLicense”,thismeansthatallworldwideusersofanorganizationshallbe

entitledtoaccessthereport.Inbothcases,theterm“organization”referstothecompanyofthespeciccustomeronlyandexcludesanythirdpartiesincludingafliates.

4.4 Wemustexpresslybenamedastheauthorofanydatathecustomerprocessesfurtherascontractuallynegotiated.

5. TECHNICAL INFORMATION

5.1 WeshallprovideourProductsinstandardizeddataformats.5.2 Thecustomermustensurethathehasthecorrespondingtechnicalresourcestomakeuseof

thesedata.Thecustomermaynotderiveanyclaimsinthisconnectionongroundsofbreachof obligation.

6. DEFECTS AS TO QUALITY

6.1 Noclaimsfordefectsastoqualityaretriggeredbyinsignicantdiscrepanciesbetweenourproductsandservicesandthewarrantedqualityortnessforuse.

6.2 Likewise,noclaimsfordefectsastoqualitymaybederivedfromentrepreneurialrisks–e.g.,withregardtoquestionsofentrepreneurialdiscretion,anerroneousassessmentofthemarketsituationorthefailuretorecognizeabusinessaction’smerit.

6.3 Defect-basedclaimsarefurtherexcludedincasesofexcessiveorimproperuseorinconnec -tionwithdamagescausedbyextraordinaryconditionsnotreectedintheOrderForm.Thisisalsotrueincasesofsubsequentchangesmadebythecustomersorthirdpartiesunlesssuchchangesdonotaffecttheanalysisandremovalofagivendefect.

6.4 Claimsfordefectsastoqualityexpirewithinoneyearfromthecommencementofthelegalstatuteoflimitation.Thislimitationdoesnotapplytotheextentthatapplicablelawstipu-latesalongerperiodincasesofintentionalorgrosslynegligentbreachesofdutyonthepartofus,fraudulentconcealmentofadefectandinjuriestolife,bodyandhealth.

6.5 ClaimsfordamagesandthereimbursementofexpendituresarefurthersubjecttoSection8.7. LEGAL DEFECTS

7.1 Weareliableforproductsandservicesinfringingonthird-partyrightsonlyifandtotheextentthatourproductsandservicesareusedinaccordancewiththeagreedcontractualrequirements.

7.2 Unlessagreedotherwise,ourliabilityfortheinfringementonthird-partyrightsislimitedtotheterritoryoftheEuropeanUnionandtheEuropeanEconomicAreaaswellastheplaceof

itsservices’properuseasagreedundertheapplicableOrder.7.3 Intheeventthatathirdpartyassertsclaimsagainstthecustomer,allegingthataservice

performedbyusviolatesitsrights,thecustomershallpromptlynotifyus.Ifaservicerenderedbyusviolatesthirdpartyrights,weshallchooseoneofthebelowactions,dulytakingintoconsiderationthecustomer’sinterests:

a)procuringforthecustomertherighttousetheservice; b)revisingtheservicetorenderitfreeoflegalviolations;or c)withdrawingtheserviceandrefundingtothecustomeranyrelatedcompensationpaid,

asadjustedbyanadequateuserfee,ifwecannoteffectanotherremedyatareasonableexpense.

7.4 Uponourrequest,theCustomershallassistuswiththedefenseagainstclaimsaccordingtothissection7,withusreimbursingtheCustomerforanyexpendituresandcostsincurredasa result, although each of the Parties bears the costs of the use of its own personnel.

7.5 ClaimstheCustomermayholdforlegaldefectsexpireinaccordancewithSection6.4.7.6 ClaimsfordamagesandthereimbursementofexpendituresarefurthersubjecttoSection8.8. LIABILITY

8.1 Incasesofintentionalmisconductandgrossnegligence,wearefullyliablepursuanttoapplicable law.

8.2 Ourliabilityincasesofsimplenegligenceislimitedasfollows:weareliableonlyifandtotheextentthatweviolatedamaterialcontractualobligation(cardinalobligation)–i.e.,anobligationthat(i)theCustomerreasonablyrelieduponatexecutionoftheapplicableOrder

Formand(ii)wasofcriticalsignicancetotheoutcomeofperformance.Asregardspropertydamageandnancialloss,suchliabilityislimitedtotypicalandforeseeabledamages;innoeventwillwebeliableforanyincidental,special,punitiveorconsequentialdamages,lossofprotsorlossofdatainsuchcase.

8.3 Ourliabilityfordamagesunderwarranties(Beschaffenheitsgarantien)islimitedtoinstancesinwhichthewarrantyexpresslyincludessuchliability.

8.4 ClaimsforthereimbursementofexpendituresandotherliabilityclaimsassertedbytheCustomeragainstusaresubjecttosections8.1through8.3.9. CONFIDENTIALITY

9.1 ThePartiesshallholdinstrictcondenceforanindeniteperiodoftimealldataand

informationmaterialsofwhichtheygainknowledgeaspartofaContract,beitorally,inwritingorotherwise,directlyorindirectly,providedthatsuchdataorinformationmaterialsaredesignatedcondentialormustbeconsideredcondentialbasedontheirnature,andshallusethemexclusivelyaspartoftheservicescoveredbytherelevantOrder.Thisdutyofcondentialityexcludesdataandinformationmaterialsthat:
