I. INTRODUCTION Community Facilities District No. 2003-1 The City of Lathrop Community Facilities District No. 2003-1 (Mossdale Village) (“CFD No. 2003-1” or the “CFD”) is located in the City of Lathrop (the “City”), in San Joaquin County, California, approximately 10 miles south of Stockton, and 75 miles east of San Francisco. The CFD was established in 2003 by a vote of more than two-thirds of the qualified electors and was authorized to issue special tax bonds in a principal amount not to exceed $12,000,000. The facilities to be financed with special taxes are primarily Mossdale Village’s portion of the City’s share of the South County Surface Water Supply Project (the “SCSWSP”) and certain transmission and delivery facilities. The SCSWSP is a project of the South San Joaquin Irrigation District under contracts with the cities of Lathrop, Manteca, Escalon, and Tracy to supply treated potable water to the cities. The SCSWSP involves the construction and operation of a new water treatment plant and water transmission facilities to deliver treated water. The CFD’s share of the SCSWSP is estimated to be $4,425,000. The CFD is also responsible for up to $2,300,000 of the cost of a new water well and related facilities. In total, of the $32,530,000 in revenue bonds issued on July 16, 2003 for the SCSWSP and related facilities, the CFD’s share of the bonds is $8,670,000. On November 14, 2013, the revenue bonds for the SCSWSP and related facilities were refunded. The CFD’s share of the total $18,975,000 in refunding bonds is $7,285,000. The Mello-Roos Community Facilities Act of 1982 The reduction in property tax revenue that resulted from the passage of Proposition 13 in 1978 required public agencies and real estate developers to look for other means to fund public infrastructure. The funding available from traditional assessment districts was limited by certain requirements of the assessment acts, and it became clear that a more flexible funding tool was needed. In response, the California State Legislature approved the Mello-Roos Community Facilities Act of 1982, which provides for the levy of a special tax within a defined geographic area, namely a community facilities district, if such a levy is approved by two-thirds of the qualified electors in the area. Community facilities districts can generate funding for a broad range of facilities, and special taxes can be allocated to property in any reasonable manner other than on an ad valorem basis. A community facilities district is authorized to issue tax-exempt bonds that are secured by land within the district. If a parcel does not pay the special tax levied on it, a public agency can foreclose on the parcel and use the proceeds of the foreclosure sale to ensure that bondholders receive interest and principal payments on the bonds. Because bonds issued by a community facilities district are land-secured, there is no risk to a public agency’s general fund or taxing capacity. In addition, because the bonds are tax-exempt, they typically carry an interest rate that is lower than conventional construction financing.

II. PURPOSE OF REPORT This CFD Tax Administration Report (the “Report”) presents findings from research and financial analysis performed by Goodwin Consulting Group, Inc. to determine the fiscal year 2016-17 special tax levy for CFD No. 2003-1. The Report is intended to provide information to interested parties regarding the CFD, including its current financial obligations, special taxes to be levied in fiscal year 2016-17, development status, and the status of public facilities being funded by CFD No. 2003-1. The remainder of the Report is organized as follows:

Section III identifies financial obligations of CFD No. 2003-1 for fiscal year 2016-17. Section IV presents a summary of the special tax levy. Additionally, it identifies the

method used to apportion special taxes among parcels in CFD No. 2003-1 and the maximum and actual special tax rates for fiscal year 2016-17.

Section V provides an update of the development activity occurring within CFD

No. 2003-1.

Section VI provides a list of facilities authorized to be funded by CFD No. 2003-1.

Section VII provides information regarding funds and accounts established for the bonds, including the current balances in such funds and accounts.

Section VIII describes special tax prepayments, if any, that have occurred in the CFD.

III. SPECIAL TAX REQUIREMENT Pursuant to the Rate and Method of Apportionment of Special Tax (the “RMA”) for CFD No. 2003-1, which was adopted as an exhibit to the Resolution of Formation of the CFD, the Special Tax Requirement means the amount that must be levied in any fiscal year to pay principal and interest on bonds due in the calendar year that commences in such fiscal year, replenish the reserve fund, pay any administrative expenses, cure any delinquencies, and pay the costs of CFD facilities directly. The Special Tax Requirement may be reduced in any fiscal year by taking into account interest earnings on or surplus balances in funds and accounts available to apply against debt service, proceeds from the collection of penalties associated with delinquent special taxes, and any other revenue available to pay debt service on the bonds as determined by the administrator. As mentioned in the previous section, CFD No. 2003-1 is responsible for $7,285,000 of the total $18,975,000 bond issue, or about 38.4% of the total. As such, the CFD is responsible for only a portion of the total debt service. For fiscal year 2016-17, the Special Tax Requirement is $567,185 and is calculated in the table below.

IV. SPECIAL TAX LEVY Special taxes within CFD No. 2003-1 are levied pursuant to the methodology set forth in the RMA. Among other things, the RMA establishes various special tax categories against which the special tax may be levied, the maximum special tax rates, and the methodology by which the special tax is applied. (Capitalized terms are defined in the RMA in Appendix E of this Report.)

Special Tax Categories Developed Property is defined as any parcel within CFD No. 2003-1 for which the City, prior to June 1 of the preceding fiscal year, has issued a building permit. Developed Property is subsequently divided into four distinct categories: Low, Medium, and High Density Residential Property and Other Property.

Low Density Residential Property means any Developed Property for which a permit was issued for the construction of a unit without a common wall with another unit and built on an Assessor’s parcel of 4,000 square feet or more in area.

Medium Density Residential Property means any Developed Property for which a

permit was issued for construction of: (i) a unit without a common wall with another unit and built on a parcel of less than 4,000 square feet, or (ii) two or more units with common walls that are offered as for-sale units, including condominiums.

High Density Residential Property means any Developed Property for which a permit

was issued for construction of a residential structure with multiple units that are offered for rent to the general public and are not available for sale to individual owners.

Other Property is defined as any Developed Property that does not meet the definition

of Low, Medium, or High Density Residential Property. Undeveloped Property is defined as taxable property in CFD No. 2003-1 that is not classified as Developed Property. Lastly, Public Property means any parcel owned or irrevocably offered for dedication to the United States of America, the State of California, the County, the City, or other local governments or public agencies.

Maximum Special Tax Rates The maximum special tax rates applicable to each category of taxable property in CFD No. 2003-1 are set forth in Section C of the RMA. The table on the following page identifies the maximum special taxes that can be levied on property in CFD No. 2003-1. Pursuant to the RMA, on each July 1, the rates shown in the table shall increase by 2%.

Apportionment of Special Taxes Each fiscal year, as set forth in Section E of the RMA, the special tax shall be levied as follows until the amount of the special tax levy is equal to the Special Tax Requirement for that fiscal year. First, the special tax shall be levied proportionately on each parcel of Developed Property up to 100% of the maximum special tax. If additional revenue is needed after the first step, and after applying capitalized interest, the special tax shall be levied proportionately on each parcel of Undeveloped Property within any large lot subdivision map and within any final map, up to 100% of the maximum special tax. If additional revenue is needed after applying the first two steps, the special tax shall be levied proportionately on each parcel of Undeveloped Property not within a large lot subdivision map or final map up to 100% of the maximum special tax. Three additional steps are available in order to meet the Special Tax Requirement if the first three steps do not generate sufficient revenue. However, these three steps are not likely to ever be needed. Special taxes can be levied on the following RMA defined property types in the following order, if necessary: Association Property, Excess Public Property, and Recycled Water Parcels. For the fiscal year 2016-17 special tax levy, there are 2,061 parcels categorized as Developed Property within CFD No. 2003-1. In addition, there are 0.30 taxable acres of Undeveloped Property within a final map or large lot subdivision map and 46.18 taxable acres of Undeveloped Property not within a final map or large lot subdivision map. Pursuant to the steps in the RMA, Developed Property is taxed first in the order of priority. Application of approximately 40.22% of the maximum special tax rates to parcels of Developed Property will generate special tax revenue of $567,192, which satisfies the Special Tax Requirement for fiscal year 2016-17. Undeveloped Property in the CFD will not be levied a special tax in fiscal year 2016-17. These figures are shown in the special tax levy summary table in Appendix A. Appendix B of this Report includes a detailed list of all parcels in the CFD and the corresponding special tax levied on each parcel for fiscal year 2016-17.

V. DEVELOPMENT UPDATE In all, building permits for 2,054 residential units and 7 parcels of Other Property have been issued, and final maps for 2 parcels of Undeveloped Property have been recorded within CFD No. 2003-1 as of June 1, 2016. Approximately 46.18 acres remain classified as Undeveloped Property that is not included in a final map as of June 1, 2016. Based on the current status of development in CFD No. 2003-1, the following table summarizes the allocation of parcels to the special tax categories established in the RMA:

VI. AUTHORIZED CFD IMPROVEMENTS The improvements authorized to be financed with special taxes primarily include a portion of the SCSWSP and certain transmission and delivery facilities. In addition, the CFD is also authorized to finance the cost of a new water well and related facilities. The South San Joaquin Irrigation District has completed the SCSWSP, and the City of Lathrop is currently receiving treated water from the new water treatment facility. Operation of the water treatment plant began in July of 2005.

VII. CFD FUNDS Seven funds and accounts were established on behalf of the CFD pursuant to the Indenture of Trust (the “Indenture”) between the Lathrop Finance Authority (the “Authority”) and Union Bank of California, N.A. (the “Trustee”). Following is a brief description of the purpose of each fund.

The Costs of Issuance Fund is held by the Trustee and was created to pay the costs of issuing bonds and other related financing costs. Ninety days after the date of delivery of the bonds, or at the earlier written request of the Authority, all amounts remaining in the Costs of Issuance Fund will be transferred to the Project Fund. This fund has been closed. The Bond Fund is held by the Trustee and the Trustee must deposit the special tax revenue in the Bond Fund in accordance with the terms of the Indenture. Funds in the Bond Fund shall be transferred to the following accounts in the following order of priority: (i) the Interest Account, (ii) the Principal Account, and (iii) the Reserve Account. The Interest Account is held by the Trustee and is maintained within the Bond Fund. All moneys in the Interest Account will be used and withdrawn by the Trustee solely for the purpose of paying the interest on bonds as it comes due and payable, including accrued interest on any bonds redeemed prior to maturity. The Principal Account is held by the Trustee and is maintained within the Bond Fund. All moneys in the Principal Account will be used and withdrawn by the Trustee solely for the purpose of paying the principal amount of bonds maturing on such date, including the mandatory sinking fund redemption of any term bonds. The Reserve Account is held by the Trustee and is maintained within the Bond Fund. The Reserve Account was established as a reserve for the payment of principal and interest on bonds in the event the balance in the Interest Account or Principal Account is insufficient to make debt service payments. All amounts in the Reserve Account in excess of the Reserve Requirement (i.e., $262,725 as of June 30, 2016), will be transferred to the Bond Fund. The Redemption Fund is held and maintained by the Trustee. The Redemption Fund was established for the purpose of holding moneys to be used to pay the principal on the bonds to be redeemed (other than any term bonds which are subject to mandatory sinking fund redemption from amounts on deposit in the Principal Account). The Project Fund is held and maintained by the Trustee. Moneys in the Project Fund will be used solely for the payment of the project costs. This fund has been closed.

X. FORECLOSURE COVENANTS The City may order the institution of a court action to foreclose the lien on a parcel within specified time limits if any payment of the special tax is delinquent. In such an action, the real property subject to the unpaid amount may be sold at a judicial foreclosure sale. Pursuant to Bond covenants signed by the City, the amount of special taxes levied in CFD No. 2003-1 shall be compared to the amount of special tax revenue received, and if the delinquency amount is not paid when due according to the following rules, the City will proceed as follows:

(a) Individual Delinquencies: If the Director of Finance determines that any single parcel subject to the special tax is delinquent in the payment of the special taxes in the aggregate amount of $3,000 or more, then the Director of Finance shall send or cause to be sent a notice of delinquency to the property owner within 60 days of such determination, and (if the delinquency remains uncured) foreclosure proceedings shall be commenced by the City within 120 days of such determination; or

(b) Aggregate Delinquencies: If the Director of Finance determines that the total amount of

delinquent special taxes for the prior fiscal year for CFD No. 2003-1 exceeds 5% of the total special taxes due for the prior fiscal year, the City shall notify or cause to be notified property owners who are then delinquent in the payment of special taxes within 60 days of such determination, and shall commence foreclosure proceedings within 120 days of such determination against each parcel of land with a special tax delinquency.

XI. SENATE BILL 165 REPORTING REQUIREMENTS On September 18, 2000, former Governor Gray Davis signed Senate Bill 165 which enacted the Local Agency Special Tax and Bond Accountability Act. In approving the bill, the Legislature declared that local agencies need to demonstrate to the voters that special taxes and bond proceeds are being spent on the facilities and services for which they were intended. To further this objective, the Legislature added Sections 50075.3 and 53411 to the California Government Code setting forth annual reporting requirements relative to special taxes collected and bonds issued by a local public agency. Pursuant to Sections 50075.3 and 53411, the Chief Fiscal Officer of the City will at least once a year file a report with the City Council setting forth the following information. Section 50075.3 Item (a): Identify the amount of special taxes that have been collected and expended.

Item (b): Identify the status of any project required or authorized to be funded by the special taxes.

XII. ASSEMBLY BILL 1666 REQUIREMENTS

On July 25, 2016, Governor Jerry Brown signed Assembly Bill No. 1666, adding Section 53343.2 to the California Government Code (“GC”). The bill enhances the transparency of community facilities districts by requiring that certain reports be accessible on a local agency’s web site. Pursuant to Section 53343.2, a local agency that has a web site shall, within seven months after the last day of each fiscal year of the district, display prominently on its web site the following information: Item (a): A copy of an annual report, if requested, pursuant to GC Section 53343.1. The report required by Section 53343.1 includes CFD budgetary information for the prior fiscal year and is only prepared by a community facilities district at the request of a person who resides in or owns property in the community facilities district. If the annual report has not been requested to be prepared, then a posting to the web site would not be necessary. Item (b): A copy of the report provided to the California Debt and Investment Advisory Commission (“CDIAC”) pursuant to GC Section 53359.5. Under Section 53359.5, local agencies must provide CDIAC with the following: (i) notice of proposed sale of bonds; (ii) annual reports on the fiscal status of bonded districts; and (iii) notice of any failure to pay debt service on bonds, or of any draw on a reserve fund to pay debt service on bonds. Item (c): A copy of the report provided to the State Controller’s Office pursuant to GC Section 12463.2. This section refers to the parcel tax portion of a local agency’s Financial Transactions Report that is prepared for the State Controller’s Office annually. Note that school districts are not subject to the reporting required by GC Section 12463.2.

XIII. ARBITRATE REBATE CALCULATION The five-year arbitrage and yield restriction analysis for the bonds has been prepared by Goodwin Consulting Group. Inc. As a result of the analysis, the City has no rebatable arbitrage or yield reduction payments to make to the Internal Revenue Service with respect to these bonds as of the five-year computation period ending June 1, 2013. The next arbitrage rebate analysis for the bonds will be completed in June 2018.
