Introduction

This user guide is designed to provide customers with all the necessary information needed to purchase from this contract.

NSW Procurement, through HealthShare (Business Procurement Services) provides a full range of procurement services for government agencies and other clients. Services include contract management of common use period contracts. These are state contracts on a rolling one to five year renewal cycle for the supply of products and services in common use across many agencies.

The Contract is for the supply and delivery of Endo- Surgical Instruments & Accessories for a term of three years expiring on 30 November 2013 (with two options for extension for up to 12 months). Pricing is fixed for a minimum of the first twelve months of the contract then subject to review at six monthly intervals.

This period contract allows our customers a considerable cost savings due to the combined purchasing power of the state government. It offers value for money including competitive rates, and a quality range of products.

Section 1 – Accessing the Contract NSW Health Customers NSW Health Customers are to use their normal purchasing arrangements (eg through Oracle). By placing an order with the Contractor/Supplier, the Customer is initiating a process under the terms of the Deed of Agreement that ordinarily will result in a binding contract between the Customer and the Contractor/Supplier for the supply of the Deliverables. ***************************************************************

New Non-NSW Health Customers To register as a new customer, visit www.nswbuy.com.au > Purchasing for Government. You can either complete the process on line or download and complete an application form. Once approved, you will be advised of your NSWBUY Identification Number and are then eligible to use any of the state contracts administered by NSW Procurement. Phone 1800 NSWBUY (1800 679 289) if you have any problems completing your application form or if you wish to check your registration status. Placing an Order direct with the Supplier Registered State contract users can order goods direct with the supplier or nominated distributor.

By placing an order you are entering into a contract with the supplier and, as a minimum, the following information should be included in the Official Order:

• Contract Number and Name • Name and address of Supplier and Customer • NSWBUY Identification Number • Customer’s Order Number • Date of Order and Date of Delivery • Item, product code, contract price, quantity and any accessories

You need to quote your NSWBUY Identification Number each time you purchase from state contracts. If you are unsure of your NSWBUY Identification Number, please contact NSW Procurement Client Support Centre on 1800 NSW BUY (1800 679 289).

Further information on state contracts is also available on the website www.nswbuy.com.au Prices Price variation increases are fixed for the first 12 months of the contract period. Prices are then subject to variation and may change in accordance with the price variation conditions of the contract. Section 3 – Key Features of the Contract Delivery Delivery is FREE INTO STORE throughout NSW and the ACT unless otherwise specified by NSW Procurement, in such quantities and at such times as may be required during the period of the contract. Further details on minimum orders, surcharges and delivery lead times are provided under the contractor’s details. Suppliers under this contract are required to notify NSW Procurement of any prolonged delivery delays during the period of the contract. The Applied Medical Sales and Clinical Development teams will continuously be available for in-servicing, training and support to the operating Suite and Hospital Staff to provide on-going assistance. Hands-on training will be given to all surgeons and nursing staff who will be using the products. Times for these training sessions and in-services will be strictly coordinated with hospital staff for convenience. Initial support will be provided by an Applied Medical representative at an appropriate number of cases for each surgeon and nursing staff using the new products. Advanced level support will also be continuously available from the Applied Medical Clinical Development team. Resources such as training aids, DVDs and other training material will be provided. Regular clinical updates will be sent to all surgeons and operating suite staff. On-going regular in-services will be coordinated with the operating suite for new medical and nursing staff. Furthermore, Applied Medical contribute to the education of nursing staff, registrars, fellows and surgical consultants by either coordinating, contributing and sponsoring various training programs. Applied Medical are contributors and sponsors of the Royal Australasian College of Surgeons (RACS) Asset Courses and Fundamental Laparoscopic Skills (FLS) Laparoscopic Skills courses. These courses provide Laparoscopic Skills training to surgical registrars and fellows and provide exposure to innovative and advanced laparoscopic devices. We also successfully coordinate advanced Training Courses for Surgical Consultants both in Australia and abroad in order to assist the participants staying at the forefront of surgical excellence and superior clinical outcomes.

This service is provided both initially at the time of purchase and on an ongoing basis. All training materials are supplied at no charge. Information can also be made available via our website. Bosco Medical has developed in-service and training programs that are specifically designed to provide high quality, detailed information. Training programs incorporate stimulating discussion questions and engaging activities to provide learning and team building among clinical staff. Training includes all aspects of operation, cleaning and maintenance of equipment. To compliment the training programs Bosco Medical also provides product information sheets, web based video information, product trials, product samples and access to a customer help line. GUARANTEES AND SERVICING ARRANGEMENTS

At the time of supply, all products tendered are guaranteed to be free of defects or faulty materials and workmanship, when used in accordance with the manufacturer’s instructions. Should a product received by the consumer be faulty or damaged, Bosco Medical Australia will replace it Free of Charge. As the tendered deliverables are consumable products they are exempt from servicing requirements and require minimal training. However, support is available from our dedicated Product Specialists and Customer Service support line. This service is available during business hours and is a free call 1800 number.

2. Sales and Service Program For those specific accounts which have standardized their O.R. with Linvatec, Hall Surgical and CONMED equipment, ConMed Linvatec Australia is pleased to offer our on-site Sales and service Program. Under this unique and exclusive program, ConMed Linvatec Australia will dedicate one of our full-time Sales representatives to servicing your account. The dedicated person is trained on the set-up, installation and proper maintenance of all our equipment. This individual works together, as a team member, with the O.R. and Purchasing staff to ensure that our equipment is properly functioning at all times. They are available to trouble-shoot equipment problems, facilitate repairs/replacements as well as to advise the staff on additional equipment needs. The Sales Representative is there to provide superior customer service and becomes an invaluable addition to the hospital staff. 3. In-Service Support With over 30 sales and marketing representatives nationwide, ConMed Linvatec Australia has the ability to train hospital staff on product usage, proper maintenance of powered surgical instruments and various surgical techniques. 4. Videos ConMed Linvatec Australia has a wide range of produces specific surgical technique videos. When certain key surgeons develop new surgical techniques, ConMed Linvatec Australia promotes those techniques through our videos. This helps keep surgeons and the O.R. staff abreast of the latest advances in surgery and new devices. 5. Surgical Technique Brochures ConMed Linvatec Australia offers a compendium of surgical technique information demonstrating product usage. This is especially helpful during the in-service process.

DISCOUNTS

Prices are outlined in the Price Schedule in Part C2 and represent an overall average of 20% discount off JJM’s 2009 List Price (herein referred to as the “BASE DISCOUNT”)*. In addition to this Base discount, JJM also offers NSW Health a series of additional Market Share based Discount off the base price provided the relevant market share targets are reached. Due to the diverse range of products within some major categories, JJM has offered unique Market Share based Discount at the minor category level to better reflect market dynamics. In order to allow NSW Health to receive the most favourable offer upon the commencement of the contract, JJM have proposed a set of preliminary market share figures, which will be used to determine pricing upon the commencement of the contract. These preliminary market share figures consider both historical market share and estimated future market share. The pricing associated with each market share tiers are also outlined at the individual code level in the pricing schedule (Part C2). As JJM offers these market share based discounts on good faith, JJM reserves the right to review these market share based discounts after the first 6 months based on the projected annual purchasing volume of NSW Health. As an outcome of this review, JJM may adjust the discount level if NSW Health’s actual purchasing differs from the market share target that was applied. In addition, should NSW Health be aware of circumstances that will materially impact its usage volumes from those projected or agreed in the market share based discount offering, NSW Health must advise JJM so that market share level discounts can be reviewed accordingly. Alternative Offer: In addition to the Compliant Offer submitted in this tender, JJM would like to offer the following discount incentive as part of an Alternative Offer: Area Health Discount Incentive: JJM appreciate NSW Health’s move to reform procurement to a more centralised function and understand the structure of the pricing in this tender is oriented towards these reforms. However, during the transition phase, JJM acknowledge that the centric nature of market share-based discounting may present challenges to a number of Area Health Services. GUARANTEES AND SERVICING ARRANGEMENTS

Warranty is only applied in the process of the deliverables being used / fired during the surgical procedure.

If the product is found to be faulty at the time of use, the user must immediately report it to Med-Chem Surgical Pty Ltd. Incident Report Forms will be required outlining the exact fault and when it occurred. The item is retained for evaluation by Med-Chem Surgical and the supplier.

If the Product Specialist determines no reasonable doubt there is a fault, the product shall be directly replaced with another device from a different lot / batch number. If reasonable doubt is determined, then testing of the device shall be employed to investigate the fault by the supplier.

If the fault is contrary to safe practice, the product fault, including lot number will be reported to the TGA and the appropriate process will be followed.

The deliverables have expiry dates clearly labeled on the outside packaging as well as on the tyvek tear offs. Therefore, we warrant the product sterile, unless there has been a breach of the package integrity. If this has been found upon delivery from our warehouse, then we will replace the damaged items. If a breach is found upon opening the package during a procedure, then it is clearly not covered by Med-Chem Surgical.

Duty of Care is strongly adhered to at Med-Chem Surgical, but in the event of broken integrity whilst in possession of the account / user, then this Duty of Care is the responsibility of the account / user.

IN-SERVICE EDUCATION AND TRAINING

A fully trained Sales Representative will be on hand to provide in house training at any institution as required on an ongoing basis. Brochures and hands on training are provided to all staff using the tendered items.

An initial in-service to all staff is provided which outlines the use of the appliers, accepted loading techniques and advantages of the items tendered. Ongoing training/in-servicing of loading techniques can be provided at the customers request.

On ongoing Applier Care Program is provided to the customer FREE OF CHARGE on a regular basis (usually every 3 months or as requested by the customer). The trained Sales Representative physically checks that ALL appliers are in good working order. Any appliers that fail the tests are taken off the surgical tray and replaced with new/refurbished appliers within 24 hours. The replacements are FREE OF CHARGE (valued at $293 per applier)

Its training and education initiatives range from ethics-approved live animal laboratory sessions (whether “open”, “laparoscopic” or Suture), in-animate laboratory sessions, in-servicing of hospital staff, registrars, medical students and nursing students. COVIDIEN is also involved in bringing recognised specialists into New South Wales for the purpose of conducting workshops or lectures. COVIDIEN is committed to training and education for its Customers and its employees. All of the key COVIDIEN personnel as well as the Product Managers relevant to Wound Closure products are trained in the relevant products and undergo continual training as a matter of course, and the Technical consultants also more formally on an annual basis at “recertification”. This is our assurance to our Customers that the people “selling” the products know the products and can therefore offer to educate and train others.

COVIDIEN offer a range of services for both Endo Mechanical and Suture products and these include

• One-on-one in-service programs through to larger group in-service programs which can be at Nursing or Surgeon level. At these programs, the participants are exposed to the products and educated on the applications for which the products are suitable, any precautions or contra-indications applicable and, in the case of Stapling products, how to load and unload the instrument.

• Most participants are given hands on opportunity to get familiar with the products and foam organs or synthetic tissues are used for simulation of the application of the products. The in-service programs are sometimes also run utilizing Power Point presentations as well as video and interactive programs.

• In-animate workshops conducted on an as need or requested basis for Nurses and Surgeons. These can be for open work, laparoscopic work where the Laparoscopic equipment (monitor, insufflators, light source etc) can be provided by COVIDIEN or can be for knot tying or suturing exercises, both open and laparoscopic.

• Live animal workshops – these are utilized where necessary and are conducted with appropriate ethics approval. The focus of the workshops can be either two surgeons with a nurse, a group of consultant surgeons or a consultant surgeon with trainees.

• Also if required and approved by the Hospital, the Technical Consultants can attend cases in the Operating Theatre to offer verbal technical assistance in the use of the products.

Our Technical Consultants are highly trained professionals who are proficient in providing tailored in-service education and training to the relevant hospital staff. COVIDIEN is recognized for its educational initiatives and these have been offered and conducted for many years prior to this tender. We envisage that they will continue during the term of the contract, for items awarded, and they will continue after the contract. For the purposes of this contract, and for any product groups awarded to COVIDIEN, all Customers, whether familiar or not with the training available through COVIDIEN, will be informed of the options available and where appropriate recommendations would be made to the Customer of what training the Technical Consultants feel would be particularly beneficial to the Customer(s).

Section 5 – Contract Conditions This section contains the key features of the contract conditions that may be of interest to customers. It does not contain all of the conditions of contract (a copy of which can be obtained by contacting NSW Procurement).

Organisations Eligible to Purchase from the Contract

The following organisations are eligible to purchase from the Contract:

a) Any Department, Agency or Office of the Commonwealth including any Statutory Authority constituted under Commonwealth legislation;

b) Any Department, Agency or Office of any State or Territory of the Commonwealth, including any Statutory Authority constituted under State/Territory legislation;

c) Any Council of a city, municipality or shire constituted by a State or Territory;

d) Any other organisation constituted by or subject to an Act of Parliament either Commonwealth or State or by a Regulation thereunder;

e) Any body or association, other than a trading, commercial or industrial firm or corporation, which conducts a service, not being a trade, business or industry followed or carried on for profit, at the request of the Government, in respect of such service;

f) Any Authority, person, body, corporation, association or organisation, whether incorporated or not, to which permission has been given by the Minister for the Department of Services, Technology & Administration, or an official delegate of the Minister, to issue orders for supplies comprised in the Agreement.

For the purpose of parts (d) and (e) above examples of typical organisations include, but are not limited to:-

• Government Schools and Private Schools; • TAFE Colleges; • Public Hospitals and Area Health Services; • Trustees of Public Parks; • Boards; • Tribunals; • Commissions; and • Registries.

For the purposes of part (f) above authorities to which permission has been given generally have:-

• Charitable or benevolent status; • Non-profit objective; • Level of government subsidy/support.

Examples are: • Non-Government Schools; • Pre-Schools/Kindergartens and Child Care Centres • Child Care Centres (excluding privately owned); • Family Day Care Administrations; • Nursing Homes (excluding privately owned); • Other community based service providers; • Student Support groups which are established under the auspice of the relevant school or

education institution; • Arts based groups sponsored by the Ministry for the Arts.

OPERATION OF NOMINEE PURCHASING

Guidelines have been developed to assist with the contracting-out of activities by registered users of the purchasing facilities provided by NSW Procurement. The intention is to provide for the use of Period Contracts by the registered nominee purchasers in conjunction with and relevant to contractual arrangements with the Government as provided for in Clause 17(4) (g) of the Public Sector Management (Goods and Services) Regulation 2000.

A nominee is a contractor, who is given access to Period Contracts, and the price discounts contained therein, by the Government agency for works performed on behalf of Government.

Contract Pricing will be given to nominee purchasers on the following conditions.

The nominee has an active account with Contractor or meets its commercial criteria to open an account.

2. Evidence that the purchase is for use in a project for a Government Department, Authority or organisation able to purchase under the contract.

GOVERNMENT TAXES, DUTIES AND CHARGES

All taxes, duties and charges imposed or levied in Australia or overseas in connection with the performance of this Agreement will be borne by the Contractor.

TITLE AND RISK

The title to supplies will pass to the customer on the completion of delivery and the acceptance of those supplies by the Ordering Officer or his representative.

INSURANCE

The Contractor has arranged with a reputable insurance company:

• A public liability policy of insurance to the value of $20 million.

• A product liability policy of insurance to the value of $50 million.

• Worker’s compensation insurance as required by all relevant laws of Australia relating to worker’s compensation.

PRICE VARIATIONS

The following price variation conditions apply:

(a) Contract Prices will be firm between reviews except where:

• The Contractor can show hardship due to significant “cost” movements in individual products;

• A Contract Price is shown to be uncompetitive in the marketplace;

• The Contractor offers a temporary or periodic ‘special’, which is lower than the Contract Price;

• The Contractor offers a Customer a Single Order Volume Discount (a discount based on the quantity of Products comprised in a particular order placed by a particular Customer).

DELAYS AND EMERGENCIES

From time to time the supply of goods from the Contractor may be delayed. The Contractor will take all reasonable steps to minimise the effect of the delays.

An excusable delay is one which:

Unavoidably delays the Contractor in the performance of its obligations under the Agreement; Is beyond the reasonable control of the Contractor;

Could not have been reasonably contemplated or allowed for by the Contractor before entering into the Agreement.

The Contractor will inform you of the occurrence of any event which is likely to adversely affect its performance of its obligations under the Agreement.

As soon as practicable and in any event no more than 24 hours after such event, the Contractor will notify you in writing of any extension of time sought and supply any supporting information as may be reasonably necessary to enable you to determine the validity of the claim.

If you consider that the event, which the Contractor claims to be the cause of the delay, is such as to justify an extension of the time for the delivery of the supplies, you may grant and notify the Contractor of such extension of time within 2 working days after receipt of the Contractor’s claim for an extension.

SETTLEMENT OF DISPUTES

If a dispute arises then both you and the Contractor must use your best efforts to resolve the dispute.

Try to resolve the matter through discussions with the Contractor’s Customer Service Representative (see Section 4 for contact details).

If, however, you are unable to resolve the matter then you should contact NSW Procurement. If the matter cannot be resolved by mutual agreement of both parties in consultation with NSW Procurement the matter will be referred for arbitration. This more formal process will require you to keep a higher level of detailed documentation and records.
