OFMAULANA AZAD EDUCATION FOUNDATION
The name of the Society shall be "MAULANA AZAD EDUCATION FOUNDATION'.
DEFINITIONIn these presents unless there be some thing in the subiect or context inconsistenttherewith:"Foundation" means the Maulana Azad Education Foundation." Act" means the Societies Registration Act, 1860."Office" means the registered office for the time being of the Foundation."Month" means calendar month." Member" means member of the Foundation a bearers.

1. GENERAL BODYThe General Body will consist of 15 members

ADMISSION AND OUALIFICATION OF MEMBERSThe President of the Foundation will nominate 9 members for a period of 3 years fromthe educationally backward minorities from different regions, including educationists,scientists, engineers, administrators, doctors, lawyers, writers, industrialists and socialworkers, who can devote time for promoting the cause of education, giving._properrepresentation to women. These members will be eligible for re-nomination. Everyperson shall, on becoming a member of the Foundation, sign the roll of members of theFoundation to be kept in bound register.
CESSATION OF MEMBERSHIPThe President may, at any time in consultation with the Vice-President by notice inwriting, require a member including an office bearer to withdraw from the Foundationand the person so required to withdraw shall not later than one month from suchnotice being given, cease to be a member.

1. Subject to such policy directions as the Crcneral Body may like to give from time totime, the management of the Foundation shall be vested in and rest with theGoverning Body.

9. Subject to the provisions of the Memorandum of Association and these Rules andRegulations, the Governing Body shall, in addition to other powers vested in it, havethe following powers:-
To grarrt leave of absence other than casual leave to the staff.To entertain, adjudicate upon and, if it thinks-fit, redress the grievances of the staff.To frame such Rules and Bye-laws as it may from time to time consider to be necessaryfor regulat-ing the management of any institution under the control of the Foundation.

14. The Goveming Body may enter into any agreementgrants in aid for institution belonging to or managed bygrant is a recurring grant or a capital grant.
15. The Governing Body may accept donatioru and giftsconsidered suitable.

VI I I . TREASURERThe Foundation shalt elect Treasurer from amongst the members of the General Body.He/She shall hold office for three years. He/bhe shall be eligible for re-election.He/She shall be responsible for:-
(a) The supervision and control of the accounts. He/She shall operate the Bank accountsof the Foundation iointly with a person or persons as ^iy be appointed by theGoverning Body.
(b) The proper auditing of the accounts periodicatly by an Auclitor chosen by the GeneralBody from amongst registered chartered Accountants.

moneys, securities and investment of the Foundation.
Subject to the direction and control of the Foundation and the Governing Body, the
Treasurer shall have the powers to buy and endorse and sell shares, securities and
other instruments of a similar character on behaU of the Foundation and realize
interest, dividend, bonus or profit due thereon under his/her signature iointly with the
signafure of SecretarY.
SECRETARYThere shall be a paid secretary who shall be a full time employee.
The Secretary sliall subject to such directions as the President may like to give in this
regarcl, convene meetings of the Foundation and its Governing Body, circulate agenda
and maintail records of tf," proceedings of these meetings. He/she shall see that
decision of the Founclation and the Governing Body are implemented and shall make a

The Foundation shall have its own independent office and shall have its essential staff
to be decided by the Governing Body. The Foundation will move such ProPosals for

LEGAL PROCEEDINGSThe Foundation may sue or be suedperson/persons as shall be appointed byprovisions laid down under section 6applicable to N.C.T. of Delhi.
XII . MOVABLE AND IMMOVABLE PROPERTYAll cleecls of transfer, lease and other documents relating to the movable and
immovable property of the Foundation shall be signed by the Secretary of the
