1 INTRODUCTION

1.1 Introduction to Lusail

Lusail City is a futuristic project, which will create a modern and ambitious society. The smart, peaceful and inspirational environment combines artistic elements of architecture with various practical and versatile services in order to satisfy all the needs of its residents and visitors.

Lusail City extends across an area of 38 square kilometers and includes four exclusive islands and 19 multi-purpose residential, mixed use, entertainment and commercial districts. It is a comprehensive arena with leisure spots, residential buildings, commercial towers, avenues and public Marinas.

The total estimated capacity of Lusail will reach 550,000 people by 2030. The city includes numerous residential units, office buildings of various sizes and 22 hotels with different international star ratings, making it an element of attraction for investment in Qatar.

Lusail has been envisioned as a Smart City crammed with innovation, a captivating seascape, skyline and recreational spaces. It has been awarded the duty of hosting both the inaugural event for the World Cup in 2022, and also the final, its place in the country’s future guaranteed by Qatar’s growth.

Lusail City encompasses the most modern, luxurious and practical residential areas in Qatar all with a comprehensive set of services. 1.3 Introduction to Qatari Diar

Qatari Diar Real Estate Company was established in 2005 by the Qatar Investment Authority, the sovereign wealth fund of the State of Qatar. Headquartered northeast of capital Doha on the coast of the Arabian Gulf. Qatari Diar was entrusted to support Qatar’s growing economy and to coordinate the country’s real estate development priorities.

The company’s flagship project, Lusail City, was launched in December 2005 and quickly went on to gain tremendous praise for its innovative approach to real estate. The progressive self- contained city is the largest single development to be undertaken in the State of Qatar and although it is currently under construction, Lusail already signifies Qatar’s progress on a grand scale, reflecting the vision and quality that have become synonymous with Qatari Diar.

1.5 2022 FIFA World Cup

With its numerous hotels, sports arenas and leisure centers, Lusail City will be one of the most important and significant cities hosting the main stadium, teams, fans and audiences during the 2022 World Cup.

Lusail Stadium will be where the FIFA World Cup Qatar 2022 will both open and conclude. The 80,000-capacity venue will be the largest stadium during the tournament, which will kick off on 21 November 2022 and be the first to take place in the Arab world. With 22 hotels built, all complying with the highest international standards, and five training fields designed to stringent FIFA specifications, Lusail is fully equipped and ready to host the teams, spectators and visitors to what is destined to be a most spectacular championship.

2 PROJECT BACKGROUND

NRV Retail is a clustering of commercial facilities designed to serve a local community or district, based on the ideology of conveyance.

This retailing concept has a community building function and can help establish a sense of place for a district and develop the concept of a neighborhood in the classic sense,

The framework for this typology of development is:

• Mixed use to attract local consumers, families, ladies, children • Promotion of sustainable communities and healthy living • Walkability • Retail and non-retail functions • Uniqueness to place to ensure local participation • Designed around an attractive urban realm/ plaza • Provision of neighborhood retail (proximity products) and commercial facilities within

each District • Creation of vitality and activation of public spaces (placemaking) • A community hub

NRV Retail gives surrounding residential populations the choice to use proximate retail and lifestyle orientated commercial facilities instead of travelling to busier outlets in the central districts within Lusail and beyond.

2.1 NRV Retail Description

This Retail development is located within the Villas North District. This is a unique District within the City designed specifically as an affluent low-density development, orientated towards families, with approximately 550 Villas planned. The site has been developed and is at Façade/Interior Completion stage The surrounding community of this Retail development can be assumed to be within the high earning income bracket with strong spending power and select lifestyle needs, in terms of local services.

The mix of uses is carefully considered to capture the most appropriate type of functions and services needed for this type of community structure

2.2 Proposed NRV Retail Provisions

The Retail J-01 Plot is located to the north east of the Fox Hills District, within a community services hub. Notable adjacent uses are a Petrol Station and a school. The site is also served by a proximate LRT station. The targeted users will be residents of the mixed-used medium density population of Fox Hills, but also visitors and workers in and around the District due to the site's high visibility and accessibility. Intensive uses around the site including the adjacent Petrol Station and School will facilitate daily usage. The proximity to the high-density Al Kharaej Towers District is also significant in terms of its potential retail draw.

Retail Provision: The site comprises a ground and first floor development with 12 Retail units consisting of 8 Retail stores (1 Reserved) and 4 Cafés and a Roof Deck area.

2.3 Procurement Model

The procurement model is that the Retail Units will be advertised on a set rental, fixed lease basis and awarded on a first received basis, subject to the operator’s proposal being fully compliant.

Key elements of procurement model are as follows:

▪ Economic incentives to be provided to Tenants, as early occupier, to include:

▪ Initial 14 Months, no rent set to zero (0), only other charges apply (Utilities, etc.),

consisting of 6 Months Fit-Out and 8 Months Free-Rent.

For the single unit shops o 6000 QR per month after the end of grace period until end of year two. o 8000 QR per month for the 3rd year. o 10000 QR per month for the 4th and 5th year.

For the double unit shops:

o 10000 QR per month after the end of grace period until end of year two. o 12000 QR per month for the 3rd year. o 14000 QR per month for the 4th and 5th year >

▪ Community and FM Service included in the rent.

▪ A security check to be in the name of Qatari Diar Real Estate Investment Co. presented in an amount equal to three months' rent is drawn upon signing the contract and is returned 45 days after the end of the contract if it has not been breached

▪ Leases to be renewed / re-let in September 2025 based upon market demand and

market rates. First refusal will be offered to the existing tenants.

▪ All services shall be ordered and commissioned by the tenants (i.e. Electric, Water,

Telecoms, Gas and Chiller system). All metering and utility bill payments are the

responsibility of the tenant.

▪ 12 Retail Units.

▪ One envelope tender return – Technical Pass / Fail Technical scoring.

INSTRUCTIONS TO PROSPECTIVE LESSEE(S)

IT.1. DEFINITIONS

In these Instructions to Prospective Lessee(s), unless the context otherwise requires, the following terms shall have the meanings assigned to them below:

“Instructions to Prospective Lessee(s)” means these terms and conditions which govern the issuing, receipt, completion and submission of the Lease Proposal Documents and all stages of the process.

“Invitation to Lease” means the Lease Advertisement, issued by Lusail Real Estate Development Company to invite submission of Lease Proposals in accordance with these Instructions to Prospective Lessee(s).

“LREDC” means Lusail Real Estate Development Company established under the laws of the State of Qatar.

IT.2. GENERAL

These Instructions to Prospective Lessee(s) issued by LREDC outline and govern the procedures and processes to be followed for completing and submitting Proposals. Failure to provide all of the required materials and information, or failure to comply fully with these instructions in any way may result in the Proposal not being considered.

IT.3. FAMILIARIZATION WITH APPLICABLE LAWS AND REGULATIONS

This Proposal is governed by the laws of the State of Qatar. The Prospective Lessee(s) shall comply with all laws applicable to the subject matter of these Proposal Documents and agree to indemnify and hold LREDC harmless in respect of any breach of such laws.

The Prospective Lessee(s) shall thoroughly familiarize itself with the laws applicable to the work or services forming the subject matter of these Proposal Documents, particularly Qatar Labor law and laws pertaining to intellectual property, import, export or re-export, customs and taxes, as well as the Ministry of Business and Trade requirement that any company carrying out works or services in Qatar. By submitting a Proposal, the Prospective Lessee(s) is deemed to have made the necessary allowances in the programmed and other components in its Proposal for adhering to all laws, rules, regulations and procedures applicable to the services or works in the State of Qatar.

IT.4. SITE VISIT, ADDITIONAL INFORMATION, QUERIES AND RESPONSES

Prospective Lessee(s) are advised that PART 1 – TECHNICAL DETAILS and PART 2 – EMPLOYER’S REQUIREMENTS are available upon request from LREDC to provide additional information in the proposal documents. Prospective Lessee(s) are also advised that the additional information will form part of the contractual lease agreement.

Prospective Lessee(s) are further advised that this ‘Invitation to Lease Retail Units at NRV Retail for Lusail City’ is available in an Arabic version.

It will be at the sole discretion of the LREDC, that any requests for a site visit to familiarize with the physical and other conditions pertaining to the work.

IT.5. STATEMENT OF COMPLIANCE

The Prospective Lessee(s) shall complete and submit the enclosed Statement of Compliance (Attachment 1), which must be signed by a person duly authorized to sign on behalf of the Prospective Lessee(s). LREDC may require the Prospective Lessee(s) to submit evidence of such authorization and the Prospective Lessee(s) agrees to submit such evidence as may be satisfactory to LREDC upon LREDC’s request. LREDC may reject any Proposal submitted without the completed and signed Statement of Compliance without the evidence of authorization if required.

IT.6. SUBMISSION OF PROPOSALS

The Prospective Leese(s) shall submit its Proposal in one (1) sealed envelope, the envelope containing the Technical Proposal. The envelope must be identified with clear marking of the contents, “TECHNICAL PROPOSAL” on the outer cover.

The Prospective Leese(s) must submit one (1) original and one (1) copy of its Tender. The original shall be clearly marked “ORIGINAL”.

The Proposal and accompanying documents shall be addressed and delivered to:

The Prospective Leese(s) must affix its company stamp to and initial every page of its original Technical Proposal.

The Prospective Leese(s) shall complete and submit all details, forms and information as required by the Proposal Documents. Failure to submit a complete Proposal or failure to comply fully with the Instructions to Prospective Leese(s) in any way may render the Proposal not being considered.

It is the LREDC’s intention to open and evaluate the Technical Proposal. The “Technical Proposal” package should not contain any Commercial information and should only contain the following:

a) Completed and signed Statement of Compliance b) Technical Proposal information

Prospective Leese(s) are advised that should the LRDEC receive several proposals for the same Retail Unit then the LREDC will give precedence to the most favorable e-Commerce proposal and the LREDC will reserve the right for final acceptance.

IT.7. FAILURE TO SIGN THE CONTRACT

If the successful Prospective Leese(s) fails to sign the contract on the specified date without giving an acceptable justification, the LREDC may, at its sole discretion, without the need for summons or notice or other legal formalities:

a) Encash the Retail Unit Deposit, and/or b) Exercise any other rights stipulated in the contract.

terms and conditions of the Lease Proposal Documents and without any exceptions

2. We confirm that our Proposal is valid, binding to us, irrevocable, shall not be rescinded

and is open for LREDC’s acceptance for a period of ninety (90) calendar days from the

Closing Date.

3. We confirm us intend to provide a reservation Manager Cheque to be a refundable in the

amount of ten thousand Qatari Riyals (QAR 10,000) made out to Qatari Diar Real Estate

Investment Company and submitted to the Asset management Department of Qatari

Diar at Lusail Site Office.

For the winning bids, the reservation deposit will be part of the security deposit & in case

of unsuccessful bids the cheque will be returned.

4. We represent and covenant to LREDC that we have observed and will continue to observe

all relevant statutory and other regulatory authority and proper business practice

requirements in the formulation of our Proposal and in any future follow up thereto.

TECHNICAL PROPOSAL INDEX

INTRODUCTION AND INSTRUCTIONS

1. The Prospective Lessee(s) shall complete this Appendix by giving and submitting all

details, information and supporting documents, as required under the various

sections of this document. Additional sheets may be used as required and attached

to the appropriate Schedules as applicable. Responses such as “will be advised”

are unacceptable. Failure to submit all information required under the sections or

failure to comply fully with these instructions may result in the proposal not being

considered.

2. The sections submitted under this Appendix constitute Prospective Lessee(s)

technical proposal and shall form the basis for the technical evaluation of the

Proposal. The completed sections, amended as may BE required by and

APPROVED by LREDC, shall constitute the CONTRACT document.
