Article 3.3.2 of the MVNO RFA states that “It is not Permissible for owners (individually or combined)

in the entities that hold the Facilities Based Unified Telecommunications Services License or the

entities that hold the MVNO license to own (5%) or more of the shares in the Licensee of any class;

directly or indirectly, and the Commission has the right to exempt any applicant of the mentioned

above ownership percentage.” Can CITC clarify what defines an “owner” in a Facilities Based Unified

Telecommunications Services License (FBUL) for the purposes of the RFA: (1) Is it any party that holds

5% or more equity in the FBUL? (2) Is it any party that holds just one share in the FBUL? (2) Does this

refer to the founding shareholders of the FBUL?

In reference to Article 3.3.2, we note that FBUL holders and existing MVNOs cannot hold any

equity in the new MVNOs. Given that in the previous MVNO licensing round in 2013/2014,

mobile telecommunications operators were permitted to hold up to 10% equity in the

MVNOs, could CITC clarify why MNOs/FBULs entities are not permitted to hold equity in

the new MVNOs؟

Experience will be considered based on the provisions of article (4-2-2) and the evaluation criteria

mentioned in Appendix 2 of the RFA.

Taking into consideration that the ownership of the foreign partner (consortium member) should not

be less than 15% of the share capital of the consortium as per article (4-2-3) of the RFA document (if

the applicant is a consortium).

Taking into consideration that the foreign partner's ownership percentage in the consortium should

not exceed 70%, as per the requirements of the Ministry of Investment for this type of activities.

Multiple foreign partners can be accepted as members of the consortium, but a single management

agreement can be submitted with the applicant with one experienced foreign partner that owns at

least 15% of the share capital of the consortium, and only his experience will be taking into

consideration as per article (4-2-2) and evaluation mentioned in Appendix 2 of the RFA.

An MVNO Consortium may wish to engage with a foreign MVNO partner primarily to leverage its

brand, its technical support capabilities, its intellectual property, but have the local MVNO company

staffed by individuals (Saudi-nationals or foreign nationals) appointed to run the operation who are

not seconded by the foreign MVNO partner. The Consortium may wish to have technical know-how

and capabilities transferred over time from the foreign MVNO partner to the local personnel at an

accelerated timeframe much shorter than the timeframe of 5 years envisaged by CITC. Will this

comply with CITC’s perceived view of the involvement of the foreign MVNO partner in the

operations of the MVNO company?

CITC has indicated that any host agreement must comply with the “Rules and Conditions for MVNO

Services and IoT-VNO Services Provision” published on CITC website (www.citc.gov.sa). CITC also has

a copy of the MVNO Guidelines published on its website. The guidelines set out specific details of the

format of a typical agreement. Can CITC confirm that MVNO Consortia and the Hosts do not need to

comply with the MVNO Guidelines and that they are free to adopt any format of agreement which

both parties find acceptable, as long as the provisions in the agreement comply with the principles set
