    CITY OF CARMEL BY THE SEA

    CONTRACT

    FOR THE

    BEACH RESTROOMS PROJECT

    THIS CONTRACT is made and entered into on the s t day o fA p r i l , 2014, by and between the City o f Cannel by -the-Sea, Monterey County , State

    ofCa1ifomia, hereinafter called City , and Tombleson Incorporat ed, hereinafter cal1edContractor .

    WITNESSETH: That ity and Contractor have mutually covenanted and agreed, andby these presents do covenant and agree with each other as follows :

    1. That for and in consideration of the covenants and agreements hereinaftercontained on the part of City , and th e sums of money hereinafter designated to be paid toContractor by City in the manner and fonn as shown in the attached specificatioD;S , Contractorhereby covenants and agrees to and with City, to furnish all labor, tools, appliances , equipment ,plant and transportation , and any and all other expenses necessary or incidental to theperformance of certain work hereinafter specified and to complete the public work herein

    referred to for City, for the schedule and items awarded, all as more particularly and in detail se tforth in those certain specifications filed in the office o f he City Administrator , and identified bythe signatures of the parties to this agreement. True copies of the contract documents togetherwith all modification s incorporated in those documents before their execution, are hereuntoannexed by and reference thereto incorporated herein and made a part hereof as though in thisdocument fully set forth . The contract documents shall consist of this Contract , 5 pages);Not ice to Bidder s (2 pages) , Bid Form Proposal (5 pages), Bid Sheets (2 pages), Sample BiddersBond 2 pages), Specifications 1 0 page s).

    2 . Contract Price: Contractor agrees to receive and accept and City agrees to paythe proposal prices as full compensation for furnishing a materials and for doing all the workembraced and contemplated in this agreements and as set forth in the Contractors proposal

    submitted to the City of Carmel-by-the-Sea , on the 261h of March 2014, and the true copy thereofattached, and for all loss or damage arising out of the nature of said work, or from the action o f

    the e lements of from any unforeseen difficulties or obstructions which may arise or beencountered in the prosecution of the risk connected with the work , and for well and faithfullycompleting the work and the whole thereof , in the manner and according to the saidspecifications and the requirements of the Building Official (City representative) under them , towit: the Contract price of $619,654 .00 as set forth in the Contractor ' s Proposal o f Bidder for thework awarded under this agreement.

    Contractor further agrees to plan the work and to prosecute it with such diligence thatsaid work and all of it shall be completed as identified in the Contract Documents fo r the BeachRestrooms Project.

    Upon completion, the Contractor shall present a Statement of Compliance , i f applicable.Attached thereto there shall be copies of payro11 certification records indicating the prevailinghourly rate of per diem wages fo r this loc ality (Area 2) pursuant to Labor Code Section 1773 .2.

    of City's rights or any statute oflimitations.

    9. Independent Contractor. Willie engaged in carrying out the terms andconditions of this Agreement, Contractor is an independent contractor and not an officer,employee or agent of City. Contractor shall not at any time or in any manner represent that it orany of its agents or employees is in any manner , an agent or employee of City.

    10. Contractor shall provide:

    A Compensation Insurance under the laws of the State of California, for all laboremployed by it or by any subcontractor under it, who may come within the protection ofsuch Workers ' Compensation laws of the State A. Workers CompensationInsurance . Contractor shall maintain adequate Workers' of California , and shall provideemployers general liability insurance for the benefit of its employees and the employeesof any subcontractor under it, not protected by such compensation laws, and proof ofsuch insurance , satisfactory to City, shall be given by filing certificates of such insurancewith City, in a form satisfactory to City. f such insurance is underwritten by any agencyother than the State Compensation Fund, such agency shall be a company authorized todo business in the State of California. Contractor shall not commence work untilcertified proof of insurance has been provided to City.

    B Public Liability and Property Damage Insurance. Contractor shall take outand maintain during the life of this Contract such public liability and property damageinsurance as shall protect it and any subcontractor performing work covered by thiscontract from claims for personal injury or property damages which may arise because ofthe nature of the work or from operations under this contract, whether such operations beby Contractor or by any subcontractor or anyone directly or indirectly employed by eitherof them. The Public Liability, Personal Injury and Property Damage Insurance shall alsodirectly protect the City, its officers, agents and employees, as well as the Contractor andits subcontractors , and all insurance policies issued hereunder shall so state. The City ofCarmel-by-the-Sea, its elected officials, officers, agents and employees shall bespecifically named, by written endorsement to the Certificate of Insurance, as additionalinsured for this project under such insurance policy and Contractor shall provide Citywith a certificate of such insurance for the term of this contract. The amounts of suchinsurance shall be as follows: Combined single limit of not less than One Million Dollars( 1 ,000,000.00) per occurrence and Two Million Dollars ( 2,000,000.00) in aggregate.

    Said insurance shall be with a company acceptable to City and sha11 be primary over anyother valid or collectible insurance City may have . The insurance carrier shall provideCity with a certificate evincing the existence of the insurance and specifying compliancewith these terms and the issuing company shall agree to provide City with thirty (30)days prior written notice of cancellation or non-renewal of the policy.

    Contractors liability insurance and automobile liability insurance covering all vehiclesused in the performance of the Contract providing for public liability, personal injury and

    property damage insurance with limits of the not less than one million dollars{ 1 ,000,000) combined single limit.

    11. Safetv. Contractor shall conform to the rules and regulations pertaining tosafety established by the California Division oflndustria l Safety .

    12. Liquidated Damages. In consideration of liquidated damages to City,occasioned by Contractor not completing the work within the time set for Contractorsperformance, City having to prepare termination notices, prepare specifications to complete the

    Pursuant to SB222 , City is required to withhold from any progress payments owed to acontractor any amount that has been forfeited as penalties , or as wages owed to employees whohave not been paid the prevailing wage for work performed. This allows the intervention by theDivision of Labor Standards Enforcement, which is headed by the State Labor Commission , i n acontractor s lawsuit for recovery of amounts withheld by an awarding body . All withheld wagesand penalties will be transferred to the Labor Commissioner for disbursement in those caseswhere a contractor fails to bring a lawsuit for amounts withheld within ninety (90) days aftercompletion of the public works contract and formal acceptance of the job by the awarding body.The Labor Commissioner is then permitted to intervene in any lawsuit brought by the contractoragainst an awarding body for recovery of amounts withheld.

    Certified payrol1 records must be on the forms provided by the Division of Labor orcontain the same information required on the Division s fonn.

    3. Payment Contractor shall be paid for the work within thirty (30) days ofsatisfactory completion . Notice o f Completion shall be given to the City in writing. I f any workis not satisfactorily completed , City shall have the right to withhold from the payment a sumequal to on e and one-half times the estimated costs o f satisfactorily completing the work . Cityshall have the right to use said sum to pay Contractor for satisfactorily completing the work , or

    upon refusal of Contractor to satisfactorily complete the work, to pay another contractor to do so.Any money remaining after satisfactory complet ion shall be paid to Contractor, less any sumsowed City by Contractor. Contractor shall have the right to substitute securities for any monieswithheld by City to ensure performance under this agreement pursuant to Government CodeSection 4590.

    4 . The parties agree that this Contract shal be binding upon themselves, their heirs,executors, administrators, successors and assignees and hereby agree to the full performance ofthe covenants herein contained.

    5. No interest in tbis Contract shall be transferred by Contractor to any other party,and any such transfer shall cause annulment o f this Contract, so far as City is concerned. Allrights of action , however, for any breach of his contract are reserved to City.

    6 . Supplies Contractor shaU keep harmless, indemnify and defend City , itsofficers and agents, on account of articles supplied by Contractor under this Contract, of which itis not patentee or which it is not entitled to use or sell.

    7. Hold Harmless Contractor agrees to hold harmless, indemnify and defendCity, its elected officials, agents, officers, and employees thereof, including the BuildingServices Specialis t (City s representative), whil acting within the scope of their duties from andagainst any and all liability , claims, damages and cost of defense arising out of Contractor sperfonnance of the work described herein including injuries and damages arising fromnegligence o f City or others except for injuries and damages arising from sole negligence ofCity. Contractor will require any and all subcontractors to confo nn with the provisions of this

    clause and provide proof of all required insurance prior to commencing any work .8. Warranties Contractor agrees that it will warrant all work performed and

    equipment supplied hereunder for a period of one year or, in the case of equipment, for theperiod of the manufacturer s warranty if such warranty be for a period longer than one year .Contractor shall immediately correct all defective worlananship discovered within one year afteracceptance o f final payment by it and shall indemnifY and defend City against all loss anddamage occasioned by any such defect, discovered within said year, even though the damage orloss may not be ascertained until after the expiration thereof. Nothing herein constitutes a waiver

    work, re-let bids , and experience the general delay of not having the work completed in a timelyfashion, the parties agree that it would be extremely difficult and impractical to fix actualdamages and that Contractor agrees if the Contract is not completed within the time periodspecified in the Contract, it wi11 pay to City the sum of seven hundred fifty dollars ( 750.00)each and every calendar days delay in finishing the work in excess of the number of workingdays prescribed in the Contract, said sum of liquidated damages to be deducted from the amountdue the Contractor for work completed .

    13 . Conflicts in Documents This Contract and the contract documents areintended to constitute one complete and consistent contract. Should any conflict exist,Contractor shall secure written instructions from Sharon Friedrichsen , Public Services Director(City Representative) before proceeding .

    14. Protecting Trees Contractor acknowledges that it is familiar with i t ispolicies for the protection of trees and agrees to take all reasonable precautions to protect treesnot subject to trimming or removal from damage which might be caused during the work. (Referto the Municipal Code ofthe City of Carmel-by-the -Sea, Chapter 12.28)

    15 . Inspection ity shall at all times have the right to inspect the work andmaterials . Contractor shaH furnish all reasonable aid and assistance required by City for

    examination of the work and all parts thereof Such insp ection shall not relieve Contractor fromany obligation to perform said work strictly in accordance with the specifications or anymodifications thereof and in compliance with the law.

    16. Conflict o Interest Contractor covenants that neither it nor any person workingfor it or with it to provide the services called for by this Contract has any interest, nor sha11 anyperson acquire any interest, directly or indirect ly which would conflict in any manner or degreewith the performance of the services hereunder. Contractor further covenants that in theperformance of his Contract, no person having such interest shall be employed by Contractor.

    17. Nondiscrimination Contractor agrees that in the performance of this Contractor any subagreement hereunder, neither Contractor nor any person acting on Contractors behalfsha11 refuse to employ or refuse to continue in any employment any person on the basis of race,religious creed, color , national origin, ancestry, physical handicap, medical condition, maritalstatus, sexual preference, sex or age . Harassment in the workplace is not permitted in any form.Contractor further agrees to comply with all laws with respect to employment when performingthis Contract.

    18 . Suspension or Abandonment o Work t is mutually agreed that City maysuspend or abandon, in whole or in part, this Contract upon five (5) days written notice toContractor, in which case City shall pay Contractor for services rendered and work completed atthe time of such suspension.

    19. Changes Any changes or amendments to this Contract shall be written,consecutively numbered, change orders. City may, from time to time , amend or modify the

    scope of the work to be performed hereunder.20 . Disputes Disputes and other matters in question between Contractor and

    City's representative relating to this Contract shall be referred to the City Administrator or hisduly authorized representative, who will render a decision within a reasonable period of time.

    21. Claims Claims for time extensions or cost increases from Contractor shallbe considered valid only i Contractor notifies the City Representative of any such claim inwriting within five (5) working days from the date of the circumstances allegedly justifying theclaim, unless otherwise stated in the Contract specifications.     I spoke with Patrick LeMaster today about other alternatives for the door just to see if there was some hybrid option wemight be able to use . Patrick indicated that they could sketch up an option for a metal ho llow core door with a border

    frame around it that would basically retain the edges of tongue and groove wood planks on the front of the door. Thioption would allow for future replacement of individual planks if things got really beyond some sanding & refinishing.

    He estimated that it would be a couple of hours effort on their part to come up with some sketches that could then bepriced by one of the local metal fabricators don' t know how the pricing will work o u t - I guess even i f i t turned outmore expensive to begin with it would give the City some flexibi lity in terms of maintenance down the road?

    Whatever the decision, now is the time to move on it while we have some down t ime I want to get this nailed down

    Hi Sharon,

    Yes the re will be hand dryers total. The Mechanical engineers have analyzed the power requirement s for the electrichand dryers and are not fully convinced that the solar panels will be adequate to produce enough power during thefoggy season and or cloudy spells without the additional use of a gasoline generato r. At our last meeting we wereinstructed that paper towels were not an option so we felt having a new PG E meter installed to fully meet the powerrequirements of the facility and maintenance crew made the most sense .

    We are limited to our roof size and mechanical closet so we are somewhat limited to the amount of panels we can add,not to mention that the cost of the added equipment may not be much less than a new meter connection , and we stil lhave a problem with the foggy days. We think it 's in the City's best interest to get all associated cost s for a new PG Emeter to see what the actual costs come in as , we can always go back to a paper towel dispenser after the fact .

    Have you had a chance to contact PG E to d iscuss the possible new routes?

    There s a seque l to the story. Met with the then commanding officer of 1st Battalion 1st Marines at CampPendleton in 2003, suggested having the entire Battalion formally Adopted. He concurred and inDecemberof 2003 I arranged to have 1/1 formally Adopted by Newport Beach, within reasonable striking distancefromCamp Pendleton.

    I.Jon t want to inconvenience City staff, but if they could possibly locate and make a copy of the CarmelCityCouncil resolution Adopting my platoon and forward it to me, I d appreciate it greatly. Believe this wasin the

    latter part of 1966. Can t honestly recall who the Mayor was then, who I contacted. Do recall that thiswaswhen Clint Eastwood was relatively unknown, we frequented El Matador on Ocean Avenue across fromthePine Inn. El Matador closed years ago. Suspect much of its former clientele is down at the Mission Ranchnow.

    At a dinner on 02 August 14 which he hosted for cities which have Adopted 1st Marine Division units,MajGen Larry Nicholson, Commanding General 1st Marine Division, mentioned Carmel as the firstdocumented USMC unit Adoption.
