1. Introduction & Disclaimer

Dena Bank intends to procure EMV Chip card Plastic, Personalization, Printing of Welcome Kit stationery & Administration of EMV and contactless Debit, image/ photo cards. This Request for Proposal (RFP) document has been prepared solely for the purpose of enabling Dena Bank (“the Bank”) to select a vendor for End to End EMV and Contactless Debit card Management (Supply of EMV Chip card Plastic, Personalization, Printing of Welcome Kit stationery & Administration of EMV and contactless Debit, image/ photo cards) The RFP document is not recommendation, offer or invitation to enter into a contract, agreement or any other arrangement, in respect of the services. The provision of the services is subject to observance of selection process and appropriate documentation being agreed between the Bank and any successful vendor as identified by the Bank, after completion of the selection process as detailed in this document.

2. Invitation for Bids

2.1 Dena Bank invites sealed bids from eligible bidders for End to End EMV and Contactless Debit card Management (Supply of EMV Chip card Plastic, Personalization, Printing of Welcome Kit stationery & Administration of EMV and contactless Debit, image/ photo cards).

2.2 Interested eligible bidders may obtain further information from the office of Dena Bank, Information Technology Department, Dena Bhawan-B, Patel Estate Road, Behind Telephone Exchange, Jogeshwari (w), Mumbai 400102.

2.3 The Bid Document is to be downloaded from the Website. The non-refundable fees for downloaded document must be deposited before the last date & time of sale of bidding document as tabulated below. No hardcopy of the bid document will provided.

2.4 Bid Amount should be credited to the Dena Bank Account Details mentioned in the table before Last Date & Time of Bid submission. Payment Transaction reference details should be submitted along with technical Offer bid submission.

2.6 Bid submission will be through e-Tendering process as well as Hardcopy. Bidders

are also required to submit required documents through e-tendering portal. Both

the submission have to be completed before the last date of submission of offers.

2.7 Bidders have to submit the EMD to the above address on or before the last date of

submission of offers.

2.8 Bids will be opened by the Bank officials on the specified date and time in the

presence of the bidder’s representatives.

2.9 Bidders will have an interface with the Bank on the technical feasibility of the

proposal during pre-bid meeting. If the Bank is not satisfied with technical

specifications and the feasibility of the technical offers submitted by any bidder, the

commercial offers of that bidder will not be opened. Technically disqualified offers

will not be taken up for further process and no discussions / interface will be granted

to such bidders.

2.10 Dena Bank reserves the right to accept or reject in part or full any or all the offers

without assigning any reasons there for.

3. Scope of Work

3.1 Dena Bank invites bids from eligible bidders for 10 Lakhs EMV Chip Cards and 20

Lakhs EMV cum Contactless (Dual Interface) cards.

3.2 Procurement of EMV/CONTACT LESS Card plastic with MagStripe & Image / Photo

cards from VISA, MasterCard and RuPay vendors.

3.3 Personalization of EMV/Contact Less Card with MagStripe & Image/Photo, with

provision for embossing/indenting. Embossing should not involve any additional

cost. The vendor should be compulsorily certified for all the three networks i.e.

VISA, MasterCard and RuPay. In case this job is entrusted to another agency for

purpose of BCP or any other reason, prior written permission has to be obtained

from Dena Bank. The agency/service provider to whom the job is entrusted should

be compulsorily certified for the respective networks i.e. VISA, MasterCard and

RuPay. The embossing file should be transmitted to the agency in a secured /

encrypted manner as decided by the Bank.

3.4 As of now, our Bank requires non-photo personalized Debit Cards. However, going

forward, our Bank may require personalized photo / image Debit Cards or any other

personalization/improvement or changes as per the directions of RBI/other

regulator or the Government and as per the requirements of the Bank for some/all

variants. The bidder should possess necessary infrastructure for printing

photo/image Debit Cards and for further personalization/improvement or changes

as desired by Bank with high volume output and needs to carry out the same without

any additional cost.

3.5 Procurement/printing of variant wise collateral/stationery.

The vendor should quote for all activities requested in this tender. The order for all three activities (EMV Chip Card / Contactless (dual interface) NFC Debit card Artwork in Plastic, Personalization, Printing of Welcome kits including Administration and Dispatch) for a particular variant will be given only to a single vendor, qualifying in the technical evaluation by the Bank and quoting lowest in the commercial offer computed on total cost per card basis (cost of EMV Chip / contactless card plastic procurement, cost of Personalization, cost of printing Welcome Kits & Administration as per formula in annexure I) for all types of card and welcome kit stationery together. Bidder should quote for both EMV Chip Debit Cards and Contactless (Dual Interface) NFC Debit cards mandatorily. VISA & Rupay Contactless Card plastics will be mutually used and quantity will be mixed up as per the Bank’s requirement.

3.7 Compliance with IS Security Policy:

The Vendor shall have to comply with Bank’s IT & IS Security policy in key concern areas relevant to the RFP, details of which will be shared with the finally selected Bidder. Some of the key areas are as under:

Responsibilities for data and application privacy and confidentiality

Responsibilities on system and software access control and administration

Custodial responsibilities for data, software, hardware and other assets of the Bank being managed by or assigned to the Vendor.

Physical Security of the facilities.

Physical and logical separation from other customers of the Vendor

Incident response and reporting procedures.

Password Policy of the Bank.

Data Encryption/Protection requirements of the Bank.

In general, confidentiality, integrity and availability must be ensured.

Data purging to be undertaken periodically and ‘Data Purging Certificate’ should be provided to the Bank as per Bank’s requirements.

Bank’s authorized officials/representatives will make surprise visits as per their requirement for better monitoring and control.

The vendors should maintain at least 90 days recording of the CCTV footage of their actions for verification by Bank or its authorized representatives.

Hardening of (restricted exclusively to the card related activities of Bank) Servers, Desktops and other devices used for the facility as per the Secure Configuration Document as per Bank’s policy. The Secure Configuration Document will be shared with the Bidder finally selected.

Keys for encryption should be securely kept and procedures outlined in Bank’s cryptographic policy should be followed. Bank’s encryption policy will be shared only with the finally selected Bidder.

Segregation of duties should be implemented for various activities e.g. card entry and card embossing, stuffing of card envelope, dispatch etc.

Strict physical segregation and control for movement of portable disks like floppies, CDs, flash drive, etc. inside the area identified for card embossing

Secure storage of back up media viz. access control, protection from fire and magnetic field etc.

Physical access restriction to ensure that persons connected with the work are only allowed access to the printing and embossing areas, as applicable

Background check for the personnel engaged in the activities as per policy

Non-disclosure agreement, indemnity from the vendor

Employee undertaking to treat the information confidential and abide by Bank’s IT Policy and IS security policy

a) The finally selected Bidders will be responsible for the safety, security and confidentiality of data.

b) Information Security Certificate as per annexure K to be provided.

3.8 PIN printing will be done by the Bank

Welcome letter should contain both customer address and concern branch address. Return cards /not delivered cards to be delivered at the concern branches.

3.9 Personalisation of the Cards

The card production file for the cards to be produced will be sent from Bank’s SFTP centre containing the details for card personalization. The agency has to personalise the cards and the welcome letter, stuff the card and the respective welcome letter in the welcome kit, paste the advertisement sticker on the envelope and hand over to the courier agency identified by the Bank. In addition to the specifications for card personalisation mentioned in annexure-A, the printing and encoding of “aadhaar” number or any such identification number on the card shall be done at no additional cost to the Bank, as and when required by the regulatory or statutory authorities. In 8case the activities of fourth line personalisation and pasting the advertisement sticker on the envelope is not availed by the bank, then cost of these activities quoted by vendors in Annexure-I will be deducted from the personalisation and administration cost.

3.10 Printing of Welcome Kit Stationery

The CD containing the files to be printed as per the specifications mentioned in annexure-A will be provided by the bank. The number of welcome kit stationery supplied will be

arrived based on the cards personalised. Wastages if any will have to be borne by the vendor. The Bank reserves the right to indent for some or all the contents of stationery as mentioned in annexure-A. Based on requirement, Bank may order stationery in bigger or smaller lots, and the rates will be paid as detailed in Annexure-I. The booklets provided along with the welcome kit may contain different number of pages for different variants. Bank will pay for actual number of sheets (one sheet = 4 pages) in the booklet of each kit as per rates quoted in Annexure-I. The Bank at its own cost may supply additional leaflets/booklets/any other insert from time to time, which the vendor has to insert into the welcome kit at no additional cost.

3.11 Service Requirements

The performance of the supplier will be reviewed every 3 months on delivery and quality parameters. Bank reserves the right to terminate the contract with immediate effect for poor quality performance. Noncompliance of any of the prescribed conditions would entitle the Bank to cancel the order anytime. A cure period of 30 days will be provided before cancellation of order.

3.12 Quality

The vendor must abide by the quality standards and specifications prescribed by VISA, MasterCard and RuPay for Procurement/Manufacturing, EMV and Magstripe data creation and Personalization of EMV/CONTACT LESS CARD with MagStripe, Image/Photo cards and any other quality standard and specifications stipulated by RBI/any other regulator or the Government from time to time. Following are the key criteria for judging the quality of the EMV Card plastic -

a. Chip Position b. Magnetic strip Position c. Quality of Magnetic strip d. Thickness of the Card e. Clarity and durability of contents printed on the card f. Overall look & feel

The supplier shall guarantee that all materials shall be of superior quality and standard and the same shall be suitable for the purpose for which they are intended. The supplier shall guarantee that the material shall be in strict compliance with the specifications mentioned and the requirements agreed upon and the acceptance will be subject to inspection and test when received.

The bank reserves the right to reject and return at the risk and expense of the vendor, any deliveries that may be defective or do not confirm to the specifications/forward samples approved by the bank and VISA/RuPay. The bank‟s decision will be final regarding quality and acceptability of the goods. The quality of card personalization will be judged based on the look and durability of the items printed on the card. The following are the key criteria for judging the quality of welcome kits

a) Quality of paper used b) Thickness of the paper c) Gumming at the edges of envelop d) Durability e) Overall look & feel f) Colour & Fabrications

The supplier shall guarantee that all materials shall be of superior quality and standard and the same shall be suitable for the purpose for which they are intended.

The supplier shall guarantee that the material shall be in strict compliance with the specifications mentioned and the requirements agreed upon and the acceptance will be subject to inspection and test when received.

The bank reserves the right to reject and return at the risk and expense of the vendor, any deliveries that may be defective or do not confirm to the specifications. The bank‟s decision will be final regarding quality and acceptability of the goods.

Procurement/printing of collaterals/stationery and Variable printing of mailers and other collaterals should be strictly in accordance with specifications provided by Dena Bank from time to time.

3.13 Data Quality Check

File level checks: Name Convention, duplicate file, File format, mandatory Field check.

Record level check: Proper pin code, D-dup check, address check and other related checks as specified by bank from time to time.

3.14 Acceptance Tests

At its discretion, Bank or its representatives will conduct acceptance tests. The test will include physical verification and testing. There shall not be any additional charges payable by the Bank for carrying out this acceptance test. In the event of any errors and discrepancies detected during acceptance testing, resulting in corrective action on the

part of the vendor, the schedule for acceptance testing will be revised to a mutually convenient date at the cost and expenses of the Vendor.

The Bank reserves its right to get the cards and welcome kits tested by any consultant / agency of its choice and the Vendor will not object to the same.

3.15 Dispatch of Cards

The personalized cards have to be stuck to the respective personalised welcome letter and stuffed into the Welcome Kit. Then the advertisement sticker will have to be pasted on the envelope. The kits have to be handed over in lots to the Courier agency / Speed Post as identified by the Bank for the purpose. The cost of dispatch will be borne by Bank. The service Provider should send daily MIS to the bank / Switch vendor through SFTP / Email regarding the details of the cards handed over to the courier. Data storage, sensitive data to be deleted immediately after processing, other details like dispatch details and other instructions to be kept for contract period + 3 years. Turnaround time shall be 24 hours (excluding India Post holidays) from receipt of embossa file to delivery to Speed Post/Courier(s) for Non-Personalized Welcome Kit Cards and 48 hours for other cards. Cut-off time of the day for the purpose of TAT will be 1700 Hrs. Vendor should be able to make arrangement for issuance and dispatch of priority cards within 12 hours of the receipt of embossa file.

3.16 Connectivity

Finally selected bidder for card processing would be required to connect to the switch vendor or Bank project office as the case may be for sending /receiving customer data/embossa. The mode of connectivity can be lease line/MPLS with adequate capacity. Backup line should also be provided which should be a dedicated line with a different network provider. Vendor’s local network interfacing with ATM switch vendor / Dena Bank network should have firewall with rule-base configured as per Bank’s IT security policy. The interface with Dena Bank / ATM switch vendor network shall not be used to connect any other third party and be dedicated only to sending/receiving data related to card processing for Dena Bank only.

The vendor should stock the printed welcome kits and procured EMV card plastics following the VISA specifications for VISA debit cards, specifications for debit cards and RuPay specifications for RuPay debit cards. In this regard, the vendor is required to maintain complete record of dispatch and the stock of cards and welcome kits. The stock shall be subject to periodic audit by the bank or its representatives and RBI or its representatives and the vendor should make necessary arrangements for the same. The service Provider has to ensure that 25 days stock of cards and welcome kits of each variant are available at any point of time and should avoid any stoppage in production for want of card plastic and/or welcome kits. The service provider has to arrive at a reorder level for procuring the plastics and welcome kits based on Bank’s forecasts, actual consumption,lead time for procurement and initiate the measures for procuring new lot of plastics and welcome kits sufficiently in advance. In case of discrepancy in plastic or welcome kits offered for supply, the Bank may reject the entire lot.

Delivery of the cards and welcome kits will be deemed as complete only when the same are accepted by the Bank in accordance with the Terms & Conditions mentioned in this tender.

The vendor should complete the activity of card personalization and administration for the data supplied by the bank on a particular day within 24 hours of supply of the data. For any delay (including non-availability of welcome kits) beyond 24 hours, reasons should be submitted to the bank in writing. If there is a delay beyond 48 hours and if the bank is not convinced about the reasons for the delay, it shall be construed as breach of contract.

4. Project Reporting

A weekly progress report shall be submitted. Also the Vendor/Bidder shall report on items by exception or that require urgent action. Monthly Project Execution Committee meetings will be held at Dena Bank premises. The Vendor/Bidder is required to provide a report on the following:

Progress against the Project Management Plan

Status of all open issues

Ad-hoc requests for information will be assessed promptly by the Vendor/Bidder and a delivery date will be given. The Vendor/Bidder shall deliver the required information within the agreed time frame.

5. Deliverables

Delivery should be made in lots as per delivery instructions issued by the bank from time to time.

The cards to be supplied should be packaged, labelled and delivered as per VISA‟s guidelines for VISA Debit cards, guidelines for debit cards and RuPay guidelines for RuPay debit cards and MasterCard guidelines for MasterCard Debit Cards. All cards and welcome kits supplied under this tender shall be properly packed to guard against all damages, losses, etc., during the handling and transit. Any damage caused to any material during transit shall be at the supplier‟s risk and account.

The envelopes have to be properly sealed. The sealed envelopes have to be dispatched on daily basis through courier agencies/Speed Post to customer’s mailing address(domestic or overseas) and/or branches located pan India or Location Of Delivery as per instructions provided and as per stipulated delivery deadline of T + 2 basis. The services to be provided in terms of this RFP cover all existing offices/Branches of the Bank located across India geographies as well as upcoming branches also.

Lead-time for delivery of the card plastics is 4 weeks from the date of receiving card design approval from VISA/ RuPay for each lot. Delivery should be made within the time stipulated, failing which the Bank reserves the right to cancel the order or refuse to accept the goods which are not delivered within the lead time.

The Service Provider will have to provide the below mentioned MIS in soft copy :

a) Stock position of Blank Card plastic and collaterals/stationery on a weekly basis. b) The connection file containing details of dispatch as per Bank’s requirement alongwith

with airway bill numbers has to be provided to the Bank / Switch provider of the Bank by EOD of the next working day.

c) The Vendor will have to provide data on delivery TAT for each Debit Card consignment dispatched, on a monthly basis so as to compute the penalties applicable.

d) Any other MIS, which Bank may require time to time to furnish to the Top Management or to Govt/Statutory agencies.

e) Daily report on rejected file to Bank / ATM switch centre as per format to be shared to successful vendor.

f) Hold data report with reasons to Bank / ATM switch centre as per format to be shared to successful vendor.

g) MIS requirements as stated above may vary and may be modified during the course of contract period as per requirements of the bank. Finally selected bidders shall not be entitled for any remuneration for fulfilling such new requirements.

For welcome kits, the vendor shall ensure that 25 days requirement of each variant (welcome kit) are always stocked at the card personalizing center. It shall be the sole responsibility of the vendor to ascertain from the bank from time to time the stationery requirements well in advance.

Bank reserves the right to take delivery of the plastic cards in lots of 10000 for Visa and RuPay Cards. This will require the vendors to arrange for sufficient storage capacity at their end. Bank reserves the right to change the art work for each lot considering the stock of cards. Orders will be placed for minimum lot of 10000 cards.

For EMV card plastics, although the card design will be the same for each lot size of 10000 for Visa / MasterCard and RuPay cards, the Bank reserves the right to order cards with different BINs (subject to maximum of 6 BINs) within a single lot (i.e, 10000 cards of 6 BIN’s)

For Welcome kits, the purchase order will be for 1,00,000 kits each. Bank reserves the right to change the contents for each lot. Prior intimation will be given by the Bank to the Vendor in case there is any change in the design. Vendor shall be responsible for delivery of the welcome kits to the card personalising facility at no additional charge within two (2) weeks of receiving the indent for each lot.

The quantities and lot sizes mentioned in this tender are indicative and Bank reserves the right to alter the quantities and lot sizes for both cards and stationery based on requirements.

Wherever the location of the card personalising site is different from the card plastic manufacturing facility / welcome kit printing facility, the Bank will not arrange for any Permits/Sales Tax clearance for delivery of Cards and/or Welcome Kits to the card personalising site and the Vendor is required to make their own arrangements for delivery of cards and/or welcome kits to such location. All costs associated with transportation, insurance, taxes, octroi/entry tax etc involved in transfer of cards / kits to the card personalising site will be borne by the vendor.

Bidder to make the arrangements for dispatch of the cards to customer address/branches/Zonal Offices/Cards Management dept.-HO or any other address communicated by the Bank through Banks empanelled courier agency/ Indian Post. Cost for the dispatch will be paid by the Bank directly to the courier agency / Indian Post. Bank 's courier agency / Indian Post will pick up the consignments from the bidders site

At the discretion of the Bank, there will be an acceptance test conducted by the Bank‟s officials and/or its nominated consultants after delivery of card plastics and welcome kits. As of now, our Bank requires non-photo personalized Debit Cards. However, going forward, our Bank may require personalized image/photo Debit Cards or any other personalized feature for some/all variants. The bidder should ensure necessary infrastructure for printing photo/image Debit Cards with high volume output and needs to carry out the same without any additional cost.

For image / photo debit cards to the customers, successful bidder/s would be required to provide cards printed with the mage selected by the customer or provided by the Bank.

Must have Business Continuity Plan (BCP) within India and should submit certificates for the same.

Must have internal control and audit measures in place and should submit certificates for the same.

The bidder should have its own Disaster Recovery (DR) Site in India and Business Continuity (BC) Plan. Indicate the systems available for DR / BCP or the time frame in which they will be available. DR site must be located in India. DR and BCP plan, documents, if any, may be provided as a proof or Time frame in which they be available be specified by the vendor through self-declaration on their letterhead.

The bidder having the history of Black-listing/De-empanelment/ Debarring/Removal from Empanelment due to serious violation of terms and condition of tender/Pending litigation of tender by any Bank, Government/Semi Government /Public Sector Unit/autonomous bodies under Government of India/any other foreign Government during the last five financial years in India or abroad will not be eligible to participate in this tender. Self-declaration should be submitted with the bid on vendor letter head. The Bank will have the right to cancel the bid of such bidder during the evaluation and execution of the project even after the successful allocation of the work.

Bidder should comply with all applicable Union, State and local laws, ordinance, regulations in performing its obligations including the procurement of licenses, permissions, certificates, etc. payment of taxes, if required. Bidder has to submit self-certification on its letterhead.

The Bidder must comply with all above-mentioned criteria. Non-compliance of any of the criteria will entail rejection of the Bid summarily. Photocopies of relevant documents/certificates should be submitted as proof in support of the claims made. Dena Bank reserves the right to verify/evaluate the claims made by the Bidder independently. Any decision of Dena Bank in this regard shall be final, conclusive and binding upon the Bidder

Please note Bidder to also supply cards to Dena Bank Sponsor RRB Dena Gujarat Gramin Bank (DGGB) on the same rate under this RFP. Separate PO will be issued for the same by DGGB & payment for the same will be issued by DGGB only.

6. Minimum Qualification Criteria

The bidder meeting the General Eligibility Criteria will be considered for technical evaluation. Non-compliance to any of these criteria would result in outright rejection of the Bidder’s proposal. The Bidder is expected to provide proof for each of the points for eligibility evaluation. The proof provided must be in line with the details mentioned in “General Eligibility criteria compliance” Eligibility Evaluation Details. Any credential detail mentioned in “General Eligibility criteria compliance” and not accompanied by relevant

proof documents will not be considered for evaluation. All credential letters should be appropriately bound, labelled and segregated in the respective areas. There is no restriction on the number of credentials a Bidder can provide. The decision of the Bank would be final and binding on all the Bidders to this document. The Bank may accept or reject an offer without assigning any reason what so ever.

7. Instruction to Bidders

7.1 Amendment to RFP Contents

At any time prior to the last date for bid-submission, the Bank may, for any reason, whether at its own initiative or in response to clarification(s) requested by a prospective bidder, modify the RFP contents by amendment. Amendment will be notified in writing on Bank’s website or by e-mail to all the prospective bidders and will be binding on bidders. All the communications will be published on the website. The Bank shall not be liable for any communication gap.

In order to provide prospective bidders, reasonable time to take the amendment into account for preparation of their bid, the Bank may, at its discretion, extend the last date for bid submission.

7.2 Two Bid System Offer:

7.6 Terms and Conditions:

Terms and conditions for bidders who participate in the offer for quotes are specified in the section called “Terms and Conditions of Contract (TCC)”. These terms and conditions will be binding on all the bidders. These terms and conditions will also form a part of the purchase order, to be issued to the successful bidder(s) on the outcome of the offer process.

7.7 Non-transferable offer:

This offer document is not transferable. Only the party, who has purchased this offer, is entitled to quote.

7.8 Pre bid Meeting:

There will be a meeting with all the bidders, as specified earlier at Dena Bank, Information Technology Department, Dena Bhawan-A, Patel Estate, Jogeshwari (w), Mumbai 400102, to address any queries in connection with the document. It is essential that all clarifications / queries be submitted to Dena Bank one day before scheduled pre-bid meeting at above mentioned Email id. The bidders who have purchased the Bidding Documents will be allowed to attend the Pre-bid meeting. Queries to be submitted strictly as per the format given at Annexure –O in excel format. 7.9 Reply to Query:

The purchaser’s response to the above queries will be sent to all prospective Bidders who have purchased the Bidding Documents by E-mail or publishing the changes in tender section of the Bank’s website. All the communication from Bank’s side will be done through e-mail only. Hence you are advised to provide a valid e-mail id while procuring the bid document. Reply of pre-bid queries, addendum, corrigendum will also be published on tender section of Bank’s website ( https://www.denabank.com)

7.10 Offer validity Period:

The offer should hold good for a period of 180 days from the date of the opening of offer. Bank can place repeat order at the same rate as per purchase order for part or all the items quoted in the tender documents within a period of 6 months from the issue of Purchase Order.

7.12 Modification and Withdrawal of Offers:

The bidder may modify or withdraw its offer after its submission, provided that written notice of the modification or withdrawal is received by Dena Bank prior to the closing date and time prescribed for submission of offers. No offer can be modified or withdrawn by the bidder, subsequent to the closing date and time for submission of offers. No fees or expenses will be refunded.

7.13 Preliminary Scrutiny

Dena Bank will scrutinize the offers to determine whether they are complete, whether any errors have been made in the offer, whether required documentation has been furnished, whether the documents have been properly signed, and whether items are quoted as per the schedule. Dena Bank may, at its discretion, waive any minor non-conformity or any minor irregularity in an offer. This shall be binding on all bidders and Dena Bank reserves the right for such waivers.

7.14 Clarification of Offers

To assist in the scrutiny, evaluation and comparison of offers, Dena Bank may, at its discretion, ask some or all the bidders for clarification of their offer. The request for such clarifications and the response will necessarily be in writing and no change in the price or substance of the bid shall be sought, offered or permitted.

7.15 No Commitment to Accept Lowest or Any Offer

Dena Bank shall be under no obligation to accept the lowest or any other offer received in response to this offer notice and shall be entitled to reject any or all offers including those received late or incomplete, offers without assigning any reason whatsoever. Dena Bank reserves the right to make any changes in the terms and conditions of purchase that will be informed to all bidders. Dena Bank will not be obliged to meet and have discussions with any bidder, and/or to listen to any representations.

7.17 Submission of Technical Details

It is mandatory to provide the technical details in the exact format of Technical Details column given in the technical specifications. The offer may not be evaluated by Dena Bank in case of non-adherence to the format or partial submission of technical details as per the format given in the offer. Dena Bank shall not allow/permit changes in the technical specifications after it is submitted. The relevant product information brand and model number offered, printed product brochure, technical specification sheets etc. should be submitted along with the offer. Failure to submit this information along with the offer may result in disqualification.

The Commercial offer must not contradict the technical offer in any way. The suggested format for submission of Commercial offer is as follows: a) Index

7.21 Erasures or Alterations

The offers containing erasures or alterations will not be considered. There should be no hand-written material, corrections or alterations in the offer. Technical details must be completely filled up. Correct technical information of the product being offered must be filled in. Filling up of the information using terms such as “OK”, “accepted”, “noted”, “as given in brochure / manual” is not acceptable. Dena Bank may treat offers not adhering to these guidelines as unacceptable.

7.22 Pre-shipment Approval by VISA, MasterCard, RuPay and Bank

The vendor will be required to obtain pre-shipment approval for the cards from VISA/ MasterCard/RuPay as well as the Bank before supply of the EMV card / Contactless (Dual Interface) NFC Debit plastic. The open art work file (soft copy) of the card design will be made available to the selected vendor along with first purchase order. The vendor should submit the card design as per Visa / MasterCard / RuPay format to the Bank within 2 days of receiving the indent for each lot and the Bank will approve / process the same within 2 days of receipt of design. Immediately on receiving the approval from the Bank, the vendor shall upload / forward the card design to Visa / RuPay for approval. Any changes suggested by Visa /MasterCard / RuPay will be carried out by the vendor at no additional cost to the Bank. There shall not be any separate charges payable by the bank to the vendor for the card design approval process or for any other activity as required by Visa/RuPay in the card approval process in force now or in future. However any charges/penalties debited to the Bank by Visa /MasterCard / RuPay which are attributable to the vendor shall be passed on to the vendor. The selected Bidder(s) should have or be able to develop the system as per the Dena Bank requirement and put it in place so as to start production within 8 weeks of the receipt of order for the Debit Cards from Dena Bank. Costs of software/modifications for existing as well as new cards introduced by Dena Bank in future based on the new products launched by Dena Bank from time to time, connectivity etc. will be borne by the finally selected Bidder. White plastic testing, CPV or any other certification cost for all schemes to be borne by vendor(s).

7.23 Locations of delivery

This offer is being floated by the Head office of Dena Bank and delivery of cards will be for the customers across India/abroad wherever applicable.

7.24 Costs & Currency

The cost must be indicated as Fixed Price in Indian Rupees only, including the following: a. Cost of the card, personalization and welcome kit. b. The price offered to the Bank must be in Indian Rupees, inclusive of all presently

applicable taxes and duties. Any new taxes/ increase in taxes introduced by Govt. / State Govt./ Municipal Corporation or local bodies which is subject matter of the contract, if it is a liability of Bank shall be borne by the Bank and shall become payable by the Bank on production of documentary proof by the bidder.

c. If the Government brings in any changes to the tax structure resulting in reduction of the cost, the benefit arising out of such reduction or changes or abolition shall be passed on to the Bank. The price should be mentioned in terms of the amount payable by Bank as per the pricing structure for all the services indicating the break-up of each item as per bill of materials. However, any item not mentioned in the bill of material but necessary to complete the project will be the sole responsibility of the bidder and will be deemed to have been included in the price.

d. Prices, which are not quoted as above, can be rejected. The Bank reserves its right to reject any bid submitted with an adjustable price quotation.

8. Determination of L1 Bidder

8.1 The Bank will open the technical bids on the stipulated day in the presence of authorized representatives of the bidders. The technical bid will be opened first and evaluated for technical requirements as per the stipulations.

8.2 L1 bidder will be selected on the basis of the Total cost of ownership (TCO) criteria quoted in the reverse auction. The bidder who has quoted lowest TCO would be declared as L1 bidder.

8.3 All technically qualified Bidders would participate in the reverse auction through the e-tendering process. The bidder has to participate in the e-tendering process adopted by the Bank and comply with the procedure mentioned in the e-tendering process prescribed by the Vendor appointed by the Bank for e-tendering.

8.4 Bank will open the commercial offer of all the technically qualified Bidders before the reverse auction process to arrive at the opening price (start price) for the Reverse Auction. However there would be no compulsion on the part of the Bank to accept these prices as Bench Mark for determining the Start Bid price and the Bank may at its discretion use any other process / methodology to determine the Start Bid Price without having to disclose the basis to the Bidders.

8.5 The commercial bids of unsuccessful bidders at the technical stage will be returned to them unopened against their acknowledgement.

8.6 The Bank will provide opportunity to the L2 bidder to match the price quoted by L1 bidder. The order will be placed on the successful bidders as follows:

I. 100% on L1 bidder, in case L2 does not match the price quoted by L1 bidder.

II. 60% on L1 bidder and 40% on L2 bidder, in case L2 bidder matches the prices quoted by L1 bidder.

III. Further if L2 bidder fails to match the prices quoted by L1 bidder, L3 will be given the opportunity to match the L1 price. In this case 40% will be given to L3 on the L1 prices.

IV. Split in the above ratio will based on the TCO, minimum 60% will be allocated to L1 bidder.

8.7 The Bank at its option may procure additional cards under the tender/empanelment

and avail personalization services including Printing of Welcome Kits and Administration for the same at the same price and terms within 12 months from the date of first purchase order issued by the bank with respect to this tender/ empanelment. Although the Purchase order for the card plastics under the optional/additional quantity will be issued within 12 months from the date of first purchase order under the tender, the activities related to card personalization, administration and welcome kit printing shall be provided by the selected vendor even after 12 months.

9. No Negotiation

9.1 It is absolutely essential for the bidders to quote the lowest price at the time of making the offer in their own interest, as Dena Bank will not enter into any price negotiations, except with the lowest quoting bidder, whose offer is found to be fully technically compliant.

9.2 No Bidder shall contact the Bank on any matter relating to its offer, from the time of offer opening to the time the Contract is awarded. Any effort by a bidder to influence the Bank in its decision on offer evaluation, comparison or contract award decisions may result in the rejection of the Bidder’s offer.

10. Short-listing of Bidders

10.1 Dena Bank will prepare a list of technically qualifying bidders and only technically qualified will be allowed to participate commercial evaluation. Bank at its discretion may disqualify any bidder based on its past experience with such bidders in execution of any previously awarded contracts.

10.2 Dena Bank will evaluate and compare the offers which have been determined to be substantially responsive. The Bank’s evaluation of offers will take into account, in addition to the quoted one or more of the following factors as specified: a. Delivery schedule offered in the bid;

b. Deviation in payment schedule;

c. The cost of customization, components and service;

d. The projected operating and maintenance costs

e. The track record of the support of the bidder if he is an existing vendor of the bank.

f. Other specific criteria indicated in the Bid Data Sheet and/or in the Technical Specifications.

11. Right to Alter Quantities

Dena Bank reserves the right to issue Purchase Order in phases or to alter the quantities

specified in the offer. Dena Bank also reserves the right to delete one or more items from

the list of items specified in offer.

12. Technical Evaluation Criteria

Bidders offer will be evaluated as per the terms of the RFP and compliance of the technical offers. Bank may accept & reject any bid at its sole discretion without assigning any reason whatsoever.

13. Term & Conditions of Contract

13.1 Payment Terms

Dena Bank will make 100% payment on delivery to the designated location.

There shall be no escalation in the prices once the prices are fixed and agreed to by the Bank and the vendor. Payment will be released by IT Dept., as per above payment terms on submission of mentioned supporting documents. The support fee will be payable monthly in arrears.

13.2 Order Cancellation

13.2.1 The Bank reserves its right to cancel the order in the event of one or more of the following situations, that are not occasioned due to reasons solely and directly attributable to the Bank alone

a. Delay in implementation of services as specified in the scope of this document

beyond the specified period.

b. Serious discrepancy in the quality of service expected during the implementation,

rollout and subsequent maintenance process.

c. In the case of any violation of the terms of the RFP, Contract, Secrecy or persistent

default in complying with the terms of Service Agreement

d. At any stage, any representation or particulars furnished by bidder are found to be

incorrect or false

e. In case the bidder changes its constitution or amalgamates or merges with any other

entity or such change being unacceptable to the Bank

f. In case any major shareholder or stakeholder is found to have been engaged in

activities which are criminal in nature in his own country or any proceedings for

declaring him as insolvent for winding up are pending or initiated.

g. In case successful bidder fails to furnish proof back liaising entered with OEM for

hardware and software for the entire period of contract.

13.2.2 The Bank’s decision on the matter will be final and binding on the bidder. However

the Bank shall provide a notice the bidder in case of any breach/non-performance

with cure period of 30 days to rectify to breach.

13.2.3 The bidder would also be required to compensate the Bank for any direct loss

incurred by the Bank due to the cancellation of the contract and any additional

expenditure to be incurred by the Bank to appoint any other bidder.

13.2.4 Upon cancellation of contract/completion of period of service, the bidder should

handover the peaceful legal possession of all the services provided as per the

scope of the contract along with the licenses therewith and obtains discharge from

the Bank. The Bank also reserves the right to assign or allot or award the contract

to any third party upon cancellation of the availed services.

13.3 Penalties

Delay in providing the card design for approval

a. There will be a penalty of 1% per week for delay subject to a maximum of 10% of

amount payable by the bank for the entire lot of card plastics, if vendor fails to send the card design for necessary approvals by the Bank within 2 days from issue of purchase order or providing the art work whichever is later.

b. There will be a penalty of 1% per week for delay subject to a maximum of 10% of

the card design approved by the Bank to VISA/ /NPCI within 2 days of receiving the Bank’s approval.

Delay in delivery

After the approval of the card design by Visa / RuPay, the vendor has to deliver cards at any site prescribed by the bank. The delivery has to be completed within five weeks from the date of receiving Visa/RuPay approval. If the vendor fails to deliver within the specified limit, then Vendor shall be liable for penalty of Rs.0.25/- per week per card, subject to maximum of 10% of amount payable by the bank for that card including plastic supply, personalization and welcome kit. However this penalty will not be applicable if the delay is with the prior written approval of the Bank. If the cards offered have serious manufacturing and/or quality defects, the lots will be rejected and no payments will be made.

If the vendor fails to personalise (including for want of welcome kits) and handover the cards to the Bank’s courier agency within 48 hours of receipt of datafile, then Vendor shall be liable for penalty as under :

a) Personalised / Non Personalized Cards:- @ Rs0.50 per card per day after

completion of TAT i.e 48 hours of receipt of data file.

b) Wrong processing, re-processing of Data @ Rs.50/- per card.

c) Wrong dispatch of Card Rs. 100/- .

d) Non adherence to RFP procedures/deficiency in services, e.g if cards dispatched

without collateral, etc., exemplary penalty @ 10% of monthly billing will be charged.

e) However, Bank at its discretion, may waive the penalty in cases where Bank is

satisfied that the reasons were beyond the control of Vendor.

f) Any financial loss to the Bank on account of vendor’s mistake or non-adherence to

the procedures will be borne by the vendor.

g) The quantum of penalties mentioned in this section shall be calculated separately for each activity.

Part of the week will be treated as full week for this purpose. Bank reserves the right to

recover these amounts by any mode such as adjusting from any payments to be made

by the bank to the bidder.

Upper cap for all the penalties will be 10% of the PO value. In case of undue delay

beyond a period of 2 months unless otherwise waived by the Purchaser, Purchaser in its

discretion may consider termination of the Contract. If total penalty exceeds 10% of the

PO value, EMD may be revoked or order may be cancelled.

13.4 Technical Documentation

The technical documentation involving detailed instruction for operation and maintenance

is to be delivered with every unit of the equipment / system supplied. The language of

the documentation should be English.

13.5 Indemnity

The Service Provider shall indemnify, protect and save the Bank against all claims, and losses, costs, damages, expenses, action, suits and other proceedings resulting from:

(i) infringement of any patent, trademarks, copyrights etc. or such other statutory infringements under any laws including the Copyright Act, 1957 or Information Technology Act 2000 in respect of deliverables/ Services supplied by Service Provider to the Bank;

(ii) death and/or bodily injury caused by employees of the Service Provider.

However, (i) the Service Provider will have sole control of the defense and all related settlement negotiations; (ii) the Bank will provide the Service Provider with the assistance, information and authority reasonably necessary to perform the above; and

(iii) (iii) the Bank will not make any statements or comments or representations about the claim without the prior written consent of the Service Provider, except where the Bank is required by any authority/regulator to make a comment/ statement/ representation. Indemnity would be limited to court or arbitration awarded damages and shall exclude indirect, consequential and incidental damages.

13.6 Publicity

Any publicity by the bidder in which the name of Bank is to be used should be done only

with the explicit written permission of bank. The bidder should not disclose the technical

/ commercials offered to the bank and also the terms & conditions to any other third party

without prior written permission of Bank.

13.7 Limitation of Liability:

Notwithstanding anything to the contrary in this Agreement, the Service Provider‟s aggregate liability under this Agreement regardless of the form or nature of action giving rise to such liability (whether in contract, tort or otherwise), shall be at actual and limited to the total value of the Agreement. Further, the Service Provider‟s liability in case of claims against the Bank resulting from Willful Misconduct or Gross Negligence of the Service Provider, its employees and subcontractors or from infringement of patents, trademarks, copyrights or such other intellectual property rights shall be unlimited. “Willful

Misconduct” means where a Party intentionally causes actual harm upon the other Party and does not involve error or mistake in any form. “Gross Negligence” means a serious disregard to an obvious risk. The Bank shall not be held liable for and is absolved of any responsibility or claim/litigation arising out of the use of any third party software or modules if supplied by the Service Provider as part of this Agreement, provided that Bank uses the software/modules in accordance with the terms and conditions provided by the applicable licensor or the Service Provider. In no event shall either Party be liable for any indirect, incidental or consequential damages or liability, loss of business, revenues, goodwill or profits, under or in connection with or arising out of this Agreement or the hardware or the software delivered hereunder, howsoever such liability may arise.

Subject to aggregate liability limit mentioned in first para of this Clause (Limitation of

Liability), the Service Provider shall be liable for penalties / damages for any deviation /

mal-functioning of the application/customization/system which does not perform as per

the scope of application/ customization /system accepted by the Bank based on the

approach finalized mutually with the Service Provider.

13.8 Interconnectivity with Bank’s existing equipment

It is bidder’s responsibility to establish interconnectivity with other equipment of the Bank

where required by Bank and where technically possible and where it is within scope of

this tender.

13.9 Cooperation for WAN connectivity

The bidder will undertake to provide all necessary help to connect the application on LAN

and WAN of the Bank.

13.10 Guarantees

The Vendor should guarantee that the cards delivered to the Bank conform to the specifications issued by the Bank and VISA/RuPay. For welcome kits, Vendor should guarantee that the kits delivered to the Bank conform to the printing specifications issued by the Bank.

13.11 Warranty

The offer must include a comprehensive warranty against any manufacturing defects & damages during transit. The Vendor shall be fully responsible for the manufacturer’s warranty in respect of proper design, quality and workmanship. Vendor must warrant all cards against any manufacturing defects for at least 3 years for unused cards and for cards in circulation. Vendor should also warrant against fading of the personalized details on the card and loss of data in the magnetic stripe for atleast 3 years for the cards in circulation.

13.12 Confidentiality

The information given in this tender is confidential and is for use by the vendor to whom the tender has been issued. Each party i.e., the Bank and the Vendor, shall treat the other party’s information as confidential and will take necessary steps to prevent the disclosure of the others confidential information to third parties.

The vendor shall keep bank’s customer data and other information confidential and shall take necessary steps to prevent the disclosure of the bank’s customer information to third party even after expiry of the contract.

Both the parties will keep the contents of order / agreement confidential, including the price information.

Confidentiality will be applicable on Bank & Bidder and it should be perpetual.

13.13 Non-Disclosure Agreement

The vendor and their employees are privy to certain information that can be misused for fraudulent purposes. The vendor should ensure utmost secrecy of the card data and would be liable for penalties for wrongful disclosure of card data.

The vendor should also sign a Non-Disclosure Agreement as per the draft approved by the Bank. Non-Disclosure Agreement will be applicable on Bank & Bidder and it should be perpetual.

13.14 Performance Security:

Within 21 days after the Bidder's receipt of Notification of Award, the Bidder shall furnish

Performance Security to the Bank for an amount of 10% of the total contract value for

entire period of contract (5 years) and valid up to 60 days after the date of completion of

performance obligations including warranty. The proceeds of the performance security

shall be payable to the Bank as compensation for any loss resulting from the Bidder's

failure to complete its obligations under the Contract. The Performance Security shall be

in the form of a bank guarantee issued by a Public Sector Bank located in India,

acceptable to the Bank. The performance security will be discharged by the Bank and

returned to the Bidder not later than 60 days following the date of completion of the

Bidder's performance obligations, including any warranty obligations, under the Contract.

The format for the performance Bank Guarantee will be provided to the successful bidder

in due course.

13.15 Force Majeure

The Service Provider shall not be liable for forfeiture of its performance security, liquidated damages or termination for default, if any to the extent that its delay in performance or other failure to perform its obligations under this Agreement is the result of an event of Force Majeure. a) For purposes of this Clause, "Force Majeure" means an event explicitly beyond the

reasonable control of the Service Provider and not involving the Service Provider's fault or negligence and not foreseeable. Such events may include, Acts of God or of public enemy, acts of Government of India in their sovereign capacity and acts of war.

b) If a Force Majeure situation arises, the Service Provider will have to promptly notify the Bank in writing of such conditions and the cause thereof within (15) fifteen calendar days. Unless otherwise directed by the Bank in writing, the Service Provider will have to continue to perform Service Providers obligations under this Agreement as far as is reasonably practical, and will have to seek all reasonable alternative means for performance not prevented by the Force Majeure event.

c) In such a case the time for performance will have to be extended by a period(s) not

less than duration of such delay. If the duration of delay continues beyond a period of

three months, the Bank and the Service Provider will have to hold consultations in an

endeavour to find a solution to the problem.

13.16 Intellectual Property Rights

a) The Service Provider hereby represents that it owns all intellectual property or has obtained appropriate rights / licenses for any third party intellectual property, as the case may be, which is deployed by Service Provider and used to provide the Services. Each Party acknowledges that all intellectual property rights in relation to the software and documentation and any adaptations, translations and derivative works thereof whether protectable as a copyright, trademark, patent, trade secret design or otherwise, provided by the other Party during, in connection with or in relation to fulfilling its obligations under this Agreement belong to and shall remain a property of such Party or its licensors.

b) During the term of this Agreement and, if applicable, during the agreed reverse transition period, the Bank grants Service Provider a right to use at no cost or charge the software licensed to the Bank, solely for the purpose of providing the Services.

c) If a third party's claim endangers or disrupts the Bank‟s use of the deliverables provided by Service Provider as part of the Services, the Service Provider will have to at no further expense, charge, fees or costs to the Bank:

i. Obtain a license so that the Bank may continue use of the deliverables in accordance with the terms of this Agreement and the license agreement; or

ii. Modify the deliverables without affecting the functionality of the deliverables in any manner so as to avoid the infringement; or

iii. Replace the deliverable with a compatible, functionally equivalent and non-infringing deliverable.

d) Notwithstanding anything to the contrary contained elsewhere, each party shall

retain ownership of its pre-existing intellectual property rights and any

improvements, up-gradations, enhancements, modifications and enhancements to

and derivative works thereto. The Bank shall use the products in accordance with

the license terms and restrictions specified by the licensor to be applicable for the

use of such products. The Bank shall grant to the Service Provider, at sole cost

and expense of Bank, necessary rights and license to any intellectual property that

is necessary for the Service Provider and its designees to perform the services.

13.17 Resolution of Disputes & Arbitration

The Bank and the Service Provider will have to make every effort to resolve amicably,

by direct informal negotiation between the respective project managers of the Bank and

the Service Provider, any disagreement or dispute arising between them under or in

connection with this Agreement.

a) If the Bank project manager and Service Provider project manager are unable to resolve the dispute after (30) thirty days from the commencement of such informal negotiations, they will have to immediately escalate the dispute to the senior authorized personnel designated by the Service Provider and Bank respectively.

b) If after (30) thirty days from the commencement of such negotiations between the senior authorized personnel designated by the Service Provider and Bank, the Bank and the Service Provider have been unable to resolve amicably the dispute, either Party may require that the dispute be referred for resolution through formal arbitration.

c) All questions, claims, disputes or differences arising under and out of, or in connection with the contract or carrying out of the work whether during the progress of the work or after the completion and whether before or after the determination, abandonment or breach of the contract shall be referred to arbitration by a sole Arbitrator acceptable to both parties OR the number of arbitrators shall be three, with each side to the dispute being entitled to appoint one arbitrator. The two arbitrators appointed by the parties shall appoint a third arbitrator who shall act as the chairman of the proceedings. The award of the Arbitral Tribunal shall be final and binding on the parties. The Arbitration and Reconciliation Act 1996 or any statutory modification thereof shall apply to the arbitration proceedings and the venue of the arbitration shall be Mumbai.

d) If a notice has to be sent to either of the parties following the signing of the contract, it has to be in writing and shall be first transmitted by facsimile transmission or by postage prepaid registered post with acknowledgement due or

by a reputed courier service, in the manner as elected by the Party giving such notice. All notices shall be deemed to have been validly given on:

i. The business date immediately after the date of transmission with confirmed answer back, if transmitted by facsimile transmission, or

ii. ii. The expiry of (5) five days after posting if sent by registered post with A.D., or

iii. The business date of receipt, if sent by courier. e) 6. The Agreement shall be governed and construed in accordance with the laws

of India. The courts of Mumbai alone and no other courts shall be entitled to entertain and try any dispute or matter relating to or arising out of this Agreement.

f) 7. Notwithstanding the above, the Bank shall have the right to initiate appropriate proceedings before any court of appropriate jurisdiction, should it find it expedient to do so.

13.18 Liquidated Damage - As cover under section Penalties

If the Vendor fails in delivery as per the terms of this tender, the Bank shall be entitled to charge penalty/liquidated damages @ 0.5% of the total order value per week or part thereof, subject to a maximum of 10% of the order value.

14. Requirement of Items & Scope of Work

I. In case of discrepancy between the total price and unit price, the unit price shall prevail.

II. Although bidders are required to quote various cost-items for the indicated quantity, the actual payment to the selected bidder would be reckoned on actual quantity ordered.

III. In case of discrepancy between amount in words and in figures, the amount in words would be considered right.

IV. All the prices given above should be in INR and inclusive of all taxes. V. Bank will deduct applicable TDS, if any, as per the law of the land. VI. The Quantity mentioned here is approximate and Bank reserves the right to

alter the quantity as per its requirement. VII. Further, we confirm that we will abide by all the terms and conditions

mentioned in the Request for Proposal document. VIII. The quantity mentioned will be approximate only. The actual requirement may

vary i.e., increase / decrease. IX. Under contract, Bank releases dispatch request as per the branch / offices

The Principal intends to award under laid down organizational procedures, contact

In order to achieve these goals, the Principal will appoint an Independent External

compliance with the principle mentioned above.

Section- 1- Commitments of the Principal

The principal commits itself to take all measures necessary to prevent corruption and to

observe the following principles:-

a) No employee of the Principle, personally or through family members, will in connection

with the tender for, or the execution of a contract, demand, take a promise for or

accept, for self or third person, any material or immaterial benefit which the person is

not legally entitled to.

b) The Principal will, during the tender process treat all Bidders(S) with equality and

reason. The Principle will in particular, before and during the tender process, provide

to all Bidder(s) the same information and will not provide to any Bidder(s)

confidential/additional information through which the Bidders (s) could obtain an

advantage in relation to the tender process or the contract execution.

c) The Principle will exclude from the process all known prejudiced persons.

2. If the Principal obtains information on the conduct of any of its employees which is

a criminal offence under the IPC/PC Act, or if there be a substantive suspicion in this

regard, the Principal will inform the Chief Vigilance Officer and in addition can initiate

disciplinary actions.

Section- 2- Commitments of the Bidder(s)/contractor(s)

1. The Bidder(s)/Contractor(s) commit themselves to take all measures necessary to

prevent corruption. He commits himself to observe the following principles during his

participation in the tender process and during the contract execution.

a) The Bidder(s)/Contractor(s) will not, directly or through any other person or firm, offer,

promi8se or give to any of the Principal’s employees involved in the tender process or

the execution of the contract or to any third person any material or other benefit which

he/she is not legally entitle to, in order to obtain in exchange any kind whatsoever

during the tender process or during the execution of the contract.

b) The Bidder(s)/Contractor(s) will not enter with other Bidders into any undisclosed

agreement or understanding, whether formal or informal. This applies in particulars to

prices, specifications, certifications, subsidiary contract submission or non submission

of bids or any other actions to restrict competitiveness or to introduce cartelization in

the bidding process.

c) The Bidder(s)/Contractor(s) will not commit any offense under the relevant Anti-

Corruption Law of India, further the Bidder(s)/Contractor(s) will not use improperly, for

purpose of competition or personal gain, or pass on to others, any information or

document provided by the Principal as part of the business relationship, regarding

plans, technical proposals and business details, including information contained or

transmitted electronically.

d) The Bidder(s)/Contractor(s) of foreign origin shall disclose the name and address of

the Agents/ representatives in India, if any. Similarly the Bidder(s)/Contractor(s) of the

Indian Nationality shall furnish the name and address of the foreign principals or

associates if any. All the payments made to the Indian agent/representative have to

be in Indian Rupees only.

e) The Bidder(s)/Contractor(s) will, when presenting his bid, disclose any and all

payments he has made, is committed to or intends to make to agents, brokers or any

other intermediaries in connection with the award of the contract.

2. The Bidder(s)/Contractor(s) will not instigate third person to commit offense outlined

above or be an accessory to such offences.

3. The word “he/his” would include an individual or a partnership or a consortium, which

is a party to this agreement.

Section-3 – Disqualification from tender process and exclusion from future contraHRM.

If the Bidder(s)/Contractor(s), before award or during execution has committed a

transgression through a violation of section-2 above or in any other form such as to put

his reliability or credibility in question, the Principal is entitled to disqualify the

Bidder(s)/Contractor(s) from the tender process and take appropriate action.

Section 4-Compensation for damages

a) If the principal has disqualified the bidder(s)/Contractor(s) from the tender process

prior to the award according to section 3, the principal is entitled to demand and

recover the damages equivalent to earnest Money Deposit/Bid Security.

b) If the Principal has terminated the contract according to section 3,or if the principal is

entitled to terminate the contract according to section 3,or if the Principal is entitled to

demand and recover from the Bidder/Contractor liquidated damages of the contract

value or amount equivalent to performance bank guarantee.

Section 5-Previouse transgression

a) The Bidder/Contractor declares that no previous transgression occurred in the last 3

year with any other company in India and outside conforming to the TII‟s anti-

corruption approach including public sectors enterprise in India that could justify his

exclusion from the tender process.

If the bidder/contractor makes incorrect statement on this subject, he can be disqualified

from the tender process and appropriate action can be taken. Section 6- Equal

treatment of all Bidder/contractors.

a The principal will enter into agreements with identical conditions as this one with

all bidders and contractors.

b The principal will disqualify from the tender process all bidders/Contractors who do

not sign this Pact or violate its provisions.

Section-7- Criminal charges against violating Bidder(s) Contractor(s)/ Subcontractor(s)

If the principal obtains knowledge of the conduct a Bidder, Contractor, Subcontractor or

of an employee or representative or an associate of a Bidder, Contractor or

Subcontractor which constitutes corruption, or if the principal has substantive suspicion

in this regard, the Principal will inform the same to the Chief Vigilance Officer of Dena

Bank.

Section 8- Independent external monitor/ monitors.

1. The Principal appoints competent and credible Independent external monitor/

monitors for this Pact. The task of the Monitor is to review independently and

objectively whether and to what extent the parties comply with obligations under this

agreement.

2. The monitor is not subject to instructions by the representatives of the parties and

performs his functions neutrally and independently. It will be obligatory for him to treat

the information and documents of the Bidders/Contractors as confidential. He reports

to the Dena Bank.

3. The Bidder(s)/Contractor(s) accepts that the Monitor has the right to access without

restriction to all Project documentation of the Principal including that provided by the

Contactor. The Contractor will also grant the monitor, upon his request and

demonstration of a valid interest, unrestricted and unconditional access to his project

documentation .The same is applicable

to Subcontractors also .The Monitor is under contractual obligation to treat the

information and documents of the

Bidder(s)/Contractor(s)/Subcontractor(s) as confidential.

4. The Principal will provide to the Monitor sufficient information about all meetings

among the parties related to the project provided such meetings could have an impact

on the contractual relations between the principal and the Bidder/Contractor. The

parties offer to the Monitor the option to participate in such meetings.

5. As soon as the Monitor notices or believes to notice a violation of this agreement, he

will so inform the Management of the principal and request the managements and can

in this regard submit non-binding recommendation. Beyond this, the monitor has no

right to demand form the parties that they act in a specific manner, refrain from action

or tolerate action.

6. The monitor will submit a written report to Dena Bank within 8 weeks from the date of

reference or intimation to him by the principal and should the occasion arise, submit

proposals for correcting problematic situations.

7. If the monitor has reported to the Dena Bank, a substantiated suspicion of an offence

under relevant IPC/PC Act, and Dena Bank has not, within the reasonable time taken

visible action to proceed against such offence or reported it to the Chief Vigilance

Officer, the monitor may also transmit this information directly to the central vigilance

commissioner.

8. The word “Monitor‟ would include both singular and plural.

This Pact begins when both parties have legally signed it. It for the contractor 12 months

after the last payment under the contract, and for all other bidders 6 months after the

contract has been awarded. If any claim is made/lodged during this time, the same shall

be binding and continue to be valid despite the lapse of this pact as specified above,

unless it is discharged/determined by Dena Bank.

Section 10- Other provisions

1. The agreement is subject to Indian Law. Place of performance jurisdiction is the

Registered Office of the principal, i.e., Mumbai.

2. Changes and supplements as well as termination notices need to be made in writing.

Side agreements have not been made.

3. If the bidder contractor is a partnership consortium, this agreement must be signed

by all partners or consortium members.

4. Should one or several provisions of this agreement turn out to be invalid, the

remainder of this agreement remains valid. In this case, the parties will strive to come

to an agreement to their original intentions.

5. In the event of any contradiction between the integrity Pact and its Annexures, the

Clause in the integrity Pact will prevail.
