The School District of Philadelphia, intends to make awards for professional service contracts to one or more vendors who can provide experienced and quality consulting services firm. (THE SCHOOL DISTRICT OF PHILADELPHIA RESERVES TO RIGHT TO AWARD THIS CONTRACT IN ITS BEST INTEREST.) The District was designated a distressed school district on December 21, 2001 pursuant to the Pennsylvania Public School Code (PSC), 24 P.S. §6-691(c). The School Reform Commission (SRC) has been established pursuant to PSC, 24 P.S. §6-696, and is responsible for the operation, management, and educational program of the School District pursuant to PSC, 24 P.S. §6-696(e)(1). 2.0 Place and Date of Submission One (1) original and four (4) copies each of the Technical Proposal and Fee Proposal shall be submitted in separate sealed envelopes clearly marked: “PROFESSIONAL ENVIRONMENTAL CONSULTING SERVICES FOR GEOTECHNICAL AND ENVIRONMENTAL SITE ASSESSMENTS RFP – TECHNICAL PROPOSAL” and “PROFESSIONAL ENVIRONMENTAL CONSULTING SERVICES FOR PROFESSIONAL ENVIRONMENTAL CONSULTING SERVICES FOR GEOTECHNICAL AND ENVIRONMENTAL SITE ASSESSMENTS – FEE PROPOSAL” with the name of the proposing firm and their address. 5.0 ProjectScope5.1GEOTECHNICALSERVICESA.THESCHOOLDISTRICTOFPHILADELPHIA’SOfficeofEnvironmentalManagementandServiceswillrequiretheservicesofaProfessionalGeotechnicalConsultanttoperformthefollowingactivitiesatvarioussitesandpropertiesutilizedbytheSchoolDistrict:1.Comprehensiveundergroundstoragetankmanagementservicesincluding,butnotlimitedto,allnecessaryactivitiesrequiredduringundergroundstoragetankinstallsandremovals;2.Tanktesting;3.Tankmanagementprogram;4.Subsurfacesoilandgroundwaterinvestigations;5.Designandimplementationofremediationprojectsforsoiland/orgroundwater;6.Comprehensivegeologicandenvironmentalconsultingservicesonanasrequestedbasis.7.Comprehensivesoilmanagementservicesonanasneededbasis.B.Therequiredservicesunderthiscontractshallinclude:1.Thefirmshalldoanyandallworkandfurnishallthemanagement,supervision,labor,components,materials,tools,instructions,equipment,transportation,anddeliveryofreportsnecessaryorproperfortheperformanceandcompletionofgeotechnicalconsultingservices.2.ThefirmshallprovideimmediateresponsetotheDistrict’srequestforfieldsupervisionofcleanupactivitiesintheeventofaregulatedsubstancereleaseataSchoolDistrictfacility.ThefirmshallserveastheliaisonandpreparespillreportingdocumentsonbehalfoftheSchoolDistrictofPhiladelphiawithregulatoryagencies.Thefirm’steamshallhavedemonstratedexperiencecollaboratingwithregulatoryagencies.3.Intheeventofareleaseorspill,thefirmwillmeetwiththedesignatedSchoolDistrictrepresentativetoreviewthepotentialenvironmentalimpactoftheleakageand/orspill.Allfeasiblealternativesforremediation/mitigationofthespillshallbepresentedaswellasplanstodelineatetheextentofpotentialcontamination.Asuggestedcourseofactiontoimmediatelymitigatethespillshallbepresentedaswellasapreliminaryplanfortheclean-up.4.ThefirmshalladviseandassistthedesignatedSchoolDistrictcontactastorequiredspillreportingrequirementstoLocal,StateandFederalagencies.ThefirmshallserveastheliaisonandpreparespillreportingdocumentsonbehalfoftheSchoolDistrictofPhiladelphiawithregulatoryagencies.5.Thefirmshallbecapableofevaluatingpreviousreports,records,constructiondrawingsandsoilboringsprovidedbytheSchoolDistrict.Thefirmshallobtain,reviewand/orpreparegeneralsoil

maps,hydrogeologicmaps,andotherreportsorinformationpertainingtothesubsurfaceenvironmentalconditionsrelativetothecontaminantlocations.6.ThefirmshallmeetwiththeSchoolDistrictrepresentativestodiscussavailableoptions,thefinancialimplicationsofeachalternative,andthetimeframerequiredtoinvestigatetheextentofcontaminationandimplementationofaremedialstrategy.7.Samplingofsoilandgroundwater,ifnecessary,isincludedinthiscontract.Thefirmshalldevelopsamplingplans,inaccordancewithPADEPguidelines,selecttheappropriatelaboratoryanalyticaltests,supplyallnecessarysamplecontainers,collectandpreserveallsamplesasprescribedbythePADEPandEPAprotocols,andarrangefortransportationtoaPAcertifiedlaboratory.8.Thefirmshallbehighlyexperiencedinthedesignofinnovativegroundwaterremediationandtreatmentsystems.Thisexperienceshallincluderecentexperienceinmethodsutilizingbioremediationtechniquesandchemicaloxidation,stabilizationandzerovalentiron.9.ThefirmshallprovidetheSchoolDistrictwithdesignsupportservicesfortheremovalandclosureofundergroundandabovegroundstoragetanks.AllsuchservicesshallbeperformedinaccordancewithallrequirementsoftheCityofPhiladelphiaandPADEP’sStorageTankProgram,PADEPAct2,andsolidwasteregulationsandrequirements.10.Thefirmshallpreparedesignspecifications,onbehalfoftheSchoolDistrict,suitableforobtainingcompetitivebidsfortanktesting,excavation,tankcleaning,wellinstallation,dewateringorrecoverysystemconstruction,andotherremedialoptions.11.ThefirmshallassisttheSchoolDistrictinobtainingandevaluatingbidsfromcontractorsfortheremovaloftanksandtheremediationofcontaminatedsoilsandgroundwater.12.ThefirmshallmeetwiththeSchoolDistrictandthesuccessfulbiddersaftercontractsareawarded,butpriortoinitiationofworkinthefield,inordertoreviewprojectschedule,workscopeandproceduresandmeetatcompletionoftheprojecttoconfirmallworkwasperformedinaccordancewithprovidedspecification.13.ThefirmwillbetheSchoolDistrict’sOn-siteRepresentativeduringprojectinstallation,providingmonitoringandsurveillanceservices,toensurethattheworkisconductedinaccordancewiththebidspecifications.14.Thefirmshallprepareprofessionalreportsthatdelineateandsummarizeallpertinentinformationinaclear,concise,andwellorganizedformat.Thesereportsshallincludeengineeringdrawings,mapsanddrawingsthatarenecessaryforregulatorysubmittalsorrequiredforprojectfilesintheeventoffutureconcernsatthesubjectsite.15.ThefirmshallassisttheSchoolDistrictinobtainingallrequiredstate,localandfederalpermitsandapprovals,asneeded.16.ThefirmshallprovidetheSchoolDistrictwithdesignsupportduringtheremovalofabovegroundandundergroundstoragetanks.

17.ThefirmshallprovidetheSchoolDistrictwithdesignsupportservicesforremediationprojectsforcontaminatedsoilsandgroundwater.Thissupportshallincluderemedyselection,preparationofspecificationsandbiddocuments,assistanceinthebiddingprocess,bidevaluation,assistancewithcommunityoutreachactivitiesandpublicmeetingsinaccordancewithPADEPandCityofPhiladelphianotificationrequirements,supervisionoffieldandconstructionactivities,andreportingtoStateandLocalregulatoryagencies.18.Thefirmshallprovideservicesrelatedtostoragetankregulations,healthandsafety,right-to-knowrequirements,publicrelationsandotherissuesrelatedtothemanagementofstoragetanksandtheremediationofsoilandgroundwater.ThefirmshallhavedemonstratedknowledgeofthepoliciesandprocedurespromulgatedbytheCommonwealthofPennsylvania’s“LandRecyclingandEnvironmentalRemediationStandardsAct(ACT2)of1995andTheStorageTankandSpillPreventionAct(ACT21)”,theUniformEnvironmentalCovenantAct(UECA),PADEPWasteManagementandPADEPandCityofPhiladelphiaWaterDepartmentStormwaterRegulationsandrequirementsandLEEDcompliance.19.ThefirmshallprovideexpertwitnesstestimonyontheSchoolDistrict’sbehalf,ifnecessary.20.ThefirmshallutilizePADEPapprovedmethodsforUSTsystemintegritytesting.ThetestingmethodologyshallalsobeapprovedbyTheSchoolDistrictofPhiladelphia’sOfficeofEnvironmentalManagementandServicespriortoinitiationofthetest.AlltestingshallconformtosafetystandardsestablishedbytheOccupationalSafetyandHealthAdministration,theNationalFireProtectionAssociation,andtheCityofPhiladelphiaFireMarshall.21.Thefirmshallhavedemonstratedexpertiseinthemethodologyandequipmentutilizedformonitoringwellinstallationandconstruction,soilboringinstallation,soilandgroundwatersampling,non-intrusivesubsurfaceinvestigation,soilvaporsurveys,andallappropriateandrelevantlaboratoryanalyticalcapabilities.22.Thefirmshallhavetotalresponsibilityforanalyzingthesoilsandchemicaltestingofsoilandgroundwatertotheextentrequiredbytheprojects.Forthepurposeofstandardization,alltestingshallbegovernedby,butnotlimitedtoASTMand/orEPAmethods.23.TheSchoolDistrictofPhiladelphiareservestherighttoinspectandmonitorthesoiltestingandanalysisofthesamplescollectedfortestingservicesunderthisRFP/RFQ.TheSchoolDistrictreservestherighttovisitthelaboratorytoverifycertificationcredentialsandtoverifythecertificationofthelaboratory.TheSchoolDistrictmustapprovethelaboratoryasqualifiedtoperformanalysisofsamplespertheindividualtestmethods.

5.2ENVIRONMENTALSITEASSESSMENTSA.STATEMENTOFWORK-PHASEI-ENVIRONMENTALSITEASSESSMENTS1.INTRODUCTIONTHESCHOOLDISTRICTOFPHILADELPHIA’SOfficeofEnvironmentalManagementandServiceswillrequireConsultanttoconductPhaseIEnvironmentalSiteAssessments(ESAs)ofpropertiesitisconsideringpurchasingorselling.Atexistingsiteswherethereisnorealestatetransactions,theSchoolDistrictmayassigntheconsultanttoconductasubsurfaceinvestigationifthereisindicationthattherewasasuspectedreleaseofpetroleumproductandotherregulatedsubstances.ThePhaseIESAsaretoconformtotheproceduresdescribedinASTM1527-05,ataminimum.Ifthefindingsindicatethattherearepotentialrecognizedenvironmentalconditions(RECs)andotherconditionsthatmayimpactthecostofre-usingthesitethentheconsultantshallconductaPhaseIIESAinaccordancewithASTM1903.2.PhaseI-EnvironmentalSiteAssessmentShallConsistOfTheFollowingItems:a.PurposeandScopeofWorkb.SiteLocationandDescriptionc.SiteHistoryd.SiteVisitandInvestigatione.Interviewsf.RegulatoryAgencyReviewg.AssessmentReporth.SubmissionofReportB.STATEMENTOFWORK-PHASEII-ENVIRONMENTALSITEASSESSMENTS1.DEFINITIONSOFPHASEIITHESCHOOLDISTRICTOFPHILADELPHIA’SOfficeofEnvironmentalManagementandServiceshasdefinedaPhaseIIasfollows:samplingandtestingtoidentifythetypesofcontaminants,analyzetheprioritypollutantsanddeterminethehorizontalandverticalextentofthecontamination.Therearegenerallythree(3)levels/typesofPhaseII:a.PhaseIIESAandInitialSubsurfaceInvestigationb.ExpandedSubsurfaceInvestigationc.SiteCharacterization

2.PhaseIIESAandInitialSubsurfaceInvestigationTheobjectiveofthePhaseIIESAandInitialSubsurfaceInvestigationistoassessandevaluateapotentialrecognizedenvironmentalcondition(REC)asaresultoffindingofthePhaseIEnvironmentalSiteAssessment.SubsurfaceInvestigationistoconfirmordenythepotentialpresenceofcontaminantduetoareleaseofapetroleumproductand/orregulatedsubstance.InbothPhaseIIESAandInitialSubsurfaceInvestigation,theconsultantshalldesignandimplementalimitedprogramofcollectionandanalysisofappropriatesitesamples.ThekeyobjectiveofthePhaseIIESAandInitialSubsurfaceInvestigationistoconfirmthepresenceofcontaminants,whichwouldrequireactionundercurrentstateorfederalregulationsandguidelines.Therearefour(4)principalcomponentstotheInitialPhaseIIthatmustbeaddressedpriortoitsimplementation:a.DevelopmentofaSamplingPlanb.Preparingforthesitevisitc.Conductingthesamplingvisitd.Makingrecommendationsforfurtheractionornoaction3.LIMITEDPHASEIIThecomponentsoftheLimitedPhaseIIareidenticaltothosepresentedabovefortheInitialPhaseII;howevertheobjectiveoftheLimitedPhaseIIistoidentifyhazardouscontaminantsinadditiontothosesuggestedintheInitialPhaseIandevaluatedintheInitialPhaseII.4.EXPANDEDPHASEIIThecomponentsoftheSiteCharacterizationaretodefinethehorizontalandverticalextentofthecontaminationconfirmedfromanInitialandExpandedSubsurfaceInvestigation.Characterizationreferstospecifyingthetypeofcontaminationpresent,assessingthree-dimensionaloccurrenceofthecontamination,assessingmigrationrates,directionsandpossiblehumanandenvironmentalresponsereceptorsandtherisksposedtothem,andestablishingadatabasetofacilitatedocumentationofchangesintheoccurrencesofthecontamination.C.REMEDIALINVESTIGATION/REMEDIALACTIONWORKPLANTHESCHOOLDISTRICTOFPHILADELPHIA’SOfficeofEnvironmentalManagementandServiceshasdefinedREMEDIALINVESTIGATION/REMEDIALACTIONWORKPLANasfollows:evaluating,discussing,andpresentingrecommendationsregardingalldatagatheredinthePhaseII,aswellas,environmentalpublichealthrisksandcostsassociatedwithavarietyofproposedremedialalternativesinorderstodeveloptherecommendedcourseofremediationconsistentwiththeregulatoryguidelineshavingjurisdictionfortheenvironmentalconditionsofthepropertywithminimalrisktotheenvironmentandpublichealth.

9.0 SelectionProcedure

TheDistrictisfollowingatwo-stagequalifications-based-selection(QBS)processforthissolicitation(sometimesreferredtoastheBrooksActprocess).TheDistrictmayatanytimeterminatetheRFPprocessprovidedforhereinforanyreasonornoreasoninthesolediscretionoftheSchoolDistrict.ThereceiptofproposalsorotherdocumentsbyproposersduringanystateoftheRFPprocesswillinnowayobligatetheSchoolDistricttoenterintoanyagreementwithanyproposerormaketheDistrictliableforanyproposercosts.Stage1:

Step1:Technicalproposalsoffirmswillbeevaluatedbytheselectioncommitteeandrankedonthebasisoftheirtechnicalqualificationsandsuitabilityforthisassignment.

Step2:Alimitednumberoffirms(tobedeterminedbytheDistrict)withthehighestratedtechnicalproposalswillbeinvitedtointerviewsandoralpresentationswiththeselectioncommittee.

SECTION2.PROCEDURESFORIMPLEMENTATION1. ArticulationofthePolicy.StaffingandReporting

TheOfficeofGeneralCounselandOfficeofSmallBusinessDevelopmentwilldeveloplanguagetobeincludedinbidsolicitationsandrequestsforproposalsthatclearlysetsforththeobjectiveofthePolicy(the"SolicitationLanguage").DistrictemployeesshallincludetheSolicitationLanguageinallbids,publicsolicitations,requestsforproposalsandallcommunicationstopotentialContractors,includingthosewhowishtoprovideprofessionalservicestotheDistrict.ThePolicyshallbearticulatedtothepublicingeneral,andtoeachContractor,assignee,lesseeorlicenseedoingorseekingtodobusinesswiththeDistrict.TheDistrictmayemployadditionalstafforcontractwithotherpublicorprivateentitiestoassistintheimplementationofthePolicy.SBDshallprovidetheSRCwithannualreportsonthelevelofM/W/BEparticipationinallcontractingactivities.

2. PromotionofM/W/BEs

TheDistrictrecognizestheimportanceofhavingmeaningfulandsubstantialM/W/BEparticipationinallContracts.Tothatend,theDistrictwilltakestepstoensurethatM/W/BEsareaffordedafairandequalopportunitytoparticipate.Thosestepsmayincludebutarenotlimitedto:(i)makingpubliccontractingopportunities;(ii)advertisinginnewspapersandperiodicalspublishedbycommunity-basedorganizationsandM/W/BEs;and(iii)designingbidpackagesinsuchawayastopromoteratherthandiscourageM/W/BEparticipation.

3. ContractingRequirements

a. Bids,RequestforProposals,andPublicSolicitationsPriortothedisseminationofanybid,requestforproposalsorpublicsolicitation(the"Solicitation"),theapplicablecontractingdepartmentoftheDistrictshallsubmitproposedrangesofM/W/BEparticipationintheareatobebid(the"ParticipationRange")toSBDforapproval.TheParticipationRange,asapprovedbySBD,shallbeincludedineachSolicitationand,ifapplicable,theSolicitationshallincludethenamesandaddressesofbonafideM/W/BEsthatareavailableforcontractingorjoint-ventureopportunities.Eachbidderorrespondentshallberequiredtosubmit:(i)aplanwithitsbidorproposalthatmeetstheParticipationRangesetforthintheSolicitationandliststhenames,addresses,dollaramountsandscopeofworktobeperformedbyM/W/BEs(the"ParticipationPlan");or(ii)briefnarrativeexplainingitsreasonsfornotsubmittingaPlanthatmeetstheParticipationRangesetforthintheSolicitation.SubmissionoftheParticipationPlanisanelementofresponsiveness.FailuretosubmitacompletedParticipationPlanoranarrativeexplainingthereasonsthattheParticipationRangescouldnotbemetmayresultintherejectionofabidorproposal.IftheParticipationRangeinabidorproposalmeetsorexceedstheleveldeterminedbytheDistricttobemeaningfulandsubstantial,thereshallbeapresumptionofcompliancewiththePolicy.If,however,theproposedParticipationRangefallsbelowtheleveldeterminedbytheDistricttobemeaningfulandsubstantial,thebidderorrespondentmustprovetothesatisfactionoftheDistrictthatitdidnotdiscriminateinthesolicitationofpotentialsubcontractorsand/orjointventurepartners.

b. ContractsforProfessionalServices

ContractsforprofessionalservicesthatarenotthesubjectofaSolicitationmustalsoincludeapproval

ParticipationPlans.IfaproposedContractforprofessionalservicesissubjecttotheapprovaloftheLimitedContractsAuthorityCommitteeoftheDistrict(the"LCA"),theapplicablecontractingdepartmentshallsubmitaproposedParticipationPlanforthewrittenapprovalofSBDpriortothesubmissionoftheContracttotheLCA.IninstanceswhereproposedContractforprofessionalservicesmustbeapprovedbyaResolutionadoptedbytheSRC,SBD'sapprovaloftheParticipationPlanshallbeincorporatedintotheon-lineresolutionprocesspriortothesubmissionofResolutiontotheSRC.

4. Sanctions

TheParticipationPlanshallbeapartofeachContractbetweentheDistrictandaContractorandshallbeenforceableasanyothercontractualtermorcondition.SanctionsforbreachofaParticipationPlanmayincludesuspension,cancellationoftheContractand/ordisbarmentfromfuturecontractingopportunitieswiththeDistrict.

EQUALOPPORTUNITYA. EQUALOPPORTUNITY

TheSchoolDistrictofPhiladelphia(the“SchoolDistrict”)isanEqualOpportunityEmployeranddemandsnolessofthecompanieswithwhichitdoesbusiness.TheSchoolDistrictwillnotdobusinesswithcompaniesorpersonswhounlawfullydiscriminateonthebasisofrace,color,nationalorigin,sex,creed,disability,oranyotherimpermissiblegroundintheirhiring,promotion,subcontractingorprocurementpractices.BysubmittinganyproposaltocontractorenteringintoanycontractwiththeSchoolDistrict,theRespondent(the"Respondent")representsandcertifiesthatRespondentisanEqualOpportunityEmployer;andconductsbusinessaffairswithoutimproperregardtorace,color,nationalorigin,sex,creed,ordisability,andhasnotbeendebarred,suspended,ordeclaredineligibletocontractbyanypublicorprivateagencyorentitybecauseoftheRespondent’sdiscriminatorypractices.IftheRespondenthasbeendebarredorsuspended,Respondentmustsubmitastatementwiththebididentifyingthedebarringorsuspendingentityandgivingthedatethatthedebarmentorsuspensionwasorisscheduledtobelifted.AllcertificationscontainedinaRespondent'sproposalarematerialrepresentationsoffactuponwhichreliancewillbeplacediftheSchoolDistrictawardsacontractpursuanttothisRequestforProposals.IfitislaterdiscoveredordeterminedthattheRespondentknowinglyrenderedanerroneouscertification,thentheSchoolDistrictmaypursueavailableremedies,includingterminationofthecontract.

B. NON-DISCRIMINATION

1. Non-DiscriminationinHiring

TheRespondentagreesthatitwillcomplywithprovisionsofthePhiladelphiaFairPracticesOrdinanceadministeredbytheHumanRelationsCommissionoftheCityofPhiladelphia,thePennsylvaniaHumanRelationsAct.No.222,October27,1955,asamended,43P.S.Section951etseq;Title7oftheCivilRightsActof1964,42U.S.C.Section2000etseq.,andallpertinentregulationsadoptedpursuanttotheforegoinginprovidingequalemploymentopportunitiesinconnectionwithallworkperformedbyitpursuanttoanycontractawardedtoRespondent,(the"Contract").TheRespondentthereforeagrees:

(a) Thatitwillnotdiscriminatenorpermitdiscriminationbyitsagents,servantsoremployeesagainstanyemployeeorapplicantforemploymentwithregardtohiring,tenureor

(ii) TheRespondentwillnotifyeachlaborunionorworkers'representativefromwhomitseeksworkersoftheRespondent'scommitmentassetforthinitsproposal,andrequestthateachunionorworkers'representativeincludeminoritygroupmembersandwomenamongitsreferrals.

(iii) TheRespondentwillhireminorityandfemaleworkersfortheskilledandunskilledjobsrequiredtoperformtheContractinproportiontotheiravailabilityintherelevantlaborpoolsinthePhiladelphiaMetropolitanStatisticalArea,ortotheiravailabilityinitsqualifiedapplicantpool,whicheverisgreater.

(iv) TheRespondentwillpostinconspicuousplacesavailabletoitsemployeesandto

applicantsforemployment,anoticeoffairpracticestobeprovidedbythePhiladelphiaHumanRelationsCommission.

(v) TheRespondentwillmaintainaworkenvironmentfreeofharassment,intimidation

andcoercion,andwillensurethatallon-sitesupervisorypersonnelareawareofandcarryoutRespondent'sobligationtomaintainsuchaworkingenvironment.

(b) ThatitwillidentifyoneachcertifiedpayrollformsubmittedtotheSchoolDistrictthoseof

itsemployeeswhoareminoritygroupmembersandthosewhoarefemale.Asusedhere,"minority"meansAfricanAmerican,Hispanic,Asian,orNativeAmerican.TheSchoolDistrictshallatalltimeshaveaccesstoworksiteandtotheRespondent'semploymentrecordstoassurecompliancewiththissubsection.

(c) ThatitwillmaintainonformstobesuppliedbytheSchoolDistrict,thename,race,sex,

nationalorigin,skillorcraft,address,telephonenumber,andsourceofreferralofeachapplicantforemployment,whichrecordshallshowwhichapplicantswerehired.

(d) (Thatintheeventapprenticesarehiredinanyskilledcraftarea,theRespondentwill

endeavortohireequalnumbersofculturallydiversemaleandfemaletraineesineachskillarea.

2. Non-DiscriminationinContracting

ItisthepolicyoftheSchoolDistrictofPhiladelphia,thatbusinessconcernsownedandcontrolledbyminoritygroupmembersandwomenshallhavefullandfairopportunitytoparticipateinperformanceofcontractsletbytheSchoolDistrict.ARespondent'splantojointventurewithorsubcontracttominorityandwoman-ownedfirms(M/WBEs)and/ortoutilizeM/WBEsassourcesofsupplies,equipment,orserviceswillbeasignificantpartoftheevaluationoftheRespondent'sresponsibility.

(b) RespondenttothisRFPshallemploytheservicesofSub-consultant(s),asnecessary,to

achievecombinedMinorityOwnedBusinessEnterprise(MBE)andWomanOwnedBusinessEnterprise(WBE)participationgoalsinarangeof15%-20%ofthetotalamountofservicesprovided.IftheFirmisaMBEorWBEfirm,thentheFirmwillhaveachievedthegoalforthatcategory.Anon-MBEorWBEfirmshallemployaMBEorWBEfirmtoachievethesegoals.

LiabilityofSubcontractorsAnysubcontractoroftheRespondentshallhavethesameresponsibilitiesandobligationsastheRespondenttocomplywiththeprovisionsofthisSectionandshallbesubjecttothesamepenaltiesforfailuretocomplyassetforthbelow.

3. PenaltiesforFailuretoComply

ItisherebyagreedthatfailuretocomplyanddemonstrateagoodfaithefforttocomplywiththeforegoingrequirementsshallconstituteasubstantialbreachoftheContract.
