We received the certificate last week and this marks another important milestone in reaching our go live date. evidence
that
we
will

viable

 sustainable
 going
 forward.

Governance
 arrangements
 have
 been
 evaluated
and
 the
 way
 that
 we
 conduct
 ourselves
 as
 a
Commercial
 Board
 has
 been
 observed
 and
critiqued.


    We
feel
that

we
are
now
fit
and
ready
to
lead
our
organisation
going
forward
–
our
next
milestone
being
on
16th
September
when
NHS
Surrey
Board
will
determine
if
we
have
provided
sufficient
assurance
to
be
given
approval
to
proceed
to
final
“go
live”
on
1st
October
.

Appointment
We
would
like
to
formally
announce
&
welcome
our
3
 Non‐Executive
 Directors
 (NEDs)
 that
 have
 been
successfully
appointed
to
the
social
enterprise
Board
through
 the
Appointment's
 Commission,
which
now
makes
 our
 Board
 fully
 constituted.
 We
 have
 also
"borrowed"
 a
 NED
 from
 Your
 Healthcare
 ‐
 the
Kingston
 Social
 Enterprise
 for
 a
 12
 month
 period.

Hopefully
you
all
had
a
chance
to
meet
the
team
as
they
 went
 on
 an
 initial
 induction
 of
 our
 sites
 and
services,
 as
 they
 were
 keen
 to
 meet
 the
 staff
 that
who
are
all
an
integral
part
of
our
Social
Enterprise.

Update


    Colleagues
will
know
that
we
commenced
our
TUPE
consultation
 in
 July
 and
 that
 a
 series
 of
 staff
meetings
 have
 taken
 place
 to
 talk
 through
 the
implications
and
address
any
concerns.


    Alongside
 this
 work,
 the
 Senior
 Team
 have
 been
focused
on
completing
a
number
of
key
documents
required
 under
 our
 “Right
 to
 Request”
 –
 namely;
our
Clinical
Strategy
&
Workforce
Plans.




    Geraldine
 (our
 Transition
 Director)
 has
 been
keeping
us
on
track
with
our
Transition
Programme
milestone,
 whilst
 ensuring
 that
 our
 Company
 is
registered
 at
 Companies
 House
 and
 that
 we
 have
permission
to
maintain
NHS
Pensions
for
staff
TUPE
transferring
to
our
new
organisation.


    Our
 shadow
 Board
 is
 now
 established,
 following
the
 successful
 appointment
 of
 an
 additional
 four
Non‐Executive
 Directors
 who
 collectively
 offer
 an
impressive
 range
 of
 commercial
 skills
 that
 will
enhance
those
of
our
Executive
Team.



    Over
the
past
month
all
Board
members
have
been
put
through
what
is
known
as
the
“active
testing”
phase
which
is
a
series
of
individual
&
group
interviews
&
challenge
sessions
(run
by
NHS
Surrey

    Elaine
Best
–
Chairman
designate.

Elaine
has
over
30
years
experience
within
 the
public
 sector
predominately
 in
 the
NHS.
 She
has
worked
 in
acute,
 community
and
mental
health
services
over
this
time,
taking
a
leading
role
in
strategic
planning
and
policy
implementation
for
mental
health
in
North
Thames
 Regional
 Health
 Authority
 and
 subsequently
 London
 Regional
 Office.
 From
 1989
 until
 2001
 she
 held
 a
 number
 of
 senior
management
and
Board
Director
appointments
 in
 London
Health
Authorities
 covering
 commissioning,
 community
 care
and
health
business
management.
In
2002,
Elaine
was
appointed
Chief
Executive
for
East
Surrey
Primary
Care
Trust
which
became
known
for
its
innovations
in
integrated
health
and
social
care.
More
recently,
she
has
worked
for
the
Department
of
Health
in
policy
development
for
community
services
and
is
now
an
independent
management
consultant.

Jervis,

Director
designate.

Catherine
is
a
Director
in
PriceWaterhouseCoopers
leading
consulting
engagements
primarily
in
children
and
education
services
most
recently,
 developing
 and
 implementing
 innovative
 solutions
 such
 as
 Hackney
 Learning
 Trust.
 She
 has
worked
 in
 the
 public
 sector
specialising
in
strategy
development
and
implementation
and
has
commercial
expertise
from
experience
gained
as
Group
Manager
with
Kidsons
Impey.
Catherine
has
been
a
Principal
Auditor
with
the
National
Audit
Office
carrying
out
a
number
of
Value
for
Money
reviews.
She
is
currently
a
member
of
the
Audit
Committee
for
Achievement
for
All
Ltd
and
a
School
Governor.


    
David
Halliday,
Non‐Executive
Director
designate.

David
 has
 over
 30
 years
 experience
 working
 at
 Board
 level
 in
 both
 the
 public
 and
 private
 sectors
 as
 a
 Director,
 Consultant
 and
Performance
Adviser.
He
has
designed
and
delivered
a
wide
variety
of
business
development,
change
management,
organisational
development
and
performance
improvement
programmes.
His
client
portfolio
has
included
Sony,
McDonalds,
BT,
Thorn
EMI,
British
Gas,
 Miele,
 several
 NHS
 Acute
 &
 Primary
 Care
 Trusts,
 the
 General
 Medical
 Council
 and
 Department
 of
 Health.
 David
 has
 a
professional
background
in
marketing
and
is
currently
Managing
Partner
of
Banana
Park
Consulting
LLP.



    Andy
Proudfoot,
Non‐Executive
Director
designate.

Andy
 is
a
Chartered
Accountant
and
works
as
an
 Independent
Consultant.
With
over
20
years
experience
of
operating
at
Director
level
 in
management
consultancies
ranging
from
large
quoted
companies
to
small,
medium
enterprises
Andy
has
built
a
successful
portfolio
 in
 commercial
 and
 operational
management,
 leadership,
 business
 development,
 financial
 management
 and
 relationship
management.
 He
 has
 extensive
 experience
 with
 public
 authorities
 including
 having
 worked
 for
 both
 Islington
 and
 Wandsworth
Borough
Councils.
He
co‐led
a
management
buy‐out,
successfully
grew
the
business
and
oversaw
its
sale
to
a
London
Stock
Exchange
listed
plc
4
years
later.
He
has
a
track
record
in
helping
businesses
to
become
financially
successful
by
focussing
business
strategy
and
building
staff
capability
and
morale.


    
John
Tate,
Non‐Executive
Director
designate.

John
 is
 currently
 chairman
 of
 Your
 Healthcare
 Community
 Interest
 Company
 in
 Kingston,
 one
 of
 the
 first
 social
 enterprises
 to
 be
formed
under
the
Department
of
Health’s
policy
Transforming
Community
Services
that
commenced
in
August
2010.
He
is
a
lawyer
by
 professional
 background
 and,
 until
 2009,
 was
 Director
 of
 Legal
 Services
 for
 the
 IPCC.
 He
 has
 also
 held
 the
 post
 of
 Deputy
Parliamentary
Ombudsman
&
Legal
Adviser
 to
 the
Health
Service
Ombudsman
and
was
 the
Solicitor
 to
 the
Bloody
Sunday
 Inquiry
from
1999
until
2003.
John
was
a
Non‐executive
Director
of
Kingston
Primary
Care
Trust
until
2010.
He
remains
a
Lay
Member
of
the
General
 Social
 Care
 Council,
 the
 regulator
 for
 social
 workers
 in
 England,
 and
 the
 Chair
 of
 Specialty
 Schools
 for
 the
 NHS
 London
Deanery
for
the
ophthalmology,
anaesthesia,
psychiatry
schools
and
the
Academic
Forum.
