Dear Brothers and Sisters,

“Coming together is a beginning, keeping together is progress, working together is Success” – Henry Ford.

Let me start my message with this quote as I always

believe that we achieve success in a true spirit while working as a team than just individually. I am very grateful to the respected members of Eastern Region for reposing faith in me and re-electing me for the second term 2016-19 which has given me the opportunity to take the responsibility of the prestigious post of the Chairman of Eastern India Regional Council. I also extend my heartiest congratulations to all my colleagues of the Regional Council, the Central Council members elected from this region and the Managing Committee of the Branches for the year 2016-2019. I know you all have dreams for our Institute, to see it reach the pinnacle of glory and EIRC will put in the best to fulfil all your dreams. We shall work as a team and take the Institute to the heights of success.

Oh behalf of the members of our Region, I heartily congratulate CA M. Devaraja Reddy, Hon’ble President, ICAI and CA. Nilesh Shivji Vikamsey, Hon’ble Vice-President, ICAI for having taken a fresh guard for the term 2016-2017. Team EIRC is determined to continue in the right earnest to ensure fulfilment and support for all their endeavours.

My aim is to provide the best services to our members and students to ensure that there isn’t any grievance from their end. For betterment of services we have made an escalation matrix

for resolving queries as well grievances so that the same can be resolved at the earliest with the minimum turnaround time. All the email ids and phone numbers are available under contact us at www.eirc-icai.org. I am sure that it would be resolved on top most priority but for providing full support we have set up this mechanism.

We would work in best interest to represent regarding all professional difficulties to the concerned Government departments of West Bengal. For this I need your support and guidance apprising me the difficulties faced by you in the professional front.

The Union Budget has recently been announced by the Hon’ble Finance Minister, Government of India. EIRC has planned a series of seminars to keep its members updated about the various professional developments, the details of which is given in the Forthcoming Programmes given in Pg No. 4 of this Newsletter.

With Holi and Doljatraaround the corner, I wish each one of you and your family members a bright and colourful Holi and hope each day is as colourful as ever.

I would like to conclude by saying…

The Canvas of life is waiting for some bright colours. Let us add some shades of Joy, Love, Peace and Happiness to it.

EICASA

My Dear Students,My heartiest Congratulations to each and every member of EICASA and all the students for bringing the “Certificate of Appreciation for the year 2015-16” to EIRC. My heartiest congratulations to my predecessor for all his sincere efforts, to carry out the activities as envisaged by Board of Studies & ICAI.I am honoured & privileged to be elevated

to the position of chairman of EICASA. I had always been in the centre stage of activities for the students, since the time I joined the CA course. I feel the students are a part of the larger CA fraternity and family. It is with the students that I feel so energetic and their smiling faces always give me the energy to work for them & with them.You are the future of our profession and country. I sincerely believe that it is my duty to work for the welfare of students, as you all are the budding future professional. You are the ones who will turn those dreams of vibrant India into reality. I am fortunate to be part of India growth story by way of leading the students. I am aware of the onerous responsibility cast upon me as the chairman of EICASA and I assure you all that I shall leave no stones unturned for ensuring a bright future for our profession.Friends, our course curriculum is a distance learning course but a course which is considered as the toughest and the brightest. I, therefore feel that interaction amongst stakeholders i.e. our members and students is of paramount importance to develop our profession and training programme. I thus propose to introduce a system of periodical meets with articles, principals & industry leaders, to emphasize the need of proper and effective

articleship and check the menace which has engulfed some section of our society.Organizing crash course and interactive guidance workshop for students at the ICAI premises is also on my agenda. I would suggest students to refer the latest study materials while preparing for the examination and not just depend upon coaching classes. We shall introduce the crash course & amendment classes for ITSM , Advanced Management Accounting and other subjects in the month of March at ICAI Bhawan,Russell street, Kolkata for the benefit of the students appearing in May exams.Dear friends the year ahead shall be thronged with activities aimed at all round development of our students. I would invite suggestions from our members & students, by which I can be guided to achieve our objective for a better student regime and a world class CA profession. We have started this term with a noble project “Share & Care” whereby clothes and eatables were distributed amongst the poor on 28th February at Kolkata by the students. I would also urge the students to kindly come forward and participate in the upcoming projects of EICASA. I firmly believe in the quote of Late APJ Abdul Kalam:“Dream is not that you see in sleep, Dream is something that does not let you sleep.”May yours dreams come true.

The Board of Studies of the ICAI has been providing Online Articles Placement facility for selection of Articled Assistants by CA Firms through its Articles Placement Portal on pan India basis. It provides a platform to the firms of Chartered Accountants having vacancies for Articled Assistants to shortlist eligible students for selection of articled assistants, and call them for Interview at their offices, as per date and time convenient to them. The eligible candidates who have passed Group-I or both Groups of the Intermediate (Integrated Professional Competence) Course or have been admitted under the Direct Entry Scheme and are willing to join articled training can register themselves on the portal. The services to the Online Placement Portal are available free of charge for both CA Firms and students and they can register themselves online through the Portal at http://bosapp.icai.org. The services on the Portal would be available for two months, twice a year, from the date of registration by the firms. Similarly the bio data of a student will also be available on the portal for a maximum period of 2 months from student’s registration. The candidates shortlisted by CA Firms would be informed by e-mails through the Portal, to appear for interview at their respective Offices, at the designated date and time. Profile of ICAI President & Vice President

A man of great vision, strong integrity and hard discipline with a firm belief in the inclusive growth of accountancy profession, CA M. Devaraja Reddy has taken over as the supreme torchbearer of Indian accountancy profession. He has been elected President of The Institute of Chartered Accountants of India (ICAI), for the year 2016-2017 by the 23rd Council of the Institute. Being a fellow ICAI member with a prudent professional foresight and more than

28 years of immaculate professional standing, CA Reddy has served the Indian accountancy profession as Vice President of ICAI for the Council Year 2015-16.

With an ingrained interest in academic matters of accountancy profession, CA Reddy is widely commended and credited for his prominentand distinguished contribution in the conceptualization and formulation of a futuristic CA Curriculum during his tenure as the Chairman of ICAI Board of Studies in 2014-2015.

A resident of Hyderabad, CA Reddy has been elected by his member colleagues for a straight third term of the Central Council of ICAI (20162019). As President of the ICAI, he is now the Chairman of all Standing Committees of the ICAI, viz. Examination Committee, Finance Committee and Executive Committee besides being Presiding.

Officer of the Board of Discipline (Under Section 21A), Disciplinary Committee (Under Section 21B) and Chairman Disciplinary Committee (under section 21D). He will also be the exofficioMember of all Non Standing.

Committees of the ICAI and Editor of The Chartered Accountant journal. Earlier, as the Vice President of the ICAI, he was the Vice-Chairman of all the Standing Committees of the ICAI, the Member exofficio in all NonStanding Committees of the ICAI and Joint Editor of The Chartered Accountant journal. He is also Director on the Board of ICAIARF as well as XBRL India. In XBRL India, he is also holding membership in important committees namely Taxonomy Development & Review Committee; and Audit Committee. On the international front, he is holding positions of Chairman, Small and Medium Practices Committee of SAFA, and

Technical Advisor to Small and Medium Practices (SMP) of IFAC. He is also the technical adviser to the ICAI immediate past President at the CAPA Board. CAPA Board has appointed him as member of the Professional Accounting Organisation Development Committee (PAODC) of CAPA for the term 2016-2019.

Widely known for his pleasant nature and beneficent attitude, CA. Reddy graduated in Commerce from Pragati Mahavidyalaya Abids, Hyderabad. He started his professional journey in November 1987 when he became a Chartered Accountant. He started an independent professional practice in Hyderabad after that. Later, he got elected to the Managing Committee of Hyderabad Branch of SIRC (Southern India Regional Council), and became its Secretary in 1994, Vice-Chairman in 1995 and Chairman in 1996.

Being an outstanding facilitator of ICAI as an ardent partner in nation building, CA Reddy has been nominated on various Government bodies/ regulators, including on the High Level Steering Committee for Implementation of XBRLbasedData Submission by Banks of RBI, XBRL Technical Advisory Committee of SEBI, Task force at Ministry of Corporate Affairs with regard to Ministry’s Plan Budget for 12th Five Year Plan, Advisory Group of National Foundation for Corporate Social Responsibility of IICA (Indian Institute of Corporate Affairs), and Committee on Accounting Issues constituted by IRDA.

An ardent devotee of Lord Sri VenkateswaraBalaji, CA M. Devaraja Reddy has been actively involved in a number of social activities. He has also been an active member in the Federation of Andhra Pradesh Chamber of Commerce & Industry.

Being an ardent academic, CA M. Devaraja Reddy has attended and contributed at numerous national and international professional platforms including seminars, workshops and conferences, where the professional fraternity has had the advantage of attending to his treasured insight on many core issues including networking, investment strategies, elearning, initiatives on education for accountancy.

Having the privilege of representing Indian accountancy at many international professional platforms on a number of occasions, CA Reddy vows to put the Indian accountancy profession globally on a very high pedestal.

A person of professional vigour, dynamism, high integrity and expertise, CA NileshVikamseyis elected as the Vice President of the Institute of Chartered Accountants of India (ICAI) by the 23rd Council of the Institute for the term 2016-2017. Having gained deep insights into the profession as a fellow member of the ICAI with more than 30 years of impeccable professional standing, he has served the ICAI and the profession as a Central Council Member since 2010. He

has been a member of the ICAI since 1985. He is widely commended and credited for his key role in conceptualisation and devising of a new futuristic CA Curriculum.A selfless hardworker and down to earth personality bestowed with exceptional organisational, administrative and leadership skills, he has been elected to the Central Council for three consecutive terms (201013, 201316, 201619). In the capacity of the Council Member, he has served the ICAI and the accountancy profession as Chairman of Board of Studies, Financial Reporting Review Board, Research Committee and Expert Advisory committee. A resident of Mumbai, he has actively partnered in the growth of the nation and the profession as member and first Chairman of the Qualified Audit Report Committee (QARC) of SEBI, Committee on Disclosures and Accounting Standards (SCODA) of SEBI, LLP Committee of Ministry of Corporate Affairs (MCA), Committee Constituted by Ministry of Corporate Affairs pertaining to certain issues raised regarding applicability of foreign investment in the LLPs, Committee for Digitization of

Announcement for ISA EXAM

Members are hereby informed that the next Information Systems Audit (ISA) Course Assessment Test (Old as well as New Syllabus) (which is open to the members of the Institute) will be held on 20th March, 2016 (Sunday) from 10.30 AM to 2.30 PM (IST) at the cities provided that sufficient number of candidates offer themselves to appear therefrom.

The Council reserves the right to withdraw any centre at any stage without assigning any reason. The above test is open only to the members of the Institute who are already registered with the Institute for the ISA course and have passed the Information Systems Audit-Eligibility Test-(ISAET) conducted by the Committee on Information Technology (CIT) of the Institute.

Further, pursuant to the decision taken by the Council at its meeting held on 17-18th January 2016, those members who had registered for the ISA course 2.0 and started ISA professional training on or after 1st July 2015 and had completed the professional training classes, project work and had passed the daily module tests as per the norms prescribed by the CIT would be deemed to have passed ISA-ET and would be eligible to appear in Information Systems Audit –Assessment Test to be held on 20.03.2016, as a onetime special dispensation.

The fee payable for the above Assessment Test is ` 2000/-.

An application for admission to the Assessment Test is required to be submitted online by visiting http://isaat.icaiexam.icai.org and the sum of ` 2100/- ( `2000/- as examination fees and `100/- towards the examination form) has to be paid online using Master / Visa / Maestro Credit orDebit Card on or from 26th February, 2016. Alternatively, the format of application form can bedownloaded from the website of the Institute viz. www.icai.org and the cost of the application formof ` 100/- can be added to the Assessment Test fee of ` 2000/- and the Demand Draft for ` 2100/- ofany Scheduled Bank drawn in favour of “The Secretary, The Institute of Chartered Accountants ofIndia”, payable at New Delhi only has to be sent to the Deputy Secretary (Exams), The Institute ofChartered Accountants of India, ICAI Bhawan, Indraprastha Marg, New Delhi – 110002 so as toreach him on or before 7th March, 2016. [Relevant Section Hindu Law; Date of pronouncement: 16.10.2015] Law on prospective vs. retrospective operation of legislation explained -

The Hindu Succession (Amendment Act), 2005 which came into effect on 09.09.2015 and by which daughters in a joint Hindu family, governed by Mitakshara law, were granted statutory right in the coparcenary property (being property not partitioned or alienated) of their fathers applies only if both the father and the daughter are alive on the date of commencement of the Amendment Act.

2. Neela S. Karyakarte vs. ITO (ITAT Mumbai) [ITA No. 7548/Mum/2012] [Relevant Section 54EC, Date of pronouncement: 28.08.2015] Sec. 54EC: The period of “6 months” available for making investment

means 6 calendar months & not 180 days. Payment by cheque dates back to date of presentation & not date of encashment (i) For purposes of section 54EC, as held by the Special Bench of Ahmedabad

bench in the case of Alkaben B. Patel (2014) 148 ITD 31 (Ahd) and M/s. Crucible Trading Co. Pvt. Ltd. in ITA No.5994/Mum/2013 dated 25.02.2015 “6 months” have been interpreted and it is held that the same would mean 6 calendar months and not 180 days.

(ii) As held by the Supreme Court in CIT vs. Ogale Glass Works Ltd. (1954) 25 ITR 529 (SC), in the case of cheques not having been dishonored but having been encashed, the payment related back to the date of the receipt of the cheques and in law the dates of payments were the dates of the delivery of the cheques.

3. Mangal Keshav Securities Limited vs. ACIT (ITAT Mumbai) [ITA No. 8047/Mum/2010]

[Relevant Section 37, Date of pronouncement: 29.09.2015] Expl to Sec. 37(1): Penalties & fines paid to SEBI, BSE etc for breach of

regulatory/ procedural requirements are “compensatory” in nature and not for any purpose which is an ‘offense’ prohibited by the law(i) The payments have been made on account of routine fines for minor

procedural irregularities, in day-to-day working of the assessee company. The assessee company is engaged into stock broking activities and also in financial services which involves substantial compliance requirements with various regulatory authorities e.g. BSE, NSE, CDSL, NSDL, & SEBI etc. In the regular course of the business of the assessee company, certain procedural non-compliances are not unusual, for which assessee is required to pay some fines or penalties. In our considered view, these routine fines or penalties are “compensatory” in nature; these are not punitive. These fines are generally levied to ensure procedural compliances by the concerned persons. Their levy depend upon facts and circumstances of the case, and peculiarities or complexities of the situations involved. Sometimes elements of discretions of levying authorities are also involved therein.

(ii) On the other hand, an ‘offence’ would be the one which will arise as a result to commission of an action which is prohibited by law, and, in all the given situations, no element of any consent of the parties involved can bring any change in its legal consequences. Similarly, any amount paid by the assessee, in the form of compensation, as a consequence of breach of contract between the two parties, cannot be said to be amount paid for any purpose which is an ‘offence’, prohibited by the law. In other words, under the income tax law, one is required to go into the real nature of the transactions and not to the nomenclature that may have

been assigned by the parties. Thus, to decide such issues, we are required to see real substance under the Income Tax Law, and not merely its form. Thus, only those payments, which have been made by the assessee for any purpose which is an ‘offence’ or which is ‘prohibited by law’, shall alone would be hit by the explanation to section 37.

4. Important CBDT Directive on Adjustment of Refunds against Demands u/s 245 by CPC

The CBDT has issued an Office Memorandum dated 29.01.2016 to deal with the issue as to whether a refund due to the assessee can be adjusted against a demand due from him u/s 245 of the Act. The CBDT has inter alia stated that in cases where the tax payer has contested the demand, CPC would issue a reminder to the jurisdictional Assessing Officers about the contention of the taxpayer, asking them to either confirm, or make appropriate changes, to the demand, within thirty days. In case no response is received from the jurisdictional Assessing Officer, within the stipulated period of thirty days, CPC would issue the refund without any adjustment. The responsibility of non-adjustment of refund against outstanding arrears, if any, would lie with the Assessing Officer.

5. DCIT vs. Syncom Formulations (I) Ltd (ITAT Mumbai) [ITA No. 6428 & 6429/Mum/2012]

[Relevant Section 37(1), Expl. to Section 37; Date of pronouncement: 23.12.2015]

Sec. 37(1): While receiving of gifts by doctors is prohibited by MCI Guidelines, the giving of such gifts by Pharma companies is not prohibited by any law. CBDT Circular dated 01.08.2012 is prospective

Receiving of gifts by doctors was prohibited by MCI guidelines, giving of the same by manufacturer is not prohibited under any law for the time being in force. Giving small gifts bearing company logo to doctors does not tantamount to giving gifts to doctors but it is regarded as advertising expenses. As regards sponsoring doctors for conferences and extending hospitality, pharmaceuticals companies have been sponsoring practicing doctors to attend prestigious conferences so that they gather contemporary knowledge about management of certain illness/disease and learn about newer therapies. We found that the disallowance was made by the AO by relying on the CBDT Circular dated 01.08.2012 onwards. However, the Circular was not applicable because it was introduced w.e.f. 01.08.2012. i.e. assessment year 2013-2014, whereas the relevant assessment year under consideration is 2010-2011 and 2011-2012. Accordingly, we do not find any merit in the disallowance so made by the AO in both the assessment years under consideration.

6. Pralhad @ Pratap s/o Tanbaji Pawar vs. State of Maharashtra (Bombay High Court) [Cirminal Application (ABA) No. 642/2015]

Calls for Non-Cooperation Movement by Taxpayers to eradicate “Hydra Headed Monster” of Corruption

Hon’ble Justice A. B. Chaudhari of the Nagpur Bench of the Bombay High Court has passed severe strictures against the Government for turning a blind eye to the rampant corruption in the Country. The learned Judge lamented that “It shocks one and all as to the manner in which the taxpayers’ money is being swindled, misappropriated and robbed by such unscrupulous holders of posts”.

He also pointed that corruption has become the order of the day over the past few decades and that taxpayers are helpless victims of the sordid state of affairs.

“Does the taxpayer pay the money to the Government for such kind of acrobatics being played” Justice Chaudhari asked in a rhetorical manner.

He also lamented that ethics and morals have taken a back seat in modern India’s scheme of things. He opined that to eradicate the “hydra headed monster” of corruption, citizens have to come together to tell their Governments that they

The learned Judge also found fault with the attitude of the employees’ unions who are otherwise very vigilant about their rights. He expressed surprise that the Unions do not “condemn, outcast or demonstrate against their counterpart bureaucracy indulging in corruption” and on the contrary support their misdeeds.

EX., CHANDIGARH - Cement - Clinker captively consumed within factory of production - Exemption under Notification No. 67/95-C.E. - Rule 6 of Cenvat Credit Rules, 2001/2004 - Interpretation thereof - Final product ‘cement’ exempted on account of factory being located in exempted area and hence exemption to captively consumed intermediate product i.e. clinker denied under aforesaid notification - Exclusion clause (vi) in notification ibid, clearly stipulating that exemption to intermediate goods used captively, not deniable on discharge of obligations prescribed in impugned Rule - Undisputedly such obligation discharged by assessees - Tribunal erred in denying exemption on ground that Rule 6 ibid applicable only when same final product partly exempt and partly dutiable - No such stipulation in aforesaid rule

There could be different final products and different exempted products manufactured by same assessee in same factory for applicability of said rule - Exclusion of clause under Notification No. 67/95-C.E. also not contemplating availability of exemption only when same product partly exempt and partly dutiable - Exemption under impugned notification to captively consumed clinker available - Notification No. 67/95-C.E. - Rule 6 of Cenvat Credit Rules, 2001/2004.

3. 2016 (331) E.L.T. 475 (Tri. - Bang.) - VEER-O-METALS PVT. LTD. Versus COMMISSIONER OF C. EX., BANGALORE-III

Cenvat/Modvat - Input credit - Denial of - Credit denied alleging non-receipt of inputs as corresponding GRNs (Goods Receipt Notes) and BIN cards not available for inputs covered by 11 invoices - No enquiry made from sender of inputs - Appellant recorded invoices and inputs in statutory records - GRNs and BIN cards not prescribed documents - In absence of any corroborative evidence of non-availability of said documents cannot be conclusive evidence of non-receipt of inputs as corresponding final products could not have been made - Impugned order set aside - Section 11A of Central Excise Act, 1944.

In the absence of the inputs in question, corresponding final products could not have been manufactured by them. The non-availability of the said documents which are not even the prescribed documents in terms of the Cenvat Credit Rules and the purpose of which is only to show the receipt of the materials at the factory gate, cannot be held to be conclusive evidence so as to arrive at a finding of the non-receipt of the goods. In the absence of any corroborative evidence

aggregate value of clearances exceeds one hundred and fifty lakh rupees in the financial year.The return has to be filed electronically by 31st December to the Directorate General of Systems and Data Management. Till the proper electronic filing is in place, the return has to be given in CD or DVD. (Flash Drive not permitted?). The return has to be signed and verified. In case RBI and Electricity Boards do not furnish the returns, then as per section 15B, “If a person who is required to furnish an information return under section 15A fails to do so within the period specified in the notice issued under sub-section (3) thereof, the prescribed authority may direct that such person shall pay, by way of penalty, a sum of one hundred rupees for each day of the period during which the failure to furnish such return continues.”

Notification No. 05/2016-ST dated 17/02/2016Seeks to amend notification no. 22/2015-ST dated 06/11/2015.

There are two kinds of exemption in Service Tax. One is the general exemption under Section 93(1) and the other is a special exemption under exceptional circumstances (like floods), under Section 93(2).

By Notification No. 22/2015-ST dated 6.11.2015, the Government:1. Exempted Swachh Bharat Cess in excess of 0.5 percent.2. Clarified that there would be no Swachh Bharat Cess on services which are

exempt from service tax by a notification issued under sub-section (1) of section 93, and

3. Forgot to clarify that there would be no Swachh Bharat Cess on services which are exempt from service tax under sub-section (2) of section 93.

This lapse is now corrected.

Notification 7/2016-ST dated 18/02/2016Seeks to amend Notification No. 25/2012 by inserting new entry for granting exemption from service tax for the services provided by Government or a local authority to a business entity having turnover upto rupees of ten lakh in the preceding financial year

Section 66D(a) of the Finance Act, 1994 (Negative list) states:(a) services by Government or a local authority excluding the following services to

the extent they are not covered elsewhere-(i) services by the Department of Posts by way of speed post, express parcel

post, life insurance and agency services provided to a person other than Government;

(ii) services in relation to an aircraft or a vessel, inside or outside the precincts of a port or an airport;

(iii) transport of goods or passengers; or(iv) support services, other than services covered under clauses (i) to (iii)

above, provided to business entities;

Thus, the services listed in the sub-clauses (i) to (iv) are in positive list and are therefore taxable even if provided by the Government or Local authority.

Vide Section 109 of the Finance Act, 2015 an important amendment has been made to Section 66D of the Finance Act, 1994. This Section reads,

In section 66D of the 1994 Act, with effect from such date as the Central Government may, by notification in the Official Gazette, appoint,-

(1) in clause (a), in sub-clause (iv), for the words “support services”, the words “any service” shall be substituted;

Now, the effective date has been notified as 01/04/2016. So, effective from this date, all the Services provided by Government or Local Authority to a business entity become taxable.

Also, an exemption has been provided for Business entities, whose turnover is up to rupees ten lakhs in the preceding financial year.

But, how will a Service Provider (Government or Local Authority) ascertain the turnover of the Business Entity who is receiving the Service? This may not be

necessary as the Service Tax on these services is under reverse charge and the recipient is liable to pay Service Tax. Since it is the recipient who is liable to pay tax, he can decide based on this turnover whether he is liable to pay tax or not.

The amendment is likely to yield significant revenue to the Government, as the royalty paid to the Government for various resources like Spectrum or Coal blocks may now attract Service Tax.

Government has to amend Notification No. 30/2012 -ST, dated 20.06.2012. Perhaps, they will do it later. Or something is proposed in the budget.

DRAFT COMPANIES (AUDITOR’S REPORT) ORDER, 2016

MCA issued Notice inviting comments/ suggestions on the Draft Companies (Auditor’s Report) Order, 2016 on 9th February, 2016 proposed on the basis of the recommendations of the Committee set up by the MCA on 16th September, 2015 to examine and recommend matters that should form part of the statement to be attached with the Auditor’s Report under Section 143(11) for the F.Y. 2015-16 and onwards. The Draft Order comprises of 15 items to be reported and proposes major amendments in the existing items to be reported under CARO, 2015.

DRAFT COMPANIES (ACCOUNTING STANDARDS) AMENDMENT RULES 2016

MCA on 16th February, 2016 issued Notice inviting comments/ suggestions on the Draft Companies (Accounting Standards) Amendment Rules, 2016, which on implementation, shall supersede the Companies (Accounting Standards) Rules, 2006 to the extent specified thereunder. The Accounting Standards prescribed in the Annexure to the Companies (Accounting Standards) Rules, 2006 shall be the accounting standards prescribed under these Rules except for the modifications as specified thereunder. The Transitional Provisions pertaining to the Accounting Standards contained in the said Annexure shall be applicable only where an Accounting Standard which was not applicable to a company earlier becomes applicable to the company for the first time. Further, the Accounting Standard (AS) 6, Depreciation Accounting or/and Accounting Standard (AS) 10, Accounting for Fixed Assets shall be called as Accounting Standard (AS) 10, Property, Plant and Equipment. The Accounting Standards AS 2, AS 4, AS 10, AS 14, AS 21 and AS 29 as specified in the Annexure to these Rules shall supersede the corresponding Accounting Standards with the same number and nomenclature specified in Companies (Accounting Standards) Rules, 2006, and shall come into effect in respect of accounting periods commencing on or after the publication of these Rules.Chairperson/Members nominated by CG to the Quality Review Board not to undertake foreign tours without prior approvalMCA vide its Notification dated 8th February, 2016 notified the Chartered Accountants Procedures of Meetings of Quality Review Board and Terms and Conditions of Service and Allowance of Chairperson and Members of the Board (Amendment) Rules, 2016 under the Chartered Accountants Act, 1949 which states that the Chairperson and Members nominated by the Central Government to the Quality Review Board shall not undertake any foreign tour without prior approval of the Central Government. The Reserve Bank of India had reviewed the guidelines on provision of factoring services by banks and specified certain conditions under which banks can departmentally undertake factoring activities. To ensure against regulatory gaps/ arbitrage if any, arising from differential regulations as between NBFC-Factors and banks, the following clarifications/ instructions are being issued to NBFC – Factors for meticulous compliance.

The Reserve Bank of India (the Bank) has received proposals from Non- Banking Financial Companies (NBFCs), seeking approval for undertaking of Point of Presence (PoP) Services under Pension Fund Regulatory and Development Authority for National Pension System.

The Bank has carefully examined the proposals and it has been decided, in public interest that NBFCs shall not undertake PoP services for National Pension System.

4. NotificationNo.DNBR (PD) CC.No.075/03.10.001/2015-16 dated 18/02/2016- Frauds - Future approach towards monitoring of frauds in NBFCs-

It has been decided to revise the threshold for reporting of frauds and submission of quarterly progress reports on frauds to Central Fraud Monitoring Cell, Reserve Bank of India, Department of Banking Supervision, from 25 lakh as on date to ` 1 crore with immediate effect.As regard reporting of frauds and submission of quarterly progress reports on frauds below the revised threshold, NBFCs will have to furnish the same to the Regional Office of Reserve Bank of India, Department of Non-Banking Supervision under whose jurisdiction the Registered Office of the NBFC falls.

A. Circulars issued by RBI 1. Export of Goods and Services – Project Exports The Government of India (GOI) has renamed ‘OCCI’ as ‘Project Export Promotion Council’ (PEPC) and the definition of civil construction contracts has been amended to include turnkey engineering contracts, process and engineering consultancy services and project construction items (excluding steel & cement) along with civil construction contracts. The necessary changes have been accordingly made in Memorandum of Instructions on Project and Service Exports (PEM) and annexed to this circular.

(A.P. (DIR Series) Circular No. 39 dated January 14, 2016)(Comment: This circular widens the scope of civil construction contracts as advised by GOI and also brings in the necessary changes in the Memorandum of Instructions on Project and Service Exports (PEM))

2. Foreign Direct Investment – Reporting under FDI Scheme, / Mandatory filing of forms ARF, FCGPR and FCTRS on e-Biz platform and discontinuance of physical filing form February 8, 2016 export of goods and services – Project Exports

With a view to promoting the ease of reporting of transactions related to Foreign Direct Investment (FDI), under the aegis of the e-Biz project of the GOI, RBI has enabled online filing of the following returns with the Reserve Bank of India viz.:

Advance Remittance Form (ARF) which is used by the companies to report the FDI inflows to RBI;

- FCGPR Form which a company submits to RBI for reporting the issue of eligible instruments to the overseas investor against the above mentioned FDI inflow; and

- FCTRS Form which is submitted to RBI for transfer of securities between resident and person outside India.

At present both the options, i.e., online filing and physical filing of above mentioned forms, were available to the users. Based on the experience, RBI has decided that from February 8, 2016 the physical filing of forms ARF, FCGPR and FC-TRS will be discontinued and forms submitted in online mode only through e-Biz portal will be accepted.

Online filing will streamline the processing of forms and it would easy to pinpoint responsibility/cause for delays in submission of forms.)

B. Press Releases issued by RBI 1. RBI simplifies Communication Process: Issues Comprehensive Master

Directions, to begin with on ForexOn 4th January 2016, RBI issued 17 Master Directions (Master Direction 1 & Master Direction 11 are yet to be issued) covering foreign exchange transactions. Master Directions on foreign exchange issued consolidate all relevant A.P (DIR Series) Circulars issued so far within the ambit of the relevant regulations, amended up to date. The Master Directions issued will consolidate instructions on rules and regulations framed by the Reserve Bank under various Acts including banking issues and foreign exchange transactions. Any change in the rules, regulation or policy will be communicated during the year by way of circulars. The Master Directions will be updated suitably and simultaneously whenever there is a change in the rules/regulations or there is a change in the policy. All changes will get reflected in the Master Directions available on the RBI website along with the dates on which changes are made. The existing set of Master Circulars issued on various subjects will stand withdrawn with the issue of the Master Direction on the subject.

2. RBI announces Regulatory Relaxations for Start-upsIn the Sixth Bi-monthly Monetary Policy Statement for 2015-16 released on February 2, 2016, in keeping with the GOI’s initiatives to promote ease of doing business and contribute to conducive growth of entrepreneurship, particularly in respect of the start-up enterprises, the following regulatory changes for easing the cross-border transactions are proposed to be made, in consultation with the Government of India:

Enabling start-up enterprises, irrespective of the sector in which they are engaged, to receive foreign venture capital investment and also explicitly enabling transfer of shares from Foreign Venture Capital Investors to other residents or nonresidents;

Permitting, in case of transfer of ownership of a start-up enterprises, receipt of the consideration amount on a deferred basis as also enabling escrow arrangement or indemnity arrangement up to a period of 18 months;

Enabling online submission of A2 forms for outward remittances on the basis of the form alone or with document(s) upload/ submission, depending on the nature of remittance; and

Simplifying the process for dealing with delayed reporting of Foreign Direct Investment (FDI) related transaction by building a penalty structure into the regulations itself.
