If no party files and serves and objection to this Notice on or beforeten days from the date of service indicated on the Certificate ofService attached hereto , the Receiver shall be automaticallyempowered to perform the intended action without further orderfrom the Court.

Marty Steinberg, solely in his capacity as Court-appointed Receiver of Lancer Offshore,

Inc. ("Offshore"), and The OmniFund, Ltd . ("OmniFund," together, the "Offshore Funds"),

Lancer Management Group LLC, Lancer Management Group II, LLC. Offshore, Omnifund,

LSPV, Inc ., and LSPV, LLC (collectively, the "Receivership Entities") and responsible person

for Lancer Partners. L .P ., files this Notice of Intention to Retain Martin Mann ("Mann") as a

British Virgin Islands ("BVI") law expert in the ancillary litigation styled Court Appointed

Receiver of Lancer Of 'pore, Inc., et al. v. The Citco Group Ltd., et al ., Case No. 05-60080-CIV-

MARRA-SELTZER ("Citco Litigation") pursuant to Article V § (D)(10) and Article VII §

(A)(1) of this Court's Case Management Order dated January 8 . 2004. In support of this Notice

of Intention, the Receiver relies upon the affidavit of Mann, attached hereto as Exhibit A, and is

incorporated by reference, and states as follows :

BACKGROUND FACT S

1 . On July 10, 2003 . this Court entered an Order Appointing Receiver (th e

"Receivership Order"), which among other things appointed Marty Steinberg, Esq . (the

"Receiver") as the receiver of the Receivership Entities .

2. Paragraph 4 of the Receivership Order further provides that the Receiver may

employ legal counsel as the Receiver deems necessary and to pay such counsel reasonable

compensation and expenses .

3 . On January 8, 2004, this Court entered the Case Management Order . Article VII,

(A)(1) of the Case Management Order provides that the Receiver shall file a notice of his intent

to hire any professional with this Court .

4 . On December 19, 2005, the Receiver, on behalf of Offshore and Omnifund, 1 filed

his Amended Complaint in the Citco Litigation against The Citco Group, Ltd ., Citco Fund

Services (Curacao) N .V ., Citco Fund Services (USA) Inc . . Inter Caribbean Services, Ltd .,

Anthony Stocks, Kieran Conroy, and Declan Quilligan (collectively, "Defendants") fo r

professional malpractice . breach of contract. gross negligence, breach of fiduciary duty . aiding

and abetting breach of fiduciary duty, and claims under the Employee Retirement Security Act of

1974, as amended ("ERISA"), arising from their administration of the Offshore Funds .

5 . On May 25, 2006, Defendants moved to dismiss the Receiver's Amended

Complaint . Defendants' motions address many complex issues, including,fbrum non conveniens,

choice of law, federal and substantive pleading requirements, and analysis of the ERISA statutes .

Defendants also tiled an extensive appendix, approximately 78-pages in length, supporting their

motions to dismiss. In this appendix, Defendants submit the Declaration of Stephen Smith, QC

on Relevant Principles of the Law of the BVI (the "Smith Declaration") .

6. The Receiver desires to retain Mann as a BVI legal expert to advise him with

respect to the potential application of BVI law to the Amended Complaint and to provide a n

expert affidavit and/or testimony regarding BVI law .2 Defendants rely on the Smith Declaratio n

as a basis for dismissing the Amended Complaint under BVI law and pursuant to the doctrine of

forum non conveniens . In turn , the Receiver must employ his own BVI law expe rt to respond to

the Defendants ' motions to dismiss . There may be additional BVI legal issues implicated in the

instant litigation , subsequent to the briefing on Defendants ' motions to dismiss . Accordingly, the

Receiver seeks authority to retain Mani to serve as an expe rt on BVI law in the Citco Litigation .

RELIEF REQUESTE D

7 . The Receiver believes that Mann is qualified to advise him in connection with the

potential application of BVI law to the Receiver's claims against the Defendants .

2 The Receiver submits that Florida law applies to the Amended Complaint, but in any event, retention ofMann is essential to respond to the Defendants' motions to dismiss .

8. To the best of the Receiver's knowledge , Mann is a disinterested person . does not

represent or hold any interest adverse to the Offshore Funds with respect to the matters on which

he is to be employed, and has no connection with Defendants , Lancer, the investors , creditors, or

any other parties in interest , and their respective attorneys and accountants , as detailed in his

affidavit . Mann agrees that compensation and reimbursement for his services rendered to the

Receiver in this case are subject to approval by the Court . Mann shall file fee applications

seeking an award of such fees and costs in this case pursuant to Article VII § (B) of the Case

Management Order . The hourly rate for professional services rendered by Mann is GBP 500 .3 A

proposed order approving this application is attached .

WHEREFORE , the Receiver respectfully requests that this Court enter an order in the

form attached hereto (i) granting this application ; ( ii) authorizing the Receiver to employ Martin

Mann , QC as his BVI law expert in the Citco Litigation ; and (iii ) granting such other relief as the

Court deems just and proper .

I, Martin Mann, QC of London, England, make this declaration on personal knowledge . I

hereby declare as follows :

1 . I am a barrister admitted to practice in the British Virgin Islands ("BVI") and in

England and Wales .

2 . 1 am a sole practitioner with offices in London, England and Geneva, Switzerland .

A true and correct copy of my curriculum vitae is attached hereto as Exhibit "A," which details

my commercial Chancery practice and qualifications .

3 . On July 10, 2003, the Securities and Exchange Commission ("SEC") commenced

an action against the above-captioned defendants and relief defendants (the "SEC Action?') in

this Court . On that day, the Court entered an Order appointing Marty Steinberg, Esq . as receiver

4. The Receiver desires to retain me as a BVI law expe rt in the litigation styled

Court Appointed Receiver of Lancer Offshore, Inc . and The Omnifund, Ltd . v. The Citco Group

Ltd., et al ., Case No . 05-60080-CIV-MARRA-SELTZER ( the "Citco Litigation") .

5 . To the best of my knowledge , information and belief , other than as disclosed

herein , I do not have any connection with the Receiver or the Receivership Entities or thei r

creditors , or any other interested party in the SEC Action, their respective attorneys and

accountants .

11 . 1 do not have any business relationships with other creditors or investors in th e

SEC Action arising out of the operation of my law practice .

12 . I expect to seek payment and reimbursement of its attorneys' fees and costs

incurred in connection with the services rendered in the Citco Litigation from the Receivership

Estate by application to this Court in accordance with procedures established in by this Court's

January 8, 2004 Case Management Order .

13 . The nonnal hourly rates for my professional services rendered in matters of this

kind are GBP 500 per hour .
