Leases—Confession of Judgment— Corporations—Attorney’s Fees.

The parties entered a lease for Defendant to rent commercial space from Plaintiff. Defendant failed to make the required monthly lease payments as well as other charges. Plaintiff filed suit averring that confession of judgment language in the lease authorized money damages and attorney’s fees. Plaintiff also sought to eject Defendant from the property. By prior Order, the Court entered a default judgment against Defendant. The Court conducted a hearing as to damages which included an evaluation of reasonable at-torney’s fees. In determining attorney’s fees, the Court established a lodestar mixed billing rate, evaluated the number of hours worked on the case, and then considered several ad-ditional factors including the complexity of the case and the result obtained.

DECISION

AND NOW, this 31st day of March, 2018, after an assessment of damages non-jury trial held March 23, 2018, at which time Plaintiff was present through its agent Donna Zak and was repre-sented by counsel Dana S. Plon, Esq. and Defendant failed to appear; this Court enters a verdict on the Complaint in favor of Plaintiff Cedar-Trexler, LLC, by its Agent Cedar Realty Trust Partnership, LP and against the Defendant Electrofit LLC t/a 02 Oxyfit Gym.

This case arises from a Forbearance Agreement Lease Modification and Release entered into by the parties on March 1, 2016, for the rental of space for Defendant’s business, Oxyfit Gym, at the Trexler Mall Shopping Center, located at Route #222 and Lower Macungie Road, Trexlertown, PA. Pl.’s Compl. ¶¶1-6. Pursuant to the May 2, 2014 lease, Defendant rented commercial space from Plaintiff for a term of fifteen years. Id. ¶3, Ex. A. Plain-tiff alleged that Defendant had failed to pay the monthly base rent

of $23,769.32 plus Common Area Maintenance charges, water/sewer charges and Real Estate Taxes totaling $270,510.72. Id. ¶¶7-8. Plaintiff alleged that the Forbearance Agreement Lease Modification and Release permitted the entry of a confession of judgment authorized by a warrant of attorney and an attorney’s commission of $5,000.00. Id. ¶16, Ex. C. In addition to the money damages, Plaintiff sought judgment in ejectment to grant Plaintiff possession of approximately 28,870 sq. ft. of commercial space at the Trexler Mall Shopping Center, 6900 Hamilton Boulevard, Trexlertown, PA 18087. Id. Count II.

The lease in question and the forbearance agreement con-tained a Confession of Judgment Clause. Pl.’s Compl. ¶¶11-15. On August 24, 2017, Plaintiff filed a Warrant of Attorney, Entry of Appearance, Praecipe for Assessment of Damages and Confes-sion of Judgment in Ejectment against Defendant for possession and money damages in the amount of $275,510.72 based upon the alleged breach of the March 1, 2016 Forbearance Agreement, Lease Modification and Release and the original lease documents. The Lehigh County Clerk of Courts entered a Rule 236 Notice of Entry of Order or Judgment in the amount of $275,510.72 against Defendant on August 24, 2017.

Defendant timely filed their Petition to Strike or Open Con-fessed Judgment on August 28, 2017. On August 28, 2017, this Court entered a Rule to Show Cause why Defendant’s Petition should not be granted. Plaintiff filed its Response to Defendant’s Petition on September 18, 2017. The Court heard argument on the petition on October 18, 2017, at which time Plaintiff was rep-resented by counsel Dana S. Plon, Esquire and Defendant was present and represented by counsel Zachary J. Cohen, Esquire. By Order of Court dated October 30, 2017, Defendant’s Petition to Strike was denied and Defendant’s Petition to Open was grant-ed. Defendant was additionally ordered to deposit the monthly base rent in the amount of $23,769.63 for the months of August and September of 2017, and the monthly base rent in the amount of $24,250.80 for October of 2017 into an escrow account held by the Lehigh County Clerk of Judicial Records. Defendant was also ordered to deposit the monthly base rent of $24,250.80 going forward on the fourth day of each month into said account with

the Lehigh County Clerk of Judicial Records. Defendant opposed the provision of escrowing monthly rent and thus filed a Motion for Reconsideration on November 3, 2017, and a simultaneous Notice of Appeal to the Pennsylvania Superior Court at docket number 3681 EDA 2017. The case was stayed while on appeal. On January 26, 2018, the Pennsylvania Superior Court quashed the appeal as interlocutory.

On January 31, 2018, the Court scheduled a hearing for Feb-ruary 8, 2018, on Plaintiff ’s Motion for Court Order Authorizing Eviction for Defendant’s Failure to Comply with Court Order filed November 14, 2017, by Plaintiff and the response thereto filed December 4, 2017 during the pendency of the appeal. At the time of the February 8, 2018 hearing, the parties stipulated to the fol-lowing facts:

1. Defendant has paid no monies into escrow in violation of the Court Order dated October 30, 2017.

2. Defendant has ceased operating its business from the commercial space at the Trexler Mall Shopping Center, 7150 Hamilton Blvd., Trexlertown, PA.

3. Defendant has removed all gym equipment from the premises.

4. Defendant has abandoned possession to the Plaintiff.

5. The utilities have been returned to the Plaintiff ’s name.

6. A few items of Defendant’s personal property remain in the commercial space.

Thus, the Court granted Plaintiff ’s Motion and entered judg-ment in favor of the Plaintiff and against the Defendant for pos-session of certain commercial space located at the Trexler Mall Shopping Center, 6900 Hamilton Boulevard, Trexlertown, PA 18087 on February 8, 2018.

Further at the February 8, 2018 hearing, Attorney Cohen made an oral motion to withdraw as counsel for [Defendant] with the consent of the [Defendant] and that motion was granted. A corporation must have counsel in order to proceed in a court action

as a corporation cannot represent itself. In re Estate of Rowley, 84 A.3d 337, 341-42 (Pa. Super. 2013). Thus, the Defendant was given thirty days to secure new counsel and was ordered to appear for an in-person status conference on March 8, 2018, with the warning that failure to appear would result in the entry of judgment as to liability and the scheduling of an assessment of damages hear-ing. Defendant failed to secure new counsel and did not appear in person at the March 8, 2018 in-person status conference and a default judgment was entered against Defendant on March 13, 2018. Thus, the only issue before this Court at the time of trial was the amount of damages sustained by Plaintiff.

FINDINGS OF FACT

1. Plaintiff Cedar-Trexler, LLC is the owner of the Trexler Mall Shopping Center, located in Trexlertown, Pennsylvania.

2. Defendant Electrofit LLC t/a 02 Oxyfit Gym was located at 6900 Hamilton Boulevard, Trexlertown, PA 18087 with a pri-mary business address of 1433 Kensington Lane, Macungie, PA 18062.

3. By Order of Court dated March 13, 2018, an assessment of damages hearing was scheduled for March 23, 2018 at 2:00 p.m. and a copy of the order was mailed to Defendant’s last known ad-dress of 1433 Kensington Lane, Macungie, PA 18062.

4. On March 23, 2018, this Court conducted a non-jury trial limited to the amount of damages due to Plaintiff under the lease and forbearance agreement.

5. At trial, Donna Zak, Regional Property Manager for Cedar Realty Trust Partnership, LP the agent for Plaintiff Cedar Trexler, LLC testified on the Plaintiff ’s behalf. The Defendant failed to appear.

6. Plaintiff introduced 2 exhibits into evidence at trial beyond the pleadings already of record. Plaintiff ’s Exhibit “1” was a com-puter printout of all charges and debits made to Defendant’s ac-count from the beginning of the lease October 1, 2014 through March 22, 2018. Plaintiff ’s Exhibit “2” is a summary of the differ-ent categories of charges with a breakdown of the individual ex-penses for each category.

7. Plaintiff ’s Exhibit “A” attached to the Complaint is the Shopping Center Lease Agreement between Plaintiff/Landlord Cedar-Trexler, LLC and Defendant/Tenant [Electrofit] LLC entered into on May 2, 2014, whereby Defendant rented Store 6 at the Trexlertown Mall for a term of approximately 15 years in exchange for monthly rent payments which would increase each year. Defendant was also to pay a tax charge, a common areas maintenance charge and utilities.

8. The term of the Shopping Center Lease Agreement was for fifteen years from the date of first occupancy.

9. Plaintiff ’s Exhibit “B” attached to the Complaint, is a No-vember 25, 2014, Forbearance Agreement entered into by Plaintiff and Defendant as a result of a material default under the Lease.

10. Plaintiff ’s Exhibit “C” attached to the Complaint, is a March 1, 2016, Forbearance Agreement Lease Modification and Release entered into by Plaintiff and Defendant as a result of a material default under the Lease. The March 1, 2016, agreement also contained a confession of judgment clause against the Defen-dant in the event of a default.

11. Pursuant to Exhibit “A,” “B” and “C,” Defendant was responsible for the payment of monthly rent from January 2017-September 2017 in the amount of $23,769.63 plus Common Area Maintenance Charges, water/sewer charges and Real Estate Taxes.

12. Defendant’s last partial rental payment of $17,000.00 was made on March 7, 2017. See Pl.’s Ex. “1.”

13. Pursuant to Exhibit “A,” “B” and “C,” Defendant was responsible for the payment of monthly rent in the amount of $24,250.80 from October 2017 forward through Lease year 4 along with Common Area Maintenance charges, water/sewer charges, and Real Estate taxes.

14. Under the Agreements, Plaintiff has demonstrated that Defendant owed Plaintiff a total of $318,661.84 in outstanding monthly payments.

15. Defendant has failed to pay the rent and proper charges that are due.

16. No money has been paid to Plaintiff pursuant to the lease documents since December 6, 2017.

17. Under the Agreements, Plaintiff has demonstrated that Defendant owed Plaintiff a total of $121,654.99 in outstanding Common Area Maintenance charges.

18. Under the Agreements, Plaintiff has demonstrated that Defendant owed Plaintiff a total of $11,172.00 in outstanding monthly estimated tax charges.

19. Under the Agreements, Plaintiff has demonstrated that Defendant owed Plaintiff a total of $43,399.06 in annual real estate tax reconciliation charges.

20. Under the Agreements, Plaintiff has demonstrated that Defendant owed Plaintiff a total of $8,231.93 in outstanding water and sewage charges.

21. Under the Agreements, Plaintiff has demonstrated that Defendant owed Plaintiff a total of $750 in non-sufficient fund checks.

22. Plaintiff is seeking to recover $41,534.89 in attorney’s fees. Plaintiff supplemented the record with copies of the actual attorney invoices on March 27, 2018. The Court will mark these invoices as Court Exhibit “1.”

23. Plaintiff demonstrated that Defendant is entitled to a $1,008.91 credit for the annual CAM reconciliation.

DISCUSSION

Here, by entry of judgment on March 13, 2018, Defendant was foreclosed from arguing that Defendant was not in default of the terms of the Lease for failure to pay rent and proper charges when due. Defendant was also foreclosed from arguing that Plain-tiff was in breach of any express or implied terms of the lease. All payments made by or on behalf of the Defendant have been prop-erly credited. The only issue for the Court to determine is the amount of Plaintiff ’s damages. Plaintiff has demonstrated its en-titlement to the damages under the lease for failure to pay the agreed upon rent, other agreed upon charges and attorney’s fees in an amount totaling $533,037.82 as of March 22, 2018. Addition-

ally, Plaintiff shall be able to collect post-judgment interest at the statutory rate of 6% per annum from the date of this Verdict. See 42 Pa. C.S. §8101.

Reasonable Attorney’s Fees and Costs of Suit:

Ordinarily, “[t]he general rule is that the parties to litigation are responsible for their own counsel fees and costs unless other-wise provided by statutory authority, agreement of parties, or some other recognized exception.” Cher-Rob, Inc. v. Art Monument Co., 406 Pa. Superior Ct. 330, 332, 594 A.2d 362, 363 (1991) (cita-tions omitted). Here the parties have specifically contracted for “interest and costs together with an attorney’s commission of five thousand dollars ($5000), ten percent (10%) of the amount so confessed or actual attorney fees incurred, as elected by Landlord in its sole discretion.” Pl.’s Compl., Ex. “C.” In McMullen v. Kutz, the Pennsylvania Supreme Court held that “parties may contract to provide for the breaching party to pay the attorney fees of the prevailing party in a breach of contract case, but that the trial court may consider whether the fees claimed to have been incurred are reasonable, and to reduce the fees claimed if appropriate.” 603 Pa. 602, 614-15, 985 A.2d 769, 776-77 (2009).

In determining whether attorney’s fees are reasonable, the Pennsylvania Supreme Court in Trust Estate of LaRocca, in-structed the trial court to consider: “the amount of work performed; the character of the services rendered; the difficulty of the problems involved; the importance of the litigation; the amount of money or value of the property in question; the degree of responsibility in-curred; whether the fund involved was ‘created’ by the attorney; the professional skill and standing of the attorney in his profession; the results he was able to obtain; the ability of the client to pay a reasonable fee for the services rendered; and, very importantly, the amount of money or the value of the property in question.” 431 Pa. 542, 546, 246 A.2d 337, 339 (1968). This oversight by the court is necessary as “the parties, although agreeing to a fee-shifting provision in their contract, did not agree to the amount of such fees to be charged.” De Lage Landen Financial Services, Inc. v. Intentional Camping, Inc., 35 D. & C.5th 185 (C.P. Chester Cty. 2013).

The Honorable John P. laVEllE of the Lehigh County Court of Common Pleas found the attorney fee rate of $201 per hour to be a reasonable rate for the geographical area of South Whitehall Township, Lehigh County, PA in 2005. Township of South White-hall v. John P. Karoly, Jr., No. 2002-C-3043 (C.P. Lehigh Cty. April 12, 2005). Plaintiff ’s Exhibit 2 reflects legal fees and the costs of suit charged from January 8, 2016, through March 9, 2018. A de-scription of the legal services rendered, the amount of time billed for, and the billable hourly rate were not available on Plaintiff ’s Exhibit 2. The Court requested that Plaintiff submit the ten in-voices reflecting the charges on Plaintiff ’s Exhibit 2 by March 30, 2018. Sirlin, Lesser & Benson P.C.’s Invoice Number 105-21722-147429 dated December 29, 2015, in the amount of $1,520.00 in legal fees and $823.87 in costs of filing the prior confession of judgment in a separate case, 2016-N-144, that was resolved by the March 1, 2016, Forbearance Agreement Lease Modification and Release. Therefore, the Court will not award legal fees or costs for Plaintiff ’s Invoice Number 105-21722-147429 which is reflected on Plaintiff ’s Exhibit “2” as a legal fee payment of $2,343.87 on January 8, 2016.

in legal fees and $37.50 in costs dealt with the previous confession of judgment which was marked satisfied on March 8, 2016 at 2016-N-144. Thus, the Court will not award the total $1,663.00 paid by Plaintiff on March 8, 2016 as reflected in Plaintiff ’s Exhibit “2.” For the same reasons, the Court will not award costs or legal fees from Sirlin, Lesser & Benson P.C.’s Invoice Numbers: 105-21722-150347 dated March 31, 2016 in the amount of $3,084.00 in legal fees and $986.76 in court costs; 105-21722-151130 dated April 30, 2016 in the amount of $153.00 in legal fees will not be awarded to Plaintiff. This means that Plaintiff ’s entries of payment on Plaintiff ’s Exhibit “2,” of a payment for $4,070.76 on April 13, 2016, and a payment of $153.00 on May 10, 2016 will not be recovered.

The remaining invoices in Court Exhibit “1” pertain to the instant matter. However, Invoice Number 105-21722-163297 dated August 31, 2017, in the amount of $3,111.00 in legal fees and $950.33 in costs is not reflected on Plaintiff ’s Exhibit “2” show-ing legal expenses paid by Plaintiff. Likewise, the final Invoice Number 105-21722-168312 dated February 28, 2018 in the amount of $3,610.50 in legal fees and $120.72 in costs is not reflected on Plaintiff ’s Exhibit “2.”

Excluding the invoices not noted on Plaintiff ’s Exhibit “2” before the August 15, 2017 payment, counsel has expended a total of 85.1 hours of billable time on this matter. The firm billed their hours at the hourly rates of $335-$510 depending on which attor-ney was working on the matter. 2.60 of those billable hours appear to be for a different case as they refer to work done on preliminary objections to guarantor’s complaint and requests for admission that were not utilized in this matter. That leaves a total of 82.50 hours of billable time. The reasonable hourly rate for a well-trained Le-high County local attorney has risen since 2005, and the Court will utilize a mixed billing rate of $350 in calculating the lodestar amount of reasonable attorney fees in this matter. That results in legal fees of $28,875.00. Although this matter took seven months to resolve, this matter has been fairly straightforward and has not dealt with unusual questions of law that would require extensive research. Much of the delay was due to the Defendant’s interlocutory appeal. While multiple attorneys at Plaintiff ’s counsel’s law firm worked on preparing a Motion to Quash that Appeal, it was never filed.

Taking into consideration the nature of the legal services rendered, the complexity of the matter, the importance of the issues at stake and the extent to which the Plaintiff prevailed, this Court deter-mines that Plaintiff ’s request for attorney fees totaling $41,534.89 in this matter is unreasonable. The Court will award legal fees in the amount of $28,875.00 and costs in the amount of $1,301.91.

CONCLUSIONS OF LAW

For all the foregoing reasons, this Court finds that Plaintiff has sustained losses occasioned by the breach of the lease and forbearance agreement by Defendant in the amount of $502,860.91. Plaintiff is entitled to reasonable attorney fees of $28,875.00 and cost of the suit in the amount of $1,301.91. A verdict is entered on the Complaint in favor of Plaintiff, Cedar-Trexler, LLC and against the Defendant Electrofit LLC t/a 02 Oxyfit Gym as follows:

The Lawyer Referral office receives phone calls from clients requesting services from attorneys. At this time, the office will obtain all needed information from the client and contact the attorney to schedule. They are entitled to a half-hour consultation with the attorney for a $30 fee. An information sheet will be faxed to each attorney, which needs to be completed at the end of each consultation. The referral form must be faxed back to the LRS office upon completion of the consultation. Client fees are pre-paid to the LRS office. Fees are determined by the attorney for any services requested after the consultation. Please notify the LRS office if you are unavailable to accept referrals due to vacations, etc. This will ensure no clients are referred to your office while you are away. Please note that screening of clients is not permitted – no telephone consultations prior to the client coming in unless specified on the referral form. All attorneys must contact the client within 3-5 business days upon receipt of referral.

I further agree that I will not charge nor solicit any fees other than the $30.00 referral fee for the first conference, of one-half hour in duration, with the referral client. Ellen Freedman serves as the Law Practice Management Coordinator for the Pennsylvania Bar Association. In that capacity, she assists PBA’s members with management issues and decisions on the business side of their practice, including areas like technology, bookkeeping procedures, human resources, risk management, setting up a practice and so forth. Ellen Freedman is founder and President of Freedman Consulting, which assists Delaware and Lehigh Valley law firms with mergers, partner compensation issues, strategic planning, management of projects in such areas as technology, financial management, time and billing, facilities, human resources, and providing computer training ad hoc or in a classroom setting.

Ellen holds the designation of Certified Legal Manager through the Association of Legal Administrators (ALA), the credentialing body for the CLM degree. She was one of the first 20 in the nation to have achieved this designation. (Currently less than 200 in the nation have earned the degree.) She holds a Certification in Computer Programming from Maxwell Institute, a Certification in Web Site Design from Temple University, and a B.A. from Temple University, where she also did two years of graduate studies in Criminology.

Ellen managed inside law firms for twenty years. Most of that time was spent in a mid-size (35+ attorney) firm environment. She launched her consulting practice in 1998 and joined the Pennsylvania Bar Association in 1999.

Ellen has been a frequent author and speaker on law firm management issues on a national, regional and local level.

“Child Neglect – Medical and Legal Implications”

Presented by: Dr. Jeffrey Bomze Thursday, April 18, 2019

Medical neglect is the most common form of child abuse and accounts for 1,500 fatalities per year in the U.S. as well as countless more injuries and illnesses. There are many social and psychological antecedents, with poverty being a major one. Neglect has many forms – physical, supervisory, emotional, nutritional, medical, educational and dental. Evaluation of neglect requires comprehensive histories, medical examinations and relevant ancillary medical tests. It can be difficult to differentiate neglect from medical conditions that mimic it and many factors need to be considered. Management is multidisciplinary and may warrant reporting to child protective services. Religious objectives to care by parents can lead to serious medical problems and even death. As such, legal consultation and court action may be needed to protect the child. Child neglect has long-term serious health and emotional consequences.

Jeffrey Bomze, M.D., F.A.A.P., is a board-certified pediatrician who practices pediatric and adolescent medicine at The Main Line Health Care office in Broomall, PA. He had previously been in private practice for nearly 29 years. He manages infants, children and adolescents/young adults with a wide variety of medical, developmental and neonatal problems. He attended the University of Pennsylvania Medical School and completed his pediatric training at the University of North Carolina. He also has fellowship training in pediatric infectious diseases (Baylor College of Medicine) and non-surgical sports medicine. In addition, he has special training and expertise in adolescent medicine and school/learning/developmental problems. He has worked in the pharmaceutical industry and is the physician for his local school district for his practice. Dr. Bomze works with attorneys around the state and country as a pediatric expert in medical malpractice cases, family law (custody) cases as a medical and educational expert, drug liability cases and child abuse cases. He serves on the Pediatric Medical Review Board of a major malpractice carrier. He has presented to a wide variety of audiences, including to several attorney groups, regarding a wide variety of topics and has written a chapter on Pediatric Head Trauma, which will be published next summer by the ABA in a book on Head Trauma.
