MISSION STATEMENT

The association’s mission is to preserve and enhance the existence of the galvanizing industry throughout North America and to fulfill the needs of the industry for technical, marketing, and other services. Our strategic plan identifies objectives the association strives to achieve as it fulfills its mission:

• To inform and educate North American specifiers and end-users in order to maintain and expand the galvanizing industry.

• To preserve a quality vertical market approach.

• To maintain a regional approach for the education of college and university professors and students.

• To measure the effectiveness of all AGA programs.

• To ensure the long-term viability of the galvanizing industry by educating member galvanizers in the technical aspects of the galvanizing process and environmental engineering.

• To provide effective tools for galvanizers to use when developing efficiency, safety, and quality procedures.

• To gather and communicate information on the activities of the industry and those affecting the industry so as to coordinate an effective and timely industry response.

• To be recognized as the authority for the industry, representing the industry on application, specification, processing, environmental, and regulatory issues.

• To attract new members from the worldwide galvanizing industry.

CODE OF ETHICS

• The American Galvanizers Association (AGA) represents the hot-dip galvanizing industry in North America and, by the cooperative endeavor of its members, serves the industry and users of hot-dip galvanized steel.

• Membership in the association requires good business ethics be practiced by its members for the protection of customers and the industry’s reputation.

• Each member company agrees to maintain appropriate quality control procedures for the protection of its customers and to maintain production facilities in compliance with accepted standards and local and federal regulations. Each member’s plant facilities and technical competence also must meet accepted industry standards.

• Each member actively participates in the affairs of the association and contributes to the improvement of the processes in the hot-dip galvanizing industry.

• Each member company agrees to operate with concern for the environment and for sustainable development.

• Each member’s personnel participating in or attending any AGA sponsored function (seminar, trade show, presentation, conference) may not distinguish their company by mentioning the company name during the function or in dialog with attendees (architects, engineers, fabricators, specifiers, end users, inspectors or representatives of governmental agencies) with the exception of the introduction and/or introductory slide at a seminar/presentation. Furthermore, member company personnel shall refrain from distributing any literature, business cards, samples, etc. pertaining to the member’s company. Distribution of literature shall be limited to that which is published or approved by the AGA.

This code of ethics has the approval of the AGA Board of Directors. The board reserves the authority to ascertain that the member companies are in compliance with accepted standards of the association.

STANDARDS OF CONDUCT

Preamble Millions of people in public and private industry look to the AGA for our vision, expertise, guidance, and impartial consultation. With this role comes a great responsibility to serve them with integrity. To fulfill this responsibility, AGA and its members are committed to ethical standards that promote the goal of a more sustainable and galvanized world. To join AGA is to commit to work in accordance with its ethical standards and to encourage the development and implementation of the ethical standards within our respective companies and the industries we serve. The Standards of Conduct embody aspirational ethical standards. The aspirational ethical standards describe the conduct that individuals strive to uphold as AGA members. Although adherence to the aspirational ethical standards is not easily measured, conduct in accordance with these ethical standards is an expectation members have of themselves as professionals. Among the aspirational ethical concepts with these Standards of Conduct are those of respect, responsibility, fairness, and honesty. Respect is demonstrating a high regard for one’s self, others, and the resources entrusted to them. Those resources may include people, money, reputation, the safety of others, and natural environmental resources. An environment of respect engenders trust, confidence, and performance excellence by fostering mutual cooperation – an environment where diverse perspectives and views are encouraged and valued. Responsibility is taking ownership for the decisions individuals make or fail to make, the actions individuals take or fail to take, and the consequences that result. Fairness is making decisions and acting impartially and objectively. A member’s conduct must be free from competing self-interest, prejudice, and favoritism. Honesty is to understand the truth and acting in a truthful manner both in individual’s communications and conduct. AGA Core Ethical Standards of Conduct As an employee of an AGA member company and representing it at AGA meetings, seminars, and conferences, individuals should aspire to: Respect and uphold public laws that govern your work

• Know and abide by the laws and regulations that govern your company and the AGA • Encourage all stakeholders in your company to respect and uphold the law • Ensure all contractual dealings are conducted fairly and in compliance with the law

Be honest in conducting your business

• Strive to create an environment in which others feel safe to tell the truth • Be honest and accurate in communications and in conduct particularly when describing one’s knowledge, experience,

expertise, and credentials • Demonstrate transparency in the decision-making process and disclose all potential and actual conflicts of interest • Negotiate in good faith and provide all information material to the terms of the contract to the persons with whom you are

negotiating Respect the confidentiality of information gained through work

• Protect confidential information, including information that is in the possession of others in your company whose service to your company may be ending

Act fairly

• Serve the interest of your company through fair, honest, and courteous dealings that help advance the professionalism and status of the HDG industry

• Approach directly those persons with whom you have a conflict or disagreement, when appropriate • Conduct yourself in a professional manner in all circumstances • Maintain and constantly re-examine your impartiality and objectivity, taking corrective action as appropriate

Foster an ethical culture through work • Model and encourage the integration of ethics into all aspects of your dealings with AGA, other members, customers, and

ANTITRUST COMPLIANCE STATEMENT

It is the long-standing policy of the AGA to comply strictly in all respects with antitrust laws. It is the responsibility of each member and employee to literally comply with the letter and spirit of the antitrust laws. In addition, it is the responsibility of each elected director, each appointed vice president, manager, committee member, and person in a supervisory capacity, and each attendee at any AGA meeting or function, to be familiar with and comply with the antitrust laws.

The AGA is a trade association organized to promote the common interest of its members and the after-fabrication hot-dip galvanizing industry. Many members compete directly or indirectly with other members, thus, AGA cannot and will not become involved in the competitive business decisions of its member companies nor will it take any action which would tend to restrain competition in the after-fabrication hot-dip galvanizing industry. For this reason, the Board of Directors unequivocally supports the policy of competition served by the antitrust laws.

In addition to the AGA’s firm commitment to the principle of competition served by the antitrust laws, the penalties that may be imposed upon the association and its individual and corporate members involved in any violation of such laws are so severe that every effort must be made to avoid any such violation. Certain violations of the Sherman Act, such as price fixing, bid rigging, and market or customer allocations, are felony crimes for which individuals may be imprisoned for up to three years and/or fined up to $10 million for each offense. In addition, treble damage claims by private parties (including class actions) for antitrust violations are extremely expensive to litigate and can result in judgments of a magnitude that could destroy the association and seriously affect the financial interests of its individual members.

To assist the AGA members and employees—including its officers, directors, and committee chairpersons—in recognizing situations that may raise the appearance of an antitrust problem, the board will, as matter of policy, furnish to each such person copies of the association’s General Rules of Antitrust Compliance. The association also will make available general legal advice when questions arise as to the manner in which the antitrust laws may apply to the activities of the AGA or to any committee thereof.

Antitrust compliance is the responsibility of every AGA member. Any violation of the AGA’s General Rules of Antitrust Compliance or of this general policy will result in immediate suspension from membership in the association and immediate removal from any association office held by any official representative violating the same.

GENERAL RULE OF ANTITRUST COMPLIANCE

The following rules are applicable to all AGA activities and must be observed in all situations and under all circumstances, without exception or qualification other than as noted below:

• There shall be no activity of the AGA for the purpose of bringing about, or attempting to bring about, any understanding or agreement, written or oral, formal or informal, express or implied, among competitors with regard to fixing prices, establishing price levels, terms, conditions of sale (including warranties), or discounts.

• No AGA activity or communication shall include discussion or action for any purpose or in any fashion of bidding or other pricing methods, production quotas, or other limitations on either the timing or volume of production or of sales, or involve allocation or division of territories, markets, or customers.

• The AGA shall not undertake any activity that involves the exchange or collection and dissemination among competitors of any data regarding current or future prices; costs of production, labor, or sales; or individual company statistics of any kind. No survey or other gathering or dissemination of process or other economic data shall be undertaken by the AGA without first obtaining the advice of legal counsel.

• No AGA activity or communication shall include any discussion or action that constitutes an attempt to prevent any person or business entity from gaining access to any market or to any customer for goods or services, or to prevent or boycott any business entity from obtaining a supply of goods or otherwise purchasing goods or services freely in the market.

• No AGA activity shall include any discussion or action which might be construed as an agreement or joint understanding to refrain from purchasing any raw materials, equipment, services, or other supplies from any supplier.

• The AGA shall not bring about the standardization of any product or method of manufacture or certification of any product or program for the purpose of preventing the manufacture or sale of any product not conforming to specified standards or which would tend to have the overall effect of unreasonably lessening competition or resulting in a degree of price stabilization.

• No company shall be unreasonably excluded from AGA membership if such exclusion impairs such company’s ability to compete effectively in the after-fabrication hot-dip galvanizing industry.

Attendees at Board of Directors’ meetings or at committee meetings will be expected to acknowledge the AGA Policy of Antitrust Compliance by signing a copy of this policy statement at the commencement of each meeting. In conducting AGA committee meetings, the chairperson of the committee shall prepare and follow a formal agenda. Subsequent to the meeting, minutes of each meeting shall be distributed to all persons who

attended such meetings in the capacity of officer, director, committee member, or employee. Approval of the minutes shall be obtained from the membership of the committee at its next meeting. Copies of all minutes shall be transmitted to the headquarters staff and legal counsel.

Association speakers shall be informed of the need to comply with the association’s antitrust policy in the preparation and presentation of their papers. Guests of AGA meetings shall be made aware of the AGA’s antitrust policy.

All AGA members and representatives are expected to observe the same standards of personal conduct required of the association in its compliance with these antitrust guidelines during informal and social discussions at the site of AGA meetings. Copies of the foregoing Antitrust Policy Statement and General Rules of Antitrust Compliance will be included in the annual meeting registration packets and will also be printed in the AGA directory.

CONFLICT OF INTEREST STATEMENT

Officers of the Executive Committee, directors, and committee members of not-for-profit corporations have fiduciary obligations to the organization and its members under not-for-profit and general corporate law. These may be defined as a Duty of Loyalty and a Duty of Care.

The Duty of Loyalty requires the avoidance of advancing personal interests in ways that injure or take advantage of the organization. Strict standards of honesty and good faith are expected so actions are taken in the best interests of the organization. The Duty of Care requires the association’s officers, directors, and committee members to apply reasonable skill and judgment in managing the organization’s affairs, to exercise reasonable business judgment, and to pay attention to the activities and finances of the organization.

American Galvanizers Association (AGA) members also expect the same duties of care and loyalty from those representing the organization in many other capacities, not just officers, directors and committee members. They expect those representing the organization, be it staff, officers or directors, committee or council members, or others, to put individual interests aside when they are representing or acting in the name of the AGA.

The AGA expects and requires those provided the opportunity to manage and represent the organization in any capacity will adhere to those basic obligations of loyalty and care, and not advance their own personal advantage ahead of the AGA and its members.

Any member who believes another AGA member or employee is not fulfilling these obligations should address their concerns to the President of the Board of Directors and/or the Executive Director for confidential review.

SENSITIVE PERSONAL AND BUSINESS INFORMATION SECURITY AND RETENTION POLICY

The American Galvanizers Association (AGA) will implement security measures to protect and safeguard sensitive personal and business information by maintaining it in a locked filing cabinet accessible only to the Executive Director and Bookkeeper/Office Manager.

Sensitive personal information includes an individual’s first name or initial and last name in combination with any of the following items if the names and items are not encrypted:

• Social Security number • Driver’s license number or government-issued number • Account number or credit or debit card number

Any breach of the security system safeguarding printed information or computerized data by an unauthorized person will be reported in writing to the owners of the sensitive personal information.

Sensitive business information includes payroll reports and financial reports containing employee information intended for use by the Executive Director and/or the Bookkeeper/Office Manager. When retention of sensitive business information is no longer required by the AGA and it no longer required to be retained by state and/or federal law, it will be shredded, erased, or modified so the data is unreadable or undecipherable.

FINANCIAL REPORTS AND TAX RETURNS

The American Galvanizers Association will retain audited financial records and tax returns per the requirements of state and federal law.

BYLAWS

Article 1: Name and Purpose

SECTION 1 This organization shall be known as the American Galvanizers Association, Incorporated.

SECTION 2 The purpose of this association is to preserve and enhance the hot-dip galvanizing industry.

It shall fulfill this mission through programs and activities which will:

a) benefit the operations and general welfare of its members, and b) affect increased specification and usage of hot-dip galvanized steel as the preferred corrosion protection coating system.

Article 2: Membership

SECTION 1 Any corporation, association, partnership, or individual engaged in the process of hot-dip galvanizing, or plans to engage in the process of hot-dip galvanizing and can show proof of the purchase of a kettle and the existence of an approved, designated location shall be eligible to apply for membership. Any corporation, association, partnership, or individual engaged in the sale, purchase, or manufacture of materials, equipment, or services and others with allied interests with the galvanizing industry shall be eligible to apply for membership as well.

SECTION 2 Each application for membership shall be referred to the Board of Directors. The Board of Directors shall make inquiry into the facts and circumstances as may be required, and shall determine whether such application shall be accepted by the corporation and the applicant admitted to membership. Should the applicant be located in a country or entity that has been classified by the U.S. Government as hostile and/or a sponsor of international terrorism, and thus economic and/or trade sanctions have been imposed, the application will be rejected until such time as the classification is removed. For election to membership, a majority vote of the Board of Directors is required.

SECTION 3 The membership of the corporation shall be divided into the following classes:

a) Members engaged in after-fabrication hot-dip galvanizing in Canada, Mexico, and the United States shall be designated “Regular Members.”

b) Members engaged in after-fabrication hot-dip galvanizing, but not within Canada, Mexico, and the United States, shall be designated “Associate Members.”

c) Members not engaged in galvanizing but in supplying materials, equipment, or services to the galvanizing industry, shall be designated “Sustaining Members.”

d) Members not engaged in galvanizing or in supplying materials, equipment or services, but who have compatible interests with the galvanizing industry (i.e., research organizations, associations, students, professors, those retired from the industry), shall be designated “Professional Members.”

If any applicant or member shall appear to be eligible for membership in more than one class, the Board of Directors shall determine to which class the applicant shall apply and such determination shall be based on the above definitions and especially the nature, purpose, and geographic location of the applicant’s galvanizing activities or some other reasonable standard.

The Board of Directors may from time to time, by a majority vote of the entire board, create such other classes of membership as it may consider necessary or proper for the best interests of the corporation, such classes to have and be subject to such rights, powers, privileges, restriction, and limitations as the board may deem appropriate. The board may likewise dissolve such classes of membership created hereunder.

The voting rights and rights upon liquidation of any class of membership herein provided for, shall not be restricted to nor diminished by any amendment of the articles of these bylaws or otherwise, without the consent of a majority of the members in good standing in the class to be affected.

SECTION 4 Membership Dues

a) Membership dues to the association shall be an annual obligation. Any member who is not in arrears in dues or assessments may withdraw from the association effective January 1 of the ensuing year by notifying the executive director, in writing, on or before October 31 of its intention to withdraw. Such withdrawal from membership shall in no way release the retiring member from any financial responsibility to the association for any dues, assessments, or other financial commitments accrued or contracted during the term of membership and due the association, and shall not entitle the retiring member to return of any dues, assessments, or entrance fee paid to the association.

b) Any member company that has resigned from the association may apply for membership again if there are not dues or assessments due to the association in connection with the company’s previous membership.

SECTION 5 Any member may be reprimanded or expelled by a vote of two-thirds of the members of the Board of Directors for one or more of the following reasons:

a) No longer qualifies for membership. b) Non-payment of dues and/or assessments within 30 days of due date. c) Any activities in conflict with the “Purpose of the Association” as stated in

Article 1, Section 2. d) Violations of the Code of Ethics of the association. a) Any member to be reprimanded or expelled shall have the opportunity to present its defense to the board. The same liability

contained in Section 4, above, shall apply to all members reprimanded or expelled.

ARTICLE 3: Voting Rights

SECTION 1 Except as may be otherwise required by law and subject to the provisions of Article 13, hereof, each regular and sustaining member in good standing, as defined in these bylaws, shall be entitled to one vote in respect to any matter or proposition as to which action or approval of the members is or may be required by the law or any provision of the Articles of Incorporation or these bylaws, provided that in any election of directors, each regular and sustaining member in good standing shall be entitled to one vote for each office or vacancy to be filled.

Members other than regular and sustaining members shall be entitled to vote only when the law requires.

ARTICLE 4: Dues

SECTION 1 Funds for the operation of the association and for the support of its necessary activities shall be secured by dues and special assessments, assessed by the Board of Directors as it shall from time to time decide.

SECTION 2 All dues shall be paid in advance.

ARTICLE 5: Meetings

SECTION 1 Meetings of the association shall be held at such time and place as may be determined by the Board of Directors. “Special meetings” shall be called by the Board of Directors on the written request of any ten members of the association in good standing and entitled to vote. Such written request shall state the purpose for such meetings. The Board of Directors shall determine the time and place for the special meeting of the association. Written notices shall be transmitted to the membership by the executive director not more than 40 days nor less than 15 days prior to such meetings.

SECTION 2 The Board of Directors shall specify the date, time, and place of the annual meeting. A meeting of the Board of Directors shall be held on the day immediately preceding the annual meeting of the membership.

SECTION 3 At the annual meeting of this association, 25% of the total membership of the association entitled to vote shall constitute a quorum.

SECTION 4 Except as hereinafter provided in these bylaws, at any meeting or special meeting, a simple majority shall prevail.

ARTICLE 6: Board of Directors

SECTION 1 The affairs of the association shall be managed by a Board of Directors consisting of 13 members; twelve members shall be galvanizers. The chairperson of the American Zinc Association, or when the chairperson is not a member of the AGA, a designated AZA/AGA member shall be in voted for the term of the AZA chairperson to serve on the AGA board with full privileges; however he/she shall not be eligible to serve as an officer of the AGA. Three directors shall be elected annually for terms of four years. No director shall serve more than two consecutive, elected, four-year terms beyond any service he/she has provided in filling an unexpired term. The Board of Directors shall elect from its members a president, first vice president, and second vice president to preside as officers of the board for a one-year term.

Service as an officer of the board shall not alter the duties, responsibilities, or privileges as a board member, except that an officer shall, as presiding chairperson of the board, withhold the right to make and second motions and the right to vote. In, and only in, the event of a tie vote, the chairperson shall vote to decide the issue. The officers shall, in order of seniority, act as chairperson of the board. In their absence, the Board of Directors shall, as the first order of business, select a presiding chairperson of the board for the meeting in session, which may be called to order by a board member in attendance.

In addition, such persons who have been elected to the Board of Directors for the following year, and who therefore qualify as directors-elect, shall attend the final meeting of the Board of Directors. Upon adjournment of the final board meeting, the new board shall reconvene for the primary purpose of election of officers of the board whose term shall commence with the adjournment of the annual meeting.

No member corporation, association, or partnership may be represented by more than one board member.

SECTION 2 Method of election of the Board of Directors shall be as follows: The executive director, at least 45 days prior to the date of the annual meeting, and after a clearance of eligibility, shall transmit by mail to the entire voting membership a ballot containing the names of nominees provided by the nominating committee, as provided in Article 9, Section 2 (c) herein, and indicate thereon the number of directors to be elected. Each member shall vote for one candidate for each vacancy to be filled and return the ballot to an independent designated auditor at least 15 days prior to the date of the annual meeting. The independent auditor shall transmit the results to the chairperson of the nominating committee. The candidates receiving the largest number of votes shall be declared elected. In case of a tie vote that would provide an excess of directors-elect, the sitting board will vote to break the tie.

SECTION 3 a) Whenever the Board of Directors, by a majority vote, finds that any director, by reason of disability, incapacity, long

continued illness, absence from a majority of directors meetings, or for any other cause is unable to perform his or her duties, the board, by majority vote, may declare the seat of the subject director to be vacant.

b) Whenever the seat of any director shall become vacant by reason of death, resignation, or declaration by the board in accordance with Section 3 (a), the president shall present an eligible candidates(s) to the board. The candidate receiving a majority vote from the board shall fill the unexpired term.

SECTION 4 The Board of Directors shall be responsible for the entire management of the business of this corporation. In the management and control of the property, business and affairs of the corporation, the Board of Directors is hereby vested with all the powers possessed by this corporation itself, so far as this delegation of authority is not inconsistent with the laws of the Commonwealth of Pennsylvania, with the Articles of Incorporation of the corporation, or with these bylaws. Each director shall serve without compensation for his/her services.

SECTION 5 Regular meetings of the board shall be held at such times as the board by majority vote may determine. Board members not present for the vote shall be notified of the time and place by the executive director at least 30 days prior to the date of the regular meeting. Special meetings may be called by the Board of Directors with seven days notice.

SECTION 6 A majority of the total number of members of the Board of Directors shall constitute a quorum for the transaction of business. A majority vote of the members present may adjourn the meeting. When a quorum is present at any meeting, a majority of the members present shall decide any question brought before such meeting, except as otherwise provided by law, by the Articles of Incorporation or by these bylaws.

SECTION 7 All meetings of the Board of Directors shall be open only to members of the board and the executive director, except by agenda item approved by the board in session, in advance by transmission, or by invitation from the board for the benefit of the board in session

SECTION 8 The association shall indemnify and save harmless each non-paid officer and director (their heirs, executors and administrators) from all loss, damage, cost, and expense which such officer may suffer, sustain, or be threatened with liability for arising out of any action, suit, proceeding, or claim based, in whole or in part, upon their serving or having served as an officer or director of the association, except in relation to matters as to which they shall be finally adjudged in such action, suit, proceedings, or claim to be liable for gross negligence or misconduct in the performance of their duties. Such expense shall include attorney’s fees and the cost of reasonable settlement made with a view to a curtailment of litigation. The foregoing right of indemnification shall not be exclusive of other rights to which they may be entitled to as a matter of law.

ARTICLE 7: Officers

SECTION 1 The officers of the association shall be a president, first vice president, and second vice president, who shall be elected by the Board of Directors at the board meeting held the day before the annual meeting of the association. The order as listed above constitutes seniority.

The normal term of the officers shall be from the annual meeting of their election through the next annual meeting. No officer shall serve more than two consecutive one-year terms in each of the elected offices. No board member shall serve more than six consecutive years on the executive committee.

The officers shall, however, serve until their successors are elected, which term of office may, in the event of an emergency and at the discretion of the Board of Directors, be extended to a period not to exceed three association years.

In the event that an officer position becomes vacant for any reason, a member of the Board of Directors shall be elected to fill the unexpired term. If the remainder of the term is less than nine months, the newly-elected officer retains eligibility to serve the full two consecutive terms of each officer position.

The president, first vice president, and second vice president shall be regular members of this corporation. The president and vice presidents shall receive no compensation for their services.

SECTION 2 The president shall perform the duties usual to the office and such other duties as may be required by the Board of Directors.

The vice presidents shall perform the duties of the president in his/her absence or during his/her disability to act, in order of their seniority, and shall assist the president whenever called upon. The vice presidents shall have such other duties and powers as may be assigned to or vested in such offices by the Board of Directors.

ARTICLE 8: Executive Director

SECTION 1 The executive director shall be the senior executive of the association. He/she shall serve as secretary of the Board of Directors and of the executive committee of the Board of Directors. The executive director shall serve at the discretion of the Board of Directors, but shall not be a member of the board. He/she shall attend all meetings of the Board of Directors as directed and participate in the deliberations thereof, but he/she shall not have the right to make or second motions or to vote. Further, he/she shall not be considered in determination of majority or quorum.

SECTION 2 a) The executive director shall be bonded. The executive director shall, subject to such conditions and limitations as may be

imposed by the Board of Directors, have custody of all money and securities of the association, shall keep adequate and correct accounts of the assets, liabilities, receipts, disbursements, donations, and expenses. He/she shall render an annual report and such special reports as may be called for by the Board of Directors.

b) The funds of the association shall be deposited in the name of the association in such depositories as the Board of Directors shall designate. The accounts of the association shall be audited annually by independent auditors. A certified public accountant shall conduct the annual audit and report to the chairman of the audit committee who shall then present the audit results to the Board of Directors.

c) The executive director shall manage the staff according to the bylaws and policies set by the Board of Directors and in accordance with all applicable federal, state, and local regulatory requirements.

d) The executive director shall be responsible for monitoring of and ensuring compliance with all committee charters.

ARTICLE 9: Committees

SECTION 1 Standing Committees

a) The standing committees of the association shall be as follows: • Market Development Committee (MDC) • Member Services Committee (MSC) • Sustaining Member Committee (SMC) • Technical Services Committee (TSC)

b) All of the standing committees and committees of the board will operate in accordance with charters approved by the Board of Directors. The charters also will specify the makeup of standing committees and the method by which committee chairpersons, co-chairpersons, and members are appointed. The charters may be amended by the Board of Directors under the board’s normal rules of procedure.

c) The president shall, within 30 days of the close of the annual meeting, insure that all appointments to the standing committees are complete.

d) The president shall serve ex-officio on all committees.

SECTION 2 Committees of the Board

a) Budget committee: The president shall appoint one board member as chair plus four additional board members, all to be approved by the board, to serve as the budget committee. One member of the committee shall be a vice president of the association. The executive director shall serve as the staff member to the committee.

b) Audit committee: The president shall appoint one board member as chair plus four additional board members, all to be approved by the board, to serve as the audit committee. One member of the committee shall be a vice president of the association. No board member may serve on both the audit committee and the budget committee concurrently.

c) Nominating committee: The nominating committee shall be appointed by the president, including its chairperson, and shall consist of three directors whose terms are not expiring at the end of the next annual meeting. The nominating committee shall be approved by the board and charged at least 90 days prior to the annual meeting. Nominations to the Board of Directors may be made in writing by any regular or sustaining member and must be delivered to the nominating committee at least 75 days prior to the annual meeting. At least 60 days prior to the annual meeting, the nominating committee shall submit to the executive director a written list of all eligible nominees for director. When possible, the nominating committee shall ensure

that each of the six regions as defined by the board of directors, shall be represented on the Board of Directors by a sitting director or director-elect. Otherwise, the board shall appoint one of the directors from another region to act as the region’s representative on the board. The nominating committee will contact each nominee prior to the development of the ballot to confirm his/her acceptance of the nomination. Eligibility requirements include past service on the Board of Directors or a minimum of two years service on a standing committee of the association and the financial and service commitment required to effectively perform the duties as prescribed by the bylaws. In the event an insufficient number of eligible candidates as defined above are available for nomination, the committee may waive those eligibility requirements. In any event, all nominees must be regular members.

d) Personnel committee: The personnel committee will consist of the President, 1st vice-president, 2nd vice-president, and two other board members appointed by the president and approved by the board. The personnel committee shall be appointed at the board meeting held one day prior to the annual meeting. The personnel committee is responsible for the evaluation of staff performances and making salary and benefit recommendations to the Board of Directors via inclusion in the proposed budget for the upcoming fiscal year.

SECTION 3 The Board of Directors or the president may, at any time, appoint such additional special committee or committees or representatives to other organizations as may be required for the proper carrying on of the business and/or activities of the association.

ARTICLE 10: Amendments

SECTION 1 A proposal to amend or repeal any provision herein may be made by the Board of Directors at any meeting, or may be made by instrument in writing signed by any ten regular members and filed with the executive director who shall immediately forward the instrument in writing to each member of the board for review and comment.

SECTION 2 Whenever a proposal to amend or repeal is made in accordance with Section 1, Article 10, it shall be the duty of the executive director to provide a copy of such proposal to each regular and sustaining member of the association, together with a statement that the proposal will be considered at the next regular or special meeting of the association, and/or shall be voted upon by letter ballot, as the person or persons making such proposal shall direct.

SECTION 3 In order that any proposal to amend or repeal may be voted upon at a regular or special meeting of the association, a copy of such proposal shall, as outlined in Section 2 of this article, be provided at least one month prior to the date of such meeting.

SECTION 4 Whenever a proposal is to be voted on by written ballot, a ballot shall be transmitted with the proposal, as outlined in Section 2 of this article, with notification to the membership that the polls shall be closed on the 15th day following the mailing of such proposal or on such later date as the person(s) submitting the proposal shall, in writing, direct.

SECTION 5 The adoption of such proposal to amend or repeal, whether by written or oral ballot, shall require the affirmative vote of two-thirds of the votes cast, but not less than 51% of the total eligible association votes.

SECTION 6 Corrections of typographical errors of omission in reprint, re-designation of article numbers, or section numbers, or such other changes that do not constitute a change of material substance or intent but rather purport clarity or are authorized by the existing by-laws may be made at the discretion of and by majority vote of the Board of Directors, and shall not require approval by vote of the members, but shall however, be reported to the members.

ARTICLE 11: Order of Business

SECTION 1 The following shall be the regular order of business of all meetings of this association:

SECTION 2 Robert’s Parliamentary Rules of Order shall be recognized as authority by this association and shall govern its deliberations in all cases not covered by these bylaws.

ARTICLE 12: Rights of Liquidation

SECTION 1 No dividends shall be paid to any member, nor shall the members be entitled to any portion of the earnings of the corporation, however derived. In the event of any liquidation of the assets and business of the corporation, whether voluntary or involuntary, each member then in good standing shall be entitled to receive, after the payment of all outstanding debts and liabilities, a proportionate share of the remaining assets available for distribution. The distribution to each member shall be, based upon the ratio of that member’s cumulative uninterrupted paid membership dues to the total payments on account from the cumulative uninterrupted membership dues of all members in good standing up to the liquidation event. Resignation or forfeiture of membership shall be considered abandonment of any and all claims against the assets.

ARTICLE 13: Membership Books

SECTION 1 The corporation shall, at all times, maintain at its registered office a membership book which shall set forth the names and addresses of each member and shall indicate the class of membership held and whether or not the holder of such membership is in arrears in the payment of any membership dues and assessments or indebtedness which may be then payable in respect to such membership. Upon the termination of any membership, that fact and date of termination, thereof, shall be recorded in such book.

ARTICLE 14: Seal

SECTION 1 The seal of this corporation shall consist of a flat-face circular die with the words and figures “American Galvanizers Association, Incorporated, Seal 1935, Pennsylvania” cut or engraved thereon.

ARTICLE 15: Meeting Notification

SECTION 1 The Board of Directors shall have power to fix and advance a date not exceeding 40 days, nor less than 15 days preceding, the date of any meeting of members as a record date for the determination of the members entitled to notice of and to vote at any such meeting. Except as otherwise required by law, only regular and sustaining members in good standing of record on such date shall be entitled to such notice or to vote at such meeting. The preceding constitutes the bylaws in their entirety.

MEMBERSHIP CATEGORIES AND DUES

REGULAR MEMBER A regular member is an after-fabrication galvanizer that is in business primarily to process steel fabricated by others (job/customer galvanizer) or process steel fabricated by his/her company (captive galvanizer), or some combination of the two. This member has one full vote in AGA balloting. Dues are based on the cubic volume of kettle(s) multiplied by a dollar value set by the board.

ASSOCIATE MEMBER This member is a galvanizer located outside Canada, Mexico, and the United States. Dues are set by the board.

SUSTAINING MEMBER Zinc Producer - This sustaining member sells zinc to the galvanizing industry. Dues for this member are set by the board.

Zinc Seller - This sustaining member sells zinc to the galvanizing industry. The company has no zinc refining capacity. Dues for this category are set by the board.

Other - This sustaining member provides equipment or materials (other than zinc), to the galvanizing industry. Dues for this company are set by the board.

Service Only - This sustaining member provides “services only” to the galvanizing industry. The company is not involved in zinc or zinc product sales of any kind. Dues are set by the board.

PROFESSIONAL MEMBER This member is an individual with interest in the galvanizing industry, including engineers, architects, specifiers, retired industry personnel, professors, and students. Dues are set by the board.

COMMITTEES OF THE BOARD

EXECUTIVE COMMITTEE The executive committee oversees the day-to-day management of association activities. It is made up of the president, first vice president, and second vice president. This committee confers with the executive director on a regular basis. Its responsibilities involve approving purchases, executing board directives, and distributing AGA monies.

BUDGET COMMITTEE The budget committee is comprised of five members of the Board of Directors who are appointed by the president and approved by the board. One member shall be one of the two vice presidents of the board. This committee focuses on the association budget and monitors budget performance during the year.

AUDIT COMMITTEE The audit committee is comprised of five board members appointed by the president and approved by the board. One member of the committee shall be a vice president of the board. No board member may serve on the budget and audit committees concurrently. The audit committee is responsible for conducting and reviewing audits of the association financial activity as required by the board.

NOMINATING COMMITTEE The nominating committee presents a list of candidates for board positions that become available each year. According to association bylaws, this committee consists of three directors whose terms do not expire at the next annual meeting.

STANDING COMMITTEE CHARTER In order to better serve the needs of our members, the Board of Directors created four member committees of the association. The purpose of the committees is to have member participation in the present and future programs of the association. These four primary committees are as follows:

• Market Development Committee (MDC)

• Member Services Committee (MSC)

• Sustaining Member Committee (SMC)

• Technical Services Committee (TSC)

There are several other committees that work under the four primary committees. These include six permanent regional member marketing committees, market and product focus groups, all under the MDC; five permanent technical subcommittees (TechForum, health and safety, coating performance, processing, and environmental). From time to time, the board may create other committees as needed for special projects or activities.

MARKET DEVELOPMENT COMMITTEE CHARTER

SCOPE The market development committee (MDC) acts in an advisory capacity relative to the AGA’s marketing program.

MEMBERSHIP The MDC will consist of nineteen members including a chairperson, one vice chairperson, a regional representative from each of the seven designated areas in the regional member marketing committee (RMMC) charter; five at large members, and four sustaining member representatives. No person shall hold two MDC positions, concurrently.

The MDC chairperson shall appoint the sustaining members of the MDC.

The chairperson and vice chairperson of the MDC shall be a regular or sustaining member of the AGA. The Chairperson shall be appointed by the AGA president for a one-year term, which can be renewed indefinitely on a one-year term basis at the recommendation of the MDC, with the preference of the same Chairman to remain seated throughout each 3-Year Marketing Plan.

The Vice Chairperson shall be nominated and approved by the MDC for a one-year term and shall not be eligible to serve more than three consecutive terms. The At-Large members and regional representatives will be nominated and approved by the MDC for a three-year term. At the conclusion of each term, the position will be open to all qualifying members with preference to new members or non-represented companies, but may be filled by the existing member for consecutive terms if no new volunteers are identified.

MDC members absent from two meetings in one calendar year will be regarded as vacating their position and the MDC Chairperson has the right to appoint a new representative to fill his/her position for the remainder of the three-year term.

MEETINGS Meetings shall be held at least three times a year, coinciding with the three meetings of the Board of Directors. At all meetings, a simple majority of the appointed members shall constitute a quorum. The chairperson of the MDC shall withhold the right to make and second motions, and the right to vote. In the event of a tie vote, the chairperson shall vote to decide the issue.

RESPONSIBILITIES It shall be the responsibility of the MDC to:

1. Develop a long-term (three to five years) strategic marketing plan, to be presented to the board for final approval, to establish overall direction and policy of AGA marketing.

2. Monitor the progress and regularly update the strategic marketing plan. 3. Develop the annual marketing budget and present it to the Board of Directors for review and consideration.

STAFF The marketing department staff shall attend all meetings and record minutes of the MDC. The staff shall apprise the committee of progress on existing activities, as well as developments of new projects.

REGIONAL MEMBER MARKETING COMMITTEES The association has historically divided the North American continent into six marketing regions. The MDC has recognized the need to develop a committee to address needs specific to Canadian galvanizer interests. The Canadian Region Member Marketing Committee has been established as a seventh RMMC. Each region has a committee comprised of members from that region interested in the concept of marketing galvanizing. The committees will meet (teleconference or in-person) as often as deemed necessary to exchange information (within the antitrust guidelines), develop regional marketing strategies, promote regional markets, and participate in regional functions. Each committee may have a budget to cover the basic cost of committee operation, depending upon the national allocation.

One representative of each region is a member of the MDC, supporting the development of a national marketing strategy with board approved budgets and long-range planning for market development. The chairperson conducts the regional meetings, coordinates regional activities and is responsible for being a conduit for information between the national level programs and the regional members.

MARKET AND PRODUCT FOCUS GROUP PROGRAM The association has segmented the marketplace into 13 distinct markets. It has also identified four products that are used across those markets. Each market and product will have a group of interested members that join forces to promote the application of galvanized steel. Each committee may have a budget to cover the basic cost of committee operation.

The group members will develop action items (within antitrust guidelines), raise funds, and execute action items within the framework of the strategic marketing plan.

REGIONAL MEMBER MARKETING COMMITTEE CHARTER

SCOPE The regional member marketing committees (RMMC) shall provide regional input to the programs and policies of marketing operations, and shall be instrumental in the implementation of marketing programs within defined geographic areas.

BOUNDARIES Regional boundaries are defined in this charter. Regional boundaries may be revised as recommended by the MDC and approved by the Board of Directors.

MEMBERSHIP Voting members shall be Regular and Sustaining Members whose facilities are located within a region. Each RMMC shall have a chairperson elected by the committee to serve for a one-year term.

QUALIFICATION Continued existence of a region shall be dependent upon attendance of a quorum of active participants in at least one meeting per year. For purposes of this clause, an active participant is defined as a regular or sustaining member in good standing. In the event of inadequate participation leading to the dissolution of any RMMC, the area served by the region shall be merged with adjacent regions according to re-mapping recommended by the MDC and approved by the Board of Directors.

RESPONSIBILITIES It shall be the responsibility of each RMMC to:

1. Promote the specification and use of galvanizing within the region through seminars, trade shows, receptions, direct mail, collection of case studies/ promotional items, advertising, publicity, and attendance at local and regional technical society meetings, conventions, and symposia.

2. Cooperate with the national organization in the procurement of information for promotional and other purposes. 3. Address matters of mutual interest relating to the galvanizing process, the environment and legislative issues of concern to

the industry. 4. Develop recommendations, based upon the needs of members within the region, on items to be addressed by AGA staff and

national committees. 5. Provide regional representation, in the person of the region’s chairperson on the MDC, or in their absence, any other

representative of the region as designated by the chairperson.

STAFF RMMCs may meet without the attendance of the AGA staff. Proceedings shall be conducted to conform to legal requirements as provided by the association.

OPERATING GUIDELINES The following operating guidelines govern the operation of the RMMC. These guidelines are subject to review and revision by the MDC and the Board of Directors at any time. Should change be required, all regional chairpersons will be immediately notified. Any suggestions or comments should be directed to the marketing manager or the MDC chairperson.

I. MEETINGS a) Each regional committee must meet at least once annually—by teleconference, Internet, or in person. The region may elect to

meet more often if activity requires. Ideally, the meetings should be scheduled to be in the month before the national MDC meeting. Current plans call for MDC meetings in the spring, as well as the months of August or September and November or December of each year. The spring MDC meeting will be the Saturday before the annual meeting, and the other two will be at the AGA offices in the months indicated.

b) Financial commitments can be made only by individual companies present at the meeting. Companies not present must be contacted in order to secure their financial commitment. No AGA member company shall have more than one vote within a particular region. Members from other regions may attend meetings only by invitation of the chairperson. The expense of the regional meeting is a legitimate regional expense and may be charged to the regional allocation, if available. If the national office is bringing a special program to the meeting, all expenses for that program are to be charged to the national budget.

c) The meeting may be held on any day of the week and in any city agreed upon by the majority of members at the previous meeting.

II. ORGANIZATION OF RMMC a) Each region shall elect a chairperson during the meeting.

b) Each region shall be represented at each MDC meeting. The chairperson is the primary representative. The chairperson may appoint an alternate to represent the region. It is very important to have every region represented at every MDC meeting.

c) The region may elect a regional treasurer to manage any regional funds. AGA funds will always be held by the national office.

d) The region’s chairperson may appoint other positions as the region may require. Regions may have university, TSC and/or DOT/MOT liaisons, seminar planner.

e) Should a region’s chairperson be unable to complete his/her term, an alternate shall become chairperson. At the next regional meeting, the vacant office shall be filled for the balance of the term.

III. CONDUCTING THE MEETINGS a) All regional meetings will be announced to the regional members at least two weeks before the meeting. The announcement

will include a preliminary agenda, copy of the previous meeting minutes, and complete details of meeting location and time. The AGA office will assist in the activity.

b) The meeting shall be conducted from the final agenda according to Robert’s Parliamentary Rules of Order. Revision of the agenda should be the first order of business after the routine antitrust acknowledgment. Once set, the agenda is to be followed.

c) The meeting agenda shall include the following, at a minimum: 1. Call to order by chairperson. 2. Roll call/quorum. 3. Acknowledgment of AGA antitrust policy by signing sheet. 4. Review and approval of previous meeting minutes. 5. Review of regional marketing activities since last meeting. 6. Review of progress on special long-term projects. 7. Review of national marketing activity and programs. 8. Other old business. 9. Plan of regional marketing for next period. 10. Requests of national marketing for next period. 11. Special projects for long-term marketing. 12. Other new business. 13. Adjournment.

d) The chairperson shall appoint someone to take minutes of the meeting. The minutes shall be submitted to the AGA office for legal review within two weeks of the meeting. The approved minutes shall be sent to all regional members within one week of approval. The AGA office will assist in the dissemination of the minutes, if requested.

IV. EXPENSES: SEMINARS, PROGRAMS, MEETINGS, AND OTHER a) Each year, the MDC prepares a budget for approval by the Board of Directors. Within that budget may be an allocation for

regional expenses. Once approved by the board, this is the money the region has to spend in a given year. b) If the regional chairperson approves a program, the expense may be covered by regional funds. Covered items may include,

but are not limited to: Booth space rental including tables, electricity, carpet, pictures, lunch or refreshments for non-AGA seminar participants, room rental for a program, meeting or seminar mailing expense. Items not covered: Travel expenses of AGA members to participate in any program, out-of-pocket expense unless listed above and approved meals other than approved above as part of a seminar.

c) If a region decides to conduct activities/seminars requiring funds in excess of the regional budget, each member of the region must be polled to determine financial participation regardless of their attendance at the regional meeting where such activity/seminar votes are taken. The chairperson must notify the AGA staff as to which members elected to participate in the optional activity/seminar funding.

As determined by the Board of Directors, with input from the MDC and the chairpersons of the MFGs/PFGs, the following funding and operational procedures are to be used by each focus group as they make decisions on the activity of their respective group.

MEMBERSHIP Any AGA member company may join the MFG/PFG at any time. Each focus group shall have a chairperson who is elected by the group during the meeting held at the first quarter meeting each year and serves a one-year term.

Each MFG/PFG member company shall have one vote on charter matters. At all meetings, at least three voting members shall constitute a quorum. Outside parties (i.e., customers, consultants, industry experts) are permitted to be active participants in the MFG/PFG, as a resource of information to help direct the activities of the group. Each outside, active party will have a single vote in MFG/PFG matters.

CONDUCTING THE MEETINGS 1. All focus group meetings will be announced at least two weeks before the meeting. The announcement will include a

preliminary agenda, copy of the previous meeting minutes, and complete details of meeting location and time. The AGA office will assist in the activity.

2. The meeting shall be conducted from the final agenda by Robert’s Parliamentary Rules of Order. Revision of the agenda should be the first order of business after the routine antitrust acknowledgment. Once set, the agenda is to be followed.

3. Quarterly meetings shall be held, two in-person and two teleconferences per year. This should be a minimum requirement. The need for the meetings is demonstrated by a proposed sequence: A. International Zinc Association (IZA) B. AGA general funds C. AGA members directly (self-funding)

Meeting 1 - 1st Quarter: 1. Determine/prioritize the next year’s action items and source of funding: 2. Elect officers

Meeting 2 - 2nd Quarter: 1. Review the next year’s funding proposals for IZA 2. Review projects to be considered for the next year’s funding from AGA general funds and/or self-funding 3. Ongoing execution of currently funded action items

Meeting 3 - 3rd Quarter: 1. Ongoing execution of currently funded action items 2. Develop program of work for the completion of next year’s action items (non-IZA)

Meeting 4 - 4th Quarter: 1. Ongoing execution of currently funded action items. 2. Review results of current years action items and revise business plan.

FUNDING There are three primary sources of funding for the focus group action items:

1. IZA Market Development Committee funds 2. AGA general budget funds 3. Interested members of the AGA

At or before the annual MDC meeting, the focus group chairperson will present the action items the group is requesting funding for and the source of funding the group would like to pursue. The full MDC will evaluate all proposed actions items from all of the focus groups and determine which action items are to be proposed for funding and the appropriate source of funding.

RESPONSIBILITIES 1. Information gathered by the MFG/PFG is available to any member of the association.

2. Solicitation of funds from the general membership for action items not funded by the IZA or AGA general budget will be coordinated and formalized by the MDC chairperson and the marketing manager.

3. Each active focus group* chairperson or vice chairperson will be an MDC member with one vote. No person shall simultaneously hold the office of chairperson and/or vice chairperson of a focus group and region. The designated substitute may vote on any items before the committee. Approval of all focus group activities resides within the MDC in order to assure that focus group direction and industry profile in the marketplace are compatible with and synergistic to the AGA’s marketing mission. (*Note: An active focus group is defined as having met at least twice and having formulated action items for funding.)

4. A budget line item, with appropriate subcategories, will be carried for each MFG/PFG.

STAFF The focus groups shall meet with the AGA marketing staff in attendance. All proceedings shall be conducted to conform with legal requirements, as provided by the association.

MEMBER SERVICES COMMITTEE CHARTER

SCOPE The Member Services Committee (MSC) determines or evaluates programs of interest to the general membership, develops plans for membership growth, recommends dues levels and membership qualification criteria, as well as monitors the implementation of all activity under the committee’s authority.

MEMBERSHIP The MSC consists of nine members. The chairperson (who must be a regular member of the association) and the vice chairperson are appointed by the AGA president. The chairperson and vice chairperson appoint members to the committee, with no more than three members appointed from the sustaining member category. The chairperson may appoint a subcommittee and task group chairpersons as required. If a board member is not a member of the committee, the president will appoint one member of the board to serve as an ex-officio member of the committee.

MEETINGS Meetings shall be held at least three times a year, coinciding with the three meeting of the Board of Directors. At all meetings, a simple majority of the appointed members shall constitute a quorum. The chairperson of the MSC shall withhold the right to make and second motions, and the right to vote. In and only the event of a tie vote, the chairperson shall vote to decide the issue.

TERM OF OFFICE Members of the MSC are appointed to a three year term by the chairperson and vice chairperson with the terms of office of one-third of the committee membership expiring each year at the conclusion of the annual meeting. The chairperson may serve for a maximum of two consecutive years and prior years’ service as a committee member is not included when determining eligibility to serve as chairperson.

RESPONSIBILITIES It shall be the responsibility of the MSC to:

1. Monitor compliance with antitrust statement in conjunction with member activities. 2. Determine the programs or activities that the membership-at-large desires from the association, that are in accordance with

the bylaws. 3. Participate in the design and development of new programs for the membership-at-large. 4. Recommend the content, location and fees for annual meetings, technical forums and member workshops. 5. Propose strategies and tactics for the recruitment of new members. 6. Recommend the structure and amount of membership dues. 7. Recommend the qualification criteria for all classes of membership. 8. Review and recommend matters relating to the interface of member companies with the association. 9. Monitor the implementation of all approved recommendations of the committee.

ACCOUNTABILITY The MSC is accountable to the Board of Directors and all recommendations and directives of the committee require the board’s approval for implementation.

SUSTAINING MEMBER COMMITTEE CHARTER

SCOPE The Sustaining Member Committee (SMC) exists as a forum to express the interests of suppliers to the AGA and will act as a communication vehicle to the Board of Directors.

MEMBERSHIP The SMC membership is open to all interested sustaining members. Only one representative from each sustaining member company, however, may vote on behalf of that member during any meeting. The chairperson must be a sustaining member of the association. The chairperson will be appointed by the AGA president. The chairperson may appoint a subcommittee and task group chairpersons as required.

MEETINGS Meetings shall be held at least one time each year, coinciding with the annual conference meeting of the Board of Directors. At all meetings, one-quarter of the total number of sustaining members shall constitute a quorum and is required to conduct official business. The chairperson of the SMC shall withhold the right to make and second motions, and the right to vote. In—and only in—the event of a tie vote, the chairperson shall vote to decide the issue.

TERM OF OFFICE There is no term of office limit for general membership of the SMC. The chairperson serves for one year in that position, with a maximum of two consecutive terms.

RESPONSIBILITIES It shall be the responsibility of the SMC to:

1. Discuss any concerns of committee members about the actions and activities of the association, form a consensus, advise and make recommendations to the board about said concerns.

2. Discuss the sponsorship of association events. 3. Monitor the implementation of all approved committee recommendations. 4. Assist the MSC in membership recruitment.

ACCOUNTABILITY The SMC is accountable to the Board of Directors and all recommendations and directives of the committee require the board’s approval for implementation.

TECHNICAL SERVICES COMMITTEE CHARTER

SCOPE The Technical Services Committee (TSC) is the technical advisory resource for the association. This committee receives requests for technical support from the Board of Directors, the MDC, and the AGA technical department. The TSC will have primary responsibility for the technical matters of interest to the association which include, but are not limited to: health and safety, environmental, processing, coating performance, and TechForum.

MEMBERSHIP The TSC will consist of ten members including a chairperson and a co-chairperson, who will be appointed by the AGA president. The chairperson will appoint members to the committee in accordance to the following seat assignments: three at-large members and five subcommittee coordinators. Each subcommittee coordinator is responsible for one of the following disciplines: health and safety, environmental, processing, coating performance, and TechForum. A simple majority of the appointed members shall constitute a quorum and will be required to conduct official TSC business. If a board member is not a member of the TSC, then the president may appoint a member of the board to serve as an ex-officio TSC member. The chairperson may appoint additional subcommittees and/or task groups as required, utilizing TSC members as their coordinators.

SUBCOMMITTEES Each subcommittee coordinator will chair meetings in order to conduct the business in his/her area of responsibility. Any member can belong to one or more subcommittees. Subcommittee members have voting rights within the subcommittee, but only the TSC coordinators will sit and vote.

The AGA technical director will attend all TSC meetings. The technical director will work with the TSC in evaluating the progress of existing programs and developing new projects. He/she will prepare and distribute agendas and minutes and handle special assignments.

RESPONSIBILITIES It shall be the responsibility of the TSC to:

1. Develop and present an annual budget to the Board of Directors during its budgetary deliberations and, once approved, the TSC will be accountable for operating within that budget.

2. Develop and present an annual and long-term plan for research needs to be presented to the Board of Directors as part of its current budget and business plans.

3. Review all technically related questions brought before the committee and prepare an appropriate response on behalf of the AGA including, but not limited to, all publications, seminars, and other program materials.

4. Propose standards, practices and programs to meet industry technical requirements. 5. Coordinate all technical activities relative to ASTM, NACE, AASHTO, and other specification writing groups by preparing

necessary inputs that insure AGA interests are protected by adequate representation and leadership with such bodies. 6. Annually review current AGA business plans relative to the technical department to insure compliance, and suggest changes

for the future. 7. Develop technical programs and activities in response to and in anticipation of market and galvanizing plant requirements. 8. Appoint working groups, in addition to the standing subcommittees, to study specific problems requiring an ongoing effort

on behalf of the AGA. 9. The TSC will meet at least semi-annually.

MEMBER SUPPORT SERVICES

The AGA represents the after-fabrication hot-dip galvanizing industry in North America. It serves as a technical and information resource for specifiers, designers, engineers, and architects, supplying comprehensive information and reference materials on specific applications as well as details on the performance of hot-dip galvanized coatings in a variety of environments.

AGA members are located throughout the United States, Canada, Mexico, and other countries. The AGA has served the galvanizing industry since 1935, and celebrates 72 years of preserving the past and protecting the present, and continues its ongoing commitment to providing a solid foundation for the future.

The AGA provides a wide variety of support services and is dedicated to providing a program of interactive services for members. Membership support activities provide educational resources for both galvanizers and specifiers, and a wide range of information on the most advanced technologies, processes, and applications in the galvanizing industry.

The AGA is committed to increasing awareness of the benefits of galvanizing for long-term corrosion prevention and the advantages of life-cycle costing. The AGA works to support existing markets for galvanizing and also to identify and create new markets. The efforts of the AGA marketing department are geared to target emerging markets, sustain existing markets, and expand the specification and use of hot-dip galvanized steel.

The services listed below are only a few of the many benefits the AGA offers to its membership:

Technical Library: The technical library houses extensive information on the latest research about galvanizing plant operations, safety-related issues, environmental regulations, and all other plant-related issues. Included are ILZRO reports, other government and private sector reports, surveys relating to galvanizing issues, federal and EPA regulation updates, as well as a full range of documentation covering process, procedure, and applications over a more than 65-year span.

Image Library: The AGA media library contains thousands of visual images including slides and videotapes, as well as black-and-white and color photographs depicting the history of galvanizing. All media information is available for member use. Contributions to the collection are encouraged.

Process Technology: The AGA offers operating information regarding common issues such as storm water permits, cost reduction, increasing productivity, facts on compliance with regulations of the Clean Air Act, establishing procedures to address quality control issues, OSHA regulations and EPA compliance.

Member Newsletters: The AGA publishes a bi-monthly print member newsletter, American Galvanizer, and a monthly electronic member newsletter, AGA Update. Both provide the latest information about association activities and developments in the galvanizing industry. Each newsletter includes sections on technology, marketing activities, successful solutions, and innovations that are of interest to the galvanizing community.

Annual Conference: Each year the AGA holds an annual conference covering the latest information about galvanizing. The conference provides an opportunity for owners and managers of galvanizing facilities to network and discuss issues of mutual concern. This conference is geared to senior management and relates to issues of management, long-range planning, improving quality, and analyzing successful practices. Issues are addressed in an in-depth manner with emphasis on presenting innovative ideas that assist galvanizers in meeting the challenges of change. The annual meeting is also held during the annual conference.

TechForum: The AGA’s annual technical conference, TechForum, offers technical presentations and discussion topics common to the processing of galvanizing. It offers excellent opportunities for peers to meet and exchange ideas on both a business and social level. Programming is interactive and allows for maximum networking. Attendees are exposed to the most advanced thinking in the galvanizing industry. The conference includes exhibits by sustaining members, interactive workshops, plant tours, and technical presentations designed to provide attendees with vital facts, enabling them to be successful in today’s complex marketplace.

Excellence in Hot-Dip Galvanizing Awards: The AGA celebrates excellence and innovation in the use of hot-dip galvanizing with the annual presentation of its Excellence in Hot-Dip Galvanizing awards. Winning projects represent the finest achievements in the utilization of hot-dip galvanizing in project design and concept. The projects are judged by an independent group of industry experts who evaluate each entry according to its merits. The AGA also recognizes the accomplishments and contributions of individuals/companies who promote growth and quality within the field of galvanizing.

Specifications Assistance: Occasionally, galvanizers are confronted by a specification they have never before seen. The AGA staff has the expertise and experience to provide fast, comprehensive assistance.

Publications: The AGA produces and maintains a variety of galvanizing publications. Single copies are provided at no charge to North American specifiers, are available to members at a nominal charge, and many are available online (www.galvanizeit.org) for free download. Publications are regularly reviewed and updated to keep the information fresh and at the forefront of galvanizing technology.

Galvanize It! Seminars: Galvanize It! is a free educational seminar designed for engineers, architects, and other specifiers. The goal is to increase awareness of the after-fabrication hot-dip galvanizing industry. The seminars, held in North America, have proven to be an effective means of providing greater understanding of the process and application of galvanizing, as well as encouraging increased specification of galvanized coatings.

ThinkZinc: ThinkZinc is a sales and marketing training workshop designed to assist the galvanizing marketer in developing more effective approaches. The program is offered both as a basic and advanced course, and provides an excellent foundation for presenting the Galvanize It! seminar to interested architects, specifiers, engineers, and other members of the specifying community. ThinkZinc is offered upon popular demand—please contact the AGA with your interest.

HOT-SPEC Line: 1-800-HOT-SPEC is an AGA service that allows specifiers, engineers, architects, and other professionals to call toll-free (1-800-468-7732), and have any questions concerning galvanizing answered.

Trade Show Booths: The association owns two state-of-the-art trade show exhibit booths. The booths include one free-standing 10’ x 10’ booth designed to fit on a standard, full-size exhibit space, and a table-top booth designed to fit on a standard 6’ exhibit table. The exhibits are available on a first-come, first-served basis, and are available to all members. The rental charge varies; please call for details. Shipping charges and any incurred damages are subject to extra fees. The AGA also has laminated photos available for use at trade shows for a nominal fee, however, any incurred damages are subject to additional fees.

Process Seminars: This program is a series of four seminars held in major cities in North America or at individual galvanizer’s facilities. The purpose is to educate employees joining the industry, as well as experienced workers who want to review the processes. These seminars are led by a member of the AGA technical department and a sustaining member. The first seminar entails an overview of the galvanizing process. The second seminar incorporates an understanding of chemistries and solutions. The third seminar discusses zinc baths; the final seminar focuses on material handling. The seminars are generally held on Saturdays from 8 a.m. to 3 p.m.

Internet and E-mail: The AGA web site, www.galvanizeit.org, is used as a marketing tool to promote our services and publications to engineers and specifiers. Order forms are included. EPA Manual: This manual was developed specifically to provide galvanizers with guidelines for managing environmental regulations in their facilities. It informs galvanizers of the content of environmental regulations and of compliance methods needed to meet these regulations.

Quality Assurance Manual: This manual provides galvanizers with guidelines for implementing quality control in their facilities, based upon the International Standard ISO 9002, Quality Systems-Model for Quality Assurance in Production and Installation. You will find guidelines for obtaining ISO 9002 certification and for establishing a system that will provide quality products within your facility.

OSHA Manual: This manual makes it possible for galvanizers to establish a safe workplace and to comply with local and federal regulations and informs the galvanizers of the content of the OSHA safety regulations and of the compliance methods needed to meet these regulations.

Storm Water Pollution Prevention Manual: This manual provides the galvanizer with the guidelines for developing a SWPPP that will satisfy the requirements of the National Pollution Discharge Elimination System permitting authority.

EPA Manual: This manual provides hot-dip galvanizers with guidelines for managing environmental regulations in their facilities. The manual includes sample forms for various regulations as well as numerous contacts to assist hot-dip galvanizers nationwide in locating the correct environmental agency. The manual covers RCRA, Sara Title III, Form R Reporting, CAA, and other regulations.

Safety Video: The AGA’s safety video was developed specifically to review the galvanizing process and ways to prevent hazards that may lead to accidents within a galvanizing facility.

Processing Video: This 90-minute video series contains five distinct modules for AGA members to train their employees: inspection, material handling, surface preparation, galvanizing and the kettle, and post-galvanizing treatments. This offers excellent details that every galvanizer should have to increase production and employee knowledge.

Applications and Processing Video: This video vividly illustrates the galvanizing process and its uses, leaving viewers with a strong image of the benefits of after-fabrication hot-dip galvanizing. The video is comprised of two main parts: process and application. The process portion aids the viewer in understanding the nature of the zinc coating, the quality of the galvanized product, and the importance of design considerations. The application portion allows the viewer to see the widespread and successful use of after-fabrication hot-dip galvanizing.

OSHA Assistance: The OSHA inspector has just left your plant after insisting that you use alloy chains for lifting. A call to the AGA for assistance will inform you what has been done in other parts of the country. The AGA staff, while not providing legal assistance, can write letters or talk to inspectors to inform them of what is the accepted practice in the industry. The AGA can assist you in preparing a challenge to OSHA citations.

Committee Representation: The AGA is actively involved with the following professional committees: ASTM, NACE, AASHTO, and ILZRO. These committees write standard specifications, develop position papers and conduct research in the field of galvanizing in order to promote this corrosion protection method. AGA staff members represent the association on the committees.

Research Projects: For any industry to survive and grow, research and development is a necessity. That is why the AGA supports research on subjects of interest to the galvanizing industry. Many of the research projects are funded through our participation in the

ILZRO. Our funds are combined with other organizations to allow large research projects to be undertaken. The AGA participates in determining which projects should be reviewed and which projects should be funded.

Inspection Seminar: The inspection course is intended to train individuals on the requirements and proper inspection techniques for hot-dip galvanized steel products. Upon completion of this course, a hot-dip galvanized steel inspector will be trained to inspect specific ASTM requirements and perform all inspection steps to insure conformance with these requirements.
