INTELLECTUAL PROPERTY RIGHTS & PATENT RIGHTS

7.1. The Purchaser shall own and have a right in perpetuity to use all Intellectual Property Rights which have arisen out of or in connection with the implementation of this Contract, including all processes and products which have been developed by the Bidder during the performance of Services and for the purposes of inter-alia use or sub-license of such Services under this Contract. The Successful Bidder undertakes to disclose all Intellectual Property Rights arising out of or in connection with the performance of the Services to the Purchaser and execute all such agreements/documents and file all relevant applications, effect transfers and obtain all permits, approvals, consents and no objections that may be necessary in this regard to effectively transfer and conserve the Intellectual Property Rights of the Purchaser.

7.2. Further, the Successful Bidder shall be obliged to ensure that all approvals, consents, no objections, registrations, licenses, permits and rights which are inter-alia necessary for use of the information technology system installed by the Successful Bidder, shall be acquired in the name of the Purchaser, prior to termination of this Contract and which shall be assigned by the Purchaser if necessary

As far as Indemnities are concerned, we request that notwithstanding anything contained in this RFP and its Annexures herein, we will indemnify Bank for the following: a.in case of any third party IPR infringement claim against Bank in respect of Services, provided by Bidderb.in case of any third party claims for breach of confidential information c.in case of bodily injury, death of any person due to gross negligence of Bidder or its personnel while providing Services. d.claims for violation of tax laws and anticorruption laws

As far as products/software supplied are concerned, Bidder is not the OEM/Software Licensor, and hence all Indemnities in respect of such products/software, will be governed by the OEM terms or end user license terms from the software licensor. Similarly, if the OEM/Software Licensor is providing support services in respect of the Software, then all Indemnities in respect of such support services will be governed by the terms of the Software Licensor and Bidder will only pass on the same “as-is” to the Bank.

6.1.1. 24 Section - 22. PROJECT REQUIREME

2.2. The Bank will provide required infrastructure. However, the bidder will share the requirement of infra/ hardware/ server/ database etc required for deployment of proposed framework along with the bid. Oracle DB will be provided by the Bank, if any other is required, bidder has to provide.

We understand that the entire hardware and software licenses required to implement the proposed DevOps tools which would include compute, storage, OS, anti-virus, DB etc. would be provided by IDBI Bank Limited as per the requirement stated by the successful bidder.

iv. Requirement of any changes for onboarding of application to DevOps platform, will be carried out by the Bidder.

We assume IDBI Bank Limited to have the entire set of detailed technical documentation of the applications that needs to be on-boarded as per IEEE standard and the same would be shared completely with the successful bidder before the initiation of Phase II of the project. Further, IDBI Bank Limited would organize "Knowledge Transfer" workshops during the implementation phase to facilitate dissemination of the necessary information about the applications that needs to be on-boarded.
