District President Report for the 2012 SELC District Convention St. Luke's, Oviedo FL June 21-24
What a privilege it is to serve the SELC as your President! I thank God, and I thank theProfessional Church Workers and the Lay-members of the SELC, for allowing me this privilege.The past three years on the Council of Presidents have been filled with the challenges of a newSynodical structure approved by the 2010 Synodical Convention, plus a new set of Synodicalleaders. The process of change has been slow, a time of learning and visioning, but, as a wholethe Council of Presidents has been supportive and encouraging to the Synodical leadership andin regard to the process.
Much like the United States Senate, within the Council of Presidents, each of the 35 DistrictPresidents, plus the Synodical President and the five Synodical Vice-presidents, all have equalstatus concerning voice and vote on all issues. It is, therefore, quite a special privilege for theSELC, the smallest of the LCMS Districts, to have equal representation with the largest Districts,like the Michigan District and the Texas District.
The Council of Presidents meets four times each year, September, November, February andApril/May. The September and February meetings are Friday to Tuesday; November meetings,Monday to Friday, and then coupled with the Lutheran Church Extension Fund annual meeting,Friday to Monday; the April/May meetings encompass the Placement process, plus the Vicarageand Call Services at both St. Louis and Fort Wayne Seminaries, plus a half day meeting with oneof the Faculties, so these Spring-time meetings are at least 7 days. There are also three "regional"Council of Presidents meetings each year, held normally in March and October. These are 3-daymeetings. The SELC is assigned to the Great Lakes Region, and the Upper Midwest Region(which is a combination of the Great Lakes and the Great Plains Regions), plus the SELC isinvited to participate in the East Coast Region.
The "regular" Council of Presidents meetings are full-day (8am-6pm) meetings, that includeScriptural and Confessional studies, reports from the Synodical President, and many SynodicalStaff members or agencies, extensive review of policies and procedures for dealing withproblems concerning Congregations or Professional Church Workers, and situations of casuistry.Each year, T have been assigned to serve in two or three Reinstatement Committees for thoseClergy who have resigned, or been removed, from the Roster, who are seeking to return to theRoster.
During the last three years, I was chosen by the Council to continue to serve on the PlacementCommittee, which co-ordinates and oversees the vicarage and candidate placement process withthe Congregations, the students and candidates, and the District Presidents. Placement ofCandidates is the one special responsibility and authority given to the Council of Presidents, andit is the highpoint of the Council's work. The Council also assigned me as one of two COPrepresentatives to the Intentional Interim Ministry Board of Directors. This Board is attemptingto provide structure, oversight, and co-ordination of the growing number of Pastors who receiveand use special training to serve Parishes which are faced with challenging Pastoral Vacancies,which are often the result of conflict or misconduct.

Governance", held January 7-9 in Madison WI Joining me in representing the SELCwere: Rev. Andrew Dzurovcik, Rev. Waldemar Vinovskis, Mr. Randy Sadlon, Rev. PaulBiber, Mr. Ron Hoehnke, Rev. Paul Hoyer, Rev. Gary Schuschke, and Mr. GeorgeMcAllen. Rev. Cahill, Rev. Telloni, and Noel Bartlett were scheduled to attend, however,a snow storm prevented them from leaving Cleveland.
* the Model Theological Conference on Worship, held January 11-13 in St. Louis; joiningme were Rev. Ray Malec, Rev. Paul Hoyer, Mr. John Daniel, and Mr. Dan Olsen. Mr.Jim Hurst was scheduled to attend but could not make this conference.
* Floor Committee meetings for the Synodical Convention (May 21-23, July 8-10). Iserved as the Vice-chairman of the Congregational and District Services FloorCommittee.

I was able to attend the Memorial Services for Carolyn Soltis, wife of Rev. Thomas Soltis,(February 18, 2010, Holy Trinity, Parma OH); and for Joanne Milligan, mother of Rev. JohnMilligan (January 29, 2012). Elaine Babel, herself, as she struggled with cancer, and bravelyfaced the reality of physical death, but assured of eternal life in Christ, asked me to preach at herfuneral, which I did, (October 8, 2010, Pentecost, Racine Wl), using her selected text and theme:"This is the day the Lord has made; let us rejoice and be glad in it. " Psalm 118:24.
I thank Rev. Andrew Dzurovcik for representing the District and attending the Memorial Servicefor Jan Pillsbury, wife of Rev. Hugh Pillsbury (September 10, 2011) and Jonathan DeMario, sonof Deaconess Helen DeMario (February 21, 2012). And, I thank Rev. Jerome Panzigrau forrepresenting the District and attending the Memorial Service for Mildred Mozolak, wife of Rev.Samuel Mozolak (January 9, 2010).
Representing our District, I attended (and preached or led devotions):* the Luther League Conventions (Viera FL 2009 and Clark NJ 2011)* the SELC LWML Conventions (Norridge / River Forest IL 2010; Northampton PA 2012)* the International LWML Convention (Peoria IL 2011)
By virtue of holding the Office of SELC District President, I have served on the Lutheran HavenBoard of Trustees, and participated in numerous phone conferences, all regular meetings(annually: February, May, August, and November), and special Committee meetings.
I "officially" retired as Pastor of St. John, Cudahy in February, 2010, with the purpose ofinvesting more time and effort into the Office of District President. Because the tradition of theSELC District is to provide the total cost of a Vicar (stipend, FICA, housing, insurance, mileage,and seminary fee) for the Congregation of our District President, the SELC District Board ofDirectors voted to allocate the normal provision of Vicar cost as the annual stipend for a"retired" Pastor serving as District President (1099 contract worker). The District also provides astipend to the District's "administrative assistant" of approximately $1,000 per month (1099contract worker, with no other benefits) for approximately 20 hours per week work. I did chooseto become the Administrative Vacancy Pastor of St. John, Cudahy WI when the PastoralVacancy occurred in July 2011, until the new Pastor was installed, May, 2012.
I thank God for the wonderful support I have received from all the members of the Board ofDirectors, the Circuit Counselors, and members of all District Committees. I especially thank

God for His gift to me of my wife, Dianne, who continues to up-hold the long "Marcis tradition"of the DP's wife serving as the Administrative Assistant. The administrative work of files, forms,documents, Synodical communications, personnel and congregational information is almostunbelievable, and yet she "does it all" with a willing spirit.
The Lord has strengthened our District as we welcomed two new Congregations into the SELC:* Hope "Viera" Lutheran Church, Melbourne FL, once a satellite of Faith "Viera",
Rockledge FL, with the status of Rev. Mark Moreno changing from Associate Pastor,Faith, to Pastor, Hope.
* Resurrection Lutheran Church, Malvern OH, an independent Lutheran Congregationestablished by former members of several ELCA Congregations due to the ELCA's"path" that many see as going away from the historic Lutheran Christian doctrine andpractice. Resurrection, Malvern requested, and was received into the SELC throughBoard of Directors' action, after the approval of their Constitution and Bylaws. TheDistrict thanks Rev. John Telloni, St. John, Massillon OH, and the Vicars assigned to St.Mark, Steubenville, who have worked with the people of Resurrection in their foundingand reception into the SELC. Resurrection has Called their first LCMS Pastor through theCouncil of Presidents in placing a Seminary Candidate, Kevin McLeod, who will be, theLord willing, Ordained and Installed in July.
Our SELC has been weakened over the past three years, however.* Our Mission start Congregation (2002), Family of Christ, Massillon (Jackson Township)
OH, closed and disbanded, in February, 2010. The property was deeded over to theLutheran Church Extension Fund in lieu of foreclosure. The property was sold in 2012 toCrosspoint United Methodist Church.
* Long-time SELC member Congregation, Holy Trinity, Yonkers NY (established 1895)voted to leave the SELC, and to transfer to the Atlantic District, along with their Pastor,Rev. LeRoy Leach in October, 2010.
* Our Mission start Congregation (1990), Living Word, Orland Park IL, voted to leave theSELC, and to transfer to the Northern Illinois District, along with their Pastor, Rev. SteveLange.
* The Asian Indian outreach ministry of Rev. Naveen Nischal, who received a three-yearterm Call from Zion, Clark NJ, as Mission Developer, supported primarily by Zion, ClarkNJ, in partnership with the District, was brought to an end as Zion, Clark, decided theycould not renew the terms of the Call.
What of the future?At our Convention, we will hear reports from the "mission outreach ministries" that we as aDistrict have been financially supporting. There is, and will be, wonderful news of the Spirit'swork among our Churches reaching people with Christ's redeeming love, through the planting ofsatellite Congregations in Orlando and Mount Dora FL, and through a special "mercy ministry"in Galloway NJ. And we will hear about our expanding outreach into a variety of Ethnic groups:Hispanics in Chicago IL, Whiting IN, and Tampa FL, and the interest of "Espiranza Viva", theHispanic Congregation that meets at our Lutheran Haven, Oviedo, in possibly becoming a part ofthe SELC; our continued outreach into the Middle East Immigrants in Montreal, and the newly

formed Chinese Lutheran Congregation that is a part of Ascension, Montreal, working with ourSMP Vicar, Chun Lin Hu; and the potential for outreach to the Asian Indian population ofChicago, working with an Ordained Clergy interested in LCMS Colloquy.
The SELC regularly proclaims that our purpose is "mission" - and yet how we "do" mission hasindeed changed over the years.
The SELC no longer has the financial resources to "do mission work like we did in the olddays", that is, when we had our own Church Extension Fund and the Mission Board had its ownseparate finances to buy property and Call Mission Developers separate from any oneCongregation. Our mission outreach, now by necessity, depends upon our SELC establishedCongregations seeking, identifying, and committing to mission / outreach strategies, and thenseeking the Partnership of the District in these local ventures of faith and mercy.
Because of all the changes in our methods, and the realty of today's economy, the current Boardof Directors and Mission Board realized that our structure of a separate Mission Board,comprised of some, but not all of the Board of Directors; meeting separately and then reportingto the BoD, budgets and actions subject to ratification (and change) by the BoD; is inefficientand redundant. This is the reason behind the proposal to change the Bylaws to proclaimspecifically, "the primary focus of the SELC Board of Directors shall be people: to nurture thelaity and professional church workers of the District, and to encourage and facilitate missionoutreach to the lost and the needy ", and to merge the Mission Board into the Board of Directors.The proposal is to eliminate the Mission Board Chairman, and, in effect, to "move" the MissionBoard Pastoral and Layperson Representatives onto the Board of Directors. This would providefour "at large" (2 Pastoral, 2 Layperson) Representatives to be elected by the Convention to theBoD, with one Pastor and one Layperson specifically designated as individuals "who shallrepresent mission focus". The Mission Executive would also become a part of the BoD, as"staff', with voice but without vote. The Mission Exec would be appointed by, and responsibleto, the District President.
We are told regularly about our changing American society that, as a whole, does not hold totraditional Scriptural values or commitments, and once strong denominational loyalties are onthe wane. The District and Synod are experiencing the effects of age, population change andeconomy on many urban and rural parishes, shrinking in membership and finances so that theyare not able to provide the salaries and benefits of our 21st Century Professional ChurchWorkers. One third of our SELC Congregations (18 of 54) have less than 100 members. TheseChurches, as well as larger ones, are often struggling to "make ends meet"; while at the sametime, we have SELC Congregations that are financially healthy, and annually strive to increasetheir financial commitments to District and Synod, plus many of our SELC Congregationsprovide special extraordinary gifts in support of missions and ministries in the US as well asforeign lands.
One of the great strengths of the SELC is the bond of fellowship among our Pastors, who findgreat support and encouragement within our Clergy ranks, especially as our Pastors commit tomeeting together for Scripture and Confessional study, worship, and shared brotherly wisdom in

our Circuit and District gatherings. The SELC no longer possesses the bond of ethnic heritageand identity; but the heritage of trust, openness, acceptance, and camaraderie produces the mostloyal Clergy of any LCMS District.
While the individual members of the Council of Presidents respect, support, and work togetherwith Presidents, Pastors, and Congregations of the two non-geographic Districts, the English andthe SELC, there is not wide-spread COP support for the existence of the non-geographies. Noone is presently "campaigning" to remove or dissolve the non-geographies; and the specialcommission that was called for by a resolution of the 2010 Synodical Convention, to establish ameans of evaluating the viability of LCMS Districts, has just recently been named by SynodicalPresident Matt Harrison, but has not yet held an official meeting. Therefore, I see little or nothreat to "our" continued existence within the LCMS structure for at least 7 more years.I believe that as we of the SELC, individually and collectively, dedicate ourselves to our chosenmotto, "ShowingJEveryone Life in Christ; Showing Everyone the Love of Christ", we willalways have a purpose and a place within God's earthly kingdom. If each of our Congregationswill earnestly seek God's wisdom to discover some new activity or way to demonstrate Christ'smessage and love for the people in our respective communities, I believe God's Spirit will useour efforts to touch hearts, change lives, and bring people into a relationship with theCongregations, so that spiritual growth, along with numerical and financial growth is possiblewhere ever we may be located.
There is great potential for us of the SELC to expand our mission emphasis far beyond our NorthAmerican shores. The reality is that the Lutheran Church-Missouri Synod is no longersupporting missionaries around the world through Synod's "general fund" of undesignateddollars. Each missionary and mission field must raise their own support. The undesignated fundsDistricts send on to Synod support the necessary structure and administration of our Synod,including the administration of our University and Seminary system, and the administrationoversight of our international mission, but very little goes for the actual support of individualmissions or missionaries.
1 believe we can turn our SELC focus on certain specific international mission fields with whichwe already have special connections, and we can become a great blessing to Christ's world-widemission outreach. SELC Pastors and Congregations already are involved with particularinternational missionaries and mission / mercy efforts in countries outside of North America,especially Slovakia, Latvia, Brazil, Haiti and Macau. I believe we need to share more openly,encourage and invite all SELC Congregations to join together with special mission trips, specialmission projects and special mission offerings, in particular to the above areas, so that Godwould move us mightily from a District dedicated to North American mission to a Districtdedicated to the world-wide mission of witness and mercy.

1. CONVENTION OPENING DEVOTION led by Rev. Matt Wallis (Lake Mary, FL)
2. CONVENING OF THE CONVENTIONRev. Dr. Carl Krueger Jr., President of the SELC District of the Lutheran Church -Missouri Synod, convened the 16th regular convention of the SELC District in the nameof the Father, Son and Holy Spirit, Friday, June 22 at 11:46 a.m.
3. CIRCUIT COUNSELORS will serve as convention chaplains. Rev. Luther Bajus is thechaplain for Friday.
4. DISTRICT MEMBERS RECEIVED. Congregational representatives from HopeLutheran, Melbourne, FL and Resurrection Lutheran, Malvern, OH were asked to comeforward along with pastors who have joined the District since the last District conventionto sign the District constitution and bylaws. The convention welcomed the newcongregations and pastors into the SELC District singing the Doxology.
5. CREDENTIALS COMMITTEE REPORT was given by the chairman Rev. PeterHaenftling: Pastoral Delegates-25, Lay Delegates-26 and Guests-18.
6. GREETINGS WERE RECEVIED FROM MAX BIESENTHAL OF LUTHERANCHURCH EXTENSION FUND.
7. THE SYNODICAL REPRESENTATIVE, Rev. Dr. Paul Maier, third Vice President ofthe Synod was introduced and asked to give the Synodical report. The DVD from theSynod with the Synodical report could not be located and a video of a mission of ourdistrict was presented.

8. ASCENSION LUTHERAN CHURCH, MONTREAL, QUEBEC and its immigrantand particularly Chinese ministry was profiled through a video in a “This is the SELC”segment.
9. DR. MAIER THEN PRESENTED ON THE STATE OF THE SYNOD. A. He noted that much effort has been done to restructure the Synod so as to use the
Synodical dollar most efficiently.B. There are now two main boards in the Synod- national and international mission.C. Because of the last Synodical convention’s determinations there has been a change in
how the president and vice presidents of Synod will be elected. The election for thepresident of the Synod will come from every congregation of the Synod. Vicepresidential elections will be made regionally.

13. DR. PAUL MAIER CONTINUED THE SYNODICAL REPORT BY TAKINGQUESTIONS FROM THOSE PRESENT AT THE CONVENTION.A. How has restructuring brought together the boards and presidium of the Synod? Dr.
Maier noted that “things are falling in place fairly quickly” but had gotten off to aslow start. Duplication of efforts has been reduced significantly.
B. What's happening with all the colleges? A number of colleges were having financialproblems but much of the financial situations has been alleviated. Ann Arbor -Concordia had the worst financial problems. Concordia, Mequon, WI is nowpartnering with Concordia, Ann Arbor, MI. Student numbers are going up atConcordia, Ann Arbor.
C. Has the task force on re-districting ever been formed? Dr. Maier noted that it's a hotpotato issue. The problem has not been solved yet. The task force is working on it.
D. Do all vice presidents fly in to meet with the president? Yes, 4 times a year usuallyin St. Louis.
E. What has been the reaction to Matt Harrison's letter about health care? Occasionallysometimes the separation of church and state are violated and such public statementsare necessary.
F. Has the leadership of the Synod been on top of any changes to the Concordia Planspension system and has it been discussed? No problems have come before thepresidium. Concordia Plan Services has no plan to cut payments to pensioners. Theplan is still in relatively good health.
G. What is the status of relationships with other church bodies? The ELCA is movingfurther and further away from seeing scripture as the norm for doctrine and life and

therefore it's hard to work together with them in many ministries. Some ministriesthat previously we were able to work together on are being surrendered. But, henoted, tremendous mission church increases are happening in Africa.i. Have there been conversations with the North American Lutheran
Church? There will be in the future.ii. Conversations have begun with the Wisconsin Synod at their initiative.
H. Will restructuring of Synod help the substitutions for the dismantled Commission ofMinisterial Health and Growth? The two mission boards are policy boards notprogram boards. They will have to at some time form programs for pastoral care.
I. In 2017 Synod plans to showcase the transformation of Wittenberg's Old LatinSchool into the "Martin Luther Center."

WHEREAS: malaria disproportionately affects poverty-stricken areas, most of which cases occurin sub-Saharan Africa, and

WHEREAS: the ministry of the Lutheran Haven has been blessed, grown and prospered underthe leadership of Mr. Kovac, including the completion of new independent livingcottages in Section IV in 1992, and a new Nursing Home and Assisted Livingfacility in 2006, and

19 Article 2 — District President
20 2.1. Qualifications for office
The President of the District shall be elected from the clergy roster of the Synod21 District.
22 2.2. Duties of the District President
23 2.2.1. The District President shall exercise supervision regarding the doctrine and the
24 administration over the doctrine, life, and administration of office of the ordained and
commissioned ministers of the District,25 and acquaint himself with the spiritual condition of the
congregations of the District. To this end,26 he shall visit the congregations of the District
whenever he deems it appropriate,.27 His assistants in this work are the Circuit Counselors, who
28 therefore shall regularly make their reports to the District President.

29 2.2.2. It is the President*s duty to see to it that all the aforementioned act in accordance with
the Constitution, Bylaws and resolutions of the Synod 30 Synod*s Constitution, to admonish all
31 who in any way depart from it, and, if such admonition is not heeded, he shall take appropriate
32 action.
2.2.3. President has, and always shall have,33 the power to advise, admonish, and reprove. He
34 shall conscientiously use all means at his command to promote and maintain unity of doctrine
35 and practice in the District.
36 2.2.4. The President shall see to it that the resolutions of the Synod and of the District are
37 carried out.
2.2.5. At the sessions of the District,38 the President shall—
a. Conduct the meetings and have a care that all things be done in a Christian manner,39 and in
accordance with the Constitution and Bylaws40 of the Synod;
41 b. Give an accurate report to the District of his administration.
42 2.2.6. The President shall perform all additional duties which the Synod or the District may
43 enjoin upon him through their Bylaws or by special resolution.
2.2.7. The District President is empowered to restrict, suspend, or implement the Synod’s bylaw44
processes for removal remove from membership congregations and 45 ordained ministers,
professors, and. commissioned ministers for persistently adhering to false doctrine,46 or for having
47 given offense by an ungodly life, in accordance with such procedure as shall be set forth in the
48 Bylaws of the Synod.
49 2.2.8. Furthermore, the District President shall—
50 a. See to it that all resolutions of the Synod which concern the District are made known to the
51 congregations and are carried out by them;
52 b. Submit an annual report of his administration to the President of the Synod and, in general,
53 permit him to obtain all necessary insight into his official activities as District President.
c. Conduct or direct to be conducted the ecclesiastical ordination or commissioning of the54
candidates for ordained and commissioned ministries entering the District, as well as the55
installation of all ordained and commissioned minister Called by the Congregations of the56
District.57 Perform, either in person or by proxy, the ecclesiastical ordination of the candidates for
the 58

59 ordained ministry assigned to the District as well as the commissioning of the candidates for the
60 office of commissioned minister, DCE or deaconess and the installation of all ordained
61 ministers, DCE, deaconesses and commissioned ministers called by the congregations in the
62 District;
63 d. Sign all certificates of ordination or commissioning and, in general, all official papers and
64 documents of the District.
2.2.9. In cases of urgent necessity,65 the District President is empowered to convene special
66 sessions of the District; he must, however, previously have obtained consent of at least a
majority of the voting members of the District,67 after having informed them and the President of
68 the Synod of the purpose of the intended special session. In cases of extreme emergency, the
69 President shall submit to a vote of the congregations through the medium of a special mailing all
70 urgent matters of an extraordinary nature arising between regular conventions.
71 Article 3 — First Vice-President
72 3.1. Qualifications of the First Vice-President
The First Vice-President shall be elected from the circuit 73 clergy roster of the circuits of the
Synod district,74 other than the circuit of which the president is a member.
75 3.2. Duties of the First Vice-President
76 3.2.1. The First Vice-President shall, upon request of the President, represent him in all his
77 duties.
78 3.2.2. The First Vice-President shall assume the office and the title of President whenever the
79 Board of Directors determines that the President is unable to serve in that capacity because of
80 some temporary disability. In case of permanent disability, deposition from office, or death of
81 the President, the First Vice-President shall assume the office of the President.
82 Article 4 — Second Vice-President
83 4.1. Qualifications of the Second Vice-President
The Second Vice-President shall be elected from the clergy roster of the circuits84 of the district
85 other than the circuits of which the President and the First Vice-President are members.
86 4.2. Duties of the Second Vice-President
87 4.2.1. The Second Vice-President shall, upon request of the President, represent him in all his
88 duties.

89 4.2.2. The duties and responsibilities of the office of First-Vice President shall be assumed by
90 the Second Vice-President whenever the Board of Directors determines that either the President
91 or First Vice-President is unable to serve in their capacity because of some temporary disability.

93 Vice-President, the Second Vice-President shall assume the office and title of the First Vice-

124 d. Administer the financial affairs of the SELC District of The Lutheran Church-Missouri Synod
125 faithfully and diligently according to the instructions of the SELC District of The Lutheran

127 e. Submit his books and accounts to an examination by a committee on auditing when so ordered
128 by the SELC District of The Lutheran Church-Missouri Synod, or by its Board of Directors.
Article 8129 7 — Financial Secretary
8130 7.1. Qualifications for Office
131 The financial secretary shall be a lay member of a congregation that is a member of the SELC
132 District.
8133 7.2. Duties of the Financial Secretary
134 The Financial Secretary shall:
135 a. Receive all moneys intended for the purposes of the SELC District of The Lutheran Church-
136 Missouri Synod.
137 b. Keep an accurate account of all moneys received by his office.
138 c. Forward to the agencies designated every month all moneys he has received.
139 d. Receive and record all financial reports received by his office from individual Treasurers,
140 Boards, and Commissions of the SELC District of The Lutheran Church-Missouri Synod.
Article 9141 8 — The Board of Directors
9142 8.1. Composition
143 The Board of Directors shall consist of:
144 a) The District President;

9155 8.2. Duties
9.2.1 The primary focus of the SELC Board of Directors shall be people: to nurture the laity156
and professional church workers of the District, and to encourage and facilitate mission outreach157
to the lost and the needy.158
9.2.2159 The Board of Directors shall serve as the Trustees of the SELC District of The Lutheran
160 Church-Missouri Synod. They shall have authority and management over all the real estate and
161 other property of the SELC District of The Lutheran Church-Missouri Synod and may by proper
162 resolution acquire, purchase, sell or otherwise dispose of the said real estate and other property.
163 They shall also govern and attend to all matters pertaining to the SELC District of The Lutheran
164 Church-Missouri Synod between regular conventions of the SELC District of The Lutheran
Church-Missouri Synod except for ecclesiastical supervision and any other matters for which the165
President of the District is responsible.166 .
9167 8.3. Qualifications for Office
The Ordained Minister pastoral representatives shall be a members of the Ordained 168 pastoral
roster of the Synod District. The lay representatives shall be a lay members169 of a congregation
which is a member of the District. The Mission Executive shall be a member of the ordained 170
roster of the Synod, who has demonstrated a mission heart and supervisory abilities.171
9172 8.4. Method of Selection
The Ordained Minister pastoral representatives and the lay representatives173 shall be elected by
convention, no two representatives may be from the same Circuit. The Mission Executive shall174
be appointed by the District President.175

187 9.2. Qualifications for Office
188 The Mission Board president, the Mission Board Executive Director, who shall also serve as the
189 Mission Board Secretary, and the pastoral representative shall be members of the pastoral roster
190 of the District. The lay representative shall be a lay member of a congregation which is a
191 member of the District.
192 9.3. Method of Selection
193 The Mission Board Chairman, the pastoral representative and the lay representative shall be
194 elected by convention. The Mission Board Executive Director shall be appointed by the District
195 Board of Directors.
Article 9196 10—Term of Office
All officers197 officials, both elected and appointed shall serve from the end of one District
198 Convention to the end of the next District convention. In order to provide for the orderly transfer
of their, duties to the new office holders, these persons may199 shall remain in office for a period of
200 no more than ninety days beyond the end of the convention.
201 Before their successors assume office, they shall use the intervening time to settle the affairs of
202 their administration and to assist the newly elected officers, as requested, to become acquainted
203 with the responsibilities of their offices.
Article 10204 11—Conventions
10205 11.1 Time and Legality of Conventions
10206 11.1. 1.The SELC District of The Lutheran Church-Missouri Synod shall meet every three
207 years for its regular convention, in the year preceding the synodical convention of The Lutheran
208 Church-Missouri Synod.

10209 11.1. 2. Conventions of the SELC District of The Lutheran Church-Missouri Synod are legal
and binding when they have been called according to the Synod’s Constitution, and the Bylaws210
of the Synod and District211 . One fourth (1/4) of the voting representatives of the SELC District of
212 The Lutheran Church-Missouri Synod shall constitute a quorum at any regular convention.
10213 11. 1 .3. Regular conventions of the SELC District of The Lutheran Church-Missouri Synod
214 are called by the President through a proclamation published in the official organ of the SELC
215 District of The Lutheran Church-Missouri Synod.
10216 11.2. Rules of Order
217 The President of the District shall conduct the sessions according to accepted parliamentary
218 rules.
10219 11.3. Closed Sessions
220 Whenever circumstances warrant, a closed session may be held at a convention of the SELC
221 District of The Lutheran Church-Missouri Synod. A closed session may either be declared by the
President or may be called for by a majority 222 vote of the convention.
10223 11.4. Resolutions
224 All matters of doctrine and of conscience shall be decided in accordance with the Word of God.
225 All other matters shall be decided by a majority vote. In case of a tie, the President may cast the
226 deciding vote.
10227 11.5. Representation
228 Conventions are composed of:
229 a. Pastors representing congregations, entitled to voice and vote in the convention.
b. Regularly elected lay230 delegates representing congregations, entitled to voice and vote in the
231 convention.
c. All nonvoting ordained ministers who are members of the Synod within the District,232 and all
commissioned ministers who are members of the Synod within the District,233 shall serve as
advisory members,234 entitled to voice and vote on a floor committee, if appointed, and to voice in
235 the convention.
d. Advisory representatives of the SELC District of The Lutheran Church-Missouri Synod, with236
voice in the convention 237 without the right to vote.
e. Advisory representatives of Boards, Commissions,238 and such as by virtue of their office are

required to attend conventions. These have voice in the convention, 239 are without the right of vote.
10240 11.6 Accrediting of Delegates
The delegates of a voting congregation shall stand accredited and entitled to vote up241 on
242 presenting to the Secretary at the opening of the convention the proper credentials as provided by
243 the District Secretary and signed by two of the congregations officers.
10244 11.7. Attendance
245 All duly elected voting delegates and all advisory members shall attend all sessions of the
246 convention regularly until the close of the convention.
10247 11.8. Synodical Representation
248 The President of the Synod or his representative shall report on the condition and affairs of the
249 Synod and shall also deliver the sermon at the opening service.
Article 11250 l2— Nominations and Elections
11251 12.1. Composition of the Nominating Committee
The nominating committee of the District shall consist of two (2) Ordained Minister 252 pastoral
representatives and two (2) lay members, not members of the same congregation or circuit,253 none
254 of whom were members of the nominating committee of the previous convention.
11255 12.2. Election of the Nominating Committee
256 The nominating committee of the District for a regular convention shall be elected at the
257 preceding district convention.
11258 12.3. Nomination and Election of the District President and Vice Presidents
11259 12.3.1 Nominations for the offices of District President and Vice Presidents shall be made by
260 the member congregations of the SELC District.
261 (a) Each member congregation shall be entitled to nominate from the clergy roster of the
Synod 262 District two ordained ministers as candidates for President. Each member congregation
263 shall also be entitled to nominate from the clergy roster of each circuit two ordained ministers as
candidates for Vice Presidents. Upon assuming office, all officers will be required to be264
residents in the District or Circuit as appropriate.265
266 (b) The Secretary of the District shall mail to each congregation of the District ballots for
267 nominating these candidates.
268 ( c) Each nominating ballot shall be signed by the president and the secretary of the member

269 congregations and shall be sent to the Secretary of the District not later than sixty (60) days prior
270 to the opening date of the convention.
11271 12.3.1.1 Candidates for the office of President shall be the five ordained ministers
272 receiving the highest number of votes in the nominating ballots of the congregations. Candidates
for the offices of Vice Presidents shall be all the ordained ministers for --273 in each circuit receiving
274 any votes in the nominating ballots of the congregations.
275 (a) The Secretary of the District shall notify each candidate and shall secure his approval
276 in writing for inclusion of his name on the convention ballot. Each candidate shall reply within
277 ten (10) days as to his willingness to serve if elected.
278 (b) In the event of the death, declination, or unavailability of any candidate, the nominee
279 having the next highest number of votes shall become a candidate.
280 ( c) In the event of a tie for the final candidate position, all names involved in the tie shall
281 be listed as candidates.
11282 12.3.1.2 The Secretary of the District shall secure brief biographies from the five
283 candidates for District President and from all the candidates for Vice Presidents. These
284 biographies shall contain such pertinent information as age, residence, number of years in the
285 Synod and in the District, present position, offices previously held in a district or the Synod, year
286 of ordination, former pastorates, involvement in community, government, or interchurch affairs,
287 and any other specific experiences and qualifications for the office. These biographies shall be
288 distributed to the lay delegate and pastoral delegate from each member congregation not later
289 than thirty (30) days prior to the opening date of the convention.
11290 12.3.1.3 The convention shall have the right to alter each slate at the proper time by
291 amendment.
292 (a) The amendment procedure shall include merely a motion, a second, and a vote on the
293 amendment, deliberately excluding verbal characterizations and discussion of the motion (except
294 for the chair to ascertain that the requirements have been met as to eligibility, consent, and the
295 filing of the biographical form).
(b) Delegates making nominations from 296 form the floor shall have secured prior written consent
297 of the candidates they wish to nominate.
( c) Such delegates shall immediately submit to the Secretary of the District this written consent298

299 document and written pertinent information concerning their nominee(s) as directed in Bylaw
11300 12.3.1.2.
301 (d) After all such amendments have been voted on, the convention shall ratify the slate of
302 candidates prior to each election.
1112.3.2 The election of the district president and of the first ,and the second, and the third303 vice
304 presidents shall be
305 completed before any other elections take place.
11306 12.3.3 After the slate of candidates for District President has been accepted, the convention
307 shall
308 be polled using a secret ballot. If any candidate receives a majority of the votes cast, that
309 candidate shall be declared elected. If no candidate receives a majority, then the name of any
310 candidate receiving less than 15% of the total vote cast shall be dropped from the ballot unless
311 that leaves only one candidate, in which case the names of the candidates with the second and
third highest vote totals shall be included on the ballot, and the convention shall be repolled312
313 repelled. If no candidate receives a clear majority, the process of dropping the name of the
candidate with the lowest number of votes and repolling 314 repelling shall continue until one
315 candidate shall receive a majority.
11316 12.3.4 After the president is elected, the election of First Vice President proceeds as follows:
317 (a) Names of candidates who belong to the same circuit as the District President shall be stricken
318 from the slate of nominees for the offices of Vice Presidents submitted by the congregations.
319 (b) Amendments to the slate of nominees for First Vice President may be made in accordance
320 with bylaw 12.3.1.3, with the exception that no ministers belonging to the same circuit as the
321 District President may be submitted in nomination for First Vice President.
11322 12.3.5 The election of the first vice president shall then proceed in the same manner as the
323 election of the district president.
11324 12.3.6 After the first vice president is elected, the election of Second Vice President proceeds
325 as
326 follows:
327 (a) Names of candidates who belong to the same circuit as the District President and the First

328 Vice President shall be stricken from the slate of nominees for the offices of Vice Presidents
329 submitted by the congregations.
(b) Amendments to the slate of nominees for Second 330 First Vice President may be made in
331 accordance with bylaw 12.3.1.3, with the exception that no ministers belonging to the same
332 circuits as the District President or the First Vice President may be submitted in nomination for
Second Vice President, unless prior consent has been given to relocate as necessary to hold333
office334 .
11335 12.3.7 The election of the second vice president shall then proceed in the same manner as the
336 election of the district president.
11.3.8 After the second vice president is elected, the election of the third vice president proceeds337
as follows:338
(a) Names of candidates who belong to the same circuits as the District President, the first and339
second vice presidents shall be stricken from the slate of nominees for the offices of Vice340
Presidents submitted by the congregations,unless prior consent has been given to relocate as341
necessary to hold office.342
(b) Amendments to the slate of nominees for Third Vice President may be made in accordance343
with by law 12.3.1.3, with the exception that no ministers belonging to the same circuits as the344
District President, the First Vice President or the Second Vice President may be submitted in345
nomination for the Third Vice President, unless prior consent has been given to relocate as346
necessary to hold office.347
11.3.9 The election of the Third Vice President shall then proceed in the same manner as the348
election of the District President. 349
11.3.10 The Circuit Counselor for each of the Circuit are to be elected in the Circuit Forums350
prior to the District Convention. The Circuit Counselors are subject to the ratification of the351
District Convention.352
11.4 12.4. N353 Nominations and Elections for other offices
After the president, and the first, and second and third vice presidents, and the circuit counselors354
355 are elected, the Nominating Committee shall submit ballots for the offices of Secretary,
356 Financial Secretary, Treasurer, other members of the Board of Directors, elected members of the
357 Mission Board and other elective offices. Each voting member of the convention is then entitled

358 to place in nomination the name of candidates for the various offices. Any delegate making a
nomination must have obtained the nominee’359 *s consent before the nomination is made.
After nominations are closed, elections shall take place, one office at a time360 . Candidates
361 receiving a majority on the first ballot shall be declared elected. When a second or succeeding
362 ballot is required for a majority, the candidate receiving the fewest votes and all candidates
363 receiving fewer that 15% of the votes cast shall be dropped from the ballot, unless fewer than
364 two candidates receive 15% or more of the votes cast, in which case the three candidates
365 receiving the highest number of votes shall constitute the ballot. In every election balloting shall
366 continue until every position hasbeen filled by majority vote.
367 All those elected at the convention and present shall be inducted into office at the convention.
All those not present, or appointed by the President or the Board of Directors,368 shall be inducted
369 into office at the determination of the President.
11370 12.5. Filling Vacancies in Office
371
If a vacancy occurs in an office of circuit counselor, the president shall fill the vacancy by372
appointment. If a vacancy should occur in any office, other than that of president or the 373 first
vice-presidents374 , the president shall appoint a replacement subject to ratification by the Board of
375 Directors.
11376 12. 6. Holding More than One Office
11377 12.6.1 No one, either in the Synod or the District, or between the Synod and the District, shall
378 hold more than one elective office, or more than two offices, although one or both may be
379 appointive; or ever hold two offices of which one is directly responsible for the work done by the
380 other.
11381 12.6.2. An office shall be regarded as elective only if it is an office filled through election by a
382 national or a District convention, even though a vacancy in such an office may be filled by
383 appointment.
1112.7. Prohibition of Conflict of Interest (see Synod Bylaw1.5.2)384
11385 12.7.1. No officer, director, board or commission member of the District or any agency of the
386 District shall use his position or knowledge acquired from his service in such a manner that a

387 conflict between his personal or business interests and the interest and general welfare of the
388 SELC District and/or The Lutheran Church—Missouri Synod arises.
11389 12.7.2. Officers or members of District boards or commissions shall not enter into gainful
390 business transactions, directly or indirectly, with any board or commission on which they serve.
11391 12.7.3. No one may serve on a board, commission or agency of the District to which he is
392 ultimately responsible.
11393 12.7.4. Every board, commission, officer or agency of the District shall avoid any conflict of
394 interest.
395 Each governing board shall maintain and monitor a conflict policy which shall be applicable to
396 the boards, commissions, officers and staff operating under the respective entity. These policies
397 shall include the following provisions:
398 a. Each board or commission member shall disclose to the chairman of the entity, and each staff
399 member shall disclose to the executive director, any potential conflicts of interest. Each
chairman or executive shall 400 s/mall disclose any potential conflicts of interest to the Board of
Directors, who shall s/tall determine whether an conflict of 401 inappropriate interest exists. Such
402 disclosure shall include board membership on, a substantial interest in, or employment of the
individual or a relative by,403 any organization doing business with the District or any of its entities.
404 b. Board members or staff, who receive honoraria or payments for sales or services rendered to
405 the District or any of its entities, shall disclose such information.
406 c. Activities shall not be entered into which may be detrimental to the interest of the District or
407 any of its entities.
408 d. Information acquired in the course of carrying out District duties shall not knowingly be used
409 in any way which would be detrimental to the welfare of the District.
410 e. No board or commission member shall vote on any transaction from which the individual shall
411 receive a direct or indirect financial gain.
412 f. Gifts, entertainment or favors in excess of $100 per year from any individual or outside
413 concern which does or is seeking to do business with the District or any of its entities shall not
414 be accepted
g. Any inappropriate activity shall cease or the position shall be vacated using the procedure415
provided by Synod Bylaw section 1.5.7 for the removal of board members416 .

11417 12.8 Records
11418 12.8.1 Ownership of Records
419 All records created by officers of the District , its boards, commissions and other entities are the
420 property of the Synod. The records of retiring officers, not needed by their successors, shall be
421 transferred to the Archives within six months after they leave office.
422 All records created by boards, commissions and other entities are to be disposed of under the
423 auspices of the Archivist.
11424 12.8.2 Full Financial Disclosure
The District and all its entities shall follow Synod Bylaw 1.5.4 governing full financial425
disclosure and shall426 fully disclose their financial books and records to any member congregation
427 of the Synod. Full disclosure includes all information, including but not limited to, information
428 required under state law, except the following:
429 a. Information which would violate the expected confidentiality of donors.
430 b. Personnel files or other information which would violate the expected confidentiality of
431 officers and employees.
432 c. Information which relates to in-progress negotiations of financial matters.
433 d. Information, the disclosure of which would breach a legal obligation of the District or its
434 entities or affect pending litigation against the Synod or any of its entities.
435 e. Information which is preliminary in nature or otherwise has not been finalized in its form or
436 content.
437 f. Requests for detailed financial information or the inspection of financial records shall be made
438 in writing to the respective corporate boards by a member congregation and shall state the
439 records desired and the time period to be covered. Any inspection of financial records shall be
440 done by a member(s) of the congregation or its stated authorized agent at a mutually agreeable
441 time and place.
442 g. All information produced for normal publication or distribution shall be provided free of
443 charge.
444 All requests for information involving research or compilation shall be billed to the member on
445 the basis of actual costs.
Article 12446 13-Amendments to Bylaws

12447 13.1 How made
448 Amendments to these Bylaws may be made provided they are:
a. not contrary to the Constitution, Bylaws and resolution of the 449 of Synod;
450 b. presented in writing to a convention of the District;
451 c. specified as Bylaw amendments and considered by a convention floor committee;
452 d. submitted to the Constitutional Review Committee of the District for clearance prior to
453 presentation to the convention;
e. approved in advance454 by the Commission on Constitutional Matters of the Synod;
455 f. adopted by the affirmative vote of a majority of the delegates present and voting.
