NOTICE INVITING PROPOSALS The Charleston County Aviation Authority is requesting competitive Proposals from qualified
professionals for the completion of Employee Classification and Compensation Study
Services at the Charleston International Airport. The Agreement shall be for a period of one
(_1_) year. At the Authority’s option, the Authority may renew this Agreement for an
additional four (4) one-year periods of time.
Written Proposals will be received up to the hour of 2 p.m. Local Time on Thursday, March
14, 2019. All Proposals shall be addressed to:

Each Proposal must be submitted on the proper forms in a sealed box or envelope and must
conform to the requirements contained in "Instructions to Proposers". In addition, there must

be a flash drive included in the sealed box or envelope which contains the proposal in its
entirety.
A Proposal Guarantee in the form of a Proposal Bond in the amount of two thousand five
hundred ($2500) dollars payable to the Charleston County Aviation Authority, must
accompany each Proposal.
Any questions and/or comments concerning Proposals should be directed in writing to Twyla
Warden at the above address or via email at [email protected] . All such
requests must be received prior to Thursday, February 28, 2019 by 5p.m. The Charleston
County Aviation Authority will not be responsible for any oral instructions with regard to this
notice for the completion and submission of any Proposal. Said notice can only be changed
by a formal written addendum which, if issued, will be delivered or mailed to all prospective
Proposers.
A Mandatory Pre-Proposal Conference will be held at 2 p.m., Local Time, on Thursday,
February 14, 2019 in the offices of the Charleston County Aviation Authority. Attendance is
MANDATORY.

Enclosed herewith, and hereinafter collectively referred to as the “Proposal Documents”,
please find:

The Authority is soliciting competitive Proposals because it has determined that such a
process best serves the interests of the Authority and the general public. The Authority
reserves the right to reject any or all Proposals, to advertise for new Proposals or to proceed
to have the services performed otherwise.
Receipt of Proposals shall not in any way obligate the Charleston County Aviation Authority
to enter into an agreement of any kind with any Proposer. The Authority shall not be
responsible in any manner for any cost associated with the submission of Proposals.
Proposal Forms, including any and all attachments thereto, shall become the property of the
Authority upon receipt by the Authority. The Authority shall have the right to copy,
reproduce, publicize or otherwise dispose of each Proposal Form in any way that the Authority
selects.
The Charleston County Aviation Authority (“Authority”) is subject to the South Carolina
Freedom of Information Act (FOIA). All information, data, documents and material

submitted shall be handled in accordance with the South Carolina FOIA Statute. Any
proprietary information, data, documents, and material that the Proposer wishes to remain
confidential (to the extent allowed under FOIA) should be clearly identified in the proposal;
however, such identification does not guarantee its confidentiality. The Proposer may be
required to intervene in any public records request in order to protect its rights to
confidential or proprietary information, however, the General Counsel for the Authority
will make the final determination as to whether the information, even if marked
“confidential”, will be disclosed pursuant to a FOIA request or valid subpoena.

CHARLESTON COUNTY AVIATION AUTHORITY REQUEST FOR PROPOSALS EMPLOYEE CLASSIFICATION AND COMPENSATION STUDY SERVICES
AIRPORT INFORMATION
The Charleston International Airport (CHS) is a joint use airfield operated in conjunction with Charleston Air Force Base (CAFB) in Charleston South Carolina. The existing runway system includes two runways (15-33 and 03-21) which are owned, operated, and maintained by CAFB. Runway 15-33 is the Airport’s principal runway and is 9001 feet long and 150 feet wide. Runway 03-21 is 7,000 feet long and 150 feet wide. Major taxiways owned, operated, and maintained by the Authority under the Joint Use Agreement include Taxiway A, B, G and M. The CHS serves as the primary air carrier airport for the Charleston, South Carolina MSA (Metropolitan Statistical Area). Total enplanements for the fiscal year 2017 were 3,987,427. These passengers are accommodated through a terminal complex which includes fifteen (15) gates, a 426,927 square foot, three (3) level structure terminal building constructed in April 1985 and renovated during recently. Parking facilities include a parking deck, surface lot, remote lot, and a cell phone waiting lot for a total of 4,697 public parking spaces and an additional 40 space cell phone waiting lot. Authority-owned property at CHS also supports two Fixed Base Operators, air cargo operations, an aviation fuel farm, rental car maintenance facility, federal support services (ATCT and NWS office), and roadways and other site infrastructure. In addition, Boeing South Carolina production of the 787 Dreamliner is located on the property adjacent to the Charleston International Airport.

INSTRUCTIONS TO PROPOSERS
1. Preparation of Proposals:
Proposals must be submitted on the Proposal Form provided as part of these Proposal
Documents. Additional information should be typed on plain paper and marked
appropriately.
Proposals must be submitted in such manner as to make them complete and free from
ambiguity, without alterations or erasures. All blank spaces on the Proposal Form
must be filled in and the Proposal Form properly signed in ink by the Proposer or its
legally authorized officer or agent. In case of conflict between words and numerals,
the words, unless obviously incorrect, shall govern.
2. Receipt of Proposals:
All Proposals will be received by the Authority at the offices of the Charleston County
Aviation Authority until Thursday, March 14, 2019 at 2:00 p.m. Local Time. Said
Proposal shall be in a sealed box or envelope endorsed "Proposal for Employee
Classification and Compensation Study Services, Procurement No. 2018-CHS-167 at
Charleston International Airport”, and bearing the name and address of Proposer. Any
proposal received after the scheduled time for receipt will be returned to the Proposer
unopened.

At 2:00 p.m., March 14, 2019, Local Time, all Proposals will be publicly opened in
the Authority’s Offices and recorded.
3. Investigation of Conditions:
The submission of a Proposal shall be considered evidence that the Proposer has
investigated all the conditions related to the goods or services herein described and
that said Proposer has ascertained that all areas are as specified to the extent possible
and that said Proposer is aware of circumstances, procedures, and requirements
affecting the conduct of the services or provision of the goods to be provided, as well
as, the agreement (the “Agreement” or “Contract”) to be entered into. The attention
of the Proposer is specifically directed to, and Proposer will be conclusively presumed
to have read and become familiar with all the Proposal Documents. No claim for
adjustment of the provisions of the “Agreement” or “Contract” to be awarded shall be
honored on the grounds that the Proposer was not fully informed as to the conditions
which exist.
4. Pre-Proposal Conference
The Authority will conduct a Mandatory Pre-Proposal Conference beginning at
2 p.m., Local Time, on Thursday, February 14, 2019 for the purpose of reviewing the
Proposal Documents. In the event any other documents require clarification as a result
of this Conference, appropriate addenda will be issued by the Authority.

Attendance at the Pre-Proposal Conference is Mandatory for all prospective
Proposers. The Pre-Proposal Conference will be held at the Charleston County
Aviation Authority Offices, Charleston International Airport, 5500 International
Boulevard, 3rd Floor, North Charleston, South Carolina.
5. Addenda & Interpretation:
No verbal interpretation made to any Proposer as to the meaning or consequence of
any portion of the Proposal Documents shall be considered binding. Any questions
or requests for clarification of the Proposal Documents shall be made in writing and
delivered via email, fax, or mail to:

All such requests must be received prior to 5p.m. on Thursday, February 28, 2019.
Any response by Authority to a request by a Proposer for clarification will be made in
the form of an Addendum to this Proposal Document and will be mailed to all parties
to whom the Request for Proposal Documents have been issued not later than five (5)
calendar days prior to the scheduled Proposal opening time. All Addenda so issued
shall become part of the contract and must be acknowledged in the Proposal Form.

The Authority will not be responsible for any other instructions, interpretations or
explanations.
6. Proposal Guaranty:
Each Proposal shall be accompanied by a Proposal Bond prepared in the form attached
hereto and duly executed by the Proposer as Principal and a surety company
satisfactory to the Authority as Surety in the amount of two thousand five hundred
($2500) dollars. Cash will not be accepted in lieu thereof. Such Proposal Bond shall
be submitted with the understanding that it will guarantee that the Proposer will not
withdraw the Proposal for a period of sixty (60) days after the scheduled closing time
for the receipts of Proposals, and that if the Proposal is accepted, Proposer will enter
into a written agreement with the Authority in the form included herein. In the event
that said Proposal is withdrawn within said period or the Proposer fails to enter into
said agreement within thirty (30) days after receipt of notice that Proposal has been
accepted, the Proposer shall be liable to Authority in the full amount of two thousand
five hundred ($2500) dollars for damages to the Authority on account of the default
of the Proposer. This assessment is not a penalty to the Proposer but is a measure of
damages which will actually be sustained as agreed to by both parties.
Attorneys-in-fact who sign Proposal Bonds must file with such bonds a certified copy
of their power of attorney to sign such bonds. All bonds must be countersigned by a
resident South Carolina agent of the surety, with proof of agency attached.

7. Disqualification and Rejection of Proposal:
Any of the following causes shall be considered as sufficient for the disqualification
of a Proposer and the rejection of a Proposal:
• Submission of more than one Proposal hereunder by an individual, firm, or
corporation under the same or different names.
• Evidence of collusion among Proposers.
• Proposer’s default or arrearage under any previous existing agreement with
the Authority.
• Existence of any unresolved claims between the Proposer and the Authority.
• Submission of Proposal after the scheduled due date and time for receiving
Proposals.
• Proposer does not meet the Minimum Eligibility Requirements. • If applicable, Proposer fails to attend the Mandatory Pre-Proposal
Conference.
8. Informal Proposals:
The Authority may consider informal any Proposal not prepared and submitted in
accordance with the instructions and provisions of these Specifications. Any
alteration, omission, addition or any unauthorized conditions, limitations or provisions
attached to a Proposal may render it informal and may be sufficient cause for its
rejection. No Proposal received after the time named or at any place other than the
place stated in the formal notice will be considered.

The Authority may also consider the Proposal informal and may reject it if:
• The Proposal Form furnished herein is not used or is altered.
• There are irregularities of any kind which may tend to make the Proposal
incomplete, indefinite or ambiguous as to its meaning.
• The prices contained in the Proposal are obviously unbalanced either in excess
or below the reasonable cost analysis values.
• Any documents necessary for Proposal purposes are not complete, are
improperly executed or are missing.
The Authority reserves the right to reject any informal Proposal and the right to waive
technicalities if such waiver is in the best interest of the Authority. The Authority
further reserves the right to reject any Proposal or all Proposals for no reason or for
any reason.
Proposals will only be accepted for the Employee Classification and Compensation
Study Services RFP. Proposals for other goods or services will not be accepted under
this Request for Proposals.
9. Withdrawal of Proposal:
No Proposal may be withdrawn after it has been submitted to the Authority unless the
Proposer requests in writing and such request is received by Authority prior to the

time set for receiving Proposals. No Proposal may be withdrawn after the scheduled
due date for a period of sixty (60) days.
10. General Description of Contract
The study shall evaluate the Authority’s present salary and classification structure as
compared to the relevant job market for comparable positions in comparable regions
of growth, airports, as well as businesses in the private and public sectors, and also
assess internal equity. Additionally, any areas for streamlining, restructuring, or
further division of labor shall be notated, to include expected efficiencies gained from
the suggested changes. The objectives are to attract and retain qualified employees
and to maintain a competitive position with other comparable entities within the same
geographic area.
The consultant shall perform or provide the following:
• Develop applicable classification/reclassification questionnaire and
administer as appropriate.
• Analysis and development of variable pay strategies that align with
organizational structure.
• Review all current job descriptions and analyze same for minimum
qualifications, education and experience relevance and internal
consistency, specific duties and responsibilities, performance
indicators, distinguishing characteristics, supervision received and

exercised, conformity with the ADA relative to essential job functions
(including physical demands); special requirements including
licensing and certifications. Add descriptions where none exist.
• Review the Authority’s current Pay and Classification Plan and
provide recommendations for enhancement and specific guidelines
pertaining to the following: creating new positions, salary adjustments
and reclassifications, compensation for additional duties and internal
equity adjustments.
• Analyze all existing job family classifications, pay grades and salary
ranges and recommend modifications and career ladder as indicated.
• Review and propose benefits of utilization of a single pay plan/grade
schedule, or breakout in multiple schedules based on service,
administrative, technology and law enforcement positions.
• Conduct salary surveys with comparable airports, public
administration, government agencies / private sector as appropriate.
• Conduct interviews and or job audits as appropriate.
• Identify potential pay compression issues and provide alternative
solutions.
• Prepare comprehensive report and present findings.

Detailed description of the services and methods by
which the work set forth in the RFQ will be performed.
The description shall include the following items:
• Organization’s understanding of the services
to be provided.
• Methodology to be used in benchmarking and
determining salary ranges and internal and
external equity.
• Estimated time the project will take from
beginning to completion date.
• Provide a classification/maintenance manual
to be utilized for evaluation of new or revised
positions following the conclusion of the
study.
11. Basis of Award and Selection Criteria:
Unless all Proposals are rejected, the contract will be awarded to the qualified
Proposer whose Proposal best meets or exceeds the specifications established by
the Proposal Documents. The cost proposed to the Authority will be a major factor,
but not necessarily the sole factor, used by the Authority in determining the
successful Proposer and in making an award of the contract. The Proposer’s

experience and past performance in the provision of these goods or services will
also be major factors in the Authority’s decision.
No award will be made until the experience, financial responsibility, operational
ability, and performance standards of the successful Proposer have been
investigated and found by the Authority to provide adequate assurance of the
contractor’s ability to fulfill the terms of the contract.
The scoring matrix weights for determining the contract recipient are as follows:
• 50%- Relevant experience in similar sized cities and airports with
comparable economic growth, qualifications, and understanding of
public administration, airport related matters and employee relations.
• 25%- Team compatibility, including the ability to work with
Authority staff based on references and other supporting information.
• 10%- Cost
• 10%- Professional reputation of the firm
• 5%- Unique resources the firm may bring regarding innovative
techniques, and low or no cost compensation/benefit alternatives

12. Pricing structure
Please remit pricing in the returned proposal on the form provided.
13. Notice of Award
It is anticipated that the Authority will give Notice of Award to the successful Proposer
within thirty (30) days after the Proposals are opened. However, the Authority
reserves a period of sixty (60) days after such opening during which time the notice
may be given.
14. Failure to Execute Contract
Failure upon the part of the Proposer to whom the contract has been awarded to
execute and deliver the fully executed Agreement and other documents required
above, within thirty (30) days after the date of written notice of award shall be just
cause for cancellation of the award by the Authority and the forfeiture of the Proposal
Bond to the Authority, which forfeiture shall be considered not as a penalty, but in
liquidation of damages sustained. The award of the contract may be made to another
Proposer or all Proposals rejected in the Authority's sole discretion.
15. Insurance Requirements:
The successful Proposer shall provide the Authority with evidence of current
insurance coverage in the form satisfactory to the Authority as set forth in the contract.

ELIGIBILITY FORM
CHARLESTON INTERNATIONAL AIRPORT
Any person, firm, or corporation interested in submitting a Proposal for Employee Classification
and Compensation Study Services at the Charleston International Airport must complete this form
in full. The purpose of this form is to obtain information for use in connection with other
information available or to be obtained in determining the eligibility of an applicant to propose on
an Employee Classification and Compensation Study Services Contract. All information will be for
the use of the Charleston County Aviation Authority only and remain strictly confidential.
If the Proposal is to be made by a subsidiary of a parent company or corporation, such subsidiary
may submit the financial statement of the parent company. Such parent company shall, however,
be jointly bound in the performance of the subsidiary should the subsidiary be awarded the
Contract. Such parent company must acknowledge this joint obligation with its subsidiary and the

PURCHASE ORDER TERMS AND CONDITIONS
(“TERMS AND CONDITIONS”)
1. ACCEPTANCE: The Seller/Contractor/Vendor (“Supplier”)shall be deemed to have accepted this Purchase Order (“PO”) upon: (a) written acknowledgment by Supplier, (b) commencement of performance by Supplier, or (c) Supplier’s receipt of any payment, partial or full, under this PO. By acceptance of this PO, Supplier agrees to strictly comply with all of the Terms and Conditions and specifications, including those contained in all documents incorporated into the PO by reference. The Charleston County Aviation Authority (“Authority”) reserves the right to reject any different or additional terms in Supplier’s acceptance of this PO or in any documentation provided by Supplier (e.g. any preprinted terms on the back of Supplier’s invoice, or Supplier’s acknowledgement).
2. GOODS AND SERVICES: Any and all goods, supplies, products, software, licenses and other tangible items provided by Supplier to the Authority shall be known as “Goods.” Any and all services, tasks and actions rendered and /or performed by the Supplier shall be known as “Services.” The supplier is solelyresponsible for any and all necessary labor, materials, tools, equipment, planning, supervision and other necessary Services and costs to provide the Goods and/or perform the Services (collectively referred to hereinafter as the “Work”).
3. PAYMENT: Terms of payment shall be net thirty (30) days unless otherwise stipulated on the PO. The total amount of money due from the Authority to the Supplier (“Total PO Amount”) shall be clearly stated on the PO. Payment shall be paid only for Goods and/or Services that are specifically named in the PO and these Terms and Conditions. No additional costs for items, Services, overtime, holiday pay, premium pay and the like will be paid by the Authority without its prior express written consent. The TotalPO Amount shall not include any federal excise taxes or sales taxes imposed by any state or municipal government. Should the actual Goods and/or Services be less than the Total PO Amount, the Authority shall not be obligated to utilize or pay for any unused balance. Should the actual Goods and/or Services exceed the Total PO Amount, Supplier shall notify the Authority.
4. CHANGES: The Authority shall have the right at any time and in its sole and absolute discretion to direct Supplier by written notice to add to, reduce, suspend or otherwise change the scope of the PO (“Change”). In the event of a Change, the total PO Amount may be adjusted by the agreement of the Authority and Supplier.The Supplier shall have no right to suspend the performance of the PO following a Change by the Authority.
5. INVOICES: Supplier shall invoice the Authority by sending all invoices via email to [email protected]. Suppliers invoice shall contain all pertinent and necessary information required for the Authority to adequately review the Goods and/or Services for which the Supplier has submitted an invoice. Should the Supplier fail to timely invoice the Authority as required by these Terms and Conditions, the Supplier irrevocably waives any and all claims for payment resulting from or relating to any invoices which the Supplier failed to timely submit as required herein.
6. PACKAGING: Supplier shall pack, mark and ship all Goods in accordance with the requirements of the common carrier(s) so as to secure the lowest transportation costs. No shipping costs shall be billed/charged to the Authority unless otherwise stated in the PO. No costs shall be charged for packaging, boxing or storing unless authorized by the Authority in writing. Damage to any Goods received will result in rejection of the shipment. The Goods will not be returned unless Supplier assumes return shipment expenses. Packages must be marked plainly and with Suppliers name and Authority’s PO number. No charges shall be allowed for
boxing or crating unless Supplier reviews prior written approval from the Authority.
7. DELIVERY: Time is of the essence in this PO and if the Goods and/or Services are not made at such time and in such quantity as provided in this PO or in supplemental schedules furnished by the Authority, the Authority reserves the right, without liability and in addition to its other rights and remedies, to terminate this PO in whole or in part by notice effective when received by the Supplier, for stated Goods not yet delivered or Services not yet rendered and to purchase substitute Goods and/or Services elsewhere and to charge the Supplier with any loss incurred. Supplier agrees that the Authority may return all or part of any shipment so made, at the Suppliers risk and expense, and may charge the Supplier with any loss, expense or injury sustained as a result of such shipment.If at any time either party has reason to believe that delivery will not be made as scheduled in this PO, it shall immediately give written notice to the other and set forth the cause of the anticipated delay. Any Goods and/or Services in excess of quantity ordered may be returned by the Authority to the Supplier at Supplier’s risk and expense. Any Goods and/or Services to be rendered in installments under this PO shall not be construed as making the obligations of the Supplier severable.
8. WARRANTY: Supplier warrants to Authority this PO shall strictly conform to the specifications, drawings, samples, symbols or other descriptions specified by Authority; shall be free from any liens or encumbrances; shall be new (certified used substitutions are acceptable with written approval from the Supplier), merchantable, and free from defects in design, material and workmanship; that no conflict of interest exists between the Services and Products to be provided under this PO and Suppliers other activities. Supplier shall immediately advise Authority of any such conflict of interest or potential conflict of interest which arises during performance of this PO and all Goods and/or Services covered by this Order, which are in accordance with Suppliers design, drawings or specifications, shall be fit and suitable for the purpose intended. Supplier warrants that the Goods shall continue to be free from defects in design, material and workmanship for a period of twelve (12) months from the date of final acceptance, unless the Suppliers standard warranty is for a longer period or unless otherwise stated in the PO. In addition to any other remedies available to Authority, Authority may return any nonconforming Goods to Supplier for correction or replacement, with all transportation charges and Authority’s handling charges for return and redelivery to be borne by Supplier. If Supplier fails to accept return of nonconforming Goods or fails promptly to correct or replace same, at Authority’s election, Supplier, without limiting its other rights, may, at Suppliers expense, correct or replace the nonconforming Goods or procure the Goods from another subcontractor and charge the cost to Supplier. Products which have been rejected for warranty under this clause shall not thereafter be tendered for acceptance unless the former rejection and correction is identified, and such repaired or replacement Goods shall be subject to the provisions of this clause to the same extent as the original Goods and shall be from the delivery date of the repaired or replaced Goods. If the Products provided under this PO includes Services, then Supplier warrants and represents that the Services will be performed in a professional and workmanlike manner and will conform in all material respects to the statement of work or, to standard industry practice if there is no statement of work. This warranty will remain in effect for a period of ninety (90) days following completion of the Services. If Supplier breaches this warranty, Authority may demand Supplier to re-perform the non-conforming Services or, at Authority’s option to request a refund for the non-conforming Services. These warranties are in addition to all other warranties specified herein or implied by law and shall survive acceptance and payment. All warranties shall run to Authority, its successors, assigns, customers, and the users of the Goods.
9. TITLE AND RISK OF LOSS: Supplier warrants that it has the right to sell the Goods and the ability to deliver good title to all

Goods and/or Services. Title to the Goods shall pass to the Authority upon Authority’s final acceptance of the Goods or Service. In addition to its other insurance obligations, Supplier shall insure the full value of the Goods while in transit and in storage prior to acceptance of the Goods by the Authority. Supplier shall promptly execute and provide the Authority with any and all documentation necessary to transfer title to the Goods or evidence of the Authority’s title thereto.
10. INDEMNIFICATION: Supplier will indemnify and hold harmless Authority for all damages to the property of Authority caused by an act or omission by its agents, servants, employees or independent contractors, and shall pay on behalf of Authority all sums that Authority shall become obligated to pay by reason of the liability, if any, imposed by law upon Authority for damages because of bodily injury, including damages for care and loss of service, and including death at any time resulting from bodily injury, and because of injury to or destruction of property, including loss of use thereof, which may be caused by or result from any of the activities, omissions or operations of its agents, servants, employees or contractors.
11. INSURANCE: Supplier shall, as a cost included in the Total PO Amount and without any additional cost or reimbursement from the Authority, take out, carry and furnish to the Authority a Certificate of Insurance with the following insurance coverage’s: 1. Comprehensive General Liability Insurance, including
but not limited to, Personal and Advertising Injury, Products/Completed Operations, Contractual Liability broad form Property Damage Liability: Per Occurrence Limit shall not be less than Two Million Dollars ($2,000,000) or Five Million Dollars ($5,000,000) if the PO requires access to the Airfield.
2. Automobile Liability Insurance, Bodily Injury, and Property Damage (per accident): Combined Single Limit shall not be less than Two Million Dollars ($2,000,000) or Five Million Dollars if the PO requires access to the Airfield.
3. Workers Compensation Insurance complying with the State of South Carolina.
All insurance policies must name the “Charleston County Aviation Authority, its officials, servants, agents, and employees” as additional insured’s with respect to general and automobile liability coverage’s, and shall not be canceled, terminated or materially changed without at least thirty (30) days prior written notice from the Supplier to the Authority. Certificates evidencing such insurance must be submitted by the Supplier to the Authority prior to the Supplier providing any Goods and/or Services, and at least fifteen (15) days prior to the expiration dates of expiring policies. The Authority reserves the right to request complete copies of any insurance policies required by these Terms and Conditions if deemed necessary to ascertain the details of coverage not provided by the Certificates.
12. TERMINATION FOR DEFAULT: When the Supplier has not performed or has unsatisfactorily performed the obligations required by these Terms and Conditions, payment shall be withheld in the sole and absolute discretion of the Authority.Failure on the part of the Supplier to fulfill the PO obligations shall be considered just cause for termination of the PO and the Supplier shall only be entitled to recover any undisputed costs incurred by the Supplier up to the date of termination, and Supplier waives any and all claims for costs resulting from termination (including but not limited to consequential damages, lost profits, demobilization costs, termination costs, etc…).
13. TERMINATION FOR CONVENIENCE: At any time, the Authority may terminate PO, in whole or in part, without showing cause upon written notice to the Supplier specifying the extent and the effective date of the termination. In connection with such
termination, the Authority shall pay Supplier, as Suppliers sole and exclusive remedy, a termination payment comprised of any amounts due for the Goods received or Services performed prior to the termination date and Suppliers reasonable and necessary direct costs resulting from the termination which are substantiated by evidence satisfactory to the Authority (and determined in the sole and absolute discretion of the Authority). In no event shall the Supplier be entitled to any payment or profit for any Goods received or Services performed not accepted by the Authority, nor shall the supplier be entitled to any consequential damages of any type arising from the termination.
14. FORCE MAJEURE: Neither party shall be liable for delays in delivery caused by circumstances beyond its reasonable control and without its fault or negligence, including strikes, lockouts, riots, epidemics, war, fire, flood, explosion, acts of God, or acts of terrorism. In no event shall shipping delays, product shortages, or lack of finances or cash flow shortages be considered as a cause beyond the control of a party. The party affected by the Force Majeure shall give prompt written notice thereof and, upon end of the Force Majeure, take all reasonable steps to resume compliance with its obligations. Notwithstanding the above, if such delays extend Suppliers delivery or performance date by more than thirty (30) days, Authority may terminate such part of the PO remaining to be performed. In the event of such termination, the rights and obligations of the parties shall be determined in accordance with the provisions of section 13 above.
15. INTELLECTUAL PROPERTY: Supplier agrees to (a) defend, hold harmless and indemnify Authority’s, affiliates, agents and customers, against claims of direct or contributory infringement or inducement to infringe any third party’s intellectual property, including, without limitation, any patent, trademark, copyright, industrial design right or misuse or misappropriation of trade secret resulting directly or indirectly from Supplier’s actions; (b) to waive any claim against Authority under the Uniform Commercial Code (UCC) or otherwise, including any hold harmless or similar claim, in any way related to a claim asserted against Supplier or Authority for patent, trademark, copyright or mask work right infringement of the like, including claims arising out of compliance with specifications furnished by Authority; (c) to grant Authority a worldwide, nonexclusive, royalty-free, irrevocable license to repair and have repaired, to reconstruct and have reconstructed the Goods ordered hereunder; and (d) assign to Authority all right, title and interest in and to all trademarks, copyrights and makes work rights in any material created for Authority under this PO.
16. GOVERNING LAW: This PO and any and all extensions and/or modifications thereof shall be governed by construed and enforced in accordance with the laws of South Carolina and all proceedings with respect to this PO shall be commenced in the Charleston County Court of Common Pleas Ninth Judicial Circuit of South Carolina. Additionally, this PO is agreed by the Supplier to be made and performed in the State of South Carolina. In any legal proceedings, the Authority is entitled to recover reasonable attorney’s fees from the supplier. If any provision or portion of any provision shall be deemed unenforceable or invalid for any reason whatsoever, this PO shall be deemed amended to excludeany such provision or portion and the balance of this PO shall remain in full force and effect.
17. ENTIRE AGREEMENT: This Purchase Order, together with allattachments hereto, constitutes the entire agreement between the parties in respect to its subject matter and supersedes all prior and contemporaneous agreements between the parties in connection with the same subject matter.
