A RESOLUTION authorizing City Mayor Arlene 8. Arcillas to sign the MEMORANDUM OF AGREEMENT with TOYOTA AUTOPARTS PHILIPPINES, INC, ROTARY CLUB OF SANTA ROSA and CITY GOVERNMENT OF SANTA ROSA, LAGUNA for the Project - TOYOTA MOBILE TRAFFIC SAFETY PARK.

MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This MEMORANDUM OF AGREEMENT is made and entered into this 14th day . of July 2011, in the City of Santa Rosa, Laguna, Philippines by and between:

TOYOTA AUTOPARTS PHILIPPINES INC., a corporation duly organized and existing under and by virtue of the laws of the Philippines, with address at Toyota· Sta. Rosa (Laguna) Complex Special _Export Processing Zone, Barangay Pulong Sta. Cruz, Sta. Rosa City, Laguna, represented by its President, MR HIROSHI TAKEUCHI hereinafter referred to as "TAP";

and

ROTARY CLUB OF SANTA ROSA, an internationally affiliated socio-civic organization dedicated to the promotion and improvement of the local community, registered under and by virtue of the laws of the Republic of the Philippines, with princip.al address at City of Santa Rosa, Laguna represented by its President, MR. RONNEL ANDAYA, hereinafter referred to as "ROTARY"· .

CITY GOVERNMENT OF SANTA ROSA, LAGUNA, a local government unit, existing under and by virtue of the laws of the Philippines, represented herein by its City Mayor, HONORABLE ARLENE B. ARCILLA$, hereinafter referred to as "CITY GOVERNMENT";

WITNESSETH THAT:

WHEREAS; TAP is currently engaged in various Corporate Social Responsibility Programs (CSR) in the City of Sta. Rosa and as part of its commitment to this noble task has spearheaded the setting up of a "TOYOTA MOBILE TRAFFIC SAFETY PARK" (Mobile Park);

WHEREAS, TAP, through _this Mobile Park, aims to strengthen the children's awareness on traffic rules and regulations at an early stage through hands on experience;

WHEREAS, TAP, through this Mobile Park, aims to promote road safety as a way of life for the young generations as future responsible road users;

WHEREAS, TAP and ROTARY has formally agreed that they will closely implement and monitor the activities of this project;

WHEREAS, the CITY GOVERNMENT is willing to support this noble endeavor of TAP and ROTARY, having been a witness to the growing concerns of Traffic Safety in the City;

~ ·-NOW, THEREFORE, the parties hereto have agreed t~ the following terms. and .

conditions:

SECTION 1. TERM

1. Term of this agreement is for a period of one year beginning July 2011 up to

June 2013, extendable by mutual agreements of the parties. 'Shoµld the parties fail

to renew this· MOA in writing on or before its expiry date, it is understood that this

MOA shall be deemed terminated without need of any act or declaration on the

part of either party.

SECTION 2. OBLIGATIONS OF CITY GOVERNMENT

1. The City government ensure the cooperation and support of various stakeholders

and partner agencies in this Project, specifically the Department of Education

Division of Sta. Rosa, ·City Traffic Management and Enforcement Office

(CTMEO), the Liga ng mga Barangay and the Boy Scout of the Philippines-Sta.

Rosa City Council.

2. The City Government will provide six (6) employees who will work during the

operational hours of the mobile park (10:00 a.m. to 7:00 p.m.) that will manage and control the same. The said employees shall have the .following responsibilities

and duties, to wit:

a. Maintenance of the facilities, go carts and accessories-;

b. Orient, instruct, assist and ensure the safety of the individuals who

will use the go carts as well as the guest/visitors inside the mobile

park;

c. Control simulated traffic lights and signals;

d. Maintain cleanliness and hygiene of the Safety Mobile Park; and,

e. To do all acts necessary ;md needed for the accomplishment of the

above duties and responsibilities.

SECTION 3. OBLIGATIONS OF TAP

I. TAP, through TMAP, Singapore, will provide financial assistance to ROTARY

that will be used for the implementation of the activities indicated in the project

2. Ensure that the schedules of road safety events and exhibits to the selected

schools and venues are regularly monitored and documented

3. Accepts traffic safety improvement plan submitted by memb_ers of the community for approval of TAP Philippines Inc. and City Government of Sta.

Rosa.

SECTION 4. OBLIGATIONS OF ROTARY

1. To receive and manage funds provided by TAP for the sole purpose of the Mobile Traffic Safety programs and objectives.

2. Acts as co-Project Implementor of this project, · ensuring its sustainability and regular m·onitoring of activities.

3. Directly involve in the coordination of activities, logis~ic support, documentation apd recommendation for the improvement of the project.

4 . Inform and confirm with TAP all planned activities prior to implementation.
