FANSHOES, Inc. is a footwear and apparel company based out of Rochester, NY. Gabriel Ankamafio-Adjei, 30, (Ghanaian native) founded FANSHOES with Nicholas Rovisa, 23 (Rochester, NY native) and Britton Nemecek, 23 (Syracuse, NY native). FANSHOES utilizes officially-licensed logo’s, mascots, emblems and colors of organizations such as high schools, colleges, universities, pro-sports teams and country teams to design and create our unique, comfortable, and casual lines of footwear. We aspire to be the industry standard in spirited footwear.

Gabriel Ankamafio-Adjei, moved to the U.S for college in 2001 after sojourning as a soccer player in the Danish division two league. As a fan of the beautiful game, his vision and goals align with the outlook from his two other partners which helped moved this company towards the direction of making products for the U.S collegiate market.

FANSHOES Inc. is a minority owned business in the state of New York with 6 employees and looking to add more talent to its team as early as 2010. The response since FANSHOES products have launched in the summer of 2009 has been great from all ages due to the comfort of the product and the complimentary nature of it to what the collegiate market presently offers in fan products.

Today, we hold seven collegiate licenses and are seeking FIFA official licensing for our World Cup line of FANSHOES.



How we started

We have had the good luck of developing a solid and mutually beneficial partnership with our manufacturing facilities overseas. Our manufacturing company, which is based in Thailand, has a positive reputation for quality work and fair practices, and produces name-brand footwear lines. There are four facilities and each provide us with the capability to produce 2,000+ pairs of FANSHOES an hour, for a total of 8,000+ pairs an hour.

We have also recently lined up three more production facilities which will bring the grand total to seven. In the coming weeks, we should be able to provide 14,000+ pairs of FANSHOES an hour, depending on demand.

We are a member of the Fair Labor Association and are working closely with them to ensure that our production facility

remains socially responsible. We aim to eliminate the stigma that comes with producing in Asian countries, and our facility managers share the same vision. When you carry FANSHOES, you can rest assured that each pair will be of the utmost quality and be fairly made.

We have attached a copy of our Fair Labor Association registration certificate along with a copy of our Fair Labor Code of Conduct at the end of this document.



Manufacturing

We have a multi-faceted approach to selling via our channels with respect to the three colleges for which we have produced FANSHOES. Those channels are:

Myfanshoes.com Web-StoreOur web-store has been a successful selling tool because of social media. We utilize Facebook, Twitter, MySpace, LinkedIn, and other sites on a daily basis to help raise awareness of our brand. Although our web-store isn’t our top producer at the moment, we feel it is a valuable part of our selling strategy now and in the future.

Other Online RetailersWe just began carrying our collegiate FANSHOES on Shoebuy.com, the largest online shoe retailer, with a different idea in mind. Although we would like sales to

occur via this outlet, we feel that the website traffic that we receive from linking to such a huge site is more valuable. Considering it was free to carry our goods on this site, we feel it has and will continue to spread the FANSHOES brand name.

Brick-and-Mortar Retail StorefrontsBrick-and-mortar retail storefronts seem to be a growing outlet for us as our brand grows. The nice thing about these places is the ability to touch, feel, and try on the FANSHOES before purchasing. We are in the process of developing POS displays to accompany our products at these places.

Presently, we are two locally-owned shops in Tempe, Arizona and one in Starkville, Mississippi. We are seeking a larger,



Distribution

national retailer to carry our collegiate footwear line.Student Groups and OrganizationsStudent groups and organizations are the most important part of our collegiate plan. These groups helped us make the most sales of all our distribution channels by bringing us on campus for events such as tailgates and homecoming. We plan on utilizing these on-campus groups and organizations more fully with a new and redesigned student brand manager program.

So, as you can see, we have many different angles in play as far as our collegiate FANSHOES go, but we feel a different approach has to be taken with respect to the World CUP FANSHOES.

That being said, we do not currently have a definitive distribution channel for our World Cup FANSHOES, but we are actively seeking retail outlets to carry them. We are going to continue to sell through our web-store, but we are confident that brick-and-mortar retail shops around the world would be the best fit for this product. We are actively entertaining different distribution options at this time. Below is a list of the benefits a retailer can

FANSHOES is presently licensed with seven major U.S Colleges and Universities and we are adding ten more top colleges and universities for our Spring 2010 launch. FANSHOES has a multi-tiered concept with respect to our product lines.

I.We are working with major institutions in the U.S and around the world to create our unique footwear inspired by and adhering to the individual institutions outlook and image.

Aside from our World Cup line, FANSHOES will be launching its European soccer league line in the Summer of 2010 with potential teams in the Seria A, such as Roma, Sampdoria, Torino and others.

II.We are looking to work with major professional sporting leagues, such as EPL, SERIA A, La Ligue, NBA, MLB, NHL, NFL, UEFA Champions league, FIFA, World Olympics and other professional world sporting teams and events.

Other European professional team products will be developed and launched in 2011. FANSHOES is also targeting major world sporting event starting from the 2010 World cup and other upcoming ones. See charts below:

FANSHOES Fair Labor Code of Conduct

Forced Labor: There shall not be any use of forced labor, whether in the form of prison labor,

indentured labor, bonded labor or otherwise.

Child Labor: No person shall be employed at an age younger than 15 (or 14 where the law of

the country of manufacture* allows) or younger than the age for completing compulsory

education in the country of manufacture where such age is higher than 15.

Harassment or Abuse: Every employee shall be treated with respect and dignity. No employee

shall be subject to any physical, sexual, psychological or verbal harassment or abuse.

Nondiscrimination: No person shall be subject to any discrimination in employment, including

hiring, salary, benefits, advancement, discipline, termination or retirement, on the basis of

gender, race, religion, age, disability, sexual orientation, nationality, political opinion, or social or

ethnic origin.

Health and Safety: Employers shall provide a safe and healthy working environment to prevent

accidents and injury to health arising out of, linked with, or occurring in the course of work or as

a result of the operation of employer facilities.

Freedom of Association and Collective Bargaining: Employers shall recognize and respect the

right of employees to freedom of association and collective bargaining.

Wages and Benefits: Employers recognize that wages are essential to meeting employees’ basic

needs. Employers shall pay employees, as a floor, at least the minimum wage required by local

law or the prevailing industry wage, whichever is higher, and shall provide legally mandated

benefits.

Hours of Work: Except in extraordinary business circumstances, employees shall (i) not be

required to work more than the lesser of (a) 48 hours per week and 12 hours overtime or (b) the

limits on regular and overtime hours allowed by the law of the country of manufacture or, where

the laws of such country do not limit the hours of work, the regular work week in such country

plus 12 hours overtime and (ii) be entitled to at least one day off in every seven day period.

Overtime Compensation: In addition to their compensation for regular hours of work,

employees shall be compensated for overtime hours at such premium rate as is legally required

in the country of manufacture or, in those countries where such laws do not exist, at a rate at least

equal to their regular hourly compensation rate.
