Vivendi to sell stake in utility division

Donaldson purchases compressed air purifier

Donaldson Co Inc has signed a definitive agreement to acquire 100% of the shares of compressed air purification expert Ultrafilter International AG for E72 million (US$69.8 million).

According to Bill Van Dyke, Donaldson's chairman, president and chief executive officer (CEO), Utrafilter is a strategic fit for Donaldson for three main reasons: it expands Donaldson's presence in industrial markets, it is focused on replacement parts and the majority of its revenue comes from outside the USA. He went on to say that in one transaction Donaldson has reduced its relative dependence on mobile diesel engines, new capital equipment and the US economy, and has created a more balanced portfolio. Both organizations are expected to enhance each other's respective expansions in the USA, Asian and European markets. The transaction is not expected to contribute to 2003 earnings, but will be accretive thereafter.

Ultrafilter, which is headquatered in Haan, Germany, has posted an average revenue growth of 14% over the last five years, which is above the level of industrial manu- facturing. The transaction is said to be the culmination of seven years of discussions with Donaldson.

Activated carbon deal to meet NY city's potable water needs

In a contract worth US$2 million, Calgon Carbon Corp will supply carbon adsorption systems to help restore groundwater in the borough of Queens, New York City, USA, to drinking water quality.

The equipment will be installed at nine well sites across Queens, which have been shut down for several years because of the presence of contaminants such as methyl tertiary butyl ether (MTBE) and pesticides. When fully operational, it is estimated that the wells will provide an additional 1900-11 000 litres of drinking water per minute.

The well water will be treated with Calgou Carbon's modular adsorption systems, which contain a special grade of granular activated carbon. At selected wells, the company's Filtrasorb ® 600 activated carbon will be used because of its enhanced MTBE removal capability.

Membrane technology merger German based inge AG has and leading membrane researcher S.Search BV have agreed to merge through a stock swap transaction.

Both companies have agreed on the long-term and strategic allocation of operational tasks, as well as the corresponding internal structures. According to Michael Hank, CEO of inge, the common goal is to provide the drinking, process and wastewater market with innovative membrane technologies. S.Search will concentrate on the development of new membranes and membrane materials, while inge will focus primarily on industrial membrane applications. Dr ir. Dirk M Koenhen, managing director of S.Search, will assume responsibility for the entire research and development department, but will work in close cooperation with inge's chief technology officer, Peter Berg.

In a second announcement, inge has acquired two strategic partners. RWE Venture Capital Fonds GmbH, part of RWE AG and the Taprogge Group have both invested in inge as minority shareholders.

French ultility Suez has incorporated of all its water activities and waste servicesinto a single Environmental division.

According to the company, the organization of the Environment division will be wholly customer-focused, and comprises two subdivisions: Municipal & Local and Industrial. The Municipal & Local subdivision is based in Paris, France, and corresponds to the traditional activities of Ondeo and SITA. It currently has a customer base of 120 million people for water services, 74 million for waste services and hundreds of thousands of commercial and local industries. It will focus on Europe, as well as the major markets abroad - a rapidly growing territory consisting of North America, Central Europe, Southeast Asia, Latin America and Africa-Middle East. The Industrial business is based in Napperville, Chicago, USA, and comprises primarily of the activities of Nalco, OIS and Teris LLC.

The Environment division will be headed by Jacques P~try, chairman and CEO of Ondeo and senior executive vice president of Suez. JSr6me Tolot, chairman and CEO of SITA and executive vice president of Suez, will be in charge of Municipal & Local customers, while Christian Maurin, chairman and CEO of Ondeo Nalco, will be responsible for Industrial customers. In addition, China is becoming a particularly important market for Suez, so a specific department dedicated to this country is to be created at the Environment division, and headed by Yves- Thibault de Silguy, senior executive vice president of Suez.

The Environmental division is expected to have an annual turnover of ~15 billion (US$14.6 billion) and employ 120 000 people.

According to inge, its membrane and modules offer OEMs involved in the drinking and process water and wastewater treatment business the opportunity to make significant savings (up to 30%) in operational and investment costs, compared to conventional UF technology.

Bekaert enhances RO capabilities

A s part of its ongoing growth strategy the Bekaert Group recently acquired 80% of the shares of Progressive Composite Technologies (PCT), a

manufacturer of reverse osmosis (RO) vessels. According to Bekaert, the PCT acquisition fits perfectly

with the growth plan of Bekaert's Advanced Materials division. It is currently targeting markets with high growth potential through international expansion in selected seg- ments and geographical regions based on its technological expertise. Markets of interest include renewable energy and energy management, pure air and pure water, which are all critically important global issues that contribute to a sustainable development of the world.

The remaining 20% of the shares will be held by PCT's management. PCT, which is located in California, USA, was established in 2000. In its first year of operation it reported a turnover of $2.7 million. Serving the desalination and water purification markets PCT's RO vessels are made using filament winding technology.

Bekaert, through Bekaert Composites SA in Spain, is currently a leading manufacturer of RO vessels in Europe. Through the acquisition of PCT, it becomes a major ~vorld player. The combined net RO sales of PCT and Bekaert Composites are ~g8.9 million ($8.6 million), and are expected to grow by over 10% per year.

Today's global market for RO vessels is worth approxi- mately ~g60 million (US$58 million), with an expected annual growth of 8-13%, depending upon the region. The main markets at the moment are Europe and the USA, followed by the Middle East and the Far East.

Julien De Wilde has been appointed as the new CEO of Bekaert. De Wilde is the Honorary President of Agoria, a major Belgian employers' association. Another management appointment is Bert De Graeve, who has been made chief financial and administration officer, assuming responsibility for all of Bekaert's general services.

Freudenberg to modernize nonwovens facilities Over the next three years Freudenberg Vliesstoffe KG, a member of the Freudenberg Nonwovens Group, has announced it is to invest more than ~40 million (US$38.8 million) in the modernization and restructuring of its factories.

The company's decision is in response to the slowdown in the textile industry. It is hoped that the investment will allow the company to defend its market position and safeguard its existing production sites. It plans to make its production facilities state of the art, through the introduction of new machine lines. Half of these will be installed at its Weinheim facility, and includes the building of a new production line for various types of filter.

Freudenberg Nonwovens is the world's biggest manufacturer of nonwovens and the third largest German textile company, with production facilities in Germany (Weinheim, Kaiserslautern & Neuenburg), France (Colmar), UK (Greetland), Spain (Parets), Italy (Sant' Omero), USA (Durham, Lowell & Hopkinsville), South Africa (Cape Town), Argentina (Buenos Aires), Brazil (Jacarei), China (Suzhou), Taiwan (Yang Mei & Ta Yuan) and Korea (Seoul). Wir tz retires from nonwovens society

After six years as head of the non- wovens industry's leading trade association, INDA, Ted Wirtz has announced his retirement, effective at the end of the year.

Wirtz has been involved in the non- wovens industry for more than 30 years. He spent 22 years at non- wovens roll goods producer C H Dexter, leaving in 1986 as director of business planning of the Specialty Materials Group. After working with well-known nonwovens industry con- sultant John Start Inc. for four years, Wirtz took over the helm of INDA (Association of the Nonwoven Fabrics Industry) in December 1996. It is an international trade association with more than 260 members and annual revenue in excess of US$4 million.

INDA has retained an executive recruiting firm and its new president is expected to be in place by early 2003.

Gaining wastewater treatment expertise Water treatment company, H20 Innovation Inc of Canada, has bought the OxydH20 Canada Inc, Bioflo Inc and 3765415 Canada Inc businesses in a deal worth CAN$1.13 million (US$0.73 million).

H20 Innovation paid CAN$159 100 ($104 000) in cash and CAN$289 000 ($189 000) in common shares for the companies, which specialize in the design and manufacturing of wastewater treatment systems. As part of the deal, it will acquire technologies such as filtration media and equipment, and biological treatment processes using fixed film growths, e.g. a rotating biological reactor,

which uses a moving semi- immerged fixed film growth, and the textile bioreactor, Bio-Fosse, which uses a synthetic matrix as the biological support.

According to H20 Innovation, the transaction enhances its knowledge and expertise in the develop- ment and operation of systems for treating both wastewater and drinking water. The company expects to see an immediate increase in sales, and says OxydHz O/Bioflo ' s presence in North Africa, Latin America and the Philippines, as well as in Canada, will provide it with opportunities to develop new market

networks. The acquired companies form a new division within H20 Innovation called 'Used Water Treatment'. The OxydHzO management team of Jean-Jacques Demers and Lise Nantel remain in place.

H20 Innovation has won a $654 319 (US$428 683) contract from the Alger Sheraton Hotel in Algeria for the treatment of used water. Its recently created Used Water Treatment division will be in charge of supplying and installing new used water treatment equipment for the hotel's treatment plant, which serves 480 bedrooms, plus a

convention centre. H20 Innovation will be responsible for supplying the drawings and specifi- cations, labour and sub- contracting for the project. The company will also supervise the trans- portation and installation of the material, and the implementation and integration of the equip- ment designed at its Ham- Nord plant.

In brief E x p a n a i o n of air f i l te r faoil i ty In response to the growing demand for its air purification products, Dectron Internationale is expanding its premises in Quebec, Canada by 4600 m 2. The company has also consolidated the sales and marketing departments of its subsidiaries at the new site, which it says will maximize efficiencies and synergies. A significant portion of the new space will be used to expand and update the company's laboratory, which is used for tracking and ensuring full filtration efficiency during the life of its products.

Fi l ter p r o d u o t lines p u r o h a s e d Knowlton Nowovens, Inc of Utica, New York announced that it has bought the technical felt and filtration product lines of Troy Mills Inc, New Hampshire, USA. Under the purchase agreement, Knowlton Nonwovens will acquire most of Troy Mills production equipment and customer list. The equipment will eventually be moved to its Utica facility, and the Troy Mills brand, which dates back more than 150 years, will no longer exist.

Fi l ter a w a r d e d E u r o p e a n p a t e n t The European Patent Organization (EPOI has awarded patent rights to Osmonics Inc, USA, for its Selex absolute rated depth cartridge filter. Used primarily in the food and beverage processing industry, the Selex's 100% polypropylene construction ensure it can operate in temperatures up to 60 °C. The Selex manufacturing process controls the density and fibre size that are key to the filters high particle retention, large dirt holding capacity and long operating life.

Waterlink continues divestment programme

Water and air purification specialist, Waterlink Inc, continues its strategy to reduce its debts, by selling all the assets of its Pure Water division to ITT Industries Inc for an undisclosed sum.

The deal represents the fourth operating division to be sold by Waterlink since the introduction of its disposal programme back in May 2000, which is aimed at maximizing shareholder value. Last year the company divested its Separations, Biological Wastewater Treatment and European Water and Wastewater divisions (Filtration+Separation, November 2001, p.4). Bill Vogelhuber, Waterlink's president and CEO, says completing the latest transaction will further reduce the company's debts, and will enable it to focus on growing its Specialty Products businesses.

Waterlink's WET ®, C'Treat ® and WETEC ® water purification products, which are included in the sale, are reported to represent combined annual revenue of US$16 million. According to ITT Industries, the acquired products will complement its Fluid Technology division's existing lines of pumps, mixers, aeration equipment and wastewater process systems, and enable it to expand its presence in the water treatment sector.

Water Equipment Technologies, based in Florida, manufactures reverse osmosis (RO), deionization, microfiltration and nanofiltration technologies for domestic, industrial and municipal water filtration systems. Texas based C'Treat Offshore provides offshore seawater desalination systems that use RO membranes to generate potable water. The Pure Water division, which employs over 80 people, will become an operating unit of ITT's Sanitaire business.

Air Force use potable water technology

Sixteen NPS-A3 potable water systems from International Water-Guard Industries (IWG) Inc are to be installed on the Nimrod Long Range Patrol aircraft, operated by the UK Royal Air Force (RAF).

UK based AIM Aviation ordered the water treatment units for use in the remanufacture of the Nimrod fleet. The supply contract is expected to run until 2005. The units will form part of the aircraft's potable water system, providing clean water that is free from waterborne pathogens such as bacteria and viruses.

The NPS-A3 combines disinfection, filtration and monitoring equipment in a compact, lightweight package. Each unit delivers approximately 4 litres of clean water per minute, measures approximately 33 x 22 x 10 cm, and weighs 2.5 kg.

Large cale filtration contract Canadian company Pacific Liaicon and Associates Inc, a subsidiary of SNC Lavalin Inc, has won a contract worth CANS4 million (US$2.6 million) for work on large greenfield filtration plant in Canada.

The contract, awarded by the Greater Vancouver Regional District, involves the construction of a 2000 megalitre/day filtration plant, an 18 000 horse power, high lift pump station and twin 7.5 km water conveyance tunnels for the treatment of water from the Capilano and Seymour reservoirs in North Vancouver, British Columbia. Construction is scheduled to begin in 2004, with completion by 2007.

UK energy-saving initiative The UK government has launched an initiative that is aimed at helping businesses within the engineering industry to cut their energy costs.

Through the initiative, called 'Action Energy', organizations ranging from multinationals to small businesses ,vill be able to receive free and impartial advice on how to save money by reducing their energy use (helpline: 0800 58 57 94; www.actionenergy.org.ufe).

In addition, small and medium-sized businesses in England and Wales, which require capital to become more energy efficient can apply for interest-free loans (from £5000 up to £50 000).

Effective multi-layer material screening

F iltration and separation specialist Russell Finex Ltd, UK, has introduced a range of vibratory separators that can efficiently separate material into a

maximum of five predetermined fractions in a single operation.

The Finex Separator can be used for both wet and dry applications and uses up to four screen surfaces stacked one on top of the other. According to the company, the design of the separator makes it possible to achieve a consistent material flow over all four decks, providing accurate separation in every layer. Rubber suspension mounts make operation quieter than a separator mounted on springs, plus rubber feet further reduce noise to a level significantly lower than separators with metal plates directly in contact with the floor.

The vibrator assembly translates torque, produced by a standard, off the shelf motor, into the out of balance forces required to run the machine. Translation of power from the housing onto the screening area is said to be more effective than other separator systems, resulting in an increased screening capacity. The vibrator housing has been specifically designed around a high-mass, machined casting to enhance operational effectiveness, and an adjustable weighting system creates a rigorous action to raise the screening and separation efficiency.

By using a standard motor rather than a more expensive vibratory model the company says, when necessary, the motor can be replaced quickly, easily and at minimal cost. Furthermore, the modular design of the Finex Separator means it fits easily into any production line. Conventional mechanical screen cleaning devices, as well as its Vibrasonic mesh deblinding system can be fitted on the separator.

Performance trials have shown that the Finex Separator achieves at least twice the capacity of standard separator designs, with most material types.

filtration UK based SMC Pneumatic Ltd's latest industrial pro- cess filtration system incor- porates a unique mainten- ance-free filter system that promises to reduce costs in terms of disposal, oil usage, machine downtime and replacement elements.

Unlike other systems that require regular, time consuming filter element changes, SMC says that once the FN1 has been fitted, it needs no further attention.

Designed for industrial processes such as removing particulates from coolants, cleaning solvents, etc, the system traps the solid contaminants in a dynamic filter element, as the liquid flows through it. The

element is compressed into a spring-like shape when in operation.

To clean the element, it is decompressed and back- flushed, purging contami- nants into a secondary accumulator.

The element is available in ratings of 5 ~tm or 20 p.m and made of stainless steel to protect it against corrosion. Depending on the type of fluid to be filtered the FN1 can be fitted with either NBR or FPM seals.

Plastic basket strainer protects downstream process

An all-plastic basket strainer from Hayward Industrial Products Inc, USA, now offers a non-corroding alternative to metal basket strainers operating in harsh environments.

The basket is designed to help operators of piping systems moving corrosive liquids to protect down- stream equipment such as pumps, meters, valves, etc from being damaged by unwanted particulates. The baskets are available in three materials: PVC, CPVC and PPL, with no metal to corrode or leach out into the fluid flow. The plastic baskets are also said to be lower in cost than both metal alloy strainers and plastic lined metal strainers.

To increase application flexibility, the strainer can be fitted with a threaded, socket weld or flanged end connection. Units suitable for a range of pipelines sizes are available, and each incorporates a quick spin- off cover for fast and easy strainer basket cleaning. Baskets can be specified with perforations ranging from 0.8-4.8 mm and are rated for pressures up to 10 bar at 21 °C.

Portable air sampling device German separation specialist Sartorius AG, has launched a portable air sampling unit which uses disposable gelatin filters for measuring the levels of airborne microorganisms and viruses in cleanroom environments.

The AirPort MD8 sampler is designed to detect airborne micro- organisms in the pharma- ceutical, biotechnology and food & beverage industries. According to the company, the unit's disposable gelatin filters ensure that measure- ments are both reliable and accurate. In addition to its high retention rating for microbes, Sartorius says the filter's residual moisture stops any retained microorganisms from dehydrating. As the filters

are soluble, they can be combined with quick test systems after samples have been taken, or used for virus sampling or measur- ing relatively high microbe concentrations.

Calibration takes place on-site and a choice of air flow rate settings is offered in three steps. Sample volumes can be set as required at levels ranging from 10-2000 litres.

The unit weighs 2.5 kg, and is battery operated so that it can be transported and used anywhere. A built-in indicator clearly displays how much charge is left in the battery during use to ensure a consistent level of performance.

The AirPort MD8 sampler is designed to be user-friendly and easy to

clean. Text can be displayed in five different languages The unit is supplied complete with interchangable plugs for the battery recharger, which means it can be used anywhere in the world.

Finally, the Airport MD8 operates virtual noise-free when in operation.
