    ARTICLEI. INTRODUCTION

    I.1. Overview

    I.1.1. Capitalizedtermsinthisdocument,whicharenotdefinedexplicitlyherein,aredefinedinthePECO

    Energy Company - Pennsylvania Default Service Supplier Master Agreement (“Uniform SMA” or

    “SMA”).TheUniformSMA isattachedasAppendix1tothisdocument.

    I.1.2. Aspartofitsfourth DefaultServicePlan(“DSPIV”),PECOEnergyCompany(“Company” or“PECO”)

    isproposingacompetitivebiddingprocesstoobtainfullrequirementssupplyfortheCompanyto

    meet a portion of its obligations as Default Service Provider pursuant to Chapter 28 of the

    PennsylvaniaPublicUtilityCode,66Pa. C. S.§§2801-2812. Thiscompetitivebiddingprocess is

    consistentwithChapter28,withP.L.1592No.129(“Act129”),withthePennsylvaniaPublicUtility

    Commission’s(“Commission” or“PaPUC”)DefaultServiceregulationsinitsFinalRulemakingOrder

    inDocketNo.L-2009-2095604,andtheCommission’sFinalPolicyStatementonDefaultServicein

    DocketNo.M-2009-2140580.

    I.1.3. PECO currently provides electric generation service to all customerswithin its service territory

    who do not select an electric generation supplier (“EGS”). Such customers are “Default Service

    customers” or “DS Customers”. The competitive bidding processwould procure supply for the

    periodbeginningJune1,2017whenPECO’sthirdDefaultServicePlan(“DSPIII”)expires.

    I.1.4. The competitive bidding process will be conducted through a series of Requests for Proposals

    (“RFPs”) issued twiceyearly. TheRFPconsistsofa totalof thirteen (13)documents. Thismain

    documentiscalledthe“RFPRules” anditdescribeshowtheRFPwillbeconducted.Thefollowing

    documentsareappendedto,andshallbeconsideredanintegralpartof,theRFPRules:

    I.1.6. FortheRES andSCClasses,theCompanywillsolicitbidsfortheprocurementoffullrequirements

    serviceonafixed-pricebasis.FortheCCIClass,theCompanywillsolicitbidsfortheprocurement

    of full requirements servicewith energy priced to the PJM day-ahead spotmarket. The Default

    Service supply (“Default Supply” or “DS Supply”) for a Class is the full requirements electricity

    supply based on the load of the retail customers in that Class measured and recorded by the

    CompanyandsettledbyPJM. TheloadoftheDefaultServicecustomersinaClass isthe“Default

    Load” or “DS Load” of that Class. A supplier selected through the competitive bidding process

    under DSP IV to provide Default Supply for a particular Class and approved by the Commission

    becomesa“DefaultSupplier” or“DSSupplier”forthatClass.

    I.1.7. ADefaultServicecustomermaychoosetobeginreceivingservicefromanEGSonthecustomer’s

    meter reading date in accordance with the Company’s standard switching requirements as

    described in the Company’s Electric Generation Supplier Coordination Tariff including, without

    limitation, prior advance notice to the Company. A customer served by an EGS may return to

    DefaultServiceonthecustomer’smeterreadingdate inaccordancewiththeCompany’sstandard

    switching requirementsasdescribed in theCompany’sElectricGenerationSupplierCoordination

    Tariffincluding,withoutlimitation,prioradvancenoticetotheCompany.

    I.1.8. There are eight (8) “solicitations” or “DS Solicitations” under DSP IV that will select electricity

    suppliers toprovideDefault Supply for theperiod June1, 2017 throughMay31, 2021 and for a

    portionoftheCompany’srequirementsforthe RESClassandSCClassforthe periodbeyondJune1,

    2021. Each solicitationwill be identified by themonth and year in which the Bid Date occurs.

    SolicitationswillbeheldinMarchandSeptemberofeachyear,startingwithasolicitationinMarch

    2017 and endingwith a solicitation in September 2020. A typical schedule for a solicitation is

    provided in Paragraph II.2.1. The Independent Evaluator and the Company may advise the

    Commission to postpone or modify the schedule of a solicitation when market conditions are

    impactedbyextraordinaryevents,suchastheadventofwar,terrorism,oranactofGod.

    I.1.9. Foreachsolicitation,theseRFPRuleswillbeupdatedtoincludethedatesforthatsolicitationand

    torefertotheparticularproductstobeprocuredinthatsolicitation.TheRFPRulesmaybefurther

    updatedtoreflectadditionaldecisionsbytheCommission,relevantchangesinlaw,ornon-material

    modifications to the processing of Proposals expected to improve potential participation by

    suppliers. Additionally, theRFPRulesmaychangeasa resultof issues raised in the stakeholder

    collaborativePECOwillholdinJanuary2018and,ifnecessary,inthefollow-upcollaborativetobe

    heldinFebruary 2018.Further,theIndependentEvaluatorandtheCompanymayamendtheRFP

    Rulesifnecessarytocorrecttypographicalerrors,cureinconsistenciesintheprovisionsofthisRFP,

    orclarifytheintentoftheprovisionsofthisRFP.

    I.1.10. The rates of Default Service customers for a Class are determined on the basis of the prices

    determinedthroughthisRFPforthatClass,exceptforapproximately1% oftheDefaultLoadofthe

    RESClass, forwhichPECO assumes responsibility. PECOacquires thenecessary supply through

    PJM-administeredmarketsandobtainingsufficientAlternative EnergyCredits(“AECs”)atmarket

    prices to satisfyanynear-termobligationsunder theAEPSAct.Asprovided in theCommission’s

    directivedatedOctober12,2010(DocketNo.M-2009-2082042),PECOprovidesaDefaultService

    ratecalculationmodelthattranslatesthepricesdeterminedthroughthisRFPintoDefaultService

    rates.ThiscalculationmodelispostedtothePECOwebsite:

    https://www.peco.com/CustomerService/RatesandPricing/EnergyChoice/Pages/PricetoCompare.aspx

    I.2. ProductsandBids

    I.2.1. Default Load for each Class is divided into tranches. A tranche for a Class represents a fixed

    percentageoftheDefaultLoadforthatClass. ADefaultSupplierservingatrancheina particular

    ClassprovidesfullrequirementsserviceforthepercentageofthatClass’ DefaultLoadrepresented

    bythatone(1)trancheforaspecifiedperiod.

    I.2.2. ThetotalnumberoftranchesofDefaultLoadisbasedonthatClass’ annualPeakLoadContribution

    (“PLC”)onthePECOsysteminaccordancewithPJM.TheMW-Measureiscalculatedastheannual

    PLC for the Default Load of the Class divided by the total number of tranches. This figure is

    calculatedforreferencepurposesonly.

    I.2.3. EachClasshas“LoadCaps”,whichare limitsonthenumberof tranchesofDefaultSupplythatan

    RFPBiddercanbidandserveforthatClass.TheLoadCapsensurethattherewillbeadiversified

    poolofDefaultSuppliersforeachClass.TheLoadCapsforaClassaresetsothattheDefaultService

    customersofthatClasshavenomorethana50%exposuretoanyoneDefaultSupplieratanygiven

    time.IftwoormoreDefaultSuppliersareaffiliated,theLoadCapswillapplyjointlytosuchgroup

    ofDefaultSuppliers.

    I.2.5. ThetotalnumberoftranchesandthetranchesizefortheSCandCCI Classesaresubjecttochange.

    TheIndependentEvaluatorandPECOmayrevisethetotalnumberoftranchesforaClassifdoingso

    isexpectedtoincreasesupplierinterest. TheIndependentEvaluatorinformsCommissionStaffof

    such a revision and announces the revision to suppliers in advanceof supplierspresenting their

    qualifications.

    I.2.6. TheactualDefaultLoadfortheRES,SC,orCCIClass willdependuponmanyfactorsincluding,but

    notlimitedto,customermigrationtoEGSsandweatherconditions. Themaximumpeakloadofa

    ClassmaybehigherorlowerthanthePLCutilizedtodeterminetheMW-Measureoftranchesfor

    that Class.EachparticipantisresponsibleforevaluatingtheuncertaintiesassociatedwithDefault

    ServiceLoadforaparticularClassandsupplyperiod.

    I.2.7. A product for purposes of this RFP is defined by three characteristics: a) the Class to which it

    contributesDefaultSupply;b)thelengthofthesupplyperiod;andc)thedateatwhichthesupply

    periodbegins.Forexample,theRES-12-Jun17productrepresentsDefaultSupplyfortheRESClass

    for the supply period from June 1, 2017 through May 31, 2018. A product name may be

    abbreviatedwhenthecontextisclear;forexample,RES-12referstoallproductsfortheResidential

    Classthat aretwelve(12)monthsinduration,regardlessofthestartdateofthesupplyperiod.

    I.2.8. AProposalisaresponsetothisRFPforasolicitationpursuanttotheseRFPRules.Anentitythat

    submitsanypartofaresponsetothisRFPforasolicitationis an“RFPBidder”.ABidforatranche

    for anyproduct is a price indollarsperMWh rounded to the nearest cent. AnRFPBiddermay

    submitdifferentBidsfordifferenttranchesofagivenproduct.

    I.2.13. ThecontingencyplanintheeventthatPECOisunabletoobtainDefaultSupplyforall tranchesofa

    productinasolicitationisasfollows.Iftheproductismorethansix(6)monthsinduration,PECO

    willassumeresponsibilityfortheunfilledtranchesasaPJMLSE forthefirstsix(6)monthsofthe

    supply period, acquiring the necessary supply through PJM-administeredmarkets and obtaining

    sufficient AECs at market prices to satisfy any near-term obligations under the AEPS Act. The

    unfilled tranches, with a supply period that starts six (6)months later than tranches that were

    unfilled,willbeplacedforre-bid inthenextsolicitation. Forproductsthataresix(6)monthsor

    shorter, PECOwill assume responsibility for theunfilled tranches as an LSEandwill acquire the

    necessarysupplythroughPJM-administeredmarketsfortheentiresupplyperiod. PECOreserves

    therighttofileanalternateplanwiththeCommission.

    I.2.14. AnyprospectivesupplierthatmeetsthequalificationstandardsestablishedintheseRFPRules and

    thatiswillingtoprovidepricesatwhichtoservetranchesofDefaultServiceLoadcanrespondto

    thisRFP,includingany PECOaffiliates.

    I.3. Process

    Bidder’s Bids must be received between 10 AM and 12 PM (noon) on the “Bid Date” or “Bid

    ProposalDueDate”.

    I.3.5. OnthefirstbusinessdayaftertheBidDate,theIndependentEvaluatorpresentstotheCommission

    theresultsofthesolicitationinaconfidentialreport.TheCommission hasone(1)businessdayto

    considerthereportoftheIndependentEvaluatorandtoapproveorrejecteachofthewinningBids.

    I.3.6. PECO and each RFP Bidder with Bids that are approved by the Commission proceed to the

    I.3.7. Within fifteen (15) days of the close of the solicitation, the Independent Evaluator releases the

    weightedaveragepriceforeach productprocured aswellasthepercentageofloadrepresentedby

    eachtranche.

    I.4. Supplier’s Obligations

    I.4.1. AsupplierselectedthroughthisRFPtoprovideDefaultSupplyforaparticularClassandapproved

    by the Commission becomes a “Default Supplier” for that Class. A Default Supplier may be

    providingDefaultSupplyforoneormoreoftheRES,SC,andCCI Classes.

    I.4.2. ThisSectiondescribesingeneraltermsseveralprovisionsoftheUniformSMA.Thisisasummary

    onlyandissubjecttoandqualifiedin itsentiretybytheUniformSMA providedasAppendix1to

    theRFPRules. EachRFPBidderaccepts theobligationsandassociated rights toprovideDefault

    SupplyasdefinedintheUniformSMA aspartofitsProposal.

    I.4.3. DefaultSuppliersforaClasswillservetheCompany’sDefaultLoadforthatClass. DefaultService

    for oneof theseClasses is theCompany’s full requirements service including,without limitation,

    energy, capacity, transmission (excluding Network Integration Transmission Service), ancillary

    services,AECsforcompliancewiththeAEPSAct,transmissionanddistributionlosses,congestion

    management costs, and such other services or products that are required to serve the specified

    percentageofDefaultLoadforthatClass(exceptfor distributionservice). DefaultLoadfortheRES

    Class is reduced by a fractional percentage of committed energy and capacity obtained under

    contractwithAlleghenyElectricCooperative,Inc.forsupplyfromtheNewYorkPowerAuthority.

    I.4.4. Default Suppliers are also responsible for providing AECs during the term of the Uniform SMA

    necessaryforPECOtomeetitsobligationsundertheAEPSAct,aswellasotherOrders,regulations

    andrulesthatmaybepromulgatedbythePaPUCwithrespecttotheAEPS.DefaultSupplierswill

    be required to participate in the PJMGenerationAttribute Tracking System (“PJM-EISGATS”) to

    transfer AECs to PECO. The Company will provide an estimate of the Default Supplier’s AEPS

    obligationfollowingthesecondquarteroftheAEPSReportingPeriodandtheDefaultSupplierwill

    berequiredtotransferAECstoPECOintheamountoftheestimatewithinforty-five(45)calendar

    days of the date of that estimate. The Company will provide a final statement to the Default

    Supplier within thirty (30) calendar days of the end of AEPS Reporting Period and the Default

    Supplierwill be required to transferAECs in the amount of the final statementwithin forty-five

    (45)calendardaysafterthedateofthefinalstatement.

    I.4.5. ADefault Supplier that fails to provide sufficient AECs for a tranchewill be required to pay any

    AEPS penalties, costs, charges, etc. assessed against the Default Supplier and/or the Company

    associatedwiththeDefaultSupplier’snon-performancewithAEPSrequirements.

    I.4.6. PECO has obtained AECs from separate AEPS procurement(s) approved by the Commission and

    PECO will reduce the amount of AECs that Default Suppliers must provide. Prior to each

    solicitation, PECOwill informRFPBiddersof the amounts ofAECs allocated for thispurpose for

    eachtrancheofeachproductforwhichDefaultSupplyisprocuredinthatsolicitation.

    I.4.7. A DefaultSupplierforaproductwillbepaidasupplier-specificpriceforeachMWhofelectricload

    servedasspecifiedintheTransactionConfirmationforthatproduct.Thesupplier-specificpricefor

    aDefaultSupplierforaproductwillbetheaverageofapprovedBidsforthatDefaultSupplier and

    for that product. ThePJMday-aheadprice for energy and theReliability PricingModel (“RPM”)

    priceforcapacity arealsopaidtoaDefaultSupplierprovidingfullrequirementsserviceonaspot-

    pricebasis.

    I.4.8. TheDefault Supplierwill specify in the Transaction Confirmation the price of each type of AECs

    includedinitssupplier-specificprice.

    I.4.9. PECO will transfer or assign Auction Revenue Rights (“ARRs”) to each Default Supplier in

    proportionto thepercentageofDefaultLoadthat it serves. ADefaultSupplierwillparticipate in

    the PJM process for the nominations of ARRs to the extent that the supply period under the

    Transaction Confirmation is inclusive of the PJM Planning Period for which the ARRs are

    nominated;otherwise,PECOwillparticipateinthePJMARRnominationprocess.

    III.1.1. AnentitythatsubmitsanypartofaresponsetothisRFPforasolicitationisan“RFPBidder”. An

    RFPBiddercansubmitatmostonePart1ProposalandonePart2Proposal foreachsolicitation.

    An RFP Bidder that qualifies for a solicitation by submitting a Part 1 Proposal that fulfills all

    requirements described in Article IV and that submits a Part 2 Proposal that fulfills all the

    requirements described in Article V is eligible to submit Bids in that solicitation. Aside from

    III.1.14. The Officer of the RFP Bidder named in the Part 1 Proposalwill sign, or will nominate another

    authorizedindividualtoexecute theUniformSMA aswellasanyTransactionConfirmationsifany

    oftheRFPBidder’sBidsareapprovedbytheCommission.

    III.1.15. EachRFPBiddermust complywith the instructions for the submissionofBidsprovidedwith its

    III.1.16. Proposals that do not adhere to the terms and conditions of this RFP, or that do not fulfill all

    anyfalsestatementintheProposalorbreachofanycovenantbytheRFPBiddersetforth herein.

    TheRFPBiddershallindemnifyandholdharmlessPECO,theIndependentEvaluator,theirparent

    companies, subsidiaries, affiliates, successors and assigns, and each and every one of their

    An RFP Bidder that has not previously qualified must, in its Part 1 Proposal, either: (i)

    demonstrate that theRFP Bidder is an LSE in PJMby providing the signature page of the

    ReliabilityAssuranceAgreement(“RAA”);or(ii)certifythattheRFPBidderhasinvestigated

    therequirementstobecomeanLSEinPJMandthatthereexistnoimpedimentsfortheRFP

    ForeignRFPBiddersthatseektobegrantedunsecuredcreditunderthetermsoftheUniformSMA;

    otherRFPBiddersarenotsubjecttotherequirementsofthisParagraph.

    WhetherornotsuchRFPBidderhaspreviouslyqualified,suchRFPBiddermayprovide,in

    addition to supplying all required information and documents under Section IV.2, any

    additionalevidenceofcreditworthinesssoastoprovidePECOwithcomparableassurances

    of creditworthiness as is applicable for an RFP Bidder that has been incorporated or

    otherwiseformedunderthelawsofastateoftheUnitedStatesoroftheDistrictofColumbia.
