General Terms and Conditions for the Trade-In Program 1. Motorola Solutions will provide a mechanism for Eligible Resellers (defined in section 2 below)

to trade their end customers existing product in exchange for a financial rebate (“Trade-In Pro-

gram”).

2. The Trade-In Program is open to resellers which purchased Motorola Solutions products from

an official Motorola Solutions Distributor (“Authorised Distributor”) in the Europe, Middle East

and Africa (EMEA) region as defined in the Motorola Solutions PartnerEmpower program (“Eli-

gible Reseller”).

3. Trade-In Claims may be submitted by Eligible Resellers only.

4. Motorola Solutions will present, via the Trade-In Program, multiple offers (“Trade-In Offers”)

for Eligible Resellers to Trade-In used equipment. These Trade-In Offers will detail the specific

new Motorola Solutions products that must be purchased by the Eligible Reseller and will de-

fine the criteria of used product that may be traded in against the applicable new purchase.

5. Trade-In Offer(s) are not transferable.

6. The Trade-In Program will be promoted and managed via www.motorolasolutions.com/emea/

tradein (“Trade-In Website”).

7. All Eligible Resellers wishing to take part in the Trade-In Program must first register on the

Trade-in Website.

8. A qualifying product is a purchase of a new Motorola Solutions product from an Authorised

Distributor where a Trade-In Offer, governed by these terms and conditions, is applicable

(“Qualifying Products”). A list of Qualifying Products can be found on the Trade-In Website.

9. Motorola Solutions has the right to withdraw or amend the Trade-In Program without notice.

The details of any amendments to the program will be available on the Trade-In Website.

10. Motorola Solutions reserves the right to change the Trade-In Offer(s) available within the

Trade-In Program without notice during the Offer Period (as specified on the Trade-In Website)

applicable to the relevant Trade-In Offer. The details of any amendments to any Trade-In Offers

will be available on the Trade-In Website.

11. The instructions to process a claim in relation to a Trade-In Offer (“Trade-In Claim”) contained

within the Trade-In Website form part of the terms and conditions of the Trade-In Offer.

12. Eligible Resellers will be required to provide details of the invoice associated with the pur-

chase of Qualifying Products from an Authorised Distributor. This will be used as part of the

Trade-In Claim approval process. The Eligible Reseller will be required to submit a copy of this

invoice via the Trade-In Website.

13. Invoices submitted via the Trade-In Website are only eligible to be used for one Trade-In Claim.

14. The maximum number of units that can be traded in against an applicable invoice (“Trade-In

Products”) is restricted to the total number of Qualifying Products purchased on the submitted

invoice. For example if ten (10) Qualifying Products are documented on the applicable invoice

then up to a maximum of ten (10) Trade-In Products may be traded in against the specific

Trade-In Offer criteria.

15. Motorola Solutions shall be entitled to monitor the usage of the Trade-In Website, including

users IP addresses, so that it may identify misuse and disqualify applications if it has reason-

able grounds to believe the terms of the Trade-In Program have been breached.

16. Motorola Solutions is not responsible or liable for any technical, hardware, software, server,

website, or other failures or damage of any kind to the extent that this prevents the Eligible

Reseller from participating in the Trade-In Program or submitting a Trade-In Claim.

17. If a Trade-In Claim is refused because the terms of the Trade-In Offer have not been met, Mo-

torola Solutions decision is final.

18. Prior to sending in any Trade-In Products, it is the Eligible Reseller’s responsibility to delete

data from any hard drive and any other storage media in the Trade-In Product and to remove

any removable storage media. Motorola Solutions accepts no responsibility for lost or confi-

dential data and software. Please note Motorola Solutions is unable to retrieve any customer

data once a Trade-In Product has been received.

19. The Eligible Reseller is responsible for ensuring that the contents of each box dispatched to the

specified Motorola Solutions Trade-In Product handling facility is as described on the submit-

ted claim form and any other relevant information as defined in the Trade-In Website.

20. The Eligible Reseller is responsible for all shipping costs of the Trade-In Product to the speci-

fied Motorola Solutions Trade-In handling facility return address.

21. Proof of posting will not be accepted as proof of receipt. Motorola Solutions cannot accept li-

ability for any Trade-In Products returned which are lost, damaged or destroyed in the post and

recommends using an insured postal service.

22. Motorola Solutions will not accept hand delivery of the Trade-In Product(s).

23. Provided that the terms and conditions of this Trade-In Program have been met, a rebate for

the relevant amount will be paid to the Eligible Reseller by bank transfer.

24. Items cannot be returned to the Eligible Reseller once received by Motorola Solutions.

25. All rebates are inclusive of all taxes. Where this rebate payment constitutes a taxable benefit,

all tax liability lies with the Eligible Reseller.

26. Trade-In Offer rebates will be promoted in US Dollars only. Payments will be made in Pounds

Sterling, Euro or US Dollars only. If applicable, the rebate will be converted from US Dollars

using a Motorola Solutions exchange rate. Exchange rates are published on the Trade-In Web-

site and are subject to change without notice at any time. Motorola Solutions is not respon-

sible for any bank charges the Eligible Reseller incurs in relation to the receipt of the Trade-In

Rebate.

27. One Trade-In account on the Trade-In Website is permitted per Eligible Reseller.

28. Participation in this Trade-In Program is deemed as acceptance of these Terms and Conditions.

The Program is subject to English law and the reseller agrees to be bound by the exclusive ju-

risdiction of the English courts.

MC55A0 & MC75A0 (“Qualifying Products”) Offer Specific Terms and Conditions

1. The Motorola Solutions “MC55A0 & MC75A0 Trade-In Offer” is valid in respect of new pur-

chases of the Qualifying Products made during the period of 1st January 2012 – 31st December

2012 (“Offer Period”).

2. Qualifying Products purchased from an Authorised Distributor under a Motorola Solutions Price

Exception (PE) or Deals Registration (DR) will not be eligible to participate in the MC55A0 &

MC75A0 Trade-In Offer.

3. The MC55A0 & MC75A0 Trade-In Offer rebate values are displayed on the Trade-In Website

under Current Offers.

4. Trade-In Products that conform to the following criteria will be eligible to be traded in under

the MC55A0 & MC75A0 Trade-In Offer and will receive the full rebate: Any brand or model of

mobile computer with an undamaged diagonal screen size of between 3 inches and 4 inches

“Trade-In Products”.

5. Trade-In Products with damaged screens may receive a reduced rebate at Motorola Solutions’

discretion. Motorola Solutions decision is final as to whether a screen is damaged and as to

the level of any reduced rebate. The reduced rebate values are displayed on the Trade-In Web-

site under Current Offers.

6. Trade-In Products not meeting the qualifying criteria defined in Section 4 above will not be re-

turned to the Eligible Reseller by Motorola Solutions and no rebate will be provided.

7. Any accessories returned in conjunction with the Trade-In Products to the Motorola Solutions

Trade-In handling facility will not be returned to the Eligible Reseller and no rebate will be

provided.

8. MC55A0 & MC75A0 Trade-In Offer rebate values promoted are subject to change without

notice. Any claims which have been submitted and approved at the point of the rebate value

change will be honoured at the rebate values published at the point of claim approval.

9. All Trade-In Claims must be registered through the Eligible Reseller’s Trade-In account within

15-45 days of the Authorised Distributor to Eligible Reseller invoice date for the Qualifying

Product(s) (”Invoice Date”).

10. If the Trade-In Claim is approved, details of all units to be Traded-In must be submitted and

received at the specified Motorola Solutions Trade-In handling facility address within 120 days

of the Invoice Date.

11. Motorola Solutions accepts no responsibility for units delayed or held up in customs. It is the

responsibility of the Eligible Reseller to ensure that all dispatched packages are compliant and

posted with enough time to be received within the 120 days of the Qualifying Products Invoice

Date. Any Qualifying Products received after 120 days will be given zero (0) value and will not

be returned.

12. Motorola Solutions may terminate the MC55A0 & MC75A0 Trade-In Offer at any time. Any

Trade-In Claims which have been submitted and approved at the point of the termination will

be honoured as long as Trade-In Products are returned within the 120 days of the Invoice Date.

MC9190 (“Qualifying Products”) Offer Specific Terms and Conditions

1. The Motorola Solutions “MC9190 Trade-In Offer” is valid in respect of new purchases of the

Qualifying Products made during the period of 3rd September 2012 – 31st August 2013 (“Offer

Period”).

2. Qualifying Products purchased from an Authorised Distributor utilising any other pricing offer

from Motorola Solutions will not be eligible to participate in the MC9190 Trade-In Offer. These

include Price Exceptions (PE), Deals Registrations (DR) and any other Motorola Solutions prod-

uct promotions being provided via our Authorised Distributors. (Motorola Solutions Technology

Incentive Program (TIP) is not considered an additional pricing offer as it is part of Motorola

Solutions standard pricing model).

3. The MC9190 Trade-In Offer rebate values are displayed on the Trade-In Website under Current

Offers.

4. Trade-In Products that conform to the following criteria will be eligible to be traded in under

the MC9190 Trade-In Offer and will receive the full rebate: Any brand or model of a gun shaped

mobile computer with an undamaged diagonal screen size over 3.5 inches “Trade-In Products”.

5. Trade-In Products with damaged screens may receive a reduced rebate at Motorola Solutions’

discretion. Motorola Solutions decision is final as to whether a screen is damaged and as to

the level of any reduced rebate. The reduced rebate values are displayed on the Trade-In Web-

site under Current Offers.

12. Motorola Solutions may terminate the MC9190 Trade-In Offer at any time. Any Trade-In Claims

which have been submitted and approved at the point of the termination will be honoured as

long as Trade-In Products are returned within the 120 days of the Invoice Date.

Industrial Scanning (“Qualifying Products”) Offer Specific Terms and Conditions

1. The Motorola Solutions “Industrial Scanning Trade-In Offer” is valid in respect of new pur-

chases of the Qualifying Products made during the period of 3rd September 2012 – 31st August

2013 (“Offer Period”).

2. Qualifying Products purchased from an Authorised Distributor utilising any other pricing offer

from Motorola Solutions will not be eligible to participate in the Industrial Scanning Trade-In

Offer. These include Price Exceptions (PE), Deals Registrations (DR) and any other Motorola So-

lutions product promotions being provided via our Authorised Distributors. (Motorola Solutions

Technology Incentive Program (TIP) is not considered an additional pricing offer as it is part of

Motorola Solutions standard pricing model).

3. The Industrial Scanning Trade-In Offer rebate values are displayed on the Trade-In Website

under Current Offers.

4. Trade-In Products that conform to the following criteria will be eligible to be traded in under

the Industrial Scanning Trade-In Offer and will receive the full rebate: Any brand or model of

corded or cordless (cordless base station not applicable) rugged handheld barcode scanner

which is predominantly yellow or red in colour “Trade-In Products”.

5. Trade-In Products not meeting the qualifying criteria defined in Section 4 above will not be re-

turned to the Eligible Reseller by Motorola Solutions and no rebate will be provided.

6. Any accessories (including cordless base stations or cables) returned in conjunction with the

Trade-In Products to the Motorola Solutions Trade-In handling facility will not be returned to

the Eligible Reseller and no rebate will be provided.

7. Industrial Scanning Trade-In Offer rebate values promoted are subject to change without

notice. Any claims which have been submitted and approved at the point of the rebate value

chases of the Qualifying Products made during the period of 3rd September 2012 – 31st August

2013 (“Offer Period”).

2. Qualifying Products purchased from an Authorised Distributor utilising any other pricing offer

from Motorola Solutions will not be eligible to participate in the Wireless Access Point

Trade-In Offer. These include Price Exceptions (PE), Deals Registrations (DR) and any other

Motorola Solutions product promotions being provided via our Authorised Distributors.

(Motorola Solutions Technology Incentive Program (TIP) is not considered an additional

pricing offer as it is part of Motorola Solutions standard pricing model).

3. The Wireless Access Point Trade-In Offer rebate values are displayed on the Trade-In Website

under Current Offers.

4. Trade-In Products that conform to the following criteria will be eligible to be traded in under

the Wireless Access Point Trade-In Offer and will receive the full rebate: Any brand or model of

wireless IEEE 802.11x access point “Trade-In Products”.

5. Trade-In Products not meeting the qualifying criteria defined in Section 4 above will not be re-

turned to the Eligible Reseller by Motorola Solutions and no rebate will be provided.
