    ARTICLE VIELIMINATION AN D ASSUMPTION OFCERTAINLIABILITYOFV OLU NTEER DIRECTORS

    A volunteer director of the Corporation (as defined in Section 110(2) of the Act).shall not be personally liable to the Corporation or its Members for monetary damages forbreach - of the volunteer director's fiduciary duty arising under applicable law, except thatnothing in these A rticles shall eliminate or limit the liability of a volunteer director forany of the following:1. A breach of the volunteer director's duty of loyalty to theCorporation or its Mem bers;2. Acts or omissions not in good faith or that involve intentionalmisconduct or know ing violation of law;3.     ARTICLE VII.ASSUMPTION OF CERTAINLIABILITYOFNONDIRECTOR VOLUNTEERS

    The Corporation assumes all liability for all acts or omissions of,a nondirectorvolunteer (as defined in Section 108(2) of the Act) occurring on or after the date these

    . Articles are filed as provided in the Act, if all of the following are met:1. The nondirector volunteer was acting or reasonably believed he or

    she was acting within the scope of his or her authority;2. The nondirector volunteer was acting in good faith;3. The nondirector volunteer's conduct did not' amount to gross

    negligence or willful and wanton misconduct;4. The nondirector volunteer's conduct was not an international tort;and5. - The nondirector volunteer's conduct was not a tort arising out ofthe ownership, maintenance or use of a motor vehicle for which tort liability may beimposed as provided in Section 3135 of the Insurance Code of 1956, Act No. 218 of the

    Public Acts of 1956, being Section 500.3135 of the Michigan Compiled Laws.No amendment or repeal of this Article shall apply to or have any effect on the

    liability or alleged liability of any nondirector volunteer of the Corporation for or withrespect to any acts or omissions of such nondirector volunteer occurring prior to theeffective date of any such amendment or repeal,

    ARTICLE VIIIADDITIONALPROVISIONS

    A. The Board of Directors shall have full authority to govern the affairs of theCorporation. Following installation of the initial directors on or about February 10, 2006,the qualifications, election, terms of service, powers, and prerogatives of the Board ofDirectors and individual directors and officers shall be as the Board may establish andthereafter amend within the Bylaws of the Corporation, subject to these Articles ofIncorporation and applicable law.

    required, attested by the Secretary, an Assistant Secretary, the Treasurer, or an AssistantTreasurer. Consistent with the Articles of Incorporation, the Board of Directors mayauthorize the planning, developing, and managing of community development activitiesand projects.Section 5. Compensation. Directors shall serve without compensation but shallbe reimbursed for actual, reasonable, and necessary expenses incurred by a Director in

    his or her capacity as a Director. Nothing herein shall be construed to preclude anyDirector from serving the Foundation in any other capacity and receiving compensationtherefore.ARTICLE III

    MeetingsSection I. Annual Meeting. The annual meeting of the Directors of the

    Foundation shall be held at its office in Lansing, Michigan, or at such, other place withinor without the State of Michigan as may from time to time be selected by the Directors,on the 3rd Thursday of April in each year (or if said day be a legal holiday, then on thenext succeeding day not a holiday) at 9:00 o'clock a.m., for the purpose of setting thenumber of directors to constitute the Board of Directors, electing or appointing directorsand officers for the ensuing year and for the transactions of such other businesses as maybe brought before the meeting.

    Section 2. Regular Meetings. Regular meetings of the Board of Directors maybe held at such times or intervals and at such places within or without the state ofMichigan as may from time to time be determined by resolution of the Board, whichresolution may authorize the President to fix the specific date and place of such regularmeetings, in which case notice of the time and place of such regular meetings shall begiven in the manner hereinafter provided.

    Section 3. Special Meetings. Special meetings of the Directors may be called bythe President and shall be called by the President or Secretary at the direction of not lessthan three Directors then in office, or as may otherwise be provided by law. Suchmeetings shall be held at the office of the Foundation in Lansing, Michigan, unlessotherwise directed by the Board of Directors and state in the notice of meeting, in whichcase the meeting may be held at any place within or without the State of Michigan. Anyrequest for a meeting by Directors shall state the purpose or purposes of the proposedmeeting.

    Section 4. Notice of Meetings.When notice of a meeting is required by theseBylaws or by law, such notice shall contain the time, place and purpose of the meeting,shall be signed by the President or a Vice President or the Secretary or an AssistantSecretary, and shall be served either personally or by mail upon each Director not lessthan 10 nor more then 60 days before the meeting; provided that no notice of adjournedmeetings need to be given. If mailed, the notice shall be given as may be required by law.

    Meetings may be held without notice if all Directors are present in person or if notice ofthe time, place and purpose of such meeting is waived by telegram or other writing, eitherbefore or after the holding thereof, by all Directors not present at such meeting.

    Section 5. Quorum. , A majority of the Directors then in office, in person or byproxy, shall constitute a quorum for the transaction of business and the action of amajority of the Directors present at a meeting at which a quorum is present shall be theaction of the Board of Directors, except as action by a majority or all of the Directorsthen in office may be specifically required by other sections of these Bylaws or by theFoundation's Articles of Incorporation. If less than a quorum shall be in attendance at thetime for which the meeting shall have been called, the meeting may be adjourned fromtime to time by a majority of cote of the members present or represented, without anynotice other than by announcement at the meeting, until a quorum shall attend. At anyadjourned meeting at which a quorum shall attend, any business may be transacted whichmight have been transacted if the meeting had been held as originally called.

    Section 6. Conduct of Meeting. Meetings of the Directors shall be presided overby the President of the Foundation.Section7.Action by Unanimous Written Consent. If and when the Directors

    shall severally or collectively consent in writing to any action to be taken by theFoundation either before or after the action is taken, such action shall be a valid corporateaction as though it had been authorized at a meeting of the Directors and the writtenconsents shall be filed with the minutes of the proceedings of the Board of Directors.

    Section 8. Removal; Filling of Vacancies. Any Director may be removed fromoffice with or without cause at any annual or special meeting of the Board of Directors bythe affirmative vote of two-thirds of the Directors then in office. Vacancy occurring inthe Board of Directors by reason of death, resignation, removal or other inability to serveshall be filled at any time by the affirmative vote of a majority of the remaining Directorsalthough less than a quorum of the Board of Directors. A Director elected to fill avacancy shall serve for the unexpired portion of the term.

    Section 9. Committees. The Board of Directors may, by resolution passed by amajority of the whole Board, designate one or more committees, each committee toconsist of two or more of the Directors of the Foundation, which, to the extent providedin the resolution, shall have and may exercise the powers of the Board of Directors. Suchcommittee or committees shall have such names as may be determined from time to timeby resolution adopted by the Board of Directors.

    Section 10. Telephonic Conferences. A Director may participate in a meetingof Directors by a conference telephone or similar communication equipment by which allpersons participating in the meeting may hear each other if all participants are advised ofthe communications equipment and the names of the participants in the conference aredivulged to all participants. Participation in a meeting pursuant to this Section constitutespresents in person at the meeting.

    ARTICLE IVOFFICERS

    Section 1. Election of Appointm ent. The B oard of Directors shall elect aPresident, a Secretary, and a Treasurer of the Foundation at each annual meeting, andmay elect one or more V ice Presidents, Assistant Secretaries and Assistant Treasurers.The President of the B oard shall be a director of the Foundation. The same person mayhold any two or m ore offices, but no officer shall execute, acknowledge or verify anyinstrument in more than one capacity. The Directors may also appoint each other officersand agents as they may deem necessary for the transaction of the business of theFoundation,Section 2. Term of Office. The Te rm of office of all officers shall commenceupon their election or appointment and shall continue until next annual meeting of the

    Corporation and thereafter until their respective successors are chosen or until theirresignation or removal. Any officer may be removed from office at any meeting of theDirectors, with or w ithout cause, by the affirmative vote of a m ajority of the Directors,whenever in their judgment the best interest of the Foundation will be served thereby. Anofficer may res ign by written notice to the Foundation. The resignation shall be effectiveupon its receipt by the Foundation or a subseq uent time specified in the notice ofresignation. The Directors shall have pow er to fill vacancies in any offices occurringfrom whatever reason.Section 3. Compensation. Any officer who is an employee of the Foundationshall receive such compensation for their services as may, from time to time, be fixed bythe Board of Directors.Section 4. The President. The President shall be the Chief executive officer ofthe Foundation and shall have general and active m anagement of the activities andproperties of the Foun dation, and shall see that all orders are resolutions of the B oard ofDirectors are carried into effect. The President may execute all authorized conveyances,contracts, or other obligations in the nam e of the Foundation excep t where required bylaw to be otherwise signed and exe cuted, an except where the signing and executionthereof shall be expressly delegated by the D irectors to some other officer or agent of theFoundation. The President shall have the general duties and powers of supervision andmanagement usually vested on the office of the President of a corporation. The Presidentof the Foundation shall preside at all meetings of the B oard of D irectors and shall be an

    ex-officio m emb er of all standing committees. In addition, the Pres ident shall do andperform such other duties as may, from time to time, be assigned to him or her by theB oard of Directors.Section 5. Vice President. The V ice Presidents in the order designed by theB oard of D irectors or, lacking such a designation, by the Preside nt shall, in the absence ordisability of the President, perform the duties and exercise the pow ers of the President

    and shall perform such other duties as the Board of Directors shall prescribe. Any VicePresident (unless otherwise provided by the resolution of the Board of Directors) maysign and execute all authorized bonds, contracts or other obligations in the name of theFoundation.

    Section 6. TheSecretary. The Secretary shall attend all meetings of the Board ofDirectors and record all votes and the minutes of all proceedings in a book to be kept forthat purpose. He or she shall give, or cause to be given, notice of all meetings of theDirectors for which notice may be required, and shall perform such other duties as maybe prescribed by the Directors or by the President, under whose supervision he or sheshall act. In general, the Secretary shall perform all the duties generally incident to theOffice of Secretary, subject to the control of the Board of Directors and the President.

    Section7.The Treasurer. The Treasurer shall have custody of the funds andsecurities of the Foundation and shall keep full and accurate accounts of receipts anddisbursements in books belonging to the Foundation and shall deposit all moneys andsuch other valuable effects in the name and to the credit of the Foundation in suchdepositories as may be designated by the Directors. He or she shall disburse the funds ofthe Foundation as may be ordered by the Directors, taking proper vouchers for suchdisbursements, and shall render to the President and Directors, at the regular meetings ofthe Directors, or whenever they may require it, an account of all his or her transactions asTreasurer and of the financial condition of the Foundation. If required by the Directors,the Treasurer shall give the Foundation a bond in such sum and with such surety orsureties as shall be satisfactory to the directors for the faithful performance of the dutiesof that office and for the restoration to the Foundation (in case of his or her death,resignation, or removal from office) of all books, papers, vouchers, money and otherproperty of whatever kind in the Treasurer's possession or under his or her controlbelonging to the Foundation.

    Section S. Assistant Secretaries and Assistant Treasurer. The AssistantSecretaries and the Assistant Treasurers, respectively On the order designated by theDirectors, or, lacking such designation, by the President), in the absence of the Secretaryor Treasurer, as the case may be, shall perform the duties and exercise the powers of suchSecretary or Treasurer and shall perform such other duties as the Directors shallprescribe.

    ARTICLE VBank Accounts and Loans

    Section 1. Bank Accounts. Such officers or agents of the Foundation as fromtime to time shall be designated by the Board of Directors shall have authority to depositany funds of the Foundation in such banks or trust companies as shall from time to timebe designated by the Board of Directors and such officers or agents may withdraw any orall of the funds of the Foundation so deposited in any such bank or trust company, uponchecks, drafts, or to their instruments or orders for the payment of money, drawn against

    the account or in the name or behalf of this Foundation, and made or signed by suchofficers or agents; and each bank or trust company with which funds of the Foundationare so deposited is authorized to accept, honor, cash, and pay, without limit as to amount,all checks, drafts, or other instruments or orders for the payment of money, when drawn,made or signed by officers or agents so designated by the Board of Directors until writtennotice of the revocation of the authority of such officers or agents by the Board ofDirectors shall have been received by such bank or trust company. There shall from timeto time be certified to the banks or trust companies in which funds of the Foundation aredeposited, the signature of the officers or agents of the Foundation so authorized to drawagainst the same. In the event that the Board of Directors shall fail to designate thepersons by whom checks, drafts, and other instruments or orders for the payment ofmoney shall be signed, as hereinabove provided in this Section, all of such checks, drafts,and other instruments or orders for the payment of money shall be signed by thePresident or a Vice President and counter-signed by the Secretary or Treasurer or anAssistant Secretary of an Assistant Treasurer of the Foundation.

    Section 2. Loans.Such officers or agents of this Foundation as from time to timeshall be designated by the Board of Directors shall have authority to effect loans,advances, or other forms of credit at any time or times for the Foundation from suchbanks, trust companies, institutions, corporations, firms, or persons as the Board ofDirectors shall from time to time designate, and as security for the repayment of suchloans, advances, or other forms of credit to assign, transfer, endorse, and deliver, eitheroriginally or in addition or substitution, any or all stocks, bonds, rights, and interests ofany kind in or to stocks or bonds, certificates of such rights of interests, deposits,accounts, documents covering merchandise, bills, and accounts receivable and othercommercial paper and evidence of debt at any time held by the Foundation; and for suchloans, advances or other forms of credit to make, execute, and to deliver one or morenotes, acceptance or written obligations of the Foundation on such terms, and with suchprovisions as to the security or sale or disposition thereof as such officers or agents shalldeem proper; and also to sell to, or discount or rediscount with, such banks, trustcompanies, institutions, corporations, firms or persons any and all commercial paper,bills, receivable, acceptances, and other instruments and evidences of debt at any timeheld by the foundation, and to that end to endorse, transfer, and deliver the same. Thereshall from time to time be certified to each bank, trust company, institution, corporation,firm, or person so designated the signatures of the officers or agents so authorized; andeach such bank, trust company, institution, corporation, firm, or person is authorized torely upon such certification until written notice of the revocation by the Board ofDirectors of the authority of such officers or agents shall be delivered to such bank, trustcompany, institution, corporation, firm, or person.

    ARTICLE VIReimbursements

    Section 1. Reimbursements. Any payments made to an officer or otheremployee of the Foundation, such as salary, commission, interest or rent, or

    entertainment expense incurred by him or her, which shall be disallowed in whole or inpart as a deductible expense by the Internal Revenue Service, shall be reimbursed by suchofficer or other employee of the Foundation to the full extend of such disallowance. Itshall be the duty of the Directors, as a Board, to enforce payment of each employee,subject to the determination of the Board of Directors, proportionate amounts may bewithheld from his or her future compensation payments until the amount owed so theFoundation has been recovered.

    ARTICLEII ,Indemnification of Directors

    Section 1. Bonds/Notes. The members of the Board of Directors or any personexecuting any bonds or notes on behalf of the Foundation shall not be personally liableon the bond or note, or be subject to any personal liability or accountability by reason ofthe issuance of the bond or notes, by reason of the acquisition, construction, ownership,or operation of a project or action taken or omitted by the Board of Directors.

    Section 2. Non-Derivative Actions. Subject to all of the other provisions of theArticle VII, the Foundation shall indemnify any person who was or is a party or isthreatened to be made a party to any threatened, pending or completed action, suit orproceeding, whether civil, criminal, administrative or investigative and whether formal orinformal (other than an action by or in the right of the Foundation) by reason of the factthat the person is or was a director or officer of the Foundation, or is or was serving at therequest of the Foundation as a director, officer, partner, trustee, employee, or agent ofanother foreign or domestic corporation, business corporation, partnership, joint venture,trust or other enterprise, whether for profit or not for profit, against expenses includingattorneys fees, judgments, penalties, fines, and amounts paid in settlement actually andreasonably incurred by the person in connection with the action, suit or proceeding if theperson acted in good faith and in a manner the person reasonably believed to be in or notopposed to the best interests of the Foundation or its members, and with respect to anycriminal action or preceding, if the person had no reasonable cause to believe thatconduct was unlawful. The termination of any action, suit or proceeding by judgment,order, settlement, conviction, or upon a plea of nolo contendere or its equivalent, shallnot, of itself, create a presumption that the person did not act in good faith and in amanner which the person reasonably believed to be in or not opposed to the best interestsof the Foundation or its members, and, with respect to any criminal action or proceeding,had reasonable cause to believe that the conduct was unlawful.

    Section 3. Derivative Actions. Subject to all of the provisions of this Article VII,the Foundation shall indemnify a person who was or is a party to or is threatened to bemade a party to a threatened, pending or completed action or suit by or in the right of theFoundation to procure a judgment in its favor by the reason of the fact that the person isor was a Director or officer of the Foundation, or is or was serving at the request of theFoundation as a director, officer partner, trustee, employee, or agent of another foreign ordomestic corporation, business corporation, partnership, joint venture, trust or other

    enterprise, whether for profit or not for profit, against expenses including actual andreasonable attorneys fees and amounts paid in settlement incurred by the person inconnection with the action or suit if the person acted in good faith and in a manner theperson reasonably believed to be in or not opposed to the best interests of the Foundationor its members. However, indemnification shall not be made for any claim, issue ormatter in which the person has been found liable to the Foundation unless and only to theextend that the court in which the action or suit was brought has determined uponapplication that, despite the adjudication of liability but in view of all circumstances ofthe case, the person is fairly and reasonably entitled to indemnification for the expenseswhich the court considers proper.

    Section 4. Expenses of Successful Defense. To the extent that a director orofficer has been successful on the merits of otherwise in defense of any action , suit orproceeding referred to in Section 2 or 3 of these By-laws, or in defense of any claim,issue or matter in the action, suit or proceeding, the person shall be indemnified againstexpenses (including actual and reasonable attorneys' fees) incurred by such person inconnection with the action, suit or proceeding and any action, suit or proceeding broughtto enforce the mandatory indemnification provided by this Section 4.

    SectionS.Definition. For the purpose of Sections 2 and 3 of this Article Vii,"other enterprises" shall include employee benefit plans; "fines" shall include any excisetaxes assessed on a person with respect to an employee benefit plan; and "serving" at therequest of the Foundation" shall include any service as a director, officer, employee, oragent of the Foundation which imposes duties on, or involves services by, the director orofficer with respect to an employee benefit plan, its participants or beneficiaries; and aperson who acted in good faith and in a manner the person reasonably believed to be inthe interest of the participants and beneficiaries of an employee benefit plan shall beconsidered to have acted in a manner "not opposed to the best interests of the Foundationor its members" as referred to in Sections 2 and 3 of this Article VII.

    Section 6. Contract Rights: Limitation on Indemnity. The right toindemnification conferred in this Article VII shall be a contract right, and shall apply toservices of a director of officer as an employee or agent of the Foundation as well as insuch person's capacity as a director of officer. Except as provided in Section 4 of thisArticle VII, the Foundation shall have no obligation under this Article VII to indemnifyany person in connection with any proceeding, or part thereof, initiated by such personwithout authorization by this Board of Directors.

    section7.Determination That Indemnification is Proper. Anyindemnification under Section 2 or 3 of this Article VII (unless ordered by a court) shallbe made by the Foundation only as authorized in the specific case upon a determinationthat indemnification of the person is proper in the circumstances because the person hasmet the applicable standard of conduct set forth in Section 2 or 3 of this Article VIIwhichever is applicable. Such determination shall be made in any of the following ways:

    (i ) By a majority vote of a quorum of the Board consisting of directorswho were not parties to the action, suit or proceeding.(ii) If the quorum described in clause (I) above is not obtainable, then by a

    majority vote of a committee of directors who are not parties to the action. Thecommittee shall consist of not less than two disinterested directors.(iii) By independent legal counsel in a written opinion.(iv) B y the members

    Section 8. Proportionate Indemnity. If a person is entitled to indemnificationunder Section 2 or 3 of this Article VII for a portion of expenses, including attorneys'fees, judgments, penalties, fines, and amounts paid in settlement, but not for the totalamount thereof, the Foundation shall indemnify the person for the portion of theexpenses, judgments, penalties, fines, or amounts paid in settlement for which the personis entitled to be indemnified.

    Section 9. Expense Advance. Expenses incurred in defending a civil or criminalaction, suit or proceeding described in Section 2 or 3 of these By-laws may be paid by theFoundation in advance of the final disposition of such action, suit or proceeding uponreceipt of an undertaking by or on behalf of the person involved to replay the expenses ifit is ultimately determined that the person is not entitled to be indemnified by theFoundation. The undertaking shall be an unlimited general obligation of the person onwhose behalf advances are made but need to be secured.

    Section 10. Non-Exclusivity of Rights. The indemnification or advancement ofexpenses provided under this Article VII is not exclusive of other rights to which aperson seeking indemnification or advancement of expenses may be entitled under theArticles of Incorporation or a contractual arrangement with the Foundation. However,the total amount of expenses advanced or indemnified from all sources combined shallnot exceed the amount of actual expenses incurred by the person seeking indemnificationor advancement of expenses.

    Section H. Indemnification of Emnloyees and Agents of the Foundation. TheFoundation may, to the extent authorized from time to time by the Board of Directors,grant rights to indemnification and to the advancement of expenses to any employee oragent of the Foundation to the fullest extent of the provisions of this Article VII withrespect to the indemnification and advancement of expenses of directors and officers ofthe Foundation.

    Section 12. Former Directors and Officers. The indemnification provided inthis Article VII continues as to a person who has ceased to be a director or officer andshall inure to the benefit of the heirs, executors and administrators of such person.

    Section 13. Insurance. The Foundation may purchase and maintain insuranceon behalf of any person who is or was a director, officer, employee or agent of theFoundation, or is or was serving at the request of the Foundation as a director, officer,employee or agent of another corporation, partnership, joint venture, trust or otherenterprise against any liability asserted against the person and incurred by him or her inany such capacity or arising out of his or her status as such, whether or not theFoundation would have power to indemnify the person against such liability under theseBy-Laws or the laws of the State of Michigan.

    Section4. Changes in Mchigan Law. In the event of any change of theMichigan statutory provisions applicable to the Foundation relating to the subject matterof this Article VII, then the indemnification to which any person shall be entitledhereunder shall be determined by such changed provisions, but only to the extent that anysuch change permits the Foundation to provide broader indemnification rights than suchprovisions permitted the Foundation to provide broader indemnification rights than suchprovisions permitted the Foundation to provide prior to any such change. Subject toSection 15 or the Article VII, the Board of Directors is authorized to amend these By-Laws to conform to any such changed statutory provisions.

    Section 15. Amendment or Reveal of Article VII. No amendment or repeal ofthis Article VII shall apply to or have any effect on any director of officer of theFoundation for or with respect to any acts or omissions of such Director of officeroccurring prior to such amendment or repeal.

    ARTICLE VIIIFiscal year: Notices

    Section 1. Fiscal Year. The fiscal year of the Foundation shall begin on the firstday of January of each year and shall end on the 31 5 ` day of December following.Section 2. Notices. Any notice required by statute or by these By-laws to be

    given to the Directors or to any officer of the Foundation, unless otherwise providedherein or in any statute, shall be sufficient if given by deposing the same in a UnitedStates post office box or receptacle in a sealed, postpaid wrapper, addressed to suchDirector of officer at his or her last address as the same appears on the records of theFoundation, and such notice shall be deemed to have been given at the time of suchmailing,

    ARTICLE IXAmendments

COM MUN ITY POLICING UPDATEOfficer Merritt reported that the Lansing Police Department isconsolidating all of the officers out of the North Precinct ove r to the South

    Precinct, but this change will not effect the community policing in thedowntown area. Officer Bill Barnes is the new night officer for thedowntow n area. Effect ive, July 1, 2010 the new Captain is Captain MikeYankowski. Officer Merritt reported that with the nice weather, panhandling is increasing. He co mm ented that he is receiving resistance frompeople that wan t to give to the pan han dlers. Off icer M erri tt reports thatgiving mone y to the pan handlers only causes an increase in the problem.He encouraged everyone present to refrain from giving them money and toremind others that it is prohibited. Bike riding on the sidewalks wasdiscussed. Officer Merritt reported that bike riding on the sidewalks isone of the biggest complaints that he receives. He does not want todiscourage patrons by telling them that they cannot ride their bikes butr iding on the sidewalk area is dangerous. Off icer Me rrit t suggested morevisible signage. Also, encouraging bikers to walk their bikes on thesidewalks rather than riding them. No downtown biking between the

    K. Johnson reported that he is in the process of co mpleting the instillationof mu lch downtow n. The irr igat ion is up and running and is set to w ateronce in the am and then again in the evening. The left over annual flatsfrom the dow ntown planting day have been planted in the three (3) blackplanters and wave petunias have been planted in the raised beds on the N Eand NW corner of Washtenaw S t. and Washington Square, 12 f lats weredonated to the CAD L-Dow ntown branch, and about 80 flats were donatedto the Old Town Commercial Association. Weed control will be donenext week on al l of the sidewalk areas that have grass/weeds growing upthrough the cracks. Two additional trash cans have been placed onMichigan Ave., one by Om ars and the other by the Nuthouse.

    Inc. and is recognized by the State of Michigan. Brannigan Brothers ishosting a Bike Night on Tuesdays from 7-11 p.m. through the month ofAugust. They have reserved 19 parking spaces for their weekly event.The PSD office will be closed tomorrow, Friday June 11 for a furloughday. The Law Office of Catherine G roll has opened across the street fromthe PSD office on W ashington Square. Jude's Barbershop will be openingat 120 S. Washington Square in late June. The LEDC has a specialannouncem ent scheduled for June 16 at 10:00 a m. at the current Dinaitri 'sbuilding and the board is encouraged to attend. Many more excitingannouncements are coming shortly.Communications & M arketing M anager Report- Sara PawloskiS. Pawloski introduced the PSD's new summer intern, Melissa Minockand reported that she is currently working on making a new Facebookpage for the PSD new iden tity. Sara and M elissa are also working closelywith Traction on getting all the content uploaded to the new website,which he will cover with you more during his presentation today. Thef irst Team Playm akers Dow ntown, 15 week f i tness program is Tuesday,June 15 t h from 11:30 a.m. - 1:30 p.m. The goal is to get 200 participantsthis year. The Taste of Dow ntown is scheduled for Saturday, July 10 from3:00 - 7:00 p.m. There are already eight (8) businesses registered to

M aintenance Contract Extension & RFP UpdateM. B iladeau reported that a draft Of the RF P is complete but additionalt ime is needed to co mp lete the f inal proposal . M. B iladeau requestedthe Board approval to extend the current maintenance contract withLansing Total Lawn Care Professionals for an additional two months(August, 31, 2010). The current extension expires on June 30, 201 0.

    S. W allace motioned to approve a two m onth extension to the existingmaintenance contract. P. Clacko seconded. Motion passedunanimously.C . Street Vendor Permit: Temporary Permit RequestNancy Humphrey, owner - and operator of Majestic Dogs wrote a

    request to be temporarily placed at the SE corner of Michigan Ave.and G rand Av e. until the permitted vendor location at the NE corner ofMichigan A ve. and G rand Ave. is no longer under construction.M otion by D. Johns, Jr. to deny the temp orary permit request based onthe close proximity of a sandwich shop inside the Grand P laza, locatedon the SE corner of Michigan Ave. and Grand Ave. and a new delimoving into the parking ramp just north of that corner in the nearfuture.     D . Silver Bells in the City Tra nsitionM. Biladeau reported that the PSD is now officially the newcoordinator of the Silver Bells in the City. M. Biladeau reported thatthe PSD staff has met with the Arts Council and they provided thePSD with a very useful planning guide and all past paperwo rk used tocoordinate the event. M. Biladeau reported that she has already begunsolicit ing sponsorships. Radio D isney has
