NEC Corporation of America (NEC) is excited to introduce our new “Smart Incentives” promotional program

that extends across all of our communications systems. The key concept for this promotion is simple… the

more you sell to a customer, the higher the promotional discount, and the more you earn with Smart

Rewards. By selling your customers a more complete Smart Enterprise solution, you enable their business to

be more productive and efficient which in turn results in higher overall value – for your customer, and for you

as well!

The concept is simple: The promotion provides your customer with a base discount for any new system. You

can then grow your discount with “more is more”, which increases the promotional discount based upon the

size and amount of up-sell in the opportunity.

This promotion is specifically designed to “drive” more Smart Enterprise solution selling which brings added

value to your communications deployments. By providing key incentives on targeted applications and IT

solutions, we believe it will bring you new opportunities to increase your overall revenue. These new

incentives are offered on the following solutions: unified communications, collaboration, mobility, contact

center and IVR applications, audio conferencing, mass notification, Session Border Controllers for SIP Trunking

and remote worker connectivity, and NEC’s IT servers.

General Terms and Conditions

NEC reserves the right to terminate your participation in this or any promotion should you not be in compliance with

any of the terms and conditions of the Channel Partner Agreement or of the promotions, including but not limited to,

any payment obligations. All orders are subject to NEC verification for promotion eligibility. Administration and

interpretation of the promotions is at the sole discretion of NEC. NEC also expressly reserves the right to modify

and/or discontinue any or all of these Promotions or incentives at any time without prior notice.

“Deal Registration”, “Hospitality Approval” and “Avaya/Nortel Approval” requires NEC approval. Approval begins by

contacting your NEC Account Manager and providing any and all information requested by NEC. Approval will provide

the NEC Partner with a “one-time” Dealer Registration ID and/or Approval ID. The “ID” obtained by the Partner is to

be input into the Studio quotation on the appropriate “Promotions” screen in order to allow the proper associated

discounts applicable.

Approval is required to apply the NORTEL displacement promo. To apply for your approval, download and fill out the

form at this link: NORTEL DISPLACEMENT PROMO APPROVAL FORM, and email the completed form to

[email protected]. The customer info will be verified against the list of existing NORTEL customers. Once

verified, you will receive a copy of the form with an approval number.

Channel Partner Certification By participation in this Promotion, Channel Partner certifies that they will destroy competitive

equipment that is replaced by the NEC system and confirm that they, the Channel Partner, have the

customer’s agreement to destroy said competitive equipment. NEC reserves the right to view/audit

this agreement upon request. This promise to destroy competitive equipment, applies to, but is not

limited to, the System CPU(s), software and all terminals, which are not being migrated to the new

NEC system.

Note: No Forms should be sent to NEC when placing an order utilizing this promotion. It is the

Channel Partner’s responsibility to maintain such records, forms and/or agreements with customer to

wit, should NEC view/audit such records the above Channel Partner certification can be verified.

Eligible NEC System configurations must be ordered and shipped no later than June 30th, 2017 (UNIVERGE

SV9100 systems) or September 30th, 2017 (for UNIVERGE SV9300/9500/3C systems).

Promotions may not be used to displace equipment that is currently being leased. Channel Partner should obtain

a signed transfer of title verifying end-user owns equipment being displaced free and clear of any liens or

encumbrances.

This Promotion cannot be used for purchase of in-house demo systems.

The NEC Studio system must be used for participation in this promotion.

NEC reserves the right to modify or terminate this Promotion at any time without notice.
